IN THE MATTER OF THE CONTRACTS ACT 2010

AND

IN THE MATTER OF A PARTNERSHIP CONTRACT

BETWEEN

LILLIAN MBABAZI

AND

PROTEA HOTEL BY MARIOTT KAMPALA SKYZ

THIS MEMORANDUM is made this 07th day of November 2022

BETWEEN
Lillian Mbabazi and Team (hereinafter referred to as “The Company” which
expression shall where the context admits include its successors and assigns) of the
one part
AND
PROTEA HOTEL BY MARIOTT KAMPALA SKYZ of Naguru , Kampala
(hereinafter referred to as the “2nd Party” which expression shall where the context
admits include its successors and assigns) of the second part and collectively as “the
Parties”
WHEREAS:
• The Company is an Artist with a recording Studio/ Agency with
expertise in event concept creation, social media marketing and research
services and operates a service based on this system;

• The 2nd Party’s core business is provision of hospitality services

as a hotel with a bar and restaurant.

• And that the purpose of this contract is to assume a partnership

arrangement with the 2nd party being to sing/Mime Christmas Carols on the
Tree lighting day 15th November 2022 at Protea Hotel Kololo and Skyz
Hotel.

NOW THEREFORE THE PARTIES AGREE as follows:

 • Commencement and Duration.
• This Contract shall be deemed to have come into force
immediately and shall continue in force up to 15th Nov 2022. This
Partnership is subject to termination in accordance with the provisions
contained herein.

• Deliverables for both Parties

The 2nd Party shall provide the following services to the Company;

• The 2nd Party shall Accommodate the Artist and her

Manager for one night on the day of the shoot on BB Single Occupancy.
• In light of Sub-clause 2.1. above, the 2 nd Party shall
provide 2 Standard rooms on Bed and Breakfast.
• Shall pay a total sum of Two Million Shillings in Cash as
remuneration to the artist services
• Provide photoshoot and Videography on the event day

Lillian Mbabazi and Company in return for services provided above shall
have the following deliverables;

• Recognize the 2nd Party on their social media pages as the

festive place to be.
• Record Christmas Carol and Mime the same at Kololo first
and then in detail at Skyz
• Consider Skyz Hotel for the intimate concert with the fans
at terms to be discussed
• Freely take Pictures with the Kids that will be present for
the tree lighting

• Relationship
Nothing in this Contract shall be construed as creating any relationship other
than that of Independent Contractor between the Company and the 2nd Party.
• Remuneration & Reimbursements
The Company shall pay the 2 nd Party all bills due for Extras before the guests
check out
Should there be any additional services requested by the Company outside the
scope of what is presented in this Contract, additional fees shall be negotiated
for said services between the parties.

• Conflicting Activities
Neither the Company nor its personnel and agents shall engage either directly
or indirectly in any activities which would conflict with the activities to be
carried out under the agreement.
• Confidentiality
 10.1. The Parties acknowledge that they may be privy to certain
confidential or privileged information in respect of the mutual business
relationship they will engage in.
10.2. It is hereby agreed that the Parties shall treat as
confidential all information disclosed by the disclosing Party and that
they shall not disclose the same to any other third party or any member
of the public without the prior written consent of the other party, the
non- disclosing party, having been obtained.
• Breach and Termination

• Should any party (the “Defaulting Party”) commit a breach

of any of the provisions of this Agreement, then the other Party (the
“Aggrieved Party”) shall be entitled to require the Defaulting party to
remedy the breach within 2 (two) Business Days, or any other
reasonable time, of delivery of a written notice requiring it to do so.

• Any party may immediately terminate this Agreement at

any time by giving written notice of 1 Week.

• Compliance with Laws of Uganda

In carrying out the services, the Parties shall ensure that the provisions of the
laws of Uganda are not violated.
In witness whereof the Authorized Representatives of the parties above have executed
this Agreement this 7th Day of November 2022.
