FREELANCER AGREEMENT/CONTRACT

STRICTLY CONFIDENTIAL

Know all men by these presents:

This agreement is entered between:

JGAP HOMES Realty Manila City, represented by Gretchen Padilla, herein referred us
COMPANY.

And

Rica Santiago, Angat Bulacan, contact number 0955 437 1017, herein referred to as Freelancer
of Rica Santiago Films.

The Freelancer warrants that she has sufficient skills, talents, capacity, tools, and equipment to
provide the services to the company.

The Company hires the Freelancer.

TERMS

This Agreement shall begin on 20 November 2021 to 20 February 2022 - Three (3) months
contract.

SERVICES

The services of the Freelancer to the Company include but not limited to the following:

Digital Materials

*Video Editing for YouTube, Facebook, Instagram, Tik Tok

*Blog post images/poster

*Social media ads

*Photo shoot/ Video Shoot

PROJECT DETAILS TIMEFRAME

Video editing for YouTube, Facebook, Instagram, Tik Tok Estimate 2 to 3 days

Blog post images/Poster 1 day

Social Media Ads 1 day

Photo shoot / Video shoot 1 day

Social Media Management daily

The Freelancer shall take direction from Ms. Gretchen Padilla, Real Estate Broker of the Company.
Additional services or amendments to the services described above may be agreed upon between
the parties. The Freelancer may guide/ suggest Company for whatever must good to the company.

WORKING SCHEDULE

The Freelancer has 6 regular working days – full time home based with flexible time. Currently,
Company can use online application for important meetings such as zoom or google meet.

COMPENSATION

The Freelancer’s professional rate shall be Eight thousand Philippine Peso (9,000.00) monthly
gross. Compensation will be paid on the 20thth & 5th day of each month which is the schedule as
follows:

Nov. 15,2021 - P4,500.00 for the 1st month (December 5, 2021)

Dec.20, 2021 - P4,500.00 for the 2nd half month (Dec. 20, 2021)

And so on….

Allowance of 750.00 every Saturday will be given right after of duty.

EDITING FEATURES. In editing phase for creative materials, the Freelancer has specific
details and project type of services. Creative details can be seen in the “project details” which is
the only process on that can be done with the materials. If the Company has a demand for an
additional project type or additional features that are not in this contract like 3D animation, web
design and development, web hosting, professional animation, voice over etc., this contract will
be voided and there will be another updated contract.

RELATIONSHIP

The Freelancer will provide services to the Company as an independent freelancer and not as an
employee. No employer – employee relationship shall arise from this agreement.

The Freelancer agrees that the Company shall have no liability or responsibility for the
withholding, collection, or payment of any employment insurance premiums or SSS,
PHILHEALTH, HDMF and other government contributions on any amounts paid by the Company
to the freelancer.

The Freelancer agrees that he will not be qualified to participate in or to receive any employee or
government mandated benefits such as HMO, 13th month and 14th month pay that the Company
may extend to its employees.

The Freelancer is free to provide services to other clients, so long as such other clients are not in
competition with the Company and so long as there is no interference with the freelancer’s
contractual obligation to the Company.

The Freelancer has no authority to and will not exercise or hold itself out as having any authority
to enter or conclude any contract or to undertake any commitment or obligation for, in the name
of or on behalf of the Company unless expressly stipulated by the company President.

TAX

The Client will not withhold this project. Upon payment, Freelancer will provide Company an
acknowledgement receipt under the Rica Santiago Films.

RESIGNATION AND DISMISSAL

This Agreement will conclude on 20 November 2021. The Freelancer agrees that no additional
advance notice or fees in lieu are required in the event the relationship is terminated.

The Freelancer agrees that the Company may terminate this agreement at any time without notice
or any further payment if the Freelancer is in breach of any of the terms of this Agreement.

The Company may terminate this Agreement at any time at its sole discretion, upon providing to
the Freelancer seven (7) calendar day’s advance written notice of its intention to do so or payment
of fees in lieu thereof.

In the event that the Freelancer decides to terminate the agreement at any time at its sole
discretion, the Freelancer shall serve a written notice to the Company at least thirty (30) calendar
days in advance, for prudence and to ensure the seamless and uninterrupted flow of the Company’s
business operations. Upon receipt of such notice, the company may waive notice in which event
this Agreement shall terminate immediately.

ENTIRE AGREEMENT

This Agreement, represents the entire agreement between the parties and the provisions of this
Agreement shall supersede all prior oral and written commitments, contracts and understandings
with respect to the subject matter of this Agreement. The Agreement may be amended only by
mutual written agreement of the party.

ASSIGNMENT

This Agreement shall ensure to the benefit of and shall be binding upon each party’s successors
and assigns. Neither party shall assign any right or obligation hereunder in whole or in part, without
the prior written consent of the other party.

GOVERNING LAW AND PRINCIPLES OF CONSTRUCTION

This Agreement shall be governed and constructed in accordance with Philippine law. If any
provision in this Agreement is declared illegal or unenforceable, the provision will become void,
leaving the remainder of this Agreement in full force and effect.
