Contract For Services

This Contract for services (the “Contract”) is concluded between

A. Avanti Energy Services Limited (hereinafter referred to as the “Company”);

And

B. Mr. /Ms. Gulzar Ahmed (the “Independent Contractor”) an individual of


Pakistani nationality holding Passport No.HJ1164622 and telephone number
_+923337544806.

The Company and the Independent Contractor, hereinafter being together referred to
as the “Parties” and individually referred to as a “Party”.

1. Preamble
The Company has entered into a contract with COSL Uganda-SMC Limited (COSL) to
provide highly skilled technical staff to support their oil drilling operations within
Uganda.

Now Avanti is entering into this Contract with the Independent Contractor for the
said provision of skilled technical staff to COSL.

The Independent Contractor agrees and acknowledges that they fully understand that
they are not an employee or permanent member of the staff of the Company, but have
solely entered into this Contract to provide “Services” to the Company.

2. Commencement and Duration

2.1 The Contract shall commence on the 1st day of May, 2023 and terminate on the
30th day of April, 2025 for a definite term of 24 months.

2.2 This Contract may be renewed for a further term on the same conditions
subject to mutual written consent.

3. Position Title and Duties

3.1 The Independent Contractor are described within this Contract shall provide
the Services as a Drilling and Completion Engineer(Title) to the Company in relation
to oil drilling operations assigned to the COSL project. He /She shall directly report to
the person designated by the authorized representative of COSL and will act
according to the instructions received.

3.2 The Independent Contractor shall perform the duties commensurate with the
Title and be required to complete any other tasks reasonably assigned by the
Company, COSL or as need arises.

4. Services Description

The Services Description are consistent with those expected with the Title. The
Independent Contractor agrees that the Services Description may be amended by
the Company, without the consent of the Independent Contractor, from time to
time.

5. Mandatory Courses and Certificates

The Independent Contractor shall arrive at COSL’s site with all mandatory courses
completed and certificates available for the Company to review. The Company is
not responsible to organize the training or courses to meet COSL’s requirements.
The Company is not responsible for the cost of the course fees or the associated
costs such as visas, travel, accommodations or any other costs incurred to obtain
certification.

6. Medical Examination

Prior to and during the period of the independent contract, the Independent
Contractor may undergo medical examination as required by the Company.
Failure in the examination may lead to position adjustment, suspension, or
termination if the examination result demonstrates that the Independent
Contractor poses a direct threat to him/herself or others’ health and safety. During
a pandemic of infectious diseases (e.g., COVID-19), the independent Contractor
may be required to be vaccinated and take viral diagnostic tests such as nucleic

acid and IgM anti-body tests. The Independent Contractor’s refusal to take the
tests shall be deemed detrimental to other people’s health and shall lead to his/her
Independent Contract suspension without pay.

7. Working Hours

7.1 The standard working time is 12 hours per day for a continuous 84 days.

7.2 Each 84 day working period shall be followed by a 28-day rest period,
unless mutually agreed upon between the Company and the Independent
Contractor.

8. Place of Service

The location from which the Independent Contractor shall perform his/her duties
under this Contract shall be at an assigned COSL location within Uganda and/or any
other place as the Company shall from time to time reasonably direct.

9. Remuneration

9.1 During the continuance of this Contract, the Independent Contractor’s


remuneration (including any applicable statutory deductions) will be
USD 3360 per month for each month that work is completed at the assigned
work location. This payment does not constitute a salary or imply that the
Independent Contractor is an employee or staff member of the Company’s
organization.

9.2 The Independent Contractor shall not be compensated for a “Travel Day”,
which is the days the Independent Contractor travels to the site from their place
of residence to the assigned work location and the day they return to their
location of residence, unless they have worked more than 6 hours at the work
location completing activities at the site location for COSL.

9.3 The Company shall avail the Independent Contractor the following facilities
while at COSL’s site:
a) Accommodation;
b) Food; and
c) Personal Protective Equipment.

9.4 The Company may provide medical insurance to the Independent Contractor,
in accordance with the limits set in the Insurance Policy. The Company
voluntarily provides this medical insurance to support the Independent
Contractor’s activities and it does not imply employment or a permanent
relationship with the Company.

10. Vacation and Payment During Absence For Illness

The Independent Contractor agrees that there shall be no payments, allowances or


compensation by the Company for vacation, public holidays, and absence from
providing the Services for compassionate reasons during the valid period of this
Contract. The Independent Contractor shall not seek compensation from the
Company in any form during periods that they are ill or unable to provide the
Services to the Company.

11. Travel and Accommodations

The Company shall provide to the Independent Contractor return trip economy class
tickets from the nearest major airport to their location of residence in their resident
country, based upon the frequency as agreed and approved by COSL. The Company
is not responsible to organize or to compensate the Independent Contractor for the
cost of travel from their residence to the location of the nearest major airport. If the
Independent Contractor misses a flight organized by the Company for any reason the
cost of organizing an alternative flight shall be fully borne by the Independent
Contractor. If the Independent Contractor decides to travel with family members or
associates the Company shall not be responsible for the cost of the family members’ or
associates’ travel incurred or for their safety when traveling.

12. Work Permits and Visa

The Company shall arrange a valid visa and work permit for the Independent
Contract to legally provide the Services within Uganda. The Independent Contractor
shall maintain a valid passport for the duration of the Contract with at least 12 months
validity remaining and 4 unused pages. In the event the Independent Contractor
loses, misplaces or does not have access to the passport then all associated costs to
replace the passport and the Ugandan visa shall be solely borne by the Independent
Contractor.

13. Termination of Contract

13.1 This Contract shall be deemed terminated upon expiry unless renewed for
another period by mutual written agreement.

13.2 This Contract may be terminated without cause by the Company by providing
48 hours-notice to the Independent Contractor.

13.3 This Contract may be terminated by the Independent Contractor by providing


90 days -notice in writing to the Company of their intention to terminate the
Contract. The Independent Contractor agrees that if less than 90 days -notice is
provided to the Company all renumeration owed by the Company to the
Independent Contractor is forfeited and shall not be paid. Regardless of the
Party initiating the termination of the Contract the Independent Contractor shall
be responsible for the cost of the Mandatory Training as described within Section
5 of this Contract if the term of the Contract is not completed.

13.4 After the Independent Contractor has received or submitted the termination
notice or at the end of the duration of this Contract whichever occurs first, the
Independent Contractor shall immediately return to the Company all documents,
records, tools and any other Company property in possession of the Independent
Contractor. Appropriate deductions shall be made from the Independent
Contractor’s remuneration to cover the cost of such property, should the
Independent Contractor fail to return the whole of or part of the Company’s
property.

14. Indemnification of the Company

The Independent Contractor is aware and accepts that oil drilling and production
facilities are inherently dangerous locations to work. The Company shall assign
the Independent Contractor to its client, COSL, but shall not have influence over the
conditions at COSL’s operations site at which the Independent Contractor is to be
located, henceforth referred to as the “Site”. The Independent Contractor agrees to
fully indemnify the Company and hold it harmless in the event of an event arising
from a lack of safety, an unforeseen condition or any other event, while in the
employ of the Company. The Independent Contract shall not seek compensation
or reimbursement from the Company for medical bills, medical transportation , loss
of income, loss of future potential income, stress, mental or physical impairment,
including permanent disability or in the event of death arising from the conditions
or an event at the Site or when travelling to the site by the Company’s arrange
transportation.

15. Ethical Conduct

The Independent Contractor shall exhibit appropriate behaviour in the course of


provision of the Services and deal with professionalism, honesty and integrity
while conforming to high moral and ethical standards. Such conduct shall be fair
and transparent and be perceived to be so by third parties.

16. Confidentiality

The Independent Contractor shall keep confidential all information in relation to


the Company’s business, methods and tools.

17. Miscellaneous

17.1 This Contract is governed by and shall be construed in accordance with


the laws of Uganda.

17.2 The parties to this Contract submit to the jurisdiction of the Ugandan
courts.

17.3 This Contract contains the entire understanding between the parties and
supersedes all previous agreements and arrangements (if any) relating to the
Contract for Services (which shall be deemed to have been terminated by
mutual consent).

17.4 The above terms may be changed with the consent of both parties.

Independent Contractor’s Acceptance and Acknowledgment


I, _Gulzar Ahmed, holder of Pakistan Nationality Passport NO. HJ1164622, of
Address _D-11, Akbar Apartment Civil Lines Karachi Pakistan have carefully read
and understood the terms and conditions of this Contract and accept the same.

I further acknowledge that I have not been induced to sign this contract by any
representations made to me by the Company and/or its agents and I will not be
entitled to a cancellation or variation of this contract on any grounds whatsoever,
except as herein provided or by further mutual agreement.

I therefore append my signature hereto having fully understood its full implications
and effect.
