Dear Ms./Mr. __________________,

We are submitting our proposed service contract for legal services to be rendered in the
criminal/civil/administrative case No. ______________ entitled
“___________________________________” for ________________________, now
pending with the ____________________________________________, to wit:

1. Scope of Representation

a) The representation of this office in the above cited case includes consultations,
research work, preparation of documents, filing of pleadings and appearances before
the Regional Trial Court. Depending on the outcome of proceedings before the
Regional Trial Court, our representation will continue until final judgment,
settlement, judgment or decision of the said Court on our Motion for Reconsideration
and/or Motion for Inhibition.

b) In case of cases arising or connected with the above case, in appeals in the above case
or in other cases/petitions/actions before judicial courts/quasi-judicial
agencies/Ombudsman or other government agencies, attorney’s fees and appearance
fees distinct from that stated in (a) above shall be billed for your account.

c) Consultations or work done other than that directly related to or affecting the case are
not included in this engagement and shall be billed accordingly.

d) The undersigned law office may withdraw from this retainer upon seven (7) days
written notice to the address stated above, for reasons indicated in No. 2(h) below, as
well as failure to cooperate in the preparation of the case; failure to make a complete
and full disclosure of facts and circumstances relating to the case; or takes any action
that hinders the adequate and ethical representation of the undersigned law firm.

2. Fees

a) We shall be billing you the amount of ___________________ Pesos

b) In case of unforeseen complications that increase the complexity or difficulty of the

case, attorney’s fees in addition to the above attorney's fees will be billed. We shall
review the fee schedule above to compensate for the additional work to be done.

c) A success fee in the amount of P10,000.00 shall be billed in case of success in the
prosecution of your case.

d) There shall also be appearance fees of Php3,000.00 per appearance, either in court,
mediation, outside office conferences, ocular inspections or visitations within Davao
City, which may be increased every three (3) years to conform to the prevailing fees
in Davao City.

e) Due to the unpredictability of the work demanded during the lifetime of the case, we
shall bill correspondingly for work demanded by order of the court or in response to
pleadings filed by the adverse party, in order to protect your interest.

f) We hope to be paid/reimbursed within five (5) days from your receipt of our
Statement of Account.

g) It is understood that the foregoing terms shall be applicable even if the case is
terminated earlier by reason of withdrawal, compromise or amicable settlement or
other causes.

h) The non-payment of any of the fees stated herein, which is due to the undersigned
law office, shall authorize the undersigned to suspend or withhold legal services. In
case of default in payment for another thirty (30) days, the undersigned may
withdraw its appearance as counsel in the above-mentioned case without need of
obtaining your consent, in addition to the right of retention of the undersigned of any
document or files until the fees shall have been paid in full.

i) In the event that the undersigned must take legal action to collect the fees under this
Contract, all collection costs and fees, including reasonable attorney’s fees, shall be
paid by you.

3. Expenses

a) Out of pocket expenses which we may necessarily incur in your interest, such as, but
not limited to reproduction of documents, docketing or filing fees, documentary
stamps, transcripts of stenographic notes, travel, board and lodging on out-of-town
conferences and other expenses of litigation shall be for your account.

b) You shall advance the sum of One Thousand Pesos (Php1,000.00) for out of pocket
expenses, subject to liquidation. This amount shall be replenished, as necessary, until
the case has been finally terminated. In case this office pays these expenses in
advance, they need to be refunded promptly.

c) Separate out-of-pocket expenses shall be billed in case of litigation and/or referral of

this matter to a quasi-judicial body for resolution or in cases of 1(b) above.

d) Representation expenses shall not be incurred without prior approval from you or
your authorized representative.

4. Schedule of Consultation and Conference

As a client of this Office, you may set a scheduled consultation and/or online conference
with our lawyers within regular office hours (9:00 a.m. – 3:00 p.m., Philippine Standard
Time) and only during regular working weekdays.

5. Waiver

All courses of action recommended by this office are in accordance with the laws and
regulations. Any action you may pursue other than the recommendations of this office
are deemed your personal action and not included in this retainer. This office shall not be
liable for any such action.

However, if you should find the foregoing acceptable, kindly indicate your
conformity hereunder as duly authorized representative of the corporation and
return to us a duly signed copy of this letter, whereupon the same shall serve as
our agreement on the matter.
