8
New Curriculum | 2021

During this course, we will try to understand the nuances of shareholder value creation and destruction,
objectives of M&A, synergy dynamics, acquisition process, negotiation and compensation, deal-design
and, of course, M&A lingo! At the core of M&A is 'Corporate Valuation' or 'Business Valuation'. There are
varied analytical processes and accepted methodologies for Business Valuation and it is no surprise that
no two valuators will agree on the Value.

It is important to recognize the reasons why more M&A initiatives have resulted in failures than successes.
We need to know how M&A combinations are initiated and how they get accomplished. Do all M&A
initiatives culminate in consummation or how the Davids (target companies) fight the Goliaths (acquiring
companies). M&A processes result in corporate tax implications and legal requirements have to be deftly
dealt with. A successful combination is one that results in an integrated enterprise. This makes post-
acquisition strategies as important as the planning strategies. Most acquisitions flounder at the stage.

emphasized.

Management will find the course very useful.

Retail Supply chain

The explosion of smartphone- driven shopping, the advent of “show-rooming” and the popularity of no-
added-cost returns increases the complexity of retail supply chain. Many retail supply chains are simply
not set up to handle this complex demand variation for speed and convenience in a cost-effective way
and are already creaking under the strain of the new multichannel world. Huge proliferation of SKUs to
fulfill the “endless assortment” promise of an online channel is creating new capacity and cost challenges,
including expenses for picking additional online orders, acquiring additional DC space, and processing
peak- season demand. Hence, this course intends to provide insights about restructuring retail business
processes and metrics, adopting uniform standards for shipping or for allocating credit for sales between
