Jacket Water
There are no external interfaces for the engine jacket water.
Radiator
The double stage radiator is shipped loose, with pre-manufactured piping for roof-top installation on the container.
Mounting of the radiator and re-assembly of the piping has to be made by the Buyer on-site.
Exhaust
The exhaust piping and the optional exhaust silencer are pre-manufactured for roof-top installation. All roof-top
installations are shipped loose to be re-assembled on-site by the Buyer.
Fuel Gas
The interface is the flange at the outside wall of the container. The inlet gas pressure shall be between 2,2 kPa to 5
kPa.
Ventilation
The ventilation air ducts and silencers are pre-manufactured for installation on the container roof. They are
shipped loose, to be re-installed on-site by the Buyer.
If inlet air temperatures below 5°C are expected, an optional exhaust air recirculation is recommended. If ordered,
it will be also shipped pre-manufactured.
Power Connection
The interface to external are the clamps on the common busbar in the breaker panel. Only single wire copper
cables can be used.
Auxiliary power consumption is connected to the main power connection.
The cables from the generators to the common breaker panel are included in the container packaging.

Remote Access Connection
The ENERSCREEN is equipped with an Ethernet port located in the panel. It shall be connected locally via a CAT5
cable to a LAN with Internet access. In the Buyers' router, the port 80 must be open in order to enable the remote
access.
If two or more units are installed at one site, a switch is located in one of them. The Buyer has to connect all
ENERSCREENs via CAT 5 cable with that switch and the switch to the LAN.
Lube Oil
To extend the oil change interval, the unit is working with a dry-sump lubrication system. The overall lube oil
volume is designed for an oil change interval of 2000 operating hours. The actual change interval depends on the
operation mode and the gas quality.
The difference between maximum and minimum filling level of the tank is sufficient to compensate the lube oil
consumption during an oil change interval.
For pre-lubrication of the engine before start and for post-lubrication during shut down the unit is equipped with a
pre-lubrication pump. This sucks lube oil from the tank and transfers pressure to the lubrication points of the
engine via the lube oil circuit. By means of a manual 3-way valve waste oil can be pumped out with the pre-
lubrication pump during oil change.

Factory Test and Buyers Witnessing Thereof
Each unit is tested before mounting into the container according to R Schmitt Enertec´s internal quality test
procedures. The Buyer or a third party inspector authorized by him can join the final test run on R Schmitt Enertec
´s test bench. R Schmitt Enertec will announce the date of the test run giving two weeks' notice. If the Buyer wants
to witness the final inspection, he has to give latest one week's notice before the test date. After successful
testing, the unit is mounted into the container. Depending on scope of supply, this takes 10 to 14 days, before the
container is ready for shipment.
Trading Conditions
As far as in this offer no different conditions are indicated, the Orgalime S2012 „General Conditions for the supply
of mechanical, electrical and electronic products“, March 2012 shall apply.
Validity
This offer is firm and valid for acceptance within sixty (60) days from the date of this offer. Buyer acknowledges
and agrees that the validity of this offer shall be subject to written confirmation of R Schmitt Enertec GmbH.
Export control
This offer is subject to export approval in relation to EU regulations. All project details and related persons and
entities need to be provided by buyer for the sanction list screening process
Exclusions
This offer does not include:
 engineering of implementation at site (hydraulic, exhaust, electric)
 construction and civil works at site
 erection and installation at site
 master control
 any other items not specifically described in this offer
Price
The Contract Price for the agreed scope of supply is a fixed and net price & for shipping "CFR, Apapa Port, Nigeria",
according to INCOTERMS 2010. In case of any delay of delivery, which is not caused by Seller, Seller is entitled to an
equitable adjustment of the Contract Price. The Contract Price does not include any taxes, customs, duties,
including re-export duties, fees on equipment and tools levied by Buyer’s government or the country of the place
of delivery, social security contributions, stamp duties or any other dues. All such expenses are to be borne by the
Buyer.
Payment
All payments shall be made in Euro without any deduction, payable in Mendig, Germany in favour of R Schmitt
Enertec GmbH to Commerzbank AG, Germany, Account No.: 2048510, IBAN DE10 0260 5704 0044 8510 00 and
SWIFT (BIC) Code COBADEFF570

Lead Time
The "Scheduled Delivery Date" (= "Latest date of readiness for shipment) for each major component of the
Equipment is as follows:

Any delivery dates are only valid under the precondition that all payments have been made in time.
Commissioning
For commissioning on site 5 days are planned (including travel time). The working day on-site are based on an 8 h
working day. Extra time will be charged at 110 EUR/h. The commissioning price also includes travel cost to and
from the international airport nearest to the installation site. Also, accommodation cost in the country of
installation are included. Not included are costs of travelling inside the country of installation. Such shall be
organized and paid by the Buyer.
Commissioning takes place after delivery and installation of the plant. To ensure that the plant is ready for
commissioning, the "Check list before start up" must be filled out by the Buyer and sent to R Schmitt Enertec's
Project Planning Department first. If all points of the check list have been processed accordingly, the
commissioning date can be planned. The calculated duration of the commissioning does not include any
installation work, such as the connection of cables.
If there is a delay in commissioning, for reasons the seller is not responsible for, each started additional day will be
charged with 1050 EUR.
Warranty
Seller warrants that all materials and workmanship are free from defect for a period of: 12 months from start-up,
8000 operating hours, or maximum period of 18 months from R Schmitt Enertec GmbH written confirmation of
readiness to ship from Mendig, Germany, whichever is earlier (the "Warranty Period"). In order to maintain the
warranty, the provision of an Internet connection by the customer is mandatory.
Liability
The Seller shall not be liable for defects appearing or damages occurring within the Warranty period which result
from improper or negligent use or maintenance of the Equipment by the Buyer's operating personnel or third
parties, improper or faulty installation and commissioning of the Equipment by the Buyer or third parties, use of
spare parts other than R Schmitt Enertec genuine spare parts, normal wear and tear during the operation of the
Equipment, use of unsuitable consumables (such as, fuel, oil, cooling liquid or any other consumables), in
particular the use of consumables not specified in the operation manuals, chemical, electro-chemical or electric
influences. The Buyer shall not be entitled to claim any of the aforesaid defects or deficiencies from the Seller
(Including claims of third parties).
Consequential Damages
In no event shall the Parties be liable to each other for any indirect or consequential damage or loss including, but
not limited to, loss of profit, loss of business, loss of production etc.
Late Delivery
Liquidated Damages
If a Major Component of a Unit is not available for shipment on or before its Scheduled Major Component RTS
Date for reasons attributable to Seller and not excused elsewhere in this Contract Seller shall pay liquidated
damages for each full week of delay, in the amount calculated in accordance with the table below, until the RTS
Date of the last Major Component of such Unit:

The delay liquidated damages apply on a Unit basis, and are the maximum weekly liquidated damages payable
regardless of the number of delayed Major Components of a Unit.
Any delivery dates are only valid under the precondition that all payments have been paid in time, the Letter of
Credit / Bank Guarantee has been issued in time and all commercial and technical details are clarified by no later
than 15 days after Contract signature.
Limitations
Seller's aggregate liability hereunder for liquidated damages for delay shall not exceed five percent (5%) of the
Unit Price of the delayed Unit. Notwithstanding the foregoing, Seller shall have no liability to Buyer for liquidated
damages for delay unless such delay is the direct cause of an actual delay in the initial commercial operation of the
Project and Buyer suffers economic harm as a result of such delay. The liquidated damages for delay shall be
Buyer’s exclusive remedy for and Seller’s sole obligation arising out of delay.
Extension
The Scheduled Major Component RTS Date(s) or any other date or time for performance shall be extended for a
period of time necessary to overcome the effect of (i) any Excusable Delay, or (ii) any suspension provided
however that the Warranty Period shall not be extended, or (iii) as set forth in any Change Order.
Excusable Delays
Neither Party shall have any liability or be in breach or default of its obligations under this Contract to the extent
that its performance is delayed or prevented, by any cause beyond its reasonable control. If Seller is delayed by
Buyer, its other contractors or Suppliers, Seller shall also be entitled to an equitable price adjustment. The affected
Party shall notify the other Party of any Excusable Delay. In no event, will an Excusable Delay relieve either Party of
its obligation to make any payment hereunder when due. If any Excusable Delay extends for more than one
hundred eighty (180) Days and the Parties have not agreed upon a revised basis for continuing the Work at the
end of the Excusable Delay, including adjustment of the Contract Price, then either Party (except where Excusable
Delay is caused by Buyer, in which event only Seller) may, upon thirty (30) Days’ written notice, terminate this
Contract with respect to any item of Equipment to which title has not yet passed, whereupon Buyer shall promptly
pay Seller the termination charges as set forth in Article 8 of the main body of the Contract.
Suspension
Seller may suspend any Work, including the delivery of any Equipment by written notice to Buyer, if Buyer fails to
perform its obligations in accordance with the Contract. Any cost incurred by the Seller in accordance with any
such suspension shall be payable by the Buyer upon submission of the Seller’s invoice.
Performance Guarantees
Performance Guarantee values
When tested in accordance with and subject to the conditions specified below in this order confirmation and in
Seller’s Technical Instructions (“Performance Conditions”), Seller guarantees that each Unit will achieve the output
and electrical efficiency (“Performance Guarantees”) set forth in the table below. If a Unit fails to achieve one of
the Performance Guarantees, Seller shall pay to Buyer liquidated damages for such Unit, in accordance with the
table below:

Performance Test at Seller’s Test Bench

Unless otherwise agreed between the Parties, the performance test (“Performance Test”) shall be arranged and
conducted at Seller’s test bench at Seller’s manufacturing facility in accordance with the Performance Conditions.
Performance Test carried out at Seller’s test bench shall include test of electrical output and electrical efficiency
and will be performed with natural gas only based on Seller’s factory procedures. Thermal output and thermal
efficiency measurement shall not be part of the Performance Test at Seller’s test bench.
Cure Period and Retest
If when first tested (but at latest when the Equipment reached 200 operating hours), any Unit does not meet the
Performance Guarantees, Seller shall be afforded ninety (90) days of Unimpeded Access to the Unit to undertake
corrective action (the “Cure Period”). The Unit will be re-tested when Seller so requests, but in any event at the
end of this Cure Period.
To the extent that Seller is the cause of required re-test, Seller will be responsible for: (i) cost of special test
personnel or special operating personnel provided by Buyer, and (ii) Seller’s personnel cost, but in no event, will
Seller be responsible for the cost of fuel or other consumables, normal operating personnel, or any other such cost
typically borne by Buyer.
Delayed Tests
If for reasons not attributable to Seller (i) the Performance Test is not started within Nighty (90) Days of Seller's
written notice to Buyer that the Unit is ready to ship, the Performance Test shall be deemed waived and each Unit
shall be deemed to have achieved the Performance Guarantees and Seller shall have no obligations under this
clause.
Limitation on Liquidated Damages
Seller's aggregate liability hereunder for liquidated damages for failure to achieve the Performance Guarantees
shall not exceed 5 % of the relevant Unit Price.
The liquidated damages for failure to achieve the Performance Guarantees and the corrective action to be taken
by Seller for deficiencies in performance under this Article shall be Buyer’s exclusive remedies for and the Seller’s
sole obligations arising out of such failures or deficiencies.
Aggregate Limitation on Liquidated Damages
Seller's total aggregate liability hereunder for all forms of liquidated damages provided for in this Contract shall
not exceed ten percent (10 %) of the Unit Price of the Unit giving rise to such claims. The Parties agree that: (i) the
amount of liquidated damages set forth above are reasonable in light of the anticipated harm caused by the
breach of duty related thereto and the difficulties of proof of loss and inconvenience or non-feasibility of obtaining
any adequate remedy, (ii) the liquidated damages are not a penalty, and (iii) the Parties are estopped from
contesting the validity or enforceability of such liquidated damages.

Termination of Contract
Termination by the Buyer
The Buyer may for his convenience terminate the order at any time upon written notice to the Seller. In the event
that the Buyer exercises his right to terminate the order the Buyer shall pay to the Seller termination charges at
time and in the manner set forth in the table below:

The Seller shall retain the Title to the Equipment and any further work progress if the Buyer terminates the order
pursuant to this Clause.
Termination by the Seller
If the Buyer fails to make any payment(s) in time as stipulated in the order confirmation, the Seller reserves
himself the right, without prejudice to any other rights or remedies under the Contract, to terminate the order by
giving written notice to the Buyer, informing him of his intention to make a claim for transfer of the entire
remaining order sum within a reasonable period of time but in no event longer than thirty (30) days following the
receipt of Seller's final invoice. The Seller shall retain the Title to the Equipment and any work in progress if the
Seller terminates this order pursuant to this Clause.
Contract Termination by the Parties
If one of the parties become bankrupt or insolvent or carries on his business under an administrator or liquidator
for the benefit of his creditors the other Party shall be entitled, without prejudice to any other rights or remedies
under the Contract, to terminate this Contract forthwith by written notice to the other concerned Party.

Governing Law
This Offer and contractual obligations identified herein shall be governed by the laws of the Federal Republic of
Germany to the exclusion of the UN Sales Convention. Buyer hereby acknowledges and accepts the terms and
conditions contained in this Offer.
