WAIVER, RELEASE AND QUITCLAIM

I, CORA A. SERDAÑES, Filipino, of legal age, widow, and a resident of 2C

Luzon Street, M. Dela Cruz, Pasig City, Philippines, after being sworn to in
accordance with law, depose and state:

1. That I hereby state that I have voluntarily resigned as LEGAL ADMIN of

A.C. RAMIREZ & ASSOCIATES;

2. That I hereby acknowledge to have received from my employer the sum of

NINETY THOUSAND PESOS (P90,000.00) as financial assistance due to my voluntary
resignation;

3. That the aforementioned sum does not represent and should not be
construed as a retirement benefit from A.C. Ramirez & Associates, being not yet
qualified thereto;

4. That I hereby further acknowledge that I have been paid all my salaries
and legal benefits during my employment with A.C. Ramirez & Associates until the
termination of my employment due to my voluntary resignation;

5. That I hereby declare that I have no further claims whatsoever against

my employer, its officers or any of its staff and that I hereby release and
forever discharge all of them from any and all claims, demands, cause of action of
whatever nature arising out of my employment with the latter;

6. That I have read and fully understood this Affidavit of Release, Waiver,
and Quitclaim which is given and made freely, willingly, voluntarily, and with full
knowledge of rights under the law without any threat, violence, duress, intimidation, or
undue influence exerted upon my person.
