Drawing on a deep understanding of shareholder and corporate governance issues gathered through fundamental
research, partnership with institutional investors and other stakeholder engagements, ISS' Custom Research team
partners with clients to fully optimize their corporate governance program through the provision of governance
expertise as well as customized deliverables.

Custom Research Analysts, working as members of regional teams, help clients develop and/or implement customized
guidelines that reflect the clients' unique corporate governance philosophy. Using Policy Engine, a data-driven
automation tool for base policy automation, in conjunction with analyst expertise on the subject of corporate
governance, the Custom Research team provides clients with customized vote recommendations based on their
respective proxy voting guidelines. As part of providing end-to-end management of client policies, the team keeps
clients apprised of new trends and emerging proposals that have garnered increased interest in the investment
community and assists clients in developing and implementing policies on these new issues. To this end, the team
provides clients with tailored reports, including an annual custom policy matrix that captures voting instructions and
procedures on proxy issues that are expected to be seen on ballots in the upcoming year, and policy gap analyses to
identify areas in client policy that do not effectively address any particular corporate governance issue. The Custom
Research team fosters further partnership with clients to fully optimize their corporate governance program by the
production of customized board reports that summarize statistics of votes on key proxy proposals, performs research
on critical corporate governance topics, statistical and trend analyses, and various ad hoc projects as requested by the
client.

POSITION OVERVIEW:

Institutional Shareholder Services seeks to hire a full-time junior analyst to join its corporate governance custom
research team in Mumbai, India. The primary duties and responsibilities of the position are to conduct research,
write reports, and make proxy vote recommendations for institutional investor clients. Key requirements for the
position are strong analytical, writing, communication, and organizational skills. In addition, those interested in this
position should have an interest in the provision of unbiased corporate governance advice to the institutional
investor community.

RESPONSIBILITIES:

Custom Team Responsibilities:

1. Issue vote document recommendations to clients pursuant to respective voting policies while
utilizing expertise on corporate governance issues and gathering data based on information in the
company’s public disclosure.

2. Perform research on a variety of proposals to be voted on at annual shareholder meetings of
publicly traded companies from a client-specific perspective.
3. Assist in the development and update of client proxy voting guidelines. Contribute in policy gap
identification and outdated approaches in clients’ policies.
4. Analyze historical client trends to suggest options on policy positions.
5. Assist in the creation of seasonal reviews and client-focused research reports.
6. Develop a working relationship with International/EU research and data analysts. These
relationships enable the custom analyst to work effectively with last minute issues and changes in
research vote recommendations.
7. Provide assistance in identifying PX issues, Policy Engine concerns, voting policy issues, client
proxy voting issues, documentation concerns and other policy environment concerns etc.

Other responsibilities:

8. Provide back-up assistance to other analysts when necessary at the direction of the business line
owner or other supervisor.
9. Work with tech to generate fixes to the applications to enable faster and accurate production of
research.
10. Participate in company-wide programs, and work with other team/department members for
policy-related issues.

DESIRED EXPERIENCE AND QUALIFICATIONS:

1. Bachelors’ degree in Finance, Accounting, Law, or other business-related area.


2. Background on corporate governance issues, corporate transactions and capital markets.
3. Fluency in at least one other language in addition to English is preferred.
4. Strong analytical and research skills, and comfort with ambiguity.
5. Experience providing innovative solutions to existing processes and problems.
6. Excellent writing and research abilities; proofreading skills and attention to detail; and well-developed
communication skills, both oral and written.
7. Organizational skills, attention to detail, a self-driven work ethic, and the ability to prioritize multiple tasks in
a high-pressure, deadline-driven environment.
8. Ability to work effectively with colleagues at various staff and management levels across staff and function
lines.
9. Strong computer literacy with previous experience and excellent knowledge of MS Office.
