1. Compliance and Monitoring

Supplier shall comply with all laws, regulations, rules, guides,


ordinances and / or applicable standards to the business.

Supplier shall assist Actylis with its compliance by making a reasonable,


good-faith effort to answer to any questions and to provide all materials
requested by Actylis or Actylis’ subcontractors regarding this Code of
Conduct and related initiatives.

2. Environment

Supplier shall comply with all applicable local environmental legislation


in all areas of operations and supply chain. Supplier shall obtain and
maintain all legally required permissions and licenses for its operations
and commercial activities.

Supplier shall apply appropriate environmental management systems


or equivalent to minimize environmental exposure and risks and work to
continuously improve environmental performance. Supplier shall promote
safe and environmentally sustainable development, manufacturing,
transport, use, and disposal of its products by measurable means that
are eligible to make efficient use of resources, apply energy-efficient and
environmentally friendly alternatives to existing technologies wherever
possible, and reduce waste as well as emissions to the environment and
apply best efforts to minimize any negative impact on biodiversity, climate
change and water scarcity on its facilities.

Actylis requires their Suppliers to comply with responsible sourcing practices.


Therefore Supplier is committed to measure its carbon emissions as well as
discharges and releases (water, air, soil) and report on it regularly. Supplier
shall design and implement processes to ensure all products supplied to
Actylis are “DRC Conflict Free” as defined under Section 1502 of the Dodd-Frank
Wall Street Reform and Consumer Protection Act (“Conflict Minerals Provision”)
and in accordance with OECD Due Diligence Guidance for Responsible Supply

3. Social & Ethics

Labor rights
In accordance and compliance with the Conventions and Recommendations of the International Labor
Organization (www.ilo.org):
• the Supplier does not accept forced, bonded or prison labor
• the Supplier upholds the freedom of association and the right to collective bargaining
• the Supplier provides for minimum wages according to local legislation and ensure equal pay
remuneration and
• the Supplier upholds the local legal or contractually agreed-upon limit on hours worked, including
voluntarily and paid overtime work

Child Labor
The Supplier does not employ under-age labor as
described in article 2.4. of the Minimum Age Convention
138 and Worst Forms of Child Labor Convention 182 of
the ILO. The Supplier should establish and implement
a child labor policy including instructions and routines
ensuring that no child labor is employed.

Safe workplace
The Supplier provides a safe and healthy work environment to its employees, contractors and establishes
written health and safety policies and systems to monitor adherence to set standards. In line with laws and
regulations applicable to Supplier’s facilities, employees and contractors receive regular trainings in health
and safety measures of the Supplier. Supplier ensures that employees are able to use the toilet at any time,
can take breaks, have access to drinking water and, if necessary, to cooling areas.

Supplier treats employees with respect and provides a workplace free of harassment or abuse of any kind,
harsh and inhumane treatment, unlawful practices, or discrimination. Supplier’s employees shall have
the right to report on harassment or abuse of any kind in a secured environment without fearing negative
consequences on their employment. The avoidance of discrimination of any kind based on e.g., without
limitation: skin color, gender, disability, gender identity, sexual orientation, age, religion, cultural or national
original or otherwise is established the Supplier’s business policies and implemented practical work life.

4. Corporate Governance

Supplier shall comply with all applicable anti-corruption laws, rules,


and regulations, including but not limited to the U.S. Foreign Corrupt
Practices Act (FCPA) and those enacted under the OECD Convention on
Combating Bribery of Foreign Public Officials in International Business
Transactions. Supplier trains its employees to ensure that they recognize
any situation of bribe and report on it without compromise to Supplier’s
management.

Supplier respects and complies with all applicable data protection and data privacy acts
and will not get involved in any anti-trust business relationship or act or conduct any
business in violation of international economic sanctions or embargos.

Actylis reserves the right to conduct audits or assessments to ensure your compliance
either by Actylis or by an independent third party of our choice. Supplier agrees to provide
relevant documents to prove its compliance with the code upon first request by Actylis.
Repeated or severe violation, failure to correct violations, or displaying patterns of non-
compliance with Actylis’ Supplier Code of Conduct will damage future cooperation with
Actylis and may lead to discontinuation of the relationship and related contractual
frameworks.
