Agreed on following terms for the building/sale of specified 2 boats here above;

1-GENERAL DESCRIPTION OF EACH VESSEL.

Vessel Called XXXX

The vessels which are to be designed Heavy Duty Twin screw Pilotboat will be built in
accordance with General arrangement plan that accompanies this specification. Vessels will
be built from class approved drawings.
The hull and wheelhouse are to be all welded steel construction .Steel will be A-Grade
marine steel . Propulsion is by twin diesel engine driving a fixed blade propellers and reverse
reduction gear boxes . Main engines will be supplied by shipyard.

2- CONTRACT PRICE
The purchase price of the two boats delivered in ex-works are : XXXX

Our offer is a fixed price for the construction of one vessel. The price includes construction,
completion and delivery at the place of build, in full compliance with the contract documents.

3- PAYMENT
The buyer will pay the boat as follows:

1st Stage (Down payment)payment of 30% contract value at order by swift an advice of this
swift transfer within seven ( 7 ) working days of the date of this agreement will be made direct
to the shipyard by mail and upon receipt of this payment the yard will immediately start
construction of two vessels.

2nd Stage payment of 30% contract value at order by swift and advice of this swift transfer
will be made direct to the shipyard by mail after first vessels hull completion by the yard.
Shipyard will inform the buyer with email for the completion of the hull.

3rd Stage (FINAL) payment of 20% contract value at order by swift and advice of this swift
transfer will be made direct to the shipyard by mail after first vessels completion before
shipment to XXXX. According to the article 10 of this contract (trials and acceptance), the
buyer ‘bank will pay by swift bank transfer the balance of the Invoice within the first three
banking days after the acceptance of the boat and before the transport of first boat.

The buyer and the yard shall notify each other in writing, which may be by e-mail if confirmed
by letter, of the fulfillment of the above conditions.

6- TERMS OF CONTRACT
Ship yard will build two vessel in acceptance of good marine standard.
The yard shall pay the following expenses; insurance, launch and trial expenses until the
vessels is completed and delivered to the buyer.
Loading and transportation of the boat will be on Shipyards account.
The vessels will have a clean, modern and distinctive appearance.

7- REGISTRATION / OFFICIAL PROCEDURES

Registration and official procedures are to be handled by the buyer.

8- MODIFICATION
Any additional major modification works, modifications after singing requested by the buyer
shall be priced separately by the yard and will be collected by the buyer prior commencing
the requested extra works.

9- DRAWINGS AND DOCUMENTATION

At the time of delivery of the vessel, the yard shall furnish to buyer with the following
documents:

10- TRIALS AND ACCEPTANCE

The yard notifies the buyer with a ‘completion notification’ of building the boat 7 days in
advance of delivery of the boats .
Following the outfitting works to be carried out by the yard at sea, the yard issues a ‘NOR for
delivery’ to the buyer. `NOR` : Notice Of Readiness.
The testing period starts upon buyers acceptance of this “NOR for delivery” issued by the
yard, with a written confirmation of acceptance of the “NOR for delivery” issued by the buyer.
The testing and trial period starts immediately upon buyer’s acceptance of the NOR the trials
to commence with a preliminary tests to ascertain that all systems function correctly. This
trial shall include a period of up to 2 hours, when the M/E (s) and miscellaneous machinery
will run with the vessel a long side the quay after any defects arising from the preliminary
trials have been corrected the vessel shall carry out a sea endurance trial of 2 hour duration
85 MCR. The yard is to be responsible for the supply of all necessary crew, fuel, oil and
technicians required for the trials.

During this trial following tests and control to be carried out;

Watertight Control
Port Engine Test %70-%100 MCR -10 minute
Starboard Engine Test %70-%100 MCR -10 minute
Both Engine Tests %70-%100 MCR -10 minute
Speed Run Tests GPS
Maneuver Test
Pumps Tests (Bilge, Fire etc.)
Electronic Equipment Tests
Deck Machinery Tests

On the satisfactory completion of the acceptance trials, all recorded defects , if any defects
are made good and all outfit and equipment properly stowed on board the vessels shall be
accepted by the buyer representative in delivery and acceptance protocol.

11- DELIVERY PLACE AND TIME

The yard shall deliver Two vessel 5 months after down payment received to the Buyer at
SHIPYARDS PREMISES AT YALOVA in clean and working condition. All tests and trials
completed free from all debts and claims. All insurance and other costs may occur until the
delivery will be on the yard’s expense.
After acceptance of the boats at the yard, Shipyard will arrange the shipment and shipyard
will pay the shipment cost and insurance until XXX. Buyer will pay full contract value after
completion of the test at builders yard before vessels shipment.

12- DELIVERY CONDITION

The yard shall deliver to the buyer the vessels in working condition furnished by all means as
described in the specification.
Flag, and registration procedures will be handled by the buyer or buyer representative.

13- INSPECTIONS & TRAINING.

The buyer can render inspections during the building period of the boat upon informing the
yard 2 days prior to inspectors’ arrival by a written message to the yard. All expenses related
to inspectors will be on buyer account.

After every inspection, buyer will give an approval for committed works. Buyer inspected
committed works on the hull and signing of this contract .

At the time of delivery shipyard will train 5 crew of buyer at the yards premises. All expenses
related to buyers crew will be on buyer account.

14- GUARANTEE
The shipyard shall procure that the engines and equipment of the vessel as set out in the
specification shall be guaranteed by its manufacturer.
Manufacturers at least one year after the delivery of the vessel. All other parts of the boat
are guaranteed by the yard for one year. Shipyard will arrange mechanic contact details for
assisting maintenance of the vessels by phone or email.

15- LAW
This agreement shall be governed by and constructed in accordance with Turkish law and
any dispute arising out of this Memorandum Agreement XXXX 13M ( Purchasing Pilot
boat)2014, Istanbul courts will be entitled to settle the dispute.
