2ND INTRA CONTRACT DRAFTING COMPETITION, 2023

CONTRACT PROPOSITION

BACKGROUND:

1. Kritika Kapoor an upcoming actress residing in C-1204, Sea View Apartments, Juhu Road,
Tumbai – 400 101, India, has recently risen to fame and her career has taken off after her
back-to-back hits at the cinema this year. With earning some fame in the movie business,
Kritika in addition to her career as an actress, is looking forward to being brand influencer and
endorsee to promote her popularity.
2. On the other hand, Vouis Litton is a company dealing in luxury clothes, shoes, handbags,
accessories, etc in the fashion industry. The company has a number of offices all over the
country with its head office at A-901, Time Tower, Carter Road, Tumbai – 400 002, Lydia.
They are in the process of developing a new product for their handbags collection called the
“Bloomsberry” and new perfume “Berry-Berry”
3. They plan to sell “Bloomsberry” and “Berry-Berry” in more countries in addition to Lydia.
4. The Company is scouting for a recognized and well-known celebrity to collaborate with and
work together with respect to the promotion and marketing of the product, under the terms and
conditions of a valid and legal agreement.
5. While negotiating with Kritika, the company will have to disclose certain important aspects for
formulation of “Berry-Berry” Perfume which is very unique to Ms. Kritika
6. Company’s Board of Directors are of the view that Kritika should not sign any other related
goods as of handbag or perfume for brand endorsement, further they want that Kritika should
not use any other brand handbag in her movie till the termination of this contract.
7. Kritika wants to make her base in Mumbai where the company is situated. Though good in
acting, she has not yet got any substantial work from anywhere.

8. Kritika also is keen that there should be no first refusal clause.
9. The company has a budget of INR 5,00,00,000/- for the entire project, wherein have allocated
a sum of INR 2,00,00,000/- for the endorsement, promotion and marketing of the product.
10. You are now required to prepare a Celebrity Endorsement Agreement keeping in mind the
terms and conditions as may be beneficial for both the parties.
