I serve as outside counsel to various businesses with U.S. and international operations whose legal needs do not warrant
the hiring of a full-time in-house lawyer. These companies have occupied a variety of industry sectors, including medical
devices, nanotechnology, information technology, and alternative energy project development. I partner with these
businesses as their legal and business counselor, solving their problems using creative legal solutions and leveraging global
business relationships to help these companies grow their business both here and abroad.
Representative outside counsel responsibilities for these companies:
Prepare and/or negotiate terms of all legal agreements and other corporate legal documentation for companies,
including all relevant state and federal filings and all agreements pertaining to companies’ human resources, sales,
distribution, licensing, and other functions.
Conduct due diligence for target acquisitions, and prepare acquisition transaction documentation.
Counsel executives of the company on litigation avoidance techniques, regulatory compliance matters, and
international business legal issues in Europe, Asia, and Latin America.
Oversee development of company’s intellectual property portfolio and counsel on effective monetization of
portfolio.
Handle disputes brought on behalf of and against clients relating to commercial and intellectual property issues in
domestic and international venues from inception to conclusion, from the preparation of demand letters and the
drafting of responses to demand letters sent to clients, to the preparation of pleadings in state and federal court
and before arbitral institutions and the subsequent prosecution or defense of these litigation and arbitration
matters to a successful and efficient resolution for the client.
