I serve as outside counsel to various businesses with U.S. and international operations whose legal needs do not warrant
the hiring of a full-time in-house lawyer. These companies have occupied a variety of industry sectors, including medical
devices, nanotechnology, information technology, and alternative energy project development. I partner with these
businesses as their legal and business counselor, solving their problems using creative legal solutions and leveraging global
business relationships to help these companies grow their business both here and abroad.
Representative outside counsel responsibilities for these companies:
 Prepare and/or negotiate terms of all legal agreements and other corporate legal documentation for companies,
including all relevant state and federal filings and all agreements pertaining to companies’ human resources, sales,
distribution, licensing, and other functions.
 Conduct due diligence for target acquisitions, and prepare acquisition transaction documentation.
 Counsel executives of the company on litigation avoidance techniques, regulatory compliance matters, and
international business legal issues in Europe, Asia, and Latin America.
 Oversee development of company’s intellectual property portfolio and counsel on effective monetization of
portfolio.
 Handle disputes brought on behalf of and against clients relating to commercial and intellectual property issues in
domestic and international venues from inception to conclusion, from the preparation of demand letters and the
drafting of responses to demand letters sent to clients, to the preparation of pleadings in state and federal court
and before arbitral institutions and the subsequent prosecution or defense of these litigation and arbitration
matters to a successful and efficient resolution for the client.

Supervised litigation of several complex business litigation and intellectual property litigation matters for individual and
corporate clients in United States and overseas. Negotiated and prepared agreements and corporate documents for clients,
particularly in the licensing and distribution arenas.
Representative experience:
 Successfully prosecuted breach of contract and intellectual property dispute pending in federal court in Florida on
behalf of UK-based game developer, resolving case on motion for summary judgment.
 Prosecuted complex patent, trademark, and unfair competition dispute in federal court in Florida against multiple
defendants for pharmaceutical company with successful settlement of matter against several defendants.

 Defended emerging shoewear manufacturer in trademark infringement dispute in federal court in Florida brought
by leading international shoewear manufacturer.
 Counseled clients in pending litigation on handling of international aspects of the lawsuits (including service of
discovery requests abroad, and dismissal of actions on forum non conveniens and other grounds)

 Obtained successful dismissal of complex business dispute in Florida against Brazilian corporate client on forum
non conveniens grounds.
 Successfully represented website owner in copyright infringement litigation against competing website, resulting in
significant monetary recovery and cessation of infringing activity.
 Successfully represented healthcare provider organizations in multiple arbitrations against national health
maintenance organization for breach of contract, resulting in significant monetary recovery for client.

arbitrators; examined witnesses at evidentiary hearings and trials; took and defended depositions.
 Representative matters included successful mediation of breach of contract dispute for pharmaceutical client,
resulting in seven-figure settlement; successful defense and pursuit of counterclaims on behalf of Fortune 500

 Representative litigation included defense of complex intellectual property dispute in Maryland state court that was
successfully dismissed in favor of compelling arbitration of dispute before American Arbitration Association.

Contract Attorney, Asset Forfeiture Section, 1995–1996
 Cleared a backlog of approximately 150-200 requests for reconsideration of the DEA’s initial decision to seize
assets pursuant to civil administrative forfeiture process.
 Researched and prepared legal memoranda and pleadings relating to the civil administrative and civil judicial
forfeiture of assets by law enforcement authorities, and assisted with training of field agents on determining
probable cause for seizures.

 Assisted solo practitioner on litigation, tax and corporate governance matters for principal firm client, a national
amusement park operator.
