EMPLOYMENT CONTRACT

ACTOR SERVICES EMPLOYMENT CONTRACT

THIS AGREEMENT is made and entered into as of the __________, by and between
___________, a _________ corporation, (hereinafter "Producer"), and __________ (hereinafter
"Player").

A. Producer intends to produce a theatrical motion Serial (hereinafter the "Serial") based upon
that certain screenplay tentatively entitled "__________" (hereinafter the "Screenplay") which
Serial is intended for initial theatrical exhibition.

B. Producer wishes to utilize the services of Player in connection with the Serial upon the terms
and conditions herein contained.

ACCORDINGLY, IT IS AGREED AS FOLLOWS:

1. JURISDICTION: Any suit, action or proceeding seeking to enforce any provision of, or
based on any matter arising out of or in connection with, this Agreement or the transactions
contemplated hereby may be brought in High court, District court or Through Arbitration process
located in State of Gujrat, and each of the parties hereby consents to the jurisdiction of such
courts (and of the appropriate appellate courts therefrom) in any such suit, action or proceeding
and irrevocably waives, to the fullest extent permitted by law, any objection which it may now or
hereafter have to the laying of the venue of any such suit, action or proceeding in any such court
or that any such suit, action or proceeding which is brought in any such court has been brought in
an inconvenient forum. Process in any such suit, action or proceeding may be served on any
party anywhere in the world, whether within or without the jurisdiction of any such court.

2. TERM: The term of employment hereunder shall begin on or about _______ (the "Start Date")
and continue until __________, or until the completion of the Serial and recordation of said role.

3. SERVICES/TERM: Producer engages Player as an actor in the Role set forth in the Principal
Agreement and shall cause Player to render all services customarily rendered by actors in
feature-length motion Serials at such times and places designated by Producer and in full
compliance with Producer’s instructions in all matters. Without limiting the foregoing, Player’s
services shall be in accordance with the following:

(a) Start Date: Principal Photography of the Serial shall commence on or about __________ but
no later than ___________.The Start Date shall be automatically extended without notice for a
period equal to the duration of any default, disability and/or force majeure or due to any location
requirements, director and/or cast unavailability, weather conditions, and/or other similar
contingencies.

(b) Exclusivity: Player’s services hereunder shall be non-exclusive first priority during the Pre-
Production, exclusive during Production Periods, and non-exclusive, but on a first-priority basis,
during the Post-Production Period.

(c) Retakes and Other Additional Services : During and after the Term, Player shall render such
services as Producer may desire in producing retakes, added scenes, transparencies, closeups,
sound track (including dubbing and looping), process shots, trick shots and trailers for changes in
and foreign versions of the Serial.

4. NOTICE PERIOD: In case you decide to leave the Serial during probation period or after
confirmation, you will be required to give six months’ notice. The producer in its sole discretion
can decide to waive off/reduce the notice period depending upon the Exigencies. In such case,
you would be required to pay to the producer the gross salary for the notice period so
reduced/waived off.

5. RIGHTS: Player grants, and Producer shall have, the perpetual and universal right to
photograph and re-photograph Player (still and moving) and to record and re-record, double and
dub Player’s voice and performances, by any present or future methods or means and to use and
authorize others to use Player’s name, voice and likeness for and in connection with the Serial,
the soundtrack (including a soundtrack album), trailers, and documentary and/or "making of"
Serials, and all advertising (including Player’s name and likeness on sleeves, jackets and other
packaging for soundtrack albums, video cassettes, videodiscs, written publications and the like),
merchandising, commercial tie-ups, publicity, and other means of exploitation of any and all
rights pertaining to the Serial and any element thereof. Producer shall own all results and
proceeds of Player’s services hereunder, including the copyrights thereof, and as such owner
shall have the right (among all other rights of ownership):

(i) To include such results and proceeds in the Serial and in advertising and publicity relating to
the Serial,

(ii) To reproduce such results and proceeds by any present or future means,

(iii) To combine such results and proceeds with photographs and recordings made by others for
use in the Serial,

(iv) To exhibit and perform such results and proceeds in theaters, on the radio and television, and
in or by any other present or future media, for profit and otherwise, and for commercial or non-
commercial purposes and purposes of trade, and

6. INSURANCE: Player warrants that to the best of Player’s knowledge Player is in good health
and has no condition which would prevent Producer from obtaining life, health, accident, cast or
other insurance covering Player at premium rates normal to Player’s age and sex, without any
unusual exclusion or limitation of liability on the part of the insurer.

7. ACTING PORTFOLIO: The actor shall be entitled to a finished copy of the first two episodes
once it has been completed. Such copy shall serve as a record for the Player and may be used by
the Player as a part of her professional portfolio. “Finished copy” refers to the final edited copy
with no additional footages that have been cut from the episodes in post production.

8. END CREDITS: The credits in the beginning of each episode shall be rolled in the order
starting from lead to supporting cast. Both lead actors shall be credited side by side. Such order
shall be non-negotiable. The actor shall be duly credited in the beginning of every episode along
with the male lead, whoever shall be selected for the role. “Credit” here means the name of the
actor along with the name of the character. All matters relating to Actor’s credit, such as size,
style of type, placement, color, etc., shall be at Producer’s sole discretion

9. APPOINTMENT: The actor acknowledges that any work including without limitation acting,
performing, advertising, promoting that the actor may conceive during the term of their
association with the project are “works made for hire” and to the fullest extent permitted by law,
actor shall assign and does herby assign, to the producer all of actor’s right, title and interest in
and to all Intellectual Property involved in such works Actor shall, upon request of the Producer,
execute, acknowledge, deliver and file any and all documents necessary or useful to vest in the
Producer all of actor's right, title and interest in and to all such matters.

10. PRIMARY RESPONSIBILITY AND JOB DESCRIPTION: Pre-Production Services: Prior to


the Start Date, Actor shall render services in connection with wardrobe preparation and fittings,
tests, auditions, rehearsals-recordings, pre-shoots, consultations and similar pre-production
matters. The fixed compensation shall be full consideration therefore. Post-Production Services:
If, after the Exclusive Period, Producer requires further services of Actor for retakes, added
scenes, looping, post-synching another post-production services following completion of
principal photography (collectively, "post-production services"), publicity interviews, press
junkets, premieres, personal appearances, still photography and similar matters (Collectively,
“promotional activities”) Actor shall render such services on a daily basis, subject to Actor's next
professional availability, with compensation at the daily rate, except that the fixed compensation
provided for hereunder shall be deemed to be full consideration for all promotional activities and
for the first 8days of post-production services (which need not be consecutive), services rendered
for 4 hours or less being credited as one-half day.

11. VACATION POLICY: The actor is entitled to _____ (_____) days of paid casual leaves in a
year for the time that the project continues. In addition, the actor shall not be called into shoot on
____ (___) public holidays in a year. The actor may not carry forward or encase any holiday to
the next holiday year. In the event that the Actor is absent from shoot due to sickness or injury,
the actor will follow the leave policy and inform the designated person from the crew of his
expected date of return.

12. RENEWAL OF CONTRACT: The parties shall notify the other party in writing with the
intention to renew the contract 30 days prior to the expiration hereof. If either party fails to
provide such notice, the agreement to termination shall be deemed on the part of such party. This
agreement may be renewed upon the mutual consent of the parties The parties to this Agreement
may extend the provisions and terms of this Agreement on a year to year basis provided that said
extension is entered into in writing and duly executed to reflect the agreement of the parties.

13. SCHEDULING: The actor shall be required on set for a minimum of eight hours a day on all
days of shoot. Any extra time that the actor spends on set shall be contingent on factors such as
unfavorable weather conditions, technical issues, and additional workload.In addition to this, the
actor may be called for shooting on holidays if the need be.

14. INTELLECTUAL PROPERTY: Producer shall have the exclusive right to use and to license
the use of actor's name, pseudonym, likeness, voice and caricature shall have the right to
simulate Actor’s voice, signature and appearance by any means and in connection with film and
advertising, publicizing, or other exploitation thereof in any manner and by any means in
connection with commercial advertising and publicity ties-ups. Also have the exclusive right to
use actor’s name on jackets and labels of such commercial phonograph's records and albums.

15. WARDROBE: if the actor is providing his own wardrobe for the project. Then the actor
hereby warrants that his wardrobe and costumes are adequate for the project, and that the
costume designer wardrobe and costumes listed in for durable and suitable quality of project.

16. DECENCY: that the Artist will comply with all reasonable and notified directions,
regulations and rules in force at places where the Artist is required to render services hereunder
(including in particular regulations and rules relating to smoking and the taking of photographs)
and will comply with the orders given by the Producer of its representatives from time to time.

17. REMUNERATION: All the payments inclusive of remuneration for all services rendered by
actor in connection with serial and to be paid by way of complete rights granted to producer
hereunder and no further sums shall be payable to actor by producer by reason of the exploitation
of the picture except in any extraordinary performance by the Actor

18. CONFIDENTIALITY: The Actor acknowledges that, in the course of performing and
fulfilling his duties hereunder, he may have access to and be entrusted with confidential
information concerning the present and contemplated financial status and activities of the
Producer, the disclosure of any of which confidential information to the competitors of the
Producer would be highly detrimental to the interests of the Producer.

a. The Actor further acknowledges and agrees that the right to maintain the confidentiality
of trade secrets, source code, website information, business plans or client information or

other confidential or proprietary information, for the purpose of enabling the other party
such information constitutes a proprietary right which the Producer is entitled to protect.
b. Accordingly, the Actor covenants and agrees with the Producer that he will not, under
any circumstance during the continuance of this agreement, disclose any such
confidential information to any person, firm or corporation, nor shall he use the same,
except as required in the normal course of his engagement hereunder, and even after the
termination of employment, he shall not disclose or make use of the same or cause any of
confidential information to be disclosed in any manner.

19. ARBITRATION: Any controversy or claim arising out of or relating to this agreement or any
breach thereof shall be settled by arbitration in accordance with the Arbitration and Conciliation
Act, 1996 and the seat of Arbitration shall be at ................ (place). The prevailing party shall be
entitled to reimbursement for costs and reasonable attorney’s fees. In the event of any breach by
the Producer of this Agreement, the Actor shall be limited to the Actor’s remedy at law for
damages, if any, and shall not have the right to terminate or rescind this Agreement or to enjoin
or restrain in any way the production, distribution, advertising or exploitation of the Picture.

20. APPEARANCE: Unless otherwise specified herein, in the event that the facial or physical
appearance or voice (collectively, "appearance") of Actor materially changes prior to or during
the course of Actor's employment hereunder to the extent Actor is not suitable to perform the
Role as originally contemplated by Producer at the time of casting of Actor in the Role, then
Actor's services and the accrual of Actor's compensation hereunder, and the running of any
periods herein provided for, shall be suspended upon notice to Actor during all periods that Actor
does not or cannot adequately render services due to Actor's changed appearance. Producer may
terminate Actor without further obligation if the changed appearance continues or cannot be
remedied to Producer's reasonable satisfaction within 7 days of such notice to Actor.

21. DUBBING: Producer shall have the right to double Actor's physical appearance and to dub or
simulate Actor's voice and other sound effects, in whole Orin part, in English and all other
languages; provided, however, that Producer will not dub Actor's voice in the English language,
except as follows:

(a) When necessary to expeditiously meet the requirements of foreign exhibition;

(b) When necessary to expeditiously meet censorship or broadcast requirements, both foreign
and domestic;

(c) When Actor shall fail or refuse to render the required services or when Actor is not readily
available when and where Actor's services are required hereunder; or

(d) When, in Producer's opinion, Actor's voice, accent or other performance hereunder, including
singing and playing music, does not meet Producer's requirements in connection with the Role.

In the event Actor actually provides such services, there shall be no additional compensation
payable inasmuch as the compensation paid or payable to Producer shall be deemed to include
compensation for all such services.

22. TERMINATION WITH REASON: The Producer shall be entitled by written notice to the
Artist given at any time to terminate the engagement of the Artist hereunder (without prejudice
to any other rights and remedies available to the Producer hereunder). In the case of termination
of the engagement of the Artist under the foregoing provisions or by the death of the Artist such
termination shall be effective from the date of the event giving rise to the termination or (if there
shall have been a prior suspension) from the date of the event giving rise to the suspension from
which such termination arose any claim which the Producer may have against the Artist in
respect of any breach, non- performance or non-observance of any of the material provisions of
this Agreement arising prior to such termination or out of which such termination shall arise
shall not be affected or prejudiced.

23. FORCE MAJEURE: The term "force majeure" as used herein refers to an epidemic, act of
God, strike, lockout, labor condition, unavailability of materials, transportation, common carrier
delay, civil disturbance, riot, enactment of any law, issuance of any executive or judicial order or
decree, breach of contract by, or disability of, the Producer, Director, or other principal cast
member, breach of contract by a financier or completion guarantor, or other similar occurrence
beyond the control of the Producer which causes the production of the Picture to be disrupted,
hampered, or interfered with substantially.

24. ACCOMMODATION: Producer agrees to provide Actor with one (1) business-class round-
trip airfare (if available and used) and ground transportation to and from the airport, as well as
reasonable hotel accommodations, if Producer requires Actor to render services under this
agreement outside of the state of Gujarat

25. WITHHOLDING: Producer may deduct and withhold any amounts that Producer reasonably
believes it is legally obligated to deduct and withhold from any money otherwise due under this
Agreement.

26. LEAVE IN CASE OF SICKNESS: The Actor is entitled to 10 days of paid casual leaves in a
year and 15 days of sick leave during the course of employment.

If the Actor is absent from work due to sickness or injury for more than three consecutive days
he/she must submit to the Producer a self-certification form. If such absence lasts for more than
seven consecutive days the Actor must obtain a medical certificate from his/her doctor and
submit it to the Producer. For any period of absence due to sickness or injury the Actor will be
paid statutory sick pay only, provided that he satisfies the relevant requirements. The Actors’
qualifying days for statutory sick pay purposes are Monday to Friday.

27. PAYMENT OF SALARY:

a) Pilot: The actor will be Compensated double the episodic compensation of the pilot
episode of the series.
b) Series: All payments to Actor hereunder shall be deemed to be equitable and inclusive
remuneration for all services rendered by Actor in connection with the episodes of the
Series, and shall be paid by way of a complete buy-out of all rights granted to Producer
hereunder, and no further sums shall be payable to Actor by Producer as a result of the
exploitation of the episodes of the Series, and all results and proceeds of Actor's services
hereunder, in any and all media throughout the Term.

28. PROMOTIONAL FILM: Producer shall have the sole right to create one or more thirty (30)
minute or shorter promotional films and to use the results and revenues of Actor's services in
such films. During the length of his employment hereunder, Actor undertakes to provide such
services for said promotional films as Producer may request, and Actor further agrees to allow
Producer to utilize film clips and behind-the-scenes photos in which Actor appears in such
promotional films.
