BOARD RESOLUTION 2023 - 01

At a regular meeting of the Board of Trustees of BAGTAS PLANTERS’
ASSOCIATION, INC., held on January 27, 2023, during which the required quorum was
present and which acted as such throughout the same, the following resolution was adopted and
approved unanimously:

WHEREAS that, the Board of Trustees of the Bagtas Planters Association Inc., held an
election of officers and hereby elected the following:

Janett D. Agao President of the Association

Loreto Pedrosa Sr. Vice-President of the Association
Racquel Sicad Secretary of the Association
Zeny B. Vinzon Treasurer of the Association
Marilyn D. Villaruel Auditor of the Association
Charles Andrei U. Bautista Chairman of the Board of Trustees
Gloria D. Cabang Board-of-Trustees/ Budget and Finance
Jasmin S. Pascubillo Board-of-Trustees/ Education and Livelihood
Romeo E. Sumawang Board-of-Trustees/ Health and Environment
Erwin B. Dela Paz Board-of-Trustees/ Peace and Order

WHEREAS, that the Board of Trustees of the Bagtas Planters Association Inc.,
acknowledged the need to register in all Government institutions, such as, Securities and
Exchange Commission (S.E.C.), Bureau of Internal Revenue (BIR), Local Government Unit of
Mariveles, Province of Bataan, Barangay Clearance /Permit (Barangay Cabcaben), Department
Environment and Natural Resources (DENR), Department of Agrarian Reform (DAR) and the
like, essential to its future development operations.

WHEREAS, that the Board of Trustees of the Bagtas Planters Association Inc.,
authorized the Board-of-Trustees Chairman Mr. Charles Andrei U. Bautista, to oversee and
authorized signatory of the registration of the Bagtas Planters Association, Inc., in all
Government institutions abovementioned.

WHEREAS, that the Board of Trustees of the Bagtas Planters Association Inc., which
is located at Sitio Buli, Cabcaben, Mariveles, Bataan also acknowledged the need and
approved the opening of a Savings and Investment Bank Account in Land Bank of the
Philippines; AFAB Branch Mariveles, Bataan.

WHEREAS, that, the Board of Trustees of the Bagtas Planters Association, Inc.,
designate its elected Board-of-Trustees Chairman, Mr. Charles Andrei U. Bautista, and
Elected Treasurer, Zeny B. Vinzon and President of the Association Janett D. Agao to be the
approving officers and any of the two officers shall be the authorized signatories in all bank
transactions pertaining to disbursements withdrawals, deposits other funds of the Association;

WHEREAS, that, the Board of Trustees of the Bagtas Planters Association Inc.
Authorized the Chairman of the Board-of-Trustees Mr. Charles Andrei U. Bautista, to oversee
the opening of a Savings and Investment Bank Account in Land Bank of the Philippines, AFAB,
(Mariveles Branch) Mariveles, Bataan.

RESOLVED, further, that after election of officers have been exercised, the
Board
of Trustees and officers of the Bagtas Planters Association are the following:

RESOLVED, further, that, the Board of Trustees of the Association after acknowledging
the need to register in all Government institutions, such as, Securities and Exchange Commission

Clearance Permit (Barangay Cabcaben), Department Environmental and Natural Resource

Operational Development, Authorizes the Chairman of the Board of Trustees Mr. Charles
Andrei U. Bautista of the Community Association to oversee the registration and to sign in
behalf of the Association in all Government institutions abovementioned;

RESOLVED, further, that, the Board of Trustees of the Bagtas Planters Association
after acknowledging the need to open a Savings and Investment Bank Account in any one bank
near its location which is at Ground Floor, AFAB Building, Mariveles, Bataan;

RESOLVED, further, that, the Board of Trustees of the Bagtas Planters Association to
designate its Board-of-Trustees Chairman, Charles Andrei U. Baustista, and elected Treasurer,
Zeny B. Vinzon and President of the Association Janett D. Agao to be the approving officers
and any of the two officers shall be authorized signatories in all bank transactions pertaining to
disbursements, withdrawals, Deposits and other transaction regarding the funds of the Bagtas
Planters Association Inc.;

RESOLVED, further, that, the Board of Trustees of the Community Association

authorized the Chairman/ Board-of-Trustees Mr. Charles Andrei U. Bautista, shall oversee the
opening of a Savings and Investment Account at Land Bank AFAB , (Mariveles Branch) Bataan;
