SECURITY SERVICES CONTRACT

CONTRACT NO: _____________________

This is a contract between COPIDES ENTERPRICES SERVICES LTD. of post office NUMBER 675. NAKURU in Republic of
Kenya (herein; referred to as "The Security Firm") EAST AFRICAN TRANSFORMERS AND SWITCH GEARS KENYA
LIMITED. P.O BOX 10603- 00100 NAIROBI - KENYA (herein; referred to as "The Client").
The security firm will provide security and allied services at the client's sites to protect personnel, premises and property therein such
guards shall be well trained and uniformed as provided in clause “J” herein below.

(a) CLIENT COMPANY OBLIGATION:

i) Provide insurance over the properties subject in this contract for the duration of this contract with a reputable insurance
company. Premises and property therein must be insured against loss or damage by fire, theft, burglary and such other
relevant and or applicable risks.
ii) Pay extra charges for services rendered during public holidays.
iii) In the event the client requires extra services other than those provided in the contract, appropriate charges shall apply.
iv) Pay the contract amount within the stipulated time in the contract.

(b) SECURITY FIRM OBLIGATION

i) Provide security and allied services as stipulated in the terms of this contract
ii) Liaise with the client for workable solutions within reasonable time when performance is adversely affected by outside factors ie
strike, lock out, labor disputes, mechanical break-down of vehicles, fuel shortages, road blockage, enemy action, riots and civil
unrest or any other applicable circumstances.
iii) Provide its employees with protection while at work as provided by Work Injury Benefit Act (WIBA).
iv) Protect its employees against performing contrary duties other than those stipulated in this contract.
v) Conduct itself with professionalism throughout the contract period.

(c) NOTIFICATION OF CLAIM:

The security firm shall not be responsible in any circumstances or to any extent whatsoever, whether for breach of contract or
negligence, unless written notice is received by the security firm within (24) hours of the occurrences and/or discovery of the event
giving rise to the claim.

(d) LIMITATION OF LIABILITY:

The security firm undertakes no liability of any loss or damage to property or persons whatsoever or however caused by the client,
its employees, agents or representatives unless due to the negligence of or deliberate default by the security firm or its employees
whilst performing their duty within the scope of their employment.

(e) CONTRACT SUM;

The consideration of this contract is Kshs. FIVE HUNDRED AND SIXTY THOUSAND per month and shall be payable promptly
and on demand not later than 5th day of the following month. In the event the client fails/neglects and or refuses to deliver the
payment within the stipulated time herein above, the security firm shall be entitled to interest not less than 5% of the total due.

(f) REVISION OF CONTRACT:

The security firm reserves right to revise its rates of charges for providing the service under this contract for the following reasons:
i. When the government amends/reviews laws/regulations that affect the operation of security firms adversely.
ii. In the occurrence of a natural calamity that affects both the client and the security firm adversely or otherwise.
iii. In the event both parties find a review necessary.

(g) TERMINATION OF CONTRACT

Either party may terminate the contract by giving three calendar months’ notice in writing to the other or by
payment of a sum equivalent to three months in lieu of notice.

(h) EXTENSION OF CONTRACT

The client may extend the contract period after expiry of stipulated time herein by giving thirty days’ notice.

(i) SCHEDULE OF CONTRACT

The client hereby requests the security firm herein to provide security services to:-
EAST AFRICAN TRANSFORMERS AND SWITCH GEARS KENYA LIMITED.
P.O Box 10603- 00100,
Nairobi –Kenya.

(j) NUMBER OF GUARDS SIXTEEN

- Each guard 35,000 Per month
- Total amount 560,000

(k) BREACH OF CONTRACT
The client undertakes that it will not during the period of existence of this contract:
i. Offer employment to an employee/servant or an officer of either party in the course of the contract period.
ii. Engage the services of a business or company managed or owned by a current officer, servant or employee of
either party.
(l) DECLARATION
The terms of this contract constitute the entire agreement between the security firm and the client. No amendments,
variation waiver or modifications of any terms shall be made or negotiated on behalf of the security firm unless executed
and or authorized by operations or technical director.

This contract is executed in duplicate and each party shall have a copy
