AMENDMENT AGREEMENT

THIS AMENDMENT AGREEMENT is entered into at Vashi, Navi Mumbai on this 18th
day of June 2018 by and between Axis Bank Ltd & Reliable Capital Solutions.

Axis Bank Limited, a banking company carrying on its banking business under the Banking
Regulation Act, 1949 and incorporated under the Companies Act, 1956 and having its registered
office at Trishul’, 3rd Floor, Opposite Samartheshwar Temple, Law Garden, Ellis Bridge,
Ahmedabad 380 006, (hereinafter referred to as “the Bank” which term shall include unless the
context be repugnant to its successors and assigns in business) of the ONE PART.

AND

Reliable Capital Solutions, a Partnership Firm carrying on its partnership business under the
Partnership Act, 1932 and having its office at D-274, 1st Floor, Vashi Plaza, Sector 17, Vashi,
Navi Mumbai 400703 through its authorized signatories, Shri Srinivas Ranaveni (hereinafter
referred to as the "Service Provider which expression shall, unless repugnant to the context or
meaning thereof, be deemed to mean and include its successors and permitted assigns) of the
OTHER PART;

The Parties to this Agreement are hereinafter individually referred to as a "Party" and collectively
as "Parties".

WHEREAS by an Agreement dated 27/12/2016 entered into between the Bank and Reliable
Capital Solutions (hereinafter referred to as the Principal Deed), Reliable Capital Solutions has
inter-alia agreed to provide certain services to the Bank which are more particularly described
therein under the Principal Deed and the Bank has accepted the same subject to the terms
contained therein.

AND WHEREAS in terms of the Principal Deed, the Principal Deed can be modified, amended or
altered with the consent of both the parties by executing a separate Amendment Agreement.

Now, Reliable Capital Solutions and the Bank has further agreed to extend the term of the
Principal Agreement and include obligations of the parties as hereunder set forth in this
Amendment Agreement.

In consideration of both parties mutually agreeing to execute this Amendment Deed, THIS DEED
WITNESSETH AS UNDER:

1. That Schedule III Fees and Payment Schedule in the said Principal Agreement shall stand
modified as under:
FEES AND PAYMENT SCHEDULE

The Fees to be paid and the mode of payment shall be indicated to the Person from to time to time.
Any changes shall be notified by means of a letter from AXIS BANK LIMITED to the Person.
The Fees paid / payable by AXIS BANK LIMITED to the Sourcing Agent in relation to the
services shall be exclusive of all applicable taxes, levies, duties or any other charges past, present
or future under the prevailing laws and subject to deduction of tax at source as per the applicable
laws, wherever the service provider has provided the GSTN number.
Further, it is to be noted that bank shall deduct the GST amount from the applicable payout to be
made to the DSA in case of non-availability of GSTN number of the service provider.
AXIS BANK LIMITED shall also have the right to set off, deduct and recover from the fees or
any other amount payable to the Person, any and all amounts which may be or become payable or
which the Person is liable to pay to AXIS BANK LIMITED under this Agreement on any other
account whatsoever. The Person shall immediately reimburse any amount which has been
accidentally paid to the Person, in the event of any delay in reimbursing the amount the Person
shall be liable to pay interest @ 24% p.a. on the said amount. In consideration of its
responsibilities mentioned above, the Person shall be paid fees based on amount disbursed as per
details mentioned in table below.

- Maximum payout for a single case will be capped at Rs. 7 lacs for Homeloan case
disbursed & 10 lacs for LAP case disbursed.
- The payout for Overdraft & Reverse Mortgage Loans will continue as linked to
reimbursement of 100% of PF collected.
2. Save for changes specified hereinabove, all the other terms and conditions of the
Principal Agreement shall remain unchanged and stand in force and effect. This agreement
shall always be read as a part and parcel of the Principal Agreement

3. Words and expressions used in this Agreement and not defined shall have the same
meaning as assigned to them in the Principal Agreement

IN WITNESS WHEREOF both the parties hereunto put its hand and seal on the date and year first
