Intended Working Agreement

鉴于乙方在天然食品防腐保鲜剂抗菌肽领域的专业能力，浙江新银象生物工程有限公司
在产品上的战略规划和发展需要，经双方友好协商，就诚聘乙方为甲方“ ”一事达
成协议相关内容如下：
In view of the professional ability of Party B in the field of Nature Food Antiseptic and Preservation
Agent Antimicrobial Peptides, and Party A’s strategic planning and development needs in this field,
after friendly consultations between the two parties, the agreement on the recruitment of Party B as
Party A’s “ ” is as follows:

一、 岗位与职责 Job and Responsibilities

（一） 岗位 Position
甲方诚聘乙方担任本公司“ ”。
Party A will hire Party B as .

（二） 乙方职责 Responsibilities of Party B

1、作为研发副总监，协助公司开展应用研究，主要负责天然食品防腐保鲜剂抗菌肽的研发
创新。包括提高抑菌活性功能，扩大产品的适宜 Ph 指标范围，提升产品的质量稳定性和可
靠性；同时对食品的色、香、味、口感等不会产生不良影响，并有效延长食品保鲜期。
As a senior engineer, Party B shall assist the company to carry out application research, develop nat
ure food antiseptic and preservation agent antimicrobial peptides. It includes improving the antibact
erial function, expanding the suitable pH index range of the product, improving the quality stability
and reliability of the product; at the same time, it will not have adverse effects on the color, aroma a
nd taste of the food, and effectively extend the shelf life of the food.
2、根据甲方未来五年发展规划协助拟定新工艺研发的战略规划，明确板块发展方向和产品
开发思路，并组织实施；
Based on Party A’s strategy in the next 5 years, Party B shall help plan the strategy of new material
products development, make clear the new material development direction and products develop-
ment routine, and organize the implementation;
3、负责管理公司新产品研发及相关培训；
Party B shall be responsible for the management of the new material development, and give related
training;
4、推荐引进海外优秀高技术专家，在甲方落户并落实有关项目。
Party B shall recomend the outstanding international experts, help them to settle in the Party A and
help the implementation of the projects.

二、聘用期限 Length of Employment

1、聘期 5 年，自 2023 年 月 日至 2028 年 月 日止。乙方每年在华工作时间不
少于 9 个月，非在华时间，乙方应通过电话、电子邮件等方式给予甲方及时有效的技术支持。
The contract will be valid for 5 years, from 2023 to , 2028. Party B (team) shall
work in Party A for no less than 9 months every year. When not in China, Party B shall give Party
A efficient and effective support by telephone or email etc.
2、乙方承诺辞去海外工作并全职在甲方工作，聘用期间不存在与其他海内外单位签订工作
合同的情况。
Party B promises to quit overseas work and work full-time in Party A. There is no contract signed
with other domestic and foreign units during the employment period.

三、报酬及福利 Salary and Benefits

1、乙方在甲方公司工作期间，甲方按年薪（税前） 人民币 万的标准支付工资，总额的
60%作为基本工资，40%作为年度考核工资。最终薪资支付金额按乙方实际工作成果确认后
发放，有突出贡献再进行额外奖励。
During the period Party B working in the company, Party A will pay (before tax) annual salary
RMB , 60% of the amount is the basic salary, 40% of the amount is the performance
salary.The final salary shall be paid after the confirmation of Party B’s actual work result, and addi-
tional rewards will be made for outstanding contributions.
2、若乙方领导公司的项目开发，对应的项目开发奖励则根据公司批准的项目书所规定的激
励方案另行计算。
If Party B leads new projects development, the bonus of projects development will be paid sepa-
rately according to the approved the projects plan.
3. 甲方提供乙方免费住宿，住宿条件为四星级酒店或同等标准的公司专家公寓。
Party A will provide Party B free accommodation, 4 stars standard hotel or the equivalent standard
of foreign expert apartment.
4、乙方每次往返甲方工作的机票由甲方购买或报销有关费用。
Party A will buy or reimburse the cost of the flights for Party A’s coming to China and back to
Ukraine.
5、在中国工作期间，甲方为乙方提供必要而方便的轿车服务。
Party A will provide necessary and convenient car service when Party B works in Zhejiang.
6、甲方将根据中国法律，为乙方依法购买中国国内的人身意外险（含体检费）。
Party A will buy the health insurance (including international health examination fee in China) for P
arty B according to China’s law.

四、工作制度 Working Regulations

1、乙方应根据甲方的工作任务安排和要求计时工作，办公地点不限于仅在甲方公司，在甲
方公司期间每天工作 8 小时，每周工作 5 天，除去旅差路途时间。
Party B will work according to Party A’s work plan and needs, and working places are in but not
limited to Party A’s company, 8 hours a day and 5 days a week, the transportation time is not in-
cluded.
2、在甲方公司期间，乙方因故需请假的，需提前通知甲方并获得批准。请假期间的工资予
以扣除。
In the time of working in Party A’s company, if Party B has to be off work for special reason, he sh
ould notify Party A in advance. In leaving period wages will be deducted.
3、疫情期间甲方同意乙方在海外开展工作，通过邮件、视频等方式交流。并约定不晚于 10
月 30 日前到国内工作。
During the COVID-19 outbreak, Party A allows Party B to work overseas via e-mails, videos etc.
And Party B shall be in China no later than October 30, 2023.
4、乙方承诺遵守海外引进国家和中国的法律法规及国内外用人单位的相关规定。
Party B promises to abide by laws and regulations of the countries and China imported overseas and
relevant regulations of domestic and foreign employing units.

五、保密协议 Confidentiality Agreement

1、乙方在甲方工作期间的产品的知识产权属于甲方、乙方不得将甲方的任何内部保密信息
透露给第三方，保密期限为十年。如果因泄漏信息而导致甲方损失，乙方应承担相应的法律
责任并赔偿损失。
During the Party B working period, the R&D intellectual property rights belong to Party A, Party B
shall not disclose any confidential information to third party, the confidentiality period is 10 years.
If Party B leaks information and causes the loss of Party A, Party B will assume corresponding legal
responsibility and compensate for the losses.
2、乙方承诺在申请海外科研项目经费、竞业禁止、知识产权等方面不存在与第三方冲突的
情况。
Party B undertakes that there is no conflict with the third party in the application for funds for over -
seas scientific research projects, non competition and intellectual property rights.
3、乙方保证不违反相关国家知识产权、兼职取酬和科研经费管理规定，遵守中国和甲方保
密有关规定和要求，履行工作岗位相应的保密职责。
Party B guarantees that it will not violate the relevant national regulations on intellectual property
rights, part-time remuneration and scientific research funds management, abide by the relevant reg-
ulations and requirements of China and Party A on confidentiality, and perform the corresponding
confidentiality duties of the post.

六、协议终止 Termination of the Agreement

双方因某理由希望提前终止协议的，需提前 3 个月以书面形式通知对方。否则，应赔偿 3 个
月工资及承担其它相应责任。
If one of the parties for some specific reasons to terminate the agreement, should give the other
party 3 months written notice in advance. Otherwise, the Party who fails to notice should compen-
sate three months’ salary and take other corresponding responsibility.

七、争议的解决 Settlement of the Disputes

若本协议在履行中发生争议，应按照中国法律，由中国国际贸易仲裁委员会裁决。
Any dispute arising out of this agreement, shall be governed by the laws of the People’s Republic of
China, and shall be submitted by China International Trade Arbitration Commission.

八、本协议系双方合作意向，具体事宜以双方签订的正式合同文本为准，经甲方盖章、乙方
签字后生效；本协议一式两份，甲乙双方各执一份，具有同等法律效力。
This agreement is the intention of cooperation of both parties, and this specific matter shall be sub-
ject to the formal contract text agreed by both parties.The agreement becomes effective on stamp of
Party A and signing by Party B.This agreement is in dual original, and each party will have one
original copy which has the same legal effects.
