MINING SITE USAGE AGREEMENT

THIS AGREEMENT is made this …………day of ……………., 2022.

BETWEEN:

JIN CHENG MINING & MULTI-PHASE INVESTMENT LIMITED , a limited liability

company registered with the Corporate Affairs Commission that is into mining
of mineral resources in Nigeria, with its office in Abuja (hereinafter called the
“COMPANY” which expression shall, where the context so requires or admits,it
include its executors, administrators and successors - in – ownership) of the
one part.

AND:

ZAGAH COMMUNITY of Bali Local Government Area of Taraba State

(hereinafter called “THE COMMUNITY” which expression shall, where the
context so requires or admits it, include all sons and daughters of the
community at home and abroad, infants and adults, children to be born in the
future, and successors – in – occupancy) of the other part.

1. WHEREAS
The community has rich deposits of some mineral resources that could
be extracted for mining purposes.

2. The company has the capacity to extract such minerals from the site and
use them for mutual benefit.

3. The company has an agreement with the community for the

exploration/mining of all minerals within the community, on the
following terms and conditions.

NOW THIS AGREEMENT WITNESSES AS FOLLOWS:

COMMUNITY COVENANTS
1. That the company has the exclusive right to engage in the
exploration/mining of all mineral resources within the Zagah Community

 of Bali Local Government Area of Taraba State, subject to the company
obtaining regulatory permits from relevant agencies.
2.The company is at liberty to bring all machines suitable for and keep them
within the community for the purpose of the exploration and mining of mineral
resources within the community, and the machines shall be protected from
any harm by the members of the community.

3.The Company’s staff shall not be harassed or intimidated by any member of

the community or any outsider with the permission of the members of the
community or its traditional institutions.

4.The company shall be at liberty to erect such buildings, tents, or other

structures to be used as offices or other site’s settlements within the
community, subject to the agreement of individual owners of such spaces,
where the spaces are owned by individuals.

5.The Community hereby covenants to cooperate with the company in all

issues related to the processing of mining licenses, particularly, the Community
shall issue to the company a Small Scale Mining Lease (SSML) and Mining Lease
(ML), and all other papers necessary for the processing of mining licenses.

COMPANY COVENANTS

1. In exchange for the above-mentioned community covenants, the company

is required to pay the community, via its traditional ruler,the sum of
N20,000,000.00 (Twenty Million Naira) only (Access Bank “1690685904”
Hibbana Zakariya Adam as consent fee (receipt of which sum the
community hereby acknowledges).

2. The Company covenants to purchase and give to the traditional ruler of the
community a 2008 Toyota Camry vehicle.

3. The Company covenants to buy and give one Toyota Corolla LE car each to
Basiru and Jacob who are brothers of the traditional leader of the
community.

4. The Company shall also provide employment and empowerment to the

members of the community and as much as practicable, use local labor in
their operations.

5. The company will also allocate 15% to the landowners/Community leader.

6. The company also covenants to construct a dispensary within the
community at a space to be provided by the community, which shall be a
space for medical examination of members of the community.

7. The Company further covenants to collaborate with the community in

ensuring the security of the community by putting in place measures to
engage local vigilantes to aid in securing the community.

8. The company shall also construct one borehole with a water tank for the
community after a year, to be constructed at a location to be provided by
the Community.

IN WITNESS WHEREOF the parties hereto have executed this agreement

in the manner set forth below on the day and year first written above.
