Sub: Appointment Letter

Dear Lekshmi,

With reference to your interview with Nidhu Infotech Pvt Ltd we take pleasure in
appointing you in the Company, as Recruiter located in Chennai and the joining date will
be on 2 1 /Sep/2022.You will report to Mr. Arul Immanuel. The terms and conditions of
your services are as outlined below.

Your appointment is subject to your acceptance of terms and conditions mentioned here after.
The management the Company reserves the right to modify or amend any of these terms and
conditions from time to time.

Remuneration:
You will be paid salary as specified and structure in the Annexure-I (Depending on structure
being followed), attached here with.

Duties:
You shall serve the Company in the capacity of Recruiter and shall carry out such duties as
the Management may from time to time direct. You shall perform all such duties and tasks
assigned to you in an efficient manner and if necessary, put in such extra hours for the
completion thereof. Your task list may be subject to such addition/s or review as per the
Management’s discretion and/or such other circumstances.

You will devote your full time, skill and attention to the work and business of the Company,
and shall work faithfully, sincerely, diligently, efficiently and to the best of your ability to
promote, continue and develop the interests of the Company.

You will accept, support and work within the management, financial, personnel, internal
control and reporting systems, policies, practices and procedures as determined by the
Management, from time to time.

The Company shall be at liberty to appoint any other persons on a similar job title of the
Company, jointly with you, and to assign to him/her them duties and responsibilities identical
or similar to those placed upon you pursuant to appointment.

You shall not receive any personal gift from the clients or any other associates without prior
information and consent of the Management. Further, you shall not undertake any acts which
would cause you to vacate your office or disqualify you from acting as an employee of the
Company.

Your position in the Company calls for whole time employment and you shall devote
yourself exclusively to the business of the Company. You shall not take up any other work
for remuneration (part time or otherwise) or work on advisory capacity or be interested
directly or indirectly (except as shareholder or debenture holder) in any other trade or
business, during your employment with the Company without the written permission of the
Company.

You shall not take up directorship with any companies or partnership with any firms during
your employment with the Company without the written permission of the Company.

You shall keep the Company informed of your latest postal address at all times and inform
the Company in writing in case of change of your address. Any communication sent to you
by the Company on your last known address shall be deemed to be duly served
notwithstanding the fact that you have changed your address.
Hours of Work:
During the period of employment of the Company, unless changed by the Company, the
working hours shall be as under:
Monday to Friday: 9:00 am to 6:00 pm
Weekly Off : Saturday and Sunday

If you have to leave office premises (except for official jobs), and your working hours is less
than 5 hours you will be marked as absent, if again your working hours are more than 5 hours
and less than 7 hours you will be marked as half day present and if you have worked for 7
hours or more you will be marked as full day present.

You shall devote your working time, attention and skill to the performance of duties and shall
conform to such working hours as may be required from time to time.

Transfer:
You are also liable for transfer to any unit of the Company or group company in India or
elsewhere in the world (if any), at the sole discretion of the Management.

Travel and Expenses:


The Company may require you to travel to such destinations on work as may be required to
carry out and discharge your duties and tasks. You will be entitled to such travel expenses as
per the Company’s policies in force from time to time.
Subject to the applicable policies, rules, guidelines and limits of the Company, you shall be
entitled to reimbursement of expenses properly incurred by you in connection with business
and operations of Company.

Retirement:
The normal retirement age of an employee in the Company is 58 years. Your employment
will terminate automatically at the end of the month in which your 58th birthday occurs,
unless you are otherwise advised by individual notice. You may also be retired earlier if
found to be medically unfit by the Company doctor.
Method of Payment:
Salaries will be deposited in your account/paid through account payee cheque on or before 5 th
day of each month in arrears. The Company reserves its right to vary this procedure at its
option. However, such variance will be communicated to you in due course.

Review of Salary:
The Company will review your salary based on your Key Performance Indicators (KPI)
achievement, and will notify you of any amendments, which are to be applied. Such reviews
will take due

consideration of, amongst other things, your performance, your punctuality, inflationary,
deflationary, market and other economic pressures impacting the Company and you.

In the event of an Income tax liability or any other tax liability inclusive of any statutory
charge arising as a result of your employment, will be borne by yourselves and the Company
shall in no event be liable for payment of these taxes or any other charges of this nature for
the period of your employment or after cessation of your employment with the Company.

Entitlement of Leaves:
You are entitled to leaves as stipulated in the Leave Policy of the Company and these are
subject to amendments by the management from time to time.

Medical Certificate/Report:
In case of your absence from work due to ill health, you are advised to submit your leave
application form with a Medical Certificate/ Report stating your health condition as medically
unfit and the duration for you to recover and join back.

You will be required to provide a medically fit certificate for resuming duty. When you
resume your services with the Company you may/may not be aligned to same group/ process
you are currently aligned to. However, your realignment to the new group/ process is subject
to assessment on the new process.

Use of Company Resources:


You shall not use any and all Company’s resources for any purposes other than official. If
found that you have been using any Company's resources for personal use, the Company
reserves its right to deduct the said expenses from your salary and also the right to take
suitable disciplinary action.

Security:
Security is an important aspect of our communication and office infrastructure.

We have security personnel deployed in all the floors who take care of the security. If you
wish to work late or early hours of the day, you are requested to produce your identity card to
the security personnel on demand.

If there is a need to take some of the equipment/infrastructure out of the office premises for
any reason, you shall obtain the gate pass from the security staff after due authorization from
your senior.

The communication security is maintained by controlling physical access to computer


systems and a Company-wide awareness about the need for protection of intellectual property
and sensitive customer information.

For some projects, the Company uses sophisticated data encryption devices. Your worktable
and storage space is lockable. Please ensure they are locked when unattended.

Any official communication, which is confidential in nature, shall be destroyed after the
purpose is served.

Former Employer:
In the event you become a party to any proceeding brought by any former employer of yours
at any time during or after your employment with the Company, you recognize and agree that
you

Ltd has no responsibility to participate neither in your response nor in your cost of such
response.

Conflict of Interest:
You and your family or dependents shall not have any interest (personal or otherwise) in or
dealings with any organization/person having or seeking to have business dealings with the
Company and shall not accept any commission, payments, services, gifts, or such other
benefits from the organization/person, without the permission of the Company.
You shall not discuss/divulge material information prejudicial to the interest of the
Company with any such organization/person. Any disregard to this clause shall entitle
the Company to terminate your employment without any notice whatsoever.
Confidentiality and Non – Disclosure:
You shall not disclose to any person any Confidential Information (as the term is hereinafter
defined) concerning the organization, business, customer lists (both existing and prospective
customers), finances, technology, transactions or affairs of the Company or any of its
subsidiaries or affiliates, which may come to your knowledge during your employment. You
shall keep complete secrecy of all such Confidential Information entrusted to you and shall
not disclose any such information in any manner to any third party. All notes and

memorandum of any confidential information which shall be acquired, received, or made by


you during the course of your employment shall be the property of the Company and shall be
surrendered to someone duly
authorized in that behalf at the termination of the employment or at the request of the
Company at any time during the course of the employment.

“Confidential Information” as is used in this letter of appointment shall mean and include
all trade secrets, all information which has been specifically treated as confidential by the
Company, and any information which is provided in a documentary or computer form or
other physical embodiment and is marked or designated as confidential by the person
disclosing the same but shall not include any information which:
(i) is or becomes generally available to the public through no fault of the recipient; or
(ii) has already at the date of disclosure been developed as a result of the efforts of the
recipient and not as a direct or indirect result of the disclosure of the same
information by the disclosing party; or
(iii) which is obtained lawfully by the recipient from a third party who is not known to
have obtained such information directly or indirectly from the disclosing party.

Intellectual Property Rights:


You agree to execute a separate deed of assignment of intellectual property rights with the
Company for assigning all your rights, title and interest on the intellectual properties of every
invention during your employment with the Company.

Non-Competition and Non-Solicitation:


You agree and undertake that during the continuance of your employment, you will devote
your whole time and attention to the business of the Company and shall not (without the prior
written consent of the Company) engage, be concerned with or interested in any other
business.

You further undertake that you will not (without the prior written consent of the Company)
for a period of twenty-four (24) months (the “Restricted Period”) immediately after the date
of termination of your employment (“Termination Date”) directly or indirectly:

Negotiate with, solicit business from or endeavour to entice away from the Company or any
group company, the business of any person, firm, company, limited liability partnership or
organisation who or which has or had regular business dealings with the Company or any
group company during the course of his employment at any time during the period of twenty
four (24) months immediately preceding the Termination Date (“Prior Period”) and with
whom you had dealings or personal contact in the course of your employment during the
Prior Period, so as to harm the goodwill or otherwise damage the business of the Company or
any group company; provide in competition with the Company or any group company any
service, similar to that provided by you in the course of your employment during the Prior
Period to or for any person, firm, company, limited liability partnership or organisation who
or which has or had regular business dealings with the Company or any group company
during the Prior Period and with whom you had dealings or personal contact in the course of

your employment during the Prior Period; or interfere with, solicit or endeavour to entice
away from the Company or any group company any person who is employed or engaged by
the Company or any group company unless prior to such interference, solicitation or
enticement, such persons has ceased being employed or engaged by the Company or any
group company.
At no time after the Termination Date you shall directly or indirectly represent yourself as
being interested in or employed by or in any way connected with the Company or any group
company, other than as a former employee of the Company.

If during the course of the employment or the Prior Period or the Restricted Period, any third
party makes an offer of employment or a contract for services or any other contract which
would or might involve you being in breach of any of the above said restrictions, you shall
promptly and before accepting such offer, bring the terms of this letter of appointment to such
third party’s attention.

Data Protection:
As per the policies of the Company, you have a responsibility to ensure that computerized
data is accurate and is kept secure. Unauthorized disclosure of personal data is a serious
offence and can result in prosecution. Therefore, you must ensure that you:
o do not disclose personal data without authority;
o do not access information or systems not directly relevant to each task.
o do not treat personal data carelessly.
o do not take away printouts of documents; and
o do not disclose your computer password to any unauthorized person.

Unauthorized Software:
The Company policy forbids the use of unauthorized software on any company equipment or
the use of authorized software on any personal or non-company issue equipment. The policy
also forbids unauthorized access, or any unauthorized attempt to access, any data maintained
on any computer systems.

Unauthorized software comprises any software that is not on the Company’s IT list of
approved software or which has not been procured via the authorized procurement channels
and includes any unsolicited software, demonstration software that has not been previously
checked by
Company’s IT Security and any software that is delivered in such a way that it may have
been tampered with.

Unless the prior specific approval of the Management is obtained, the use of unauthorized
software on company equipment or other breach of the above policy will be viewed as gross
misconduct and an extremely serious violation of the Company’s regulation which may lead
to disciplinary, or other appropriate action as necessary, being taken.

Termination:
Your employment with the Company may be terminated through one of the following
actions:
(i) Resignation
(ii) Termination by the Company
(iii) Dismissal

(i) Resignation
• You can terminate the employment by serving three (3) month notice. However, if
approved by the Company, you can be relieved earlier with a buyout on the Gross for
the pending notice period.

(ii) Termination by the Company


• The Company may terminate your employment by giving three (3) months notice or
salary in lieu of the aforesaid notice period.

(iii) Dismissal
a. Substandard Performance:
• You may be discharged from employment if your performance is unacceptable.

b. Misconduct:
• If you found to be engaged in activities such as, but not limited to, theft of Company
property, insubordination, conflict of interest, knowingly or repeatedly act in excess
of your powers, distortion of documents & reports, other activities like usage of
drugs, harassment, indictable or offensive behavior or any other activities showing
wilful disregard of Company interests or policies will be terminated as soon as the
supervisor/manager and the management team have concurred with the action. In such
cases your services could be terminated without any notice notwithstanding any other
terms and conditions stipulated herein. The Company further reserves the right to
invoke other legal remedies as it deems fit to protect its legitimate interests

c. Unauthorized Absence:
• Unauthorized absence or absence without permission from duty for a continuous
period of 7 working days would make you to lose your employment. In such cases, a
letter stating “report to work” will be sent across to you on the third day of continuous
absence and if you fail to respond to it with a valid reason and report to work on or
before seventh day of continuous absence, your employment shall automatically come
to an end without any notice of termination.

d. Adverse Report from your Previous Employer:


• In case there is any adverse report against you by your previous employer, which may
be detrimental to the interests of the Company or if the information furnished by you
is not true, the Company reserves the right to terminate your services forthwith
(notwithstanding any other provisions) on the grounds of misrepresentation of the
facts.

e. Sexual Harassment:
• If you are found to be engaged in sexual harassment activities, you will be terminated
as soon as you are found guilty by the Internal Compliant Committee of the Company
constituted under the provisions of the Sexual Harassment of Women at Workplace
(Prevention, Prohibition and Redressal) Act, 2013. In such cases, your services could
be terminated without any notice notwithstanding any other terms and conditions
stipulated herein. The Company further reserves the right to invoke other legal
remedies as it deems fit to protect its legitimate interests.

Upon termination of your employment with the Company, you shall be obliged to
immediately return to the Company all property belonging to the Company including
materials, documents and information copied in any form whatsoever (laid down in any form
whatsoever, data carriers, computer software and data files), articles, keys and similar items.

Ownership of Process/Formula/Systems:
The Company shall be entitled to any conception of a process / formula / system in relation to
the operation of the Company derived by you, which shall remain the Company’s sole
property.

Misrepresentation:
You shall not provide the Company with any material information, which is false or amounts
to a misrepresentation of facts and shall not suppress any material information, crucial to
your employment with and/or the tasks assigned to you by the Company. On the receipt of
information of such act, the Company shall be entitled to terminate your employment
forthwith without assigning any reasons thereof.

Miscellaneous:
This contract is governed by and shall be construed in accordance with the laws of India and
the parties to this contract submit to the exclusive jurisdiction of the courts of Bangalore,
India.
In addition to the above, you shall be subject to such other existing general terms and
conditions of service as may be laid down by the Company to govern all members of its staff
and to any changes to the terms and conditions of employment that may be introduced by the
Company from time to time.

On termination of your employment, the Company may deduct from any sums then owing
from it to you by way of salary or otherwise any sums owing from you to it by way of any
other agreements and enforce any such agreements.

Nidhu Infotech Pvt Ltd welcomes you to our team and we are confident that you will make
an effective contribution. We at our Company look forward to working with you.

If you are agreeable to the above terms and conditions of appointment, then kindly
confirm your acceptance of the Appointment Letter by signing and returning to me the
attached copy of this letter.
