AGREEMENT OF SALE

This Agreement of Sale is made and executed on this the 1 st day of July 2018 at Hyderabad by
and between:

S. V. Raghunathamma, D/o S. Sivaram Das, R/o Flat No.301, Amrit Chaya Apartments,
Barkatpura, Hyderabad, hereinafter called "VENDOR" which expression shall mean and
include its heirs, legal representative, successors, executors, administrators and assignees etc.,
of the ONE PART,

IN FAVOUR OF

E Jayamala Reddy, D/o E Ram Reddy R/o Flat No. 303, Amrit Chaya Apartments,
Barkatpura, Hyderabad, hereinafter called the “VENDEE” which term shall mean and
include its heirs, executors, administrators, legal representatives, assigns etc.) as the Other
PART.

The Vendor and the Vendee are hereinafter collectively referred to as “Parties” and
individually as “Party”.

WHEREAS the Vendor is the absolute owner and possessor of Flat No.301, on Third
Floor, in Complex known as “Amrit Chaya Apartments”, having built up area admeasuring
890 Sq.Ft including common walls excluding balconies of 185 Sq.Ft together with undivided
share in land is 49.78 Sq.Yds out of 922. Sq.yds, in premises bearing Municipal No. 3-4-760/1
Situated at Lingampally Street, Barkatpura, Hyderabad., having purchased the same unde a
Registered Sale Deed as Document No. 365 of 2005, Book 1dated 9 th February 2005 at Sub
Registrar Office, Chikadpally, Hyderabad from Sri A. Ram Murthy.

Thus, the Vendor herein is the absolute owner and having absolute authority un-
impeachable subsisting marketable title, full and perfect alienable rights in the above said
property and the vendor has been enjoying peaceful, continuous and uninterrupted
possession of the above said property since the date of its purchase.

And Whereas the Vendor approached the Vendee and offered for the sale of Flat No. 301,
on Third Floor, in Complex known as “Amrit Chaya Apartments”, having built up area
admeasuring 890 Sq.Ft including common walls excluding balconies of 185 Sq.Ft together
with undivided share in land is 49.78 Sq.Yds out of 922. Sq.yds, in premises bearing
Municipal No. 3-4-760/1 Situated at Lingampally Street, Barkatpura, Hyderabad, and the
same will be hereinafter be referred to as the “Said Property” for brevity which is more fully
described in the Schedule of Property. For a total sale consideration of Rs. 46,50,000/-
(Rupees Forty Six Lakhs Fifty Thousand Only) to which has agreed to purchase the same as
offered above on the terms & conditions set out hereinafter.

NOW, THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS:

A) That in consideration of the transaction for the Said Property, the Vendee has paid an
amount of 1,00,000/- (Rupees One Lakh only), as token advance by way of cash on 1 st
July 2018 to the Vendor and the Vendor hereby acknowledges receipt of the said
amount. The balance sale consideration of 45,50,000/- (Rupees Forty Five Lakhs
Fifty Thousand Only) will be paid by the Vendee to the Vendor at the time of the
executing and registering the sale deed and handing over of physical vacant
possession of the Said Property.

B) The Vendor shall deliver possession only after receipt of balance sale consideration
and the execution of the sale deed shall be completed before 15 th August 2018. If
the same is not executed, then Vendor shall forfeit the advance paid by the
Vendee and the Vendor shall be at liberty to sell the Said Property to other
parties and the Vendee shall have no claims whatsoever on the Vendor.
C) The Vendor represents and declares that:

(i) The Vendor is the exclusive owner of the Said Property, having right, title
and interest in the Said Property.

(ii) That the Vendor hereby assures and undertakes that the Said Property is
free from all kinds of encumbrances, Sale, Gift, Lease, Mortgage Charges, etc.
in whatsoever nature as also free from attachments, acquisitions, notices,
litigations and court orders, decree(s) or third party rights in any way
effecting the Said Property, or otherwise.

(iii) The Vendor shall execute and register valid Conveyance/Sale Deed for
the Said Property in favour of the Vendee and also execute / register
such other documents / writings as required by the Vendee for fully
conveying / transferring the Said Property to the Vendee together with
all the right, title and interest of the Vendor in, to and upon the Said
Property to have and to hold the same by the Vendee absolutely and
forever. The Vendor shall also at that time put the Vendee in vacant
physical possession of the Said Property and handover to the Vendee all
certified copies & title documents of the Said Property.

(iv) The Vendor hereby declares that she has absolute right and authority to
execute and subsequently convey the Said Property to the Vendee and
that there shall be no other claimants in or over the Said Property.
(v) During the subsistence of this Agreement, the Vendor shall not alienate or
part with possession or encumber, sell, lease or otherwise create any rights in
respect of the Said Property in favour of any person except the Vendee or a
nominee or assignee of the Vendee.
(vi) The Vendor shall pay all dues, rates, taxes, charges, levies, and other
assessments levied or leviable on the Said Property by any authority or
authorities including but not limited to Government levies, taxes, water,
electricity charges until the date of execution of the sale deed in favour of the
Vendee.
D) The Vendee represents and declares that:

i) The Vendee shall bear and pay the stamp duty and registration fee of the
Conveyance Deed/Sale Deed / other documents / writings executed and
registered by the Vendor in favour of the Vendee as provided herein.
1. Relying on the representations and warranties made by the Vendor and after due
verification the Vendee has agreed to purchase the Said Property on the terms and
conditions set-forth in this Agreement.
2. The Vendor shall indemnify and hold indemnified the Vendee in respect of any loss
or damages caused or occasioned to the Vendee in respect of any defect in Title to the
Said Property or any claims arising in respect thereof on account of any default of the
terms and conditions of this Agreement.
3. Any amendment or modification of the terms of this Agreement shall be effective and
binding only if made in writing and signed by the Parties.
4. It is further agreed by both parties that during the period between the date of
execution of this agreement and the date of execution of the sale deed, if the Vendee
comes to know regarding any pending litigation/claims relating to the title of the
schedule property, it shall be open to the Vendee to cancel this agreement and to
demand the return of the advance money paid by him, and which shall be
immediately returned by the Vendor, subject to clause B of this Agreement.
5. Both the parties agree to complete the execution of sale deed before 15th August
2018.
6. This Agreement shall be governed by and construed in accordance with the laws of
India and the Courts at Hyderabad.

SCHEDULE OF THE PROPERTY

All that Flat No. 301, on Third Floor, in Complex known as “Amrit Chaya Apartments”,
having built up area admeasuring 890 Sq.Ft including common walls excluding balconies of
185 Sq.Ft together with undivided share in land is 49.78 Sq.Yds out of 922. Sq.yds, in premises
bearing Municipal No. 3-4-760/1 Situated at Lingampally Street, Barkatpura, Hyderabad and
bounded by:

EAST : Government Property


WEST : Flat No. 302, passage and staircase
NORTH : Flat No. 302
SOUTH : Government Property
IN WITNESSES WHEREOF the Vendor and the Vendee herein above named have
signed their signatures unto this Agreement of Sale on the day, month and year first
mentioned above.
