iffer — Safety Stox ent This agreement is made between Avnet Europe COMM.VA., Kouterveldstraat 20, 1831 Diegem, Belgium, referred to as ‘the SUPPLIER’ hereafter and: Connect Group Romania, Sos. Borsului 40 - 410605 Oradea - Romania, referred to as ‘the CLIENT’ hereafter for the supply of products as documented in Appendix A attached covering the period from 26.11.2014 to 26.11.2015, Period of Agreement: This agreement will cover products listed in Appendix A between the SUPPLIER and the CLIENT, Any stock being held or on order with the manufacturer under this agreement up to and including the end date of this agreement will be supplied to the CLIENT at the contracted price stated in Appendix A of this agreement, Pricing: The pricing is stated in Appendix A. Stock: ‘The SUPPLIER will maintain dedicated inventory to a level of 10% of the estimated annual volumes as quoted in Appendix A, subject to a due and timely delivery by the manufacturer. This stock holding will act as a safety or upside stock and thus will not act as a lead-time reduction programme. Should this safety stock be Consumed it will be subject to the latest manufacturers lead time for refill purposes. On termination of the agreement as defined in period of agreement above and in the event that the SUPPLIER is holding a residue of safety stock or has purchase commitments on the manufacturer that must be fulfilled, then the SUPPLIER reserves the right to ship this stock to the CLIENT to @ maximum level of 10% of the annual estimated quantity as defined in Appendix A. The Inventory will be shipped not later than one month after the termination date of the agreement specified above under Period of Agreement, Lead Times: Avnet will advise of any significant changes to lead times on products listed on Appendix A as soon as we are advised by the manufacturer.
