Dear Ms. Chakraborty,

Subject: Renewal of Contract for Content Writing Consultant for Allindia Technologies Ltd

This refers to the discussions you had with us with respect to availing your skill and expertise at Allindia
Technologies Ltd (hereinafter referred to as Agency). We are pleased to renew your part-time contract as a
Content Writing Consultant beginning from 1st Sept 2022 till 30th November 2022, on the following terms and
conditions:

1. Place and Time of Work: You shall be working out of your own premises for the duration of this contract
and you will commit 5-6 hours for such work each day. You may have to visit office 1-2 days a week as
required.
2. Deliverables: You will be responsible for the following deliverables:-

Writing of blog articles, website content writing, content quality check, content for weekly newsletter,
editing and rewriting of existing site content.

You will be guided and supported by the Agency’s project managers and Creative Director who will liaise
with you on the work requirement. The work list will be shared with you by them on a daily/weekly basis
as and when the need be.

The timelines for delivery that will be shared by us when we brief you must be adhered to without fail.

3. Infrastructure, Material & Data Access, and Confidentiality:

a) The Agency will not provide any Laptop / Computer / Software or any other infrastructure etc. for your
work. You are expected to use your own authorised hardware and software for the tasks to be
assigned by you. You will be responsible for any violation of licensing norms with regard to hardware
or software used by you for any work delivered to us.
b) The Agency may provide you access to image / video / audio banks licensed by the Agency or its clients
for use in your work. You shall not use the access provide by the Agency to download any image /
video / audio material from these image / video / audio banks for any work other than those assigned
by the Agency.
c) You shall get access to confidential data including future plans during the course of your work. You
undertake not to divulge any such information to any third party.
d) You shall not disclose to any third party (except under notice from a competent legal authority in India)
the fact that the Agency has contracted you for this work.
e) In addition to this present Contract you will be expected to sign a standard NDA and Confidentiality
Agreement on Information and Data as we handle sensitive information pertaining to our Clients and
the Agency.

4. Duration, Termination and Extension

a) This contract period will be from 1st Sept 2022 till 30th November 2022
b) At the end of the tenure, the Management shall consider this arrangement for further period on
mutually agreeable terms. It is however not binding on either party to renew the contract.

 c) This arrangement may be terminated by either side, for any reason whatsoever, with prior written
notice of two weeks from either party.
d) In case you breach any contract terms, the Agency shall be at rights to terminate the agreement with
immediate effect.

5. Remuneration: A consolidated sum of Rs 12,000/- (Rupees Twelve Thousand only) per month has been
agreed upon for your services. You will need to submit a monthly bill against which you will get paid after
deducting TDS as per government norms. All other expenses including phone bills, internet bills, local
conveyance, etc. are to be borne on your own.

6. Non-Compete:
a) You undertake that, during the subsistence of this Agreement, you shall not render services which
compete with or are materially identical with or substantially similar to the Deliverables, to any
other entity or company or organization or group of people or individual.
b) You undertake that, during the subsistence of this Agreement, and for a period of 2 years after the
expiry or termination of this agreement, you shall not directly solicit work from any client to whom
you had been introduced during the course of your agreement with the Agency.
c) You undertake that, during the subsistence of this Agreement, and for a period of 2 years after the
expiry or termination of this agreement, you shall not work for any client to whom you had been
introduced during the course of your agreement with the Agency.

7. Miscellaneous:
a) This agreement nowhere implies that you are an employee of the Agency and there is no employment
relationship between the Agency and yourself, for all practical and legal purposes.
b) You shall make yourself available for phone calls, video calls, and other meetings as and when required
by the Agency’s employees with reasonable notice.
c) You hereby acknowledge that breach of the provisions of this Agreement and the accompanying NDA
may cause irreparable harm, significant injury and substantial damages to the Agency that may be
difficult to ascertain. Accordingly, you agree that in addition to other remedies that may be available
to the Agency, either under law and/or in equity and/or under this Agreement, the agency shall have
the right to seek and obtain immediate injunctive relief to enforce an obligation under this Agreement.
d) This Agreement shall be governed and interpreted in accordance with the laws of India and only the
courts situated in the city of Kolkata shall have the exclusive jurisdiction to decide upon any dispute
or litigation between the parties to this Agreement.
