Re: 1099 Independent Contractor Agreement

Dear Victoria:

This letter confirms the terms of your contract agreement with Advanced Medical Services (the
“Company”) to serve in the position of Multilingual Sales Representative. This is a 1099
Independent Contractor position to commence on Monday, February 27, 2023. In consideration
of the terms and conditions hereinafter set forth, Advanced Medical Services and Independent
Contractor agree to the duties and terms below.

Compensation. You will be compensated sales commission on every order that you sell and
successfully manage. The estimated sales commission within the first year is $35,000 - $50,000
USD based upon performance. You sales commission structure will be the following based upon
the service sold:

Paternity Test Kit (DIY) $12.50 per unit

Paternity Test Kit (shipped): $25.00 per unit
Non-Legal Paternity Test: $37.50 per unit
Legal Paternity Test: $50.00 per unit
Non-Invasive Prenatal Test: $75.00 per unit

You will be paid bi-weekly on Friday at 5:00pm EST for all commissions during the specific pay
period. Any sales after 5pm on Friday or over the weekend that you sell will be added to the
following pay period.

Work Schedule. This position is a work from home / remote position. Working hours are Monday-
Friday from 8:30am to 5:00pm. You may also work on weekends as well for additional earning
potential. You will be reporting to Randy Robertson, Vice President of Business Development.

Discretionary Annual Bonus. At the end of each calendar year and in consideration of
exceptional performance by the Company and you, the Board of Managers, in its sole
discretion, may award a cash bonus to you.

Termination. If either party wishes to terminate this contract agreement, a 14-day written notice
shall be required by the requesting party.

Agreement Terms. By signing below you (1) warrant and confirm that any information you have
provided to the Company in connection with your consideration for this contract position is all

true and correct to the best of your knowledge; and (2) expressly release the Company from
any claim, cause of action or liability of any kind arising out of or in any way related to the
Company’s efforts to verify your background or other information about you.

You agree to comply at all times with all Company policies, rules and procedures as they may
be established, stated and/or modified from time to time at the Company’s sole discretion. In
this regard, among other things, you will be expected to comply at all times to the Company’s
standards of professionalism, loyalty, integrity, honesty, reliability and respect for others. You will
also comply at all times with all laws and regulations applicable to the Company’s business and
performance of your duties for the Company.

This letter sets forth the entire agreement between you and the Company on the terms of your
contract agreement with the Company and supersedes any prior representations,
understandings, promises or agreements, whether oral or written, by anyone regarding
employment with the Company. In the event that any provision of this agreement is ever
determined by a court or other applicable tribunal to be void or unenforceable, the remaining
provisions of the agreement shall not be affected and shall remain in full force and effect, to the
fullest extent permitted by law. The terms of this agreement may only be modified in a writing
signed by both you and the Company. The terms of this agreement shall be governed by the
laws of the State of Ohio.

To accept our offer and confirm your agreement with the above contract terms, please sign
and date this letter and return it to us within five business dates at which time the offer will expire
if not accepted.
