MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (MOA) made on FEBRUARY 11, 2023 and entered
into by and between:

RECUENCO GENERAL HOSPITAL INC. a corporation duly organized and existing


under the laws of the Republic of the Philippines with business address at 68
Sampaloc Extension, North Signal Village,Taguig City, Philippines 1630 represented
by its Medical Director WILLIAM F. RECUENCO, MD, MMHA, hereinafter referred to
as the “HOSPITAL FACILTY.”

And

MEDIXTOGO URGENT AND CRITICAL CARE AMBULANCE SERVICES, an


ambulance service provider duly organized existing under the laws of Republic of the
Philippines with business address at Unit 207, Building F, Banahaw Medium Rise
Condominium, Banahaw Street, Barangay Highway Hills, Mandaluyong City,
Philippines 1550 represented by its Chief Operating Officer, JOEL B. SANTOS, MD,
hereinafter referred to as the “GENERATOR.”

The entities listed above may collectively be referred to as the “PARTIES” to this MOA.

WHEREAS, HOSPITAL FACILITY is Department of Health (DOH) licensed hospital


with service agreement effective for a period of one (1) yeat starting from June 4, 2022
until June 2, 2023 with KLAD SANITATION SERVICES, INC, with Transporter
Registration No. OL-TP-NCR-76-000046 and TOTAL ORGANIC ENVIRONMENTAL
SOLUTIONS,INC with Treater Registration no. TR-R3-14-00078/OL TR-R3-14-
000047.

NOW, THEREFORE, for the terms and in consideration of the foregoing premises and
the terms and condition herein and forth, the PARTIES hereto agree as follows:

1. EFFECTIVITY AND DURATION OF AGREEMENT


1.1 Memorandum of Agreement shall be affective for a period of one (1)
year starting from FEBRUARY 11, 2023 to FEBRUARY 11, 2024.
1.2 This agreement shall, however, be deemed superseded in case the
PARTIES mutually agree in writing to execute another engagement within
the contract period.
1.3 Any breach to this agreement by either the Parties shall entitle the other
party to terminate this agreement and any all right and obligations
contained herein.
1.4 The Party who wishes to terminate the agreement duet to any breach shall
communicate its desire to other Party, in writing at one moth (1) prior to
the intended date of termination.
2 PAYMENT TERMS AND CONDITION
2.1 GENERATOR shall pay to HOSPITAL FACILITY a handling and storage
fee of P250.00 every month inclusive of VAT for wastes volume of 0 to
50 kilograms per month.
2.2 If volume is more than 50 kilograms, the excess will be computed at
P35.00 per kilogram, VAT inclusive and will added to monthly minimum of
P250.00.
2.3 The GENERATOR shall be billed at the end of the month
2.4 The GENERATOR agrees to pay the handling and storage fee of
hazardous waste on a monthly basis.
2.5 The fee may change during the contract period caused solely by
economic factors that would render the present price unviable and could
only be implemented upon agreement by both parties.

4. DENR DOCUMENTATION REQUIREMENTS


The HOSPITAL FACILITY shall secure all DENR-required documents particularly
the following:
4.1 Environmental Compliance Certificate (ECC)
4.2 Hazardous Waste Generator’s ID
4.3 Pollution Control Officer Accreditation Certificate

5. DISPOSAL SCHEDULE AND PROCEDURE


5.1 Infectious and Hazardous waste shall be disposed together with infectious
hospital wastes.
5.2 All infectious and hazardous wastes shall be collected and treated by the
same infectious waste TRANSPORTER/TREATER of the HOSPITAL
FACILITY.
5.3 The GENERATOR has an option to provide their own yellow bins and
yellow bags.
5.4 The GENERATOR will be fully responsible in the segregation and
weighing of toxic and hazardous wastes to a designated holding area,
approved by the HOSPITAL FACILITY.
5.5 The HOSPITAL FACILITY shall designate authorized personnel as their
representative during segregation and disposal of infectious and
hazardous waste from the GENERATOR.

6. SCOPE OF AMBULANCE WASTE


6.1 Collection, Transportation, treatment and finally disposal of hazardous
healthcare waste generated by the GENERATOR are as follows:
6.1.1 Pathological waste consisting of tissues, organs, body parts from
surgical operations, biopsy, blood and body fluids
6.1.2 Infectious wastes such as tubings, disposable towels, gowns,
aprons, and gloves.
6.1.3 Sharps consisting of needles, syringes, blades, and other items
that can cause cut or puncture.
6.1.4 Pharmaceutical wastes consisting of pharmaceutical products that
have been returned from ambulance and expired medications.
IN WITHNESS WHEREOF, the PARTIES hereto have signed and executed this
Memorandum of Aggrement this FEBRUARY 11, 2023 at TAGUIG CITY.
