SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

hereby name, constitute, and appoint ----------to be my true and lawful ATTORNEY-IN-FACT,
for it and in my name, place and stead, to do and perform the following acts, to wit:

a. Acting as my proxy in all regular or special meetings of stockholders of

the Corporation
b. Voting for and on my behalf all shares registered in my name as I may
lawfully do if I were present in said meetings and acting in person.

2. To waive, condone, set-off, or assign any and all of my claims as a

stockholder against the Corporation or any of its officers including the right
to settle and enter into compromise agreements relative to such claims;

3. To pursue any action as I may be entitled to in accordance with law relative

to my shares in the Corporation and in connection therewith and represent
me in pre-trial conference, court proceedings, judicial dispute resolution and
trial proper in such actions before the appropriate court or tribunal with the
power to:

a. Sign in my behalf the Verification and Certification on

Non-Forum Shopping;
b. Enter into an amicable settlement or a submission to
alternative modes of dispute resolution;
c. Simplify issues;
d. Stipulate or admit to facts and documents to avoid
unnecessary proof;
e. Limit the number of witnesses;
f. Refer the issues to a commissioner;
g. Do any action as may be necessary in the prompt
disposition of the action.

4. To sign, execute, and deliver for and on my behalf all necessary documents
relative to the performance of all the above-mentioned powers conferred to
my attorney-in-fact.

HEREBY GIVING AND GRANTING unto the said ATTORNEY-IN-FACT full

power and authority to do and perform any and every act and thing whatsoever requisite,
necessary or proper to be done in and about the premises as fully for all intents and purposes
and HEREBY RATIFYING AND CONFIRMING all that said ATTORNEY-IN-FACT shall
lawfully do or cause to be done under and by virtue of these presents.
