It’s important to differentiate between deliverables and services. In a marketing
proposal, the services are general tasks like “providing social media support” and
‘improving SEO.” Deliverables, on the other hand, are specific results, like
“producing 10 Facebook posts per month” and “achieving a top 3 SERP ranking on
Google.” Make sure your services and deliverables alike align with your client’s
requests.

Purpose

The purpose section of a proposal is where you explain your understanding of your
prospect’s problems. In this section, you should only discuss the problems your
clients face. For example, if the client needs web design services, they need to
improve their front-end interface. The method by which they want to improve their
site will go under the next header.

facts elsewhere.

Terms and Conditions

Every service proposal should include a collection of terms and conditions. These
are the rules that both parties will need to follow if the client chooses to sign the
proposal. The terms and conditions in this business proposal template are a basic
collection. You can substitute your company’s standard language or work with an
attorney to write a new set from scratch.

The following terms and conditions will apply to the service agreement should
[Client.Company] choose to accept this proposal. These terms and conditions may be subject
to negotiation.

Depending on why you are submitting a proposal, you may have been provided with
a set of preferred terms and conditions your client company wants you to provide.
For example, RFPs commonly include a set of terms and conditions to be followed
by bidders. You can choose to match those or provide new ones.

1. Payment Terms Use this template — free


1.1 Invoicing and Payment. Payment shall be made to [Sender.Company] on or before the first
day of each month. [Client.Company] shall pay the first month’s payment in full upon
acceptance of this proposal, prorated to reflect the remaining days of the period.

2. Withdrawal If Not Accepted

3. Limitation of Liability

failed to act in knowing violation of the law or with intentional misconduct.

Neither party shall be held liable for breach-of-contract damages that the breaching party could
not have foreseen upon entry into the agreement, nor for breach-of-contract damages that are
speculative or remote.

4. Modification

Any and all modifications to this Agreement must be provided in writing and signed by both
parties to be considered legally binding.

5. Termination

This proposal shall become a contract in effect upon receiving both parties’ signatures. It shall
continue to be in effect until terminated by either party. Termination notices must be delivered

6. Warranties

with industry standards and in a timely fashion.

Should [Client.Company] determine that services were not rendered according to the
agreement, it may provide written notice to [Sender.Company] . Should [Sender.Company]
determine that services did not conform to the timeline or proposal agreed upon by both
parties through its own fault, [Sender.Company] shall re-perform or refund such services as
necessary at no cost to [Client.Company] .

7. Severability

Should any provision of this agreement be found to be illegal or unenforceable, that provision is
severed from this Agreement and is to be replaced with a provision that is substantially similar
while in accordance with governing law. No severed provision shall affect any other, and all
other provisions shall remain in effect.

8. Governing Law

This proposal shall be governed by and interpreted under the laws of the State of [STATE] .
