This letter is to express our interest in negotiating an agreement to commercialize Carbon with
you. We hereby inform you of the availability of TYPE B THERMAL CARBON of Colombian origin
with the following specifications:

PRODUCT DESCRIPTION
After thorough assessment performed regionally, our product was identified and confirmed as
thermal coal, type B grade of GCV (ADB) 5,800 kcal/kg.
Below you can find technical aspects of minimums and maximum values identified:

PERIORITY: MONTHLY.
TM FOB PRICE: USD$235.
MT. AVAILABILITY: GUARANTEED, CERTIFIED WITH DOCUMENTARY TRACEABILITY.
GRAIN SIZE: 2.5 " TO FINE.
PORT: BARRANQULLA.
CONTRACT: TWO (2) YEARS MINIMUM.
DELIVERY TIME: D SHIPPING DAY FROM FEBRUARY 28 TO MARCH 4, 2023, INITIAL 30,000
MT INCREASED BY THROUGH PORTS OF BARRANQUILLA.

PAYMENT TERMS
The buyer, as guarantee of payment at sight of the letter of credit (SBLC), and issued by the buyer's
bank or any bank of the 25 main ones, to be presented to any bank of the seller for negotiation once
that the offer has been accepted, confirmed, and legalized the corresponding supply contract. The
SBLC must be in sight for negotiation through MT700 in favor of the seller's bank via SWIFT for the
total amount of the monthly dispatch in sight of the corresponding BL's date, for 100% of the value
of the shipment, against weight. and the B/L and SGS quality reports at loading port and other
request document. The letter of credit must be issued to the seller's bank within five (5) days
following the signing and apostilled of the contract and must be valid for the entire term of the
contract. All bank charges for the issuance of the letter of credit will be borne by the buyer

FIRST SHIPMENT
It will take place under the contract agreement after the signing of the supply contract and the
confirmation of the Letter of Credit (SBLC).

WEIGHT AND SAMPLING

A product quality certification will be carried out by the SGS Laboratory or similar. These results
are mandatory acceptance by Buyer and Seller.

FOB SALE OF TYPE B THERMAL COAL PROTOCOL

➢ Processing of Contracts and of the NCNDA – They will be carried out electronically and
using the international regulations of Electronic Transmission of Documents (Signatures)
apostilled in each corresponding country and/or notarized.
➢ The Buyer issues ICPO, in the name of the Seller, (With the same procedures) + Company
Registration Certificate and CP of the Buyer's Company and a copy of the Passport, CIS.
➢ ICPO with full bank coordinates.
➢ The buyer must send the KYC, and RWA (Proof of Funds).
➢ Upon signing the purchase contract and the draft delivery of the letter of credit (SBLC), and
RWA will be delivered: Evidence and Product certification within the port. Laycan.
➢ Offer valid for 4 days.
