1. At the special meeting of the Board of Trustees of the Corporation held on 15 February 2023,
the Board of Trustees approved the following resolution:
"RESOLVED, That the Board of Trustees of the Corporation appoint, as it hereby
appoints, MARYAN GOYENA or RHAYAN SERRANO, as its true and lawful attorneys-
in-fact, to represent the Corporation in any and all transactions with the Bureau of Internal
Revenue for securing the authority to print of the official receipt of the company and to secure,
deliver, and receive any and all documents in relation thereto.
RESOLVED FURTHER, That the Board of Trustees grant, as it hereby grants, the said
attorneys-in-fact all power and authority to do and perform any and every act and thing
whatsoever requisite, necessary or proper to be done in and about the premises, as fully to all
intents and purposes as the Corporation might or could do if personally present and acting in
person, with full power of substitution or revocation;

RESOLVED FINALLY, That the Board of Trustee ratify and confirm, as it hereby
ratifies and confirms, all that the said attorney-in-fact shall lawfully do or cause to be done
under and by virtue of their presents.”
