Subject: OHE Foundation works for our EPC-8 Railway Electrification Project.

With reference to your above quotation, and subsequent discussions we had with you, we are pleased to place this word order to you for
casting of OHE Foundations for our EPC-8 Railway Electrification Project with the following Terms and Conditions:-

Scopes includes supply of Sand and 40 mm graded aggregate (as per Project specification) included, Source approval and regular testing of
sand and aggregate and cube testing at every 50 cum is included in contractor scope, cement and reinforcement will be free issue material.
Any other material issued to contractor except free issue item will be debited back to back.

SCOPE OF WORK:

FOUNDATION:
Casting of all foundation and anchor blocks for OHE with concrete mix of M10 and grouting and muffing works in M15, conforming to
Specification No. IS 456-2000 as per approved LOP/CSD including excavation, cost of 40 mm HBG Metal, Sand, Steel, T & P Water
charges, Man power if any, but excluding cost of Cement & Anchor loop. The scope also includes backfilling, finishing works on
foundations, site clearing of excavated and other earth works, curing etc. to the satisfaction of the customer. You should abide to the safety
precautions prescribed by railways while carrying out foundation works such as barricading of excavated pits and providing covers on casted
foundations. Any accidents/untoward incident resulting out of non-adherence to such safety precautions will be taken very seriously and

accordingly the contract will be terminated without any further notice duly recovering the damaged / loss incurred from your account.
Above rate is applicable from 1st October 2021.

1. QUANTITY:
Work order is placed for the quantity stated above of EPC-8 Railway Electrification Project. KPTL reserves the right to increase, decrease,
modify or amend BOQ given in PO/WO, without any limit, on the same Unit Price & other terms & conditions, during execution of the
contract.

2. PERIOD OF COMPLETION:
The entire work shall be completed within as per Site schedule from issue of this order, without any gaps.

3. QUALITY:
The concreting works shall confirm to IS 456-2000 with good quality of metal and sand. You shall get approval from the customer to the
metal and sand to be used prior to usage cube tests to every 50 CUM of cement concreting or as directed by Railways is to be conducted.
The cube test charges shall be borne by us. Proper backfilling for every foundation should be done by contractor to release of payment.
Proper curing (for span of 28 days) will be done by contractor for each and every foundation in a satisfactory way. SOD (rev. 2004) to be
maintaining in each and every foundation.

4. ROYALTY

The rates are including Royalty of the materials to be used in Concreting works. Contractor has to submit the Royalty challans as per Mix
design . Failing which the amount of royalty as per mix design shall be deducted from Contractor bill time to time.

5. SAFETY
The Contractor shall provide necessary safety implements & PPE such as Gumboots, Helmets, gloves, First Aid Box, etc. to their workers
and ensure use of the same. The Contractor shall further ensure complete safety arrangement to minimize chances of accidents at site. If
contractor is unable/failed to provide safety material; KPTL will issue the safety material and the cost of the same will be debited from
contractor.

6. SUPERVISION
KPTL shall have all authority to control and supervise the said project and KPTL'S decision shall be final and conclusive in case of any
dispute pertaining to the specification or quality of work or any contractual matter.
7. TRANSFER OF TITLE AND RISK
I. The Material shall be deemed to have been sold and delivered to KPTL after the Material is discharged at the site, subject to discretion of
KPTL and the title and risk of loss or damages thereto shall pass to KPTL at that stage.
II. The Insurance Policy shall be taken in the name of KPTL. Hence, KTPL can file/process claims.
III. In the event that a Material is rejected in accordance with Clause 3 above, the title of that Material and the risk of loss or damages thereto
shall pass back to the Contractor immediately at Contractor's risk and cost.
IV. The rejected quantity of the Material will be at the Site at the cost and risk of the Contractor. The Contractor should arrange to take back
or remove the rejected Material from the Site at its own risk and cost. KPTL is entitled to recover the costs, damages, or liabilities that may
arise during the rejection of the said Material.
8. RISK PURCHASE:
In the event of failure to execute our order exactly as per delivery schedule stipulated, we reserve the right to cancel the order in part or full
and execute such cancelled scope from alternative source on risk & cost of Contractor#s and will have no claim what so ever against this
action taken by us.
9. CLASSIFICATION:
You will be paid as per the classification of soil certified by the railways representatives.
10. SUPPLY OF CEMENT:
The cement will be supplied free of cost as per the site requirement from our depot/Nearest Cement Store to the authorized person of
subcontractor upon certified requisition form Engineer-incharge. You will arrange to collect and transport the cement by your own means &
cost to the site from our depot/Cement Store.
11. RETURN OF CEMENT BAGS:
You will return the empty cement bags at store before submission of bill, Otherwise Rs.2/per bag amount will be deducted from
your bill.
12. BILL SUBMISSION/VERIFICATION
Monthly Running Bills (R.A. Bill), shall be submitted by the Contractor for completed BOQ items along with measurement book, abstract of
work done duly certified by Engineer-Incharge/Billing Incharge and client's officials. Payments will be released only for quantities of work
done as certified by both KPTL and the Client.
13. PAYMENTS:

Bills should be submitted fortnightly along with the Work Certificates duly signed by Railway representative at our stores. Payments will be
released within 30 days from the date of receipt of verified bills from our Site in charge. 95% payment will be released and 5% security
money will be released after CRS. Income tax from the bills will be deducted as applicable. GST @ 12% Shall be paid extra from above
mentioned contract price. Contractor need to submit GST Return Challan (Monthly/Quarterly) along with GSTR1 Copy & B2B Summary
Sheet for the previous invoice, on default of the same KPTL can hold the paid amount from last RA bill along with 20% penalty. Your bill will
not accepted for the KM in there is any gap location.

14. TAX & DUTIES


The Contractor shall be responsible for compliance and liabilities under all acts, laws, Rules etc. as may be applicable to him from time to
time.
The Contractor shall submit copies of following registration certificates and documents:
a) Registration under Service Tax
b) PAN Card issued by Income Tax authorities.
c) Registration with PF ESI & Other labour law authorities.
d) PF Code No.
e) Insurance policies including workmen compensation policy
f) Copy of Labour Licence
g) Copy of the Attendance Register and Register of Wages, as and when desired by KPTL.
h) Any other license(s)/registration(s) as may be required by KPTL

Other Conditions:
a) Labour licence in KPTL Scope
b) PF/ESI/Service Tax/VAT to be deposited by contractor and documentary evidence shall be submitted to KPTL along with the monthly RA
bills.
c) Income tax as applicable will be deducted.

Contractor has to take PF registration within 30 days. Till then KPTL will hold the PF amount (equivalent to 10% of labour payment from his
running bill). The Contractor will be responsible and liable for due compliance and implementation of all statutory provisions applicable to the
workers engaged by him under various Labour and Establishment Legislations. In Case of non - compliance of any of the provisions of PF
law related to submission of monthly challan along with RA bill, we may, upon your specific request, may deposit the amount payable as per
records available at site at your risk & cost. However, the said payment of PF, which we have deposited on your behalf, shall be adjusted
from the pending invoices/payment to be paid to you under this PO. The Service Provider will obtain the necessary License / Registrations
under the provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and other applicable laws. The service provider will ensure
complete compliance under all applicable labour laws from time to time and will produce all records, returns, challans and documents as and
when required by Service Recipient for verification of the same.

15. STATUTORY REQUIREMENTS:


i. The CONTRACTOR shall, in performance of its obligations under the Contract and in carrying out of the scope of works, ascertain and
comply with Applicable Laws. The CONTRACTOR shall indemnify the COMPANY, its Affiliates and its respective directors, officers,
employees and agents against losses, claims, costs, compensation claimed before a court of competent jurisdiction and liabilities, including
any penalty and sanctions payable to any person, together with any legal expenses incurred in connection therewith, to the extent arising out
of any act of omission or commission of the CONTRACTOR, any Sub-Supplier or their respective agents or employees to comply with
Applicable Laws, including but not being limited to Contract Labour regulation (Prohibition and Abolition) Act, Employee State Insurance Act,
Provident Fund Act, Minimum Wages Act, etc, in the performance of its obligations under the Contract.
ii. If the CONTRACTOR finds any divergence between Applicable Laws and the Performance parameters/ Guarantees or the Technical
Specifications (other than Change in Law) they shall immediately give to the other Party written notice specifying the divergence. The
CONTRACTOR shall promptly upon becoming aware of the same, inform the COMPANY in writing of its proposed amendment for removing
the divergence, and with the COMPANY's prior written consent the CONTRACTOR shall entirely at their own cost and expense complete the
Works in accordance with the amendment.
iii. For allotted / assigned job work, CONTRACTOR shall be solely responsible for all taking necessary safety precautions for all labours
engaged directly/ indirectly by him. CONTRACTOR shall be responsible for cover of all labours engaged directly or indirectly by him under
ESI & PF Acts and all other Applicable Laws and proof of compliance with the provisions of such Applicable Laws shall be produced before
commencing the work. Further the CONTRACTOR shall also be liable to submit all documentary proofs of making compliance with the
requirements of Applicable Laws, more particularly with respect to Labour Laws and /or Industrial Laws and the COMPANY shall only
process the payments of the CONTRACTOR, upon receipt and verification of such documents and certifying compliance with all Applicable
Laws.
iv. CONTRACTOR shall be solely responsible for payment of any compensation towards its labours appointed directly or indirectly, which
may arise due an accident of fatal or non-fatal by nature or on account of any act of omission or commission during execution of the
assigned job under the Contract.
v. CONTRACTOR shall be responsible for practicing and following all safety norms and standards prescribed by COMPANY/ under
Applicable laws time to time, upon breaching of which, COMPANY may terminate above said WO/ Contract or may impose penalty for the

same which shall be recovered from any pending invoices / bills due to the CONTRACTOR. In case of the termination of WO / Contract, the
COMPANY shall not be liable to pay any compensation towards cancellation of the job / work assigned to the CONTRACTOR whatsoever
under the Contract/ WO as the case may be.
vi. Company/ Employer reserves its right to visit Factory/ establishment / site of CONTRACTOR before or during execution of WO at its sole
discretion to ensure due compliances of Applicable Laws by CONTRACTOR.
16. RECONCILIATION OF MATERIALS AND RECOVERY:
You have to reconcile all the materials supplied to you for the work by us. The balance materials after actual consumption must be returned
to us in good/serviceable condition after completion of the work. In case you fail to return the balance left over materials immediately on
completion of work, the cost of such materials will be recovered from your outstanding payments/bills at the market rate prevailing at that
time or our last purchase price whichever is higher plus 20% extra towards freight/Insurance charges/incidental charges and supervision
charges. Any materials returned in damage/unserviceable condition will not be accepted by us.
17. STANDARD TERMS & CONDITIONS:
This order shall also Governed by the standard terms and conditions as per the enclosure, unless otherwise specifically mentioned above.
This order is also subject to approval by the client about your eligibility to do the works.

It is expressly agreed and understood that Contractor/Vendor shall indemnify, protect, defend, and save harmless to KPTL Site from any and
all liabilities, penalties, cost, loses , damages, expenses, causes of action, claims judgment or any demands whatsoever, including
prejudgment interest ,attorney#s fees ,expert witness fees and all other expert and professional fees and expenses (" claims") ,based on or
resulting from any personnel injury ,including but not by way of limitations ,bodily injury, emotional injury ,sickness or disease, or death to any
person ,including but not limited to agents or employees by KPTL ,or damage to property of anyone,(including loss of use thereof), which
injury sickness ,death or damage result from, arise out of, or is in any way connected with the performance of these contract.
1. No workmen below 18 years (Minors strictly prohibited to enter at workplace) and above 58 years of age shall be engaged for a job.
2. Before engaging any workmen, screening of the workmen shall be done by KPTL staff. Workmen engaged in height work/other hazardous
work shall be evaluated by KPTL staff. Medical Checkup of the workmen engaged in high risk activity is compulsory.
3. Sub-Contractor shall understand the KPTL EHS requirements in detail by KPTL EHS officer/PM before start the work at site.
4. Sub-Contractor and all his workmen shall be screened/imparted with EHS Induction training by KPTL EHS Officer before engaging them
for work.
5. "Height Pass" is mandatory for the workmen engaged in height work. Height pass shall be issued by KPTL EHS Department after
successful completion of Evaluation done by KPTL EHS Department.
6. Sub-Contractor shall ensure that work is commenced and height work only carried out under the supervision of the KPTL Supervisor. He
shall ensure that all workmen working under him are working in a safe manner and not creating any unsafe condition for him or for co-worker
in any manner. Violation of above shall be deemed as deviation and Contractor / Subcontractor shall be removed from the site on immediate
basis.
7. Sub-Contractor has to identify any one workmen as a "Gang Leader" amongst the group of workmen working under him. Gang Leader
shall remain responsible for the identification of safety requirement of the Gang and shall work in coordination with KPTL EHS Person.
8. Sub-Contractor shall ensure that all of his workmen remain present in every day Tool Box Talk before start of the work as well as other
training programs organized by KPTL without fail.
9. No person shall be allowed to enter/work at site without required PPEs including Safety Helmet with chinstrap, safety shoes, reflective
jacket, hand gloves, safety goggles.
10. No workmen shall be allowed to work at more than 1.8-meters height without double lanyard full body harness with shock absorber. Both
the hooks of the harness shall be properly anchored at all the time while working at height to the firm member above the shoulder height of
the workmen.
11. Sub-Contractor shall ensure the usage light weight and good quality of eye protection while executing Gas Cutting, Welding, Chipping or
Grinding Work.
12. Sub-Contractor shall ensure periodic inspection of all the mandatory PPEs to maintain the healthiness of the same. In case if any
damage/alteration to the PPE observed, two time of the cost of the said equipment shall be deducted from the bill of the sub-contractor.
13. Sub-Contractor shall ensure safe means for the access/egress in all the excavated pit. He shall ensure that hard Barricading with net

shall be provided all the time in any excavated pit.
14. Soil shall be kept at least 1.5 Meter away from the excavated pit.
15. Proper illumination level shall be ensured before working in night.
16. Sub-Contractor shall ensure proper guarding to the moving parts of all the construction machineries.
17. Sub-Contractor shall ensure that good condition ladder used for movement. Ladder shall be firmly tied at the upper and bottom part and
shall be one meter more than an excavated pit. Ladder shall not be used as working platform under any circumstances.
18. Under Construction area/erection area shall be cordoned off during the work. No person shall be allowed to come under the suspended
load.
19. Standard Hand tools shall be firmly fixed by small tagline to prevent fall accidental while working at height all the time. Non-standard
hand tools shall not be allowed.
20. Free fall of material from height shall not be allowed under any circumstances. Material shall be lowered with the help of rope from the
height.
21. Sub-Contractor shall ensure that all the equipment/tools shall be checked prior to start of the work every day. No damaged tools shall be
used.
22. Sub-Contractor shall ensure that all construction machineries/vehicles/Lifting machineries have in good condition and checked by KPTL
P&M department and shall submit all required documents like TPI, Insurance, PUC, Fitness etc
23. Drivers/Operator shall have valid driving license and competency certificate (as per local requirement) to drive or operator the vehicle,
and banksman shall be deployed to guide the driver/operator.
24. Tractor shall not be used for worker transportation.
25. Sub-Contractor shall deploy license holder electrician at site and KPTL authorized electrician shall only be allowed to make any electrical
connection.
26. All the electrical connections shall be routed through 30 ma ELCB/RCCB only.
27. Good housekeeping to be always maintained.
28. Sub-Contractor shall ensure that all of his workmen shall follow all the safety norms while travelling/residing in company
premises/vehicle.
29. First Aid box must be available at work location / Labor camp. Adequate firefighting equipment shall be available at work place and
persons are to be trained by firefighting techniques and First aid facility.
30. All the unsafe conditions, unsafe act identified are to be corrected on priority basis as advised by KPTL EHS Staff/Supervisor.
31. The Contractor / Subcontractor has to provide safe accommodation/ Labor hutment for the workers where the scope lies with
sub-contractor.
32. Sub-Contractor shall ensure proper hygiene/sanitation facility at the Labor camp.
33. Hiding any information or furnishing false information regarding safety aspects will be treated seriously and administrative action will be
imposed on the defaulter and contractor.
34. Work Permits: Work permit system shall be followed by Contractor / Subcontractor for all below work activities.

I. Hot Work
II. Working at Heights
III. Excavation
IV. Electrical/Power Block Work
V. Lifting Work
VI. Wiring/Tower Wagon work

35. Smoking is prohibited at work location.


36. Sub-Contractor shall ensure that no workmen shall come at site under the influence of alcohol/drug. In case of any deviation the person
shall be removed from site (without warning).
37. Horseplay is completely prohibited at work place.
38. During high wind, storm and rain, work shall be stopped immediately until working conditions are safe.
39. Adherence to the condition -No work during low visibility.
40. All lifting tools tackles shall be periodic inspection by Contractor#s representative and record shall be maintained.
41. Sub-Contractor shall ensure the compliance of KPTL safe operating procedure of each and every activity.
42. Sub-Contractor shall deploy safety supervisors as per KPTL requirement.
43. Sub-Contractor shall deploy sufficient number of Flag men(with red banner flag) for live track safety as per requirement
44. Sub-Contractor shall ensure that no work without KPTL supervision
45. Sub-Contractor shall follow all KPTL/Railway safety rules
46. Sub-Contractor shall ensure his site supervisor all time during the work
47. Sub-Contractor shall participate in the EHS meeting at site every month
48. In case of any violation: Contractor / Subcontractor shall be penalized as mentioned below:
a. 1st Violation # Warning and immediate correction.
b. 2nd Violation # The concerned person shall not be allowed to work for two days and penalty of Rs. 5000/- shall be debited from the
Contractor / Subcontractor bill.
c. 3rd Violation # Concerned person shall be terminated from the site and amount of Rs. 10000/- shall be debited from the Contractor /

Subcontractor bill.
d. In case of further default Contractor / Subcontractor shall be blacklisted.
e. In case of a casualty (fatality) by an accident amount of Rs. 300000/- shall be debited from the bill of the Contractor / Subcontractor and
Contractor / Subcontractor shall be blacklisted.

I have read all the points mentioned above. I have understood the Safety Precautions which shall be ensured during the work. I further
understood that all the instructions shall be followed at site given by any KPTL Staff. AND I ALSO UNDESTOOD THAT THESE RULES ARE
COMPULSORY FOR ME, MY COMPANY STAFF AND WORKERS.
