Subject: OHE Foundation works for our EPC-8 Railway Electrification Project.
With reference to your above quotation, and subsequent discussions we had with you, we are pleased to place this word order to you for
casting of OHE Foundations for our EPC-8 Railway Electrification Project with the following Terms and Conditions:-
Scopes includes supply of Sand and 40 mm graded aggregate (as per Project specification) included, Source approval and regular testing of
sand and aggregate and cube testing at every 50 cum is included in contractor scope, cement and reinforcement will be free issue material.
Any other material issued to contractor except free issue item will be debited back to back.
SCOPE OF WORK:
FOUNDATION:
Casting of all foundation and anchor blocks for OHE with concrete mix of M10 and grouting and muffing works in M15, conforming to
Specification No. IS 456-2000 as per approved LOP/CSD including excavation, cost of 40 mm HBG Metal, Sand, Steel, T & P Water
charges, Man power if any, but excluding cost of Cement & Anchor loop. The scope also includes backfilling, finishing works on
foundations, site clearing of excavated and other earth works, curing etc. to the satisfaction of the customer. You should abide to the safety
precautions prescribed by railways while carrying out foundation works such as barricading of excavated pits and providing covers on casted
foundations. Any accidents/untoward incident resulting out of non-adherence to such safety precautions will be taken very seriously and
1. QUANTITY:
Work order is placed for the quantity stated above of EPC-8 Railway Electrification Project. KPTL reserves the right to increase, decrease,
modify or amend BOQ given in PO/WO, without any limit, on the same Unit Price & other terms & conditions, during execution of the
contract.
2. PERIOD OF COMPLETION:
The entire work shall be completed within as per Site schedule from issue of this order, without any gaps.
3. QUALITY:
The concreting works shall confirm to IS 456-2000 with good quality of metal and sand. You shall get approval from the customer to the
metal and sand to be used prior to usage cube tests to every 50 CUM of cement concreting or as directed by Railways is to be conducted.
The cube test charges shall be borne by us. Proper backfilling for every foundation should be done by contractor to release of payment.
Proper curing (for span of 28 days) will be done by contractor for each and every foundation in a satisfactory way. SOD (rev. 2004) to be
maintaining in each and every foundation.
4. ROYALTY
The rates are including Royalty of the materials to be used in Concreting works. Contractor has to submit the Royalty challans as per Mix
design . Failing which the amount of royalty as per mix design shall be deducted from Contractor bill time to time.
5. SAFETY
The Contractor shall provide necessary safety implements & PPE such as Gumboots, Helmets, gloves, First Aid Box, etc. to their workers
and ensure use of the same. The Contractor shall further ensure complete safety arrangement to minimize chances of accidents at site. If
contractor is unable/failed to provide safety material; KPTL will issue the safety material and the cost of the same will be debited from
contractor.
6. SUPERVISION
KPTL shall have all authority to control and supervise the said project and KPTL'S decision shall be final and conclusive in case of any
dispute pertaining to the specification or quality of work or any contractual matter.
7. TRANSFER OF TITLE AND RISK
I. The Material shall be deemed to have been sold and delivered to KPTL after the Material is discharged at the site, subject to discretion of
KPTL and the title and risk of loss or damages thereto shall pass to KPTL at that stage.
II. The Insurance Policy shall be taken in the name of KPTL. Hence, KTPL can file/process claims.
III. In the event that a Material is rejected in accordance with Clause 3 above, the title of that Material and the risk of loss or damages thereto
shall pass back to the Contractor immediately at Contractor's risk and cost.
IV. The rejected quantity of the Material will be at the Site at the cost and risk of the Contractor. The Contractor should arrange to take back
or remove the rejected Material from the Site at its own risk and cost. KPTL is entitled to recover the costs, damages, or liabilities that may
arise during the rejection of the said Material.
8. RISK PURCHASE:
In the event of failure to execute our order exactly as per delivery schedule stipulated, we reserve the right to cancel the order in part or full
and execute such cancelled scope from alternative source on risk & cost of Contractor#s and will have no claim what so ever against this
action taken by us.
9. CLASSIFICATION:
You will be paid as per the classification of soil certified by the railways representatives.
10. SUPPLY OF CEMENT:
The cement will be supplied free of cost as per the site requirement from our depot/Nearest Cement Store to the authorized person of
subcontractor upon certified requisition form Engineer-incharge. You will arrange to collect and transport the cement by your own means &
cost to the site from our depot/Cement Store.
11. RETURN OF CEMENT BAGS:
You will return the empty cement bags at store before submission of bill, Otherwise Rs.2/per bag amount will be deducted from
your bill.
12. BILL SUBMISSION/VERIFICATION
Monthly Running Bills (R.A. Bill), shall be submitted by the Contractor for completed BOQ items along with measurement book, abstract of
work done duly certified by Engineer-Incharge/Billing Incharge and client's officials. Payments will be released only for quantities of work
done as certified by both KPTL and the Client.
13. PAYMENTS:

a) Labour licence in KPTL Scope
b) PF/ESI/Service Tax/VAT to be deposited by contractor and documentary evidence shall be submitted to KPTL along with the monthly RA
bills.
c) Income tax as applicable will be deducted.
Contractor has to take PF registration within 30 days. Till then KPTL will hold the PF amount (equivalent to 10% of labour payment from his
running bill). The Contractor will be responsible and liable for due compliance and implementation of all statutory provisions applicable to the
workers engaged by him under various Labour and Establishment Legislations. In Case of non - compliance of any of the provisions of PF
law related to submission of monthly challan along with RA bill, we may, upon your specific request, may deposit the amount payable as per
records available at site at your risk & cost. However, the said payment of PF, which we have deposited on your behalf, shall be adjusted
from the pending invoices/payment to be paid to you under this PO. The Service Provider will obtain the necessary License / Registrations
under the provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and other applicable laws. The service provider will ensure
complete compliance under all applicable labour laws from time to time and will produce all records, returns, challans and documents as and
when required by Service Recipient for verification of the same.

It is expressly agreed and understood that Contractor/Vendor shall indemnify, protect, defend, and save harmless to KPTL Site from any and
all liabilities, penalties, cost, loses , damages, expenses, causes of action, claims judgment or any demands whatsoever, including
prejudgment interest ,attorney#s fees ,expert witness fees and all other expert and professional fees and expenses (" claims") ,based on or
resulting from any personnel injury ,including but not by way of limitations ,bodily injury, emotional injury ,sickness or disease, or death to any
person ,including but not limited to agents or employees by KPTL ,or damage to property of anyone,(including loss of use thereof), which
injury sickness ,death or damage result from, arise out of, or is in any way connected with the performance of these contract.
1. No workmen below 18 years (Minors strictly prohibited to enter at workplace) and above 58 years of age shall be engaged for a job.
2. Before engaging any workmen, screening of the workmen shall be done by KPTL staff. Workmen engaged in height work/other hazardous
work shall be evaluated by KPTL staff. Medical Checkup of the workmen engaged in high risk activity is compulsory.
3. Sub-Contractor shall understand the KPTL EHS requirements in detail by KPTL EHS officer/PM before start the work at site.
4. Sub-Contractor and all his workmen shall be screened/imparted with EHS Induction training by KPTL EHS Officer before engaging them
for work.
5. "Height Pass" is mandatory for the workmen engaged in height work. Height pass shall be issued by KPTL EHS Department after
successful completion of Evaluation done by KPTL EHS Department.
6. Sub-Contractor shall ensure that work is commenced and height work only carried out under the supervision of the KPTL Supervisor. He
shall ensure that all workmen working under him are working in a safe manner and not creating any unsafe condition for him or for co-worker
in any manner. Violation of above shall be deemed as deviation and Contractor / Subcontractor shall be removed from the site on immediate
basis.
7. Sub-Contractor has to identify any one workmen as a "Gang Leader" amongst the group of workmen working under him. Gang Leader
shall remain responsible for the identification of safety requirement of the Gang and shall work in coordination with KPTL EHS Person.
8. Sub-Contractor shall ensure that all of his workmen remain present in every day Tool Box Talk before start of the work as well as other
training programs organized by KPTL without fail.
9. No person shall be allowed to enter/work at site without required PPEs including Safety Helmet with chinstrap, safety shoes, reflective
jacket, hand gloves, safety goggles.
10. No workmen shall be allowed to work at more than 1.8-meters height without double lanyard full body harness with shock absorber. Both
the hooks of the harness shall be properly anchored at all the time while working at height to the firm member above the shoulder height of
the workmen.
11. Sub-Contractor shall ensure the usage light weight and good quality of eye protection while executing Gas Cutting, Welding, Chipping or
Grinding Work.
12. Sub-Contractor shall ensure periodic inspection of all the mandatory PPEs to maintain the healthiness of the same. In case if any
damage/alteration to the PPE observed, two time of the cost of the said equipment shall be deducted from the bill of the sub-contractor.
13. Sub-Contractor shall ensure safe means for the access/egress in all the excavated pit. He shall ensure that hard Barricading with net

I have read all the points mentioned above. I have understood the Safety Precautions which shall be ensured during the work. I further
understood that all the instructions shall be followed at site given by any KPTL Staff. AND I ALSO UNDESTOOD THAT THESE RULES ARE
COMPULSORY FOR ME, MY COMPANY STAFF AND WORKERS.
IN WITNESS WHERE OF, this agreement has been executed and delivered as of the date written above.
