LETTER OF APPOINTMENT, limited period

THIS AGREEMENT is made on Jan. 1 2023 between host company Winterthur Gas & Diesel Singapore
Pte. Ltd. (WinGD) of registered address at 63 Hillview Ave Lam Soon industrial building 10-14 Singapore, on behalf
of CSSC Marine Service Co., Ltd (hereinafter the EMPLOYER or COMPANY or CMS) of the one part, and Mister
Zeng Huahua (hereinafter the EMPLOYEE) of the other/second part. The agreement will expire on December 31,
2023. If renewal is required, it should be renewed before December 31, 2023.
本协议由WinGD,注册地为新加坡Hillview Ave 63 Lam Soon industrial building 10-14,代表中船海洋动⼒技术服务有
限公司(以下简称雇主或公司或CMS与另⼀⽅曾华华先⽣(以下简称雇员)于2023年1⽉1⽇签订。该协议有效期到2023
年12⽉31⽇终⽌。如续签,应在2023年12⽉31⽇前完成续签。

IT IS HEREBY AGREED that the Employer agrees to employ and the Employee agrees to serve the Employer as
Field Service engineer
经雇主与雇员双⽅同意,特此同意此雇员担任现场服务⼯程师
The Employee is required to declare to the Company all business-related activities, political activities and directorship
etc. which you are directly or indirectly engaged in. This declaration by means of written notification must be sent to
the Admin Department before the commencement of your employment or whatever activities during your employment
with the Company.
员⼯必须向公司申报⾃⼰直接或间接参与的所有商业活动、政治活动和担任董事等情况。此声明必须以书⾯形式将您
在进⼊公司之前或在公司⼯作期间的任何相关情况送到⾏政部⻔进⾏报备。

1. COMMENCEMENT 就业

The employment will commence on Jan 1 2023. Place of Assignment is in Singapore.
聘⽤将于2023年1⽉1⽇开始。指派地点在新加坡。
With your appointment, as CMS Service engineer you are to report locally to the Host company representative
Managing Director of Winterthur Gas & Diesel Singapore Pte.Ltd. Roger Specker. Work related reporting to CMS
Jethro Dou directly. The Management reserves the right to transfer you to another position or department as it
deems fit.
作为CMS服务⼯程师,你将要向当地的公司代表——WinGD新加坡公司负责⼈Roger进⾏报告,并直接向CMS
窦俊杰汇报相关⼯作。管理层保留将你调到其他合适的部⻔或职位的权利。

2. SALARY 薪资

The Employer will pay the Employee a basic salary, full time position base, of SGD 6000 per Month. 13x. 13
salary is based on pro rata calculation (actual months worked). The annual (monthly) salary covers the salary for
the annual leave, holidays and overtime hours.
雇主将向员⼯⽀付基本⼯资,每⽉全职岗位基数为6000新币。 13个⽉的年度⼯资及第13个⽉的薪资按实际⼯作⽉
份⽐例计算。年(⽉)⼯资包括年假、节假⽇和加班的⼯资。

Salary will be paid by way of bank transfer (DBS only) at the end of each month (presently set at 25 of every
month) and the employee will be required to furnish the DBS (PSOP) bank account number to the MD.
⼯资将在每⽉⽉底(⽬前定为每⽉25号)通过银⾏转账(仅限DBS)的⽅式发放,并要求员⼯提供DBS (PSOP)银⾏账
号。

3. WORKING HOURS ⼯作时间


The EMPLOYEE shall work a total of 44 hours per week whilst in Singapore, per the Employment Act.
根据雇佣法,雇员在新加坡期间每周⼯作44⼩时。

The normal working hours are as follows (44):

Monday to Fridays: 0830h to 1800h

However, due to the nature of business of the COMPANY, the above working hours may vary accordingly at the sole
discretion of the COMPANY. The company reserves the right to change the working hours as it deems fit. E.g.
但是,由于公司的业务性质,上述⼯作时间可能由公司⾃⾏决定。公司保留在其认为合适的情况下改变⼯作时间的权
利。

4. ACCOMMODATION/TRANSPORT 住宿/交通
The Employee is liable for his own accommodation including the signing of the tenancy agreement, agency fees,
utilities and deposits.
员⼯⾃⼰需承担住宿费⽤,包括签订租赁协议、代理费⽤、⽔电费和押⾦。

It is agreed that the Employee can make transportation claims against receipts for
Local travelling: transportation purposes up to SGD 400 per month. Such claims to be made via the Monthly
expense system.
员⼯可以凭当地交通收据办理交通报销,每⽉最⾼可达400新币。此类报销应按每⽉费⽤制度进⾏。

5. SICK & HOSPITALIZATION LEAVE 病假&住院假

The EMPLOYEE shall be granted sick leave in accordance with the company’s guideline which is:
员⼯应按照公司准则给予病假,该准则为:

• Without hospitalization 14 days per calendar year or pro-rata


⽆需住院 每⽇历年14天或按⽐例计算

• With hospitalization 30 days per calendar year or pro-rata

Such medical leave must be certified by the registered doctors or government clinics or hospital of which the
medical chit must be submitted to the Administration Department immediately upon reporting back to work.
该病假须经执业医⽣或政府诊所或医院证明,并须在返回⼯作后⽴即向⾏政部⻔提交医疗证明。

6. Workmanship Insurance (work injury compensation) medical, accident coverage. ⼯伤、意外保险。


In line with local Singapore laws WinGD for CSSC Service will arrange and cover the medical insurance for the
employee. CHUPP insurance provider. Plus, an additional medical, accident coverage insurance with Prudential.
根据新加坡当地法律,公司将为员⼯提供医疗保险及意外险。

7. ANNUAL LEAVE 年假
The Employee is entitled to paid vacation per completed calendar year or pro-rata based on the number of
completed months worked. Your leave entitlement is 14 working days.
员⼯有权按完成的⼯作⽇历年或按完成的⼯作⽉数的⽐例享受带薪假期,你的假期是14个⼯作⽇。

8. CENTRAL PROVIDENT FUND CONTRIBUTIONS


In accordance to the CPF Law in Singapore, you will be eligible for CPF contribution. The CPF amount; WinGD
company contribution; in accordance to Singapore CPF 17 % granted monthly to CPF, by WinGD. Employee
must contribute his share of 20 % of CPF in accordance to the local Singapore law.
根据新加坡的公积⾦法律,你将有资格获得公积⾦供款。公积⾦数量;WinGD公司缴费;根据新加坡公积⾦的规
定,每⽉公积⾦17%,由WinGD⽀付。雇员必须根据新加坡当地法律缴纳其公积⾦的20%

9. INCOME TAX
The Employee has the sole responsibility for the reporting of the salary, benefits or allowance compensation to
the taxation or other appropriate authorities, and the sole liability for the payment of all taxes and corresponding
payments payable.
雇员需⾃⾏向税务部⻔或其他相关部⻔申报⼯资,福利或津贴补偿等,并⾃⾏承担对所有税款和相应的费⽤。

10. LIMITATION and TERMINATION OF EMPLOYMENT 雇佣限制和终⽌


Employment may be terminated by either party, without any reason whatsoever by giving the other party one (1)
month notice in writing, or salary in lieu of notice; or where the either party does not wish to wait for the expiry
of the notice period, can terminate by compensating the other party a sum equal to the amount of 1-month salary
which would accrue during the term of such period.
任何⼀⽅均可⽆故终⽌雇佣关系,但须给予另⼀⽅⼀(1)个⽉的书⾯通知或以⼯资代替通知;如果任何⼀⽅不希望
等待通知期限届满,则可以向另⼀⽅⽀付相当于1个⽉⼯资的赔偿⾦终⽌通知。

If agreed by all parties, the LoA can be reviewed and extended after 12 months.
如经各⽅同意,协议可在12个⽉后进⾏审核并延期。

Notwithstanding the above, the Company may apply instant dismissal to employees for gross misconduct or
major breach of the Company’s rules and regulations on the following causes:
尽管有上述规定,但公司可因以下原因或因员⼯严重违反纪录,违反公司规章制度,⽴即开除员⼯:

• Employment period comes to an end

• Employee’s disability due to illness or accident exceeding more than 1 month

• Changes in the company business activities or organization or in case of prevention or refusal from
residing or working in the country

• Serious misconduct

• Wilful disobedience of the COMPANY’s lawful orders
故意不服从公司的合法命令
• Negligence in the course of work

• Insubordination

• Involving in activities that is detrimental to the interest of the COMPANY which includes revealing
company’s secrets and information
涉及泄露公司秘密及信息等损害公司利益的活动
• Involving in illegal activities violating the customs, tradition and Laws of the Singapore Authorities.
涉及违反新加坡政府的习俗、传统和法律的⾮法活动
11. EMPLOYEE’S OBLIGATION 员⼯的义务

The Code of Conduct of WinGD and CMS applies.

APPLICABLE LAW 适⽤法律


Unless otherwise stated in this Contract, the laws of Singapore shall be applied to this Contract. Other terms and
conditions not expressly covered in this contract shall be governed by the standard regulations of Singapore.
除本合同另有约定外,新加坡法律适⽤于本合同。本合同未明确规定的其他条款和条件,以新加坡标准法规为准。

Any disputes arising out of this Contract which cannot be settled through negotiations between the parties hereto are
to be settled, if either of the parties of this Contract so requests, by arbitration. Such arbitration shall be conducted in
accordance with the arbitration law of Singapore.
凡因本合同引起的争议,如双⽅不能通过协商解决,应由合同任⼀⽅提出要求,通过仲裁解决。仲裁应根据新加坡仲
裁法进⾏。

OTHER TERMS AND CONDITIONS 其他条款条件

The Companies WinGD and CMS maintains the rights to review, change, amends, delete or add to the company
policies, terms and conditions as the Board of Management deems fit, at which time the changes will be made known
to you in writing.
公司WinGD和CMS有权在董事会认为合适的情况下审查、修改、修订、删除或增加公司政策、条款和条件,届时将以
书⾯形式通知您这些变更。
The EMPLOYEE shall abide by the laws and regulations of the Republic of Singapore and the Company’s policies,
rules and regulations.
员⼯应遵守新加坡共和国的法律法规和公司的政策、规章制度。

Other terms and conditions of employment not mentioned in this letter of Employment, supplementary terms may be
signed, which shall be verified and approved by the Administration Department.
本聘书未涉及的其他聘⽤条款,可以签订补充条款,需经⾏政部⻔审核同意。

Supplementary terms of salary and benefits


薪酬福利补充条款

Combining Singapore’s local treatment with WinGD’s standards, and the employee’s abilities, we have
formulated the following points:
结合新加坡当地市场待遇和WinGD的标准和该雇员的能⼒,我们拟定如下:

(1) Monthly salary : 6000 SGD, the monthly commuting subsidy in Singapore is up to S$400 and is
actually reimbursed (refer to WinGD standard)
⽉薪:6000新币,每⽉在新加坡当地上下班交通补贴最⾼400新币实报实销(参照WinGD标准);

(2) All transportation and accommodation expenses incurred in business trips and boarding services are
actually reimbursed;
外出登轮服务等发⽣的交通、住宿费⽤,实报实销;

(3) Food allowance of SGD 20 per day for boarding/port services in Singapore and overseas;
新加坡境内、境外登轮/港⼝服务⼀天20新币差旅伙⻝补贴;

(4) Overtime work for boarding/port services in Singapore and overseas is calculated. It is calculated at
S$6,000. The calculation formula is as follows:
新加坡境内、境外登轮/港⼝服务加班计算,按照6000新币计算,计算公式如下:

Overtime calculation: Base of salary / 22/8 = Base of overtime pay. Overtime is calculated at 1.5 times the
base for every hour of normal 8-hour working hours from Monday to Friday,2 times for every hour on
weekends and statutory holiday, travel time and waiting time outside normal working hours will be
calculated at 1.5 times.
加班计算:⼯资基数 / 22 / 8 = 加班费基数,周⼀⾄周五正常8⼩时⼯作时间外加班每⼩时按基数1.5倍计
算,周末及法定节假⽇每⼩时按2倍,正常⼯作时间外的旅途和等待时间按1.5倍计算。

(5) An additional subsidy of S $100 per day for Marine navigation.


海上跟航另外补贴100新币/天。

(6) The CPF(provident fund) should be paid for the overtime pay and allowance caused by overtime work
and sail with ship, which is declared by WinGD once a year. CMS pays WinGD for CPF (17%) that needs
to be borne by the employer. The CPF (20%) incurred by the employee shall be deducted from the
employee’s salary.
因加班、海上跟航产⽣的加班费和补贴需缴纳CPF(公积⾦),由WinGD公司每年申报⼀次,需要雇主承
担的CPF(17%)由CMS⽀付给WinGD,需员⼯承担的CPF(20%)在员⼯⼯资中扣除⽀付。
