MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and executed in the City of San Jose del Monte,
Bulacan, Philippines, __February 16, 2023__ by and between:

______________________a private single proprietor created with existing Philippines Law with
principal address at_ City Bulacan represented by it owner___________. Herein referred as the First
Party

_________________, a non-stock, non-profit corporation created and existing under Philippine

laws, with principal address at _________________, represented by its president, _______________, by
virtue of Board OF Trustees Resolution No. 137, dated September 2019 attached hereto and is made an
integral part hereof, hereinafter to as the SECOND PARTY

WITNESSETH:

WHEREAS, the FIRST PARTY is a licensed lying-in clinic recognized by the City of San Jose del
Monte Bulacan with Business permit no.

WHEREAS, the SECOND PARTY is a recognized educational institution offering a

NOW, THEREFORE, for in consideration of the above premises, the Parties hereby mutually
agree as follows:

SECTION 1. The FIRST PARTY allows affiliation and training of the Midwifery students of the
SECOND PARTY in the Clinic.

SECTION 2. The FIRST PARTY and the SECOND PARTY, mutuall agree to abide by the rules and
regulations set forth in Administrative Order No. 21-A, Series of 1993, dated October 5, 1993, otherwise
known as the” Revised Policies, Procedures and Guidelines Governing Affiliation and Training of
Students in the Department of Health Hospitals, Rural Health Units and other Health Agencies

SECTION 3. the SECOND PARTY shall be liable to the fullest when for violations of the above-
described Administrative Order.

SECTION 4. The SECOND PARTY and its students shall hold the FIRST PARTY free and relieved
from any loss or damage to it, to any of its students, and to the public in general, in connection with
their training, including but not limited to claims for property damage, torts and related liabilities which
could have been foreseen or is inevitable, and is not due to the fault or negligence of the FIRST PARTY.

SECTION 5. Neither of the Parties shall be liable to any untoward incidents, (infections of
disease, loss of personal things, accidents and other that may burden the students physical well-being)
while on duty.
 SECTION 6. Neither of the Parties shall be liable to any act or omission by the student towards
patients discomfort and/or dissatisfaction over student’s manners and conduct.

SECTION 7. This Memorandum of Agreement shall take effect upon it’s signing of.
