CONTRACT OF SERVICE

This agreement is entered on the 10th day of October by and between:

PRECIOUS PAGES CORP. (PPC), a corporation duly organized and existing under the
law of the Republic of the Philippines, with principal office address at 83 Sgt. Rivera Ave.,
SFDM, Quezon City, duly represented by its President, SEGUNDO D. MATIAS, JR.,
hereinafter referred to as “PPC”

and

XERNAVI GARCIA, with TIN __________ and address at Unit 201 2nd Floor, 1741 Dian
Street, Brgy. Palanan, Makati City hereinafter referred to as the “TALENT.”

That both parties agree on the following terms and conditions:

1. SCOPE OF SERVICES
a. The talent shall develop an audiobook of the book with the title “LIBRONG ITIM
VOL 2” published by PPC.
b. The talent will use all reasonable efforts in the development of the Audiobook and
endeavor to complete and deliver to the Person In-charge the required chapters on
the following dates, unless changes are agreed upon by both parties:

November 10, 2022 – Story 1 & 2

November 17, 2022 – Story 3 & 4
November 24, 2022 – Story 5 & 6
December 01, 2022 – Story 7 & 8
December 08, 2022 – Story 9 & 10

c. PPC shall not be responsible for expenses that the talent may incur during the
development of the audiobook unless with prior authorization from PPC.

2. PRODUCT
a. The audiobook to be developed by the talent shall be referred to as the product in
this contract.
b. PPC shall provide the book, script, and other necessary written materials.
c. The talent warrants that he/she will use his/her original audio recording in the
development of the product, except for audio materials that are in the public
domain.
d. The talent shall present audio proofs for approval at each stage of development.
Requests must be made when proofs are returned to the talent if revisions are
required. Reasonable edits, re-cuts, or re-recordings based on feedback from PPC
shall constitute acceptable delivery once, unless otherwise agreed upon by both
parties.

3. CONSIDERATION
In consideration of the services to be performed by the talent under this contract,
the talent shall receive a total fee of THREE THOUSAND PESOS (₱ 3,000.00) with the
following terms of payment:
a. 50% or ₱ 1,500.00 as initial payment on October 5, 2022 or upon signing of
this contract
b. 50% or ₱ 1,500.00 upon completion and delivery of the product

4. TERM
 The services of the talent shall commence upon signing of this contract and shall
expire upon completion and delivery of all products.

5. RIGHTS
The talent shall be attributed or credited as the voice talent and creator of the
product. The talent shall grant PPC full and unlimited reproduction rights to the product in
whole or in part.

6. CONFIDENTIALITY
All materials (soft copy or card copy of books) provided by PPC are to be
considered CONFIDENTIAL and are not to be reproduced or disclosed to any third party.
Any copying or transmitting of these materials will subject the talent to disciplinary action
and/or monetary damages.
The talent shall not reproduce or disclose information, audiobook sample, or
development process until the completed product and information are made available to
the public or until the talent is given permission to do so.

7. OTHERS
a. No alterations or variations of the terms and conditions of this contract shall be
binding upon either party, unless the same are confirmed in writing and signed by
both parties.
b. The parties agree that should any clause or provision in this contract be declared
void, invalid, or ineffective for any reason whatsoever, the validity of the remaining
provisions shall not be affected and shall continue to be binding.
