RIGHT TO REPRESENT AGREEMENT

This agreement (the “Agreement”) is made on [date] between [Name of Agent], hereinafter referred to
as the “Agent”, and [Name of Client], hereinafter referred to as the “Client”.

WHEREAS, the Agent is a licensed real estate agent authorized to provide services to clients in the area;

WHEREAS, the Client is interested in engaging the Agent to represent them in the sale, purchase or lease
of real property;

WHEREAS, the Agent and the Client wish to confirm the terms of their agreement in writing.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as
follows:

1. Right to Represent. The Client hereby grants the Agent the exclusive right to represent the
Client in the sale, purchase or lease of real property situated in the (insert specific location or
area description) on the following terms and conditions.

2. Term. The term of this Agreement shall commence on [Date] and shall continue until [Date] or
until the Client has engaged another agent or terminates the agency relationship with the
Agent.

remain responsible for any expenses incurred by the Agent.

6. Confidentiality. The parties agree to maintain the confidentiality of all information disclosed in
the course of the agency relationship.

7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws

8. Entire Agreement. This Agreement contains the entire understanding of the parties and
supersedes all prior and contemporaneous oral and written agreements and understandings, if

Dear [Client Name],

We are pleased to confirm that [Recruiting Agency Name] (“RA”) has been authorized by [Client
Company Name] (“Client”) to represent them in recruitment efforts for open positions.

RA has the capability to source, screen, and present top-tier candidates who meet Client’s specific job
requirements. We have extensive experience in the recruiting industry including sourcing, headhunting,
screening, and placing candidates for different industries like IT, Finance, Sales, Marketing, Healthcare,
and Engineering.

By this letter, Client grants RA the exclusive right to submit qualified candidates for open positions with
Client, and to present the Client to the candidates as a potential employer. This will include advertising,
searching, pre-screening, interviewing, and reference checking of candidates as per the Client job
description.

The term of this agreement shall begin on [start date] and end on [expiry date], unless extended by
mutual agreement between the parties.

RA agrees to protect the confidentiality of all information related to Client recruitment activities and
candidates submitted by RA to Client.

Client agrees that if they hire a candidate submitted by RA, Client will notify RA in writing immediately
and RA will invoice Client for the appropriate placement fee calculated as [insert percentage] of the
candidate’s first year’s salary. Payment of the placement fee shall be made within 30 days of RA’s
invoice.
