1). TERMS & CONDITIONS:-

1. PRICE SCHEDULE: As per Annexure I

The prices quoted are net F.O.R. BARODA exclusive of Taxes, duties and other
levies if any; but including packing and forwarding charges. The prices quoted are
exclusive of excise duty, octroi and sales tax or any other taxes imposed by Central
or State Legislature or any other competent authority before or after the date of
our offer.

2. GOOD & SERVICE TAX:-

As you aware Government of India has implemented GST from 1st July 2017, same
Shall be charged extra 18% at actual as pre GOI notification, at the time of supply/
Submission of service invoice.

3. INSURANCE:-

It shall be arranged by Purchaser.

4. FREIGHT & DISPATCH:-

Consignment shall be booked on Paid basis. However freight shall be charged extra
@ 5% of our quoted rates.

5. TERMS OF PAYMENT:-

100% payment advance with full taxies & duties along with PO.

6. DELIVERY PERIOD (EX-WORKS):-

06 - 08 Weeks or Earlier from the date of receipt of your technically cleared &
Commercially accepted order at our works. The delivery mentioned is subject to
force majors condition and given in good faith. While we endeavor to supply the
materials within stipulated period however there may be delay in supply due to
reasons beyond our control for which we do not accept any penalty.

7. LD:

We do not accept the LD clause.

8. WARANTEE:-

The Supplied spare are warranted for a period of 06 months from the date of
Dispatch. During this warrantee period, we undertake to rectify or replace at our
Option, as soon as possible all parts which are proved to be defective or unusable
due to faulty material, design or workmanship.

9. VALIDITY:-

We keep our offer valid for your acceptance for 30 days from the date hereof and
Thereafter; it will be subject to our confirmation and / or revision if any.
