EMPLOYMENT AGREEMENT

This Employment Agreement is entered into in The Hague this 7th day of December, 2022
(hereinafter referred to as the “Agreement”), by and between:

Terre des Hommes Netherlands, having its address as Zoutmanstraat 42 - 44 2518 GS Den Haag,
Nederland, herein duly represented by Mr. Tjipke Bergsma in his position of Chief Executive
Officer (CEO), and hereafter referred to as ́ E
́ mployer´´,

And

Miss B. Zulfiqar, of legal age, ID AA5782044, (copy attached) and with her address at Flat 118,
Featherstone court, Dudley Road, Southall, London, Post code: UB2GR, United Kingdom ,
hereafter referred to as the “Employee”

Terre des Hommes Netherlands and the Employee shall be referred to as the “Parties”.

The Parties hereby declare as follows:


a. That Terre des Hommes Netherlands desires to engage the services of a Regional Director
Asia for its Asia Regional office located in Phnom Penh, Cambodia, with the right
qualifications, education and expertise for the position.
b. That the Employee possesses the qualifications, education, and expertise that meet the
requirements for the position, and agrees to work for Terre des Hommes Netherlands.

Considering the above mentioned premises, the Parties agree to the following terms and conditions
of this Employment Agreement:

Article 1
1. The Employee accepts the position of Regional Director Asia at Terre des Hommes
Netherlands, starting from January 1st, 2023 and shall be based in Phnom Penh, Cambodia.
The contract will be for an undefined period.

2. The duties and responsibilities of the Employee during his service with Terre des Hommes
Netherlands are stated in the attached Job Description (Annex 1).

3. In performing the said duties and responsibilities, the Employee agrees to perform them
with all his best efforts.

Article 2
1. The Employee shall receive a gross monthly basic salary of 6.750,- EUR payable every 25th
of the month. The monthly salary will be subject to taxation laws in Cambodia, which tax
will be borne by the Employee. The holiday allowance is 8% of Gross monthly salary per
month to be paid in May.

2. The employee shall also be entitled to a Housing Contribution: up to 600,- EUR per month
in Phnom Penh, increasing to 800,- EUR per month if/when moving to Bangkok. The
relocation costs UK to Phnom Penh: up to 6.000,- EUR based on actual. This will also be
subject to taxation laws in Cambodia, which tax will be borne by the Employee.
3. Terre des Hommes Netherlands shall perform annual review of the salary of the Employee
and adjustments to salary shall be subject to the annual performance appraisal of the

Employee, budget availability and in line with financial rules and regulations stipulated by
Terre des Hommes Netherlands. Any salary increment shall be based on merit and at the
discretion of the Chief Executive Officer of Terre des Hommes Netherlands.

Article 3
1. There will be a probation period of 3 months, starting from January 1st, 2023. On that day,
the Employee’s employment with Terre des Hommes will end unless Terre des Hommes
Netherlands and the Employee mutually agree to extend the employment for an undefined
period. A renewal or continuation of the employment after the end date shall be made in
writing and communicated to the Employee one month prior to the expiration date of this
Agreement.

2. The probation period may be extended for a further period of three (3) months in case it
has not been reasonably possible to assess the employee ́s suitability for the position. This
will be confirmed in writing by both parties after the end of the probation sitting meeting
and before the expiry of the three (3) months probation period.

3. During the probation period, either party may terminate this agreement by giving a
minimum notice period of fourteen (14) calendar days. This notice shall be in writing.

4. Terre des Hommes Netherlands may terminate this Agreement prior to the formal expiry
date of this Agreement pursuant to reasonable grounds stated in this Agreement and on
grounds available to Terre des Hommes Netherlands under Cambodian Labour Laws. This
termination notice should be in writing and by giving two (2) months notice unless in cases
of summary dismissal.

5. The Employee may also pre-terminate this Agreement by giving written notification two
(2) months prior to the desired resignation date, excluding the remaining balance of the
Employee's’ annual leave days. In such an event, the Employee shall be paid in accordance
with the Agreement for the work performed up to the time of termination of the
Agreement but only after expected outputs within the relevant contract period served, have
been satisfactorily delivered, handover conducted and outstanding cash advances and
liabilities settled.

6. Terre des Hommes Netherlands may pre-terminate this employment relationship with the
Employee if his actions and/or behavior causes damage or loss to Terre des Hommes
Netherlands - including its Employees - or if the working rules stipulated in the Agreement,
the prevailing manuals, laws and regulations of Terre des Hommes Netherlands manuals
are violated.

Article 4
1. The Employee shall report and be responsible to the Chief Executive Officer of Terre des
Hommes Netherlands. The Employee is expected to read and abide by the Terre des
Hommes Manuals, the Child Safeguarding Policy and its Code of Conduct (Annex 2) and
the Code of Conduct against Corruption, Bribery and Fraud (Annex 3).

2. The Employee shall perform her work in accordance with the job description provided by
Terre des Hommes Netherlands, as stipulated under Article 1 paragraph (ii) of this
Agreement. The Employee shall give her full time and attention during their employment
with Terre des Hommes Netherlands.

3. The Employee should restrict herself from personal activities during working hours and
should not use office facilities in conflict with the organization's interest.

Article 5
1. Terre des Hommes Netherlands shall give to the Employee a 13th month salary in the
amount of one (1) month salary in a year, proportionally to the Employee’s working period.
This payment shall be made at the end of every calendar year.

2. Terre des Hommes Netherlands shall provide the Employee with a medical insurance
coverage for Health insurance (outpatient + emergency evac): up to 2.880,- EUR per year
(based on actual) The cover will include one spouse and a maximum of 2 children up to the
age of 18 years.

3. Terre des Hommes Netherlands will contribute with a minimum amount of 8.95% a
pension benefit as maintained either by the Employer itself and/or through a pension
scheme. The employee contribution of 8.95% will be committed, or the legally mandated
amount national regulations per country prevail. They are as follows: Cambodia is applying
an internal pension scheme at 8.95.5% of net salary per month as a contribution by the
employer. Employees are entitled to this pension scheme only when they are in a
permanent contract (UDC). In addition to the internal scheme, the Cambodia pension
regulator is also enforcing all employees to apply for a monthly pension of 4% of ceiling
$300 in which 2% to be borne by employer and another 2% by employee during the first five
years with their pension scheme. Employers shall ensure the full compliance of internal and
government regulations according to the latest instruction, policy and/or Prokas which may
happen in the future.

Article 6
1. Terre des Hommes Netherlands determines that the regular working days are 5 (five) days a
week, 8 (eight) working hours a day (not including 1 (one) hour rest).

2. Terre des Hommes Netherlands is entitled to request the Employee to work beyond the
regular working hours under special circumstances. Such circumstances can include (but
are not restricted to) emergencies.

Article 7
1. The Employee is entitled to an annual vacation leave of 18 days working days in addition to
the official gazetted Government holidays in Cambodia - prorated for the period of
employment. The timing of the leave is subject to the approval of the Terre des Hommes
Netherlands Chief Executive Officer who manages this position.

2. Considering the duties and position within Terre des Hommes Netherlands, the
Employee’s salary as stipulated under article 2(i) has included overtime. Extra working days
during field visits on holidays can be compensated by extra leave days only and have to be
approved in advance by the Chief Executive Officer.

3. Unused vacation leave, sick leave and compensation days are not convertible to cash.
However, unutilised annual leave of a maximum of 5 days can be carried forward to the
next year.

Article 8
The Employee is required not to disclose to any third party, data, Intellectual Property of Terre des

Hommes Netherlands or proprietary documents at Terre des Hommes Netherlands at any time
without prior approval from the CEO.

Article 9
The Employee hereby states that she is capable of abiding by all obligations as stated herein and
further states that no other covenants, working conditions or other agreements exist, except as have
been specified in this Agreement and Terre des Hommes Netherlands manuals.

Article 10
The Employee is encouraged to address any complaints and grievances to the CEO of Terre des
Hommes Netherlands, with the purpose to find a fair and reasonable solution to any conflict that may
arise. The Employee, in consultation with the reporting authority, may seek further advice and
guidance from the HR Manager in Head Offer in the Netherlands.

Thus agreed upon and signed in duplicate and each copy being considered original on this 31st of
December, 2022 at Den Haag
