AGENCY AGREEMENT

THIS MEMORANDUM OF UNDERSTANDING is made this 5th day of October 2022

BETWEEN

(Name of ‘SELLER)______________________________ I.D NO.___________________ of Post Office Box Number_________________________, in the

Republic of Kenya, “hereinafter called the Vendor” where the context so admit shall include their personal representative of the
SELLER on one part and the AGENT on the other part described as MOURICE ARON of ID NO. 22759421 of Post Office Box
Number 37266-00100 Nairobi representing Property & Discounts.

WHEREAS

1. The Vendor has expressed its desire to sell a____________________________________________situated in

__________________________________________________ “hereinafter referred to as the Property” at the prevailing market prices.

2. The said vendor has contracted the Agent to get buyers for the said property on a non-exclusive basis.

3. THAT for purposes of the said sale, the agent is to obtain a buyer at the price of Kenya Shillings
_________________________________ (Ksh. __________________________/- ) negotiable, and for which the AGENCY COMMISSION is the
normal rate of 3% (three percent)) all-inclusive for the total amount to be paid as purchase price and without any
deductions.

4. THAT the vendor pays a one-off up-front listing facilitation of Shillings Five thousand (Ksh. 5,000) to the agent for each
property as a commitment that both parties are now formally engaged. This is deductible upon sale.

NOW THIS AGREEMENT WITNESSED AS FOLLOWS: -

a) THAT for securing of the payment of the Agency fee, the Vendor hereby abides itself, its Heirs and Successors to pay to
the Agents full commission upon sale of the property and transfer of funds.

b) THAT all the parties to this agreement bind themselves to honor it and effect it without any reference to unnecessary
legalities and shall bind themselves as individuals and not as body corporate.
