DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Conditional Sale is entered into by and between:

all of legal ages, Filipinos, and residents of Davao City,
Davao del Sur, Philippines and represented in this act by
their Attorney-in-Fact ________________, by virtue of a
Special Power of Attorney executed on _______________,
before the faith of Notary Public Atty. ABC, with Doc No.
___; Page No. ___; Book No. ____; Series of 2022, attached
herein as ANNEX “A”, and collectively referred to as the
SELLERS;

“B”, and hereinafter referred to as the BUYER;

WITNESSETH: That-

WHEREAS, the SELLERS are the registered owners of property described as follows:

WHEREAS, the SELLERS have offered to sell and the BUYER has agreed to buy a
Three Hundred (300)-square meter portion of the above-described property for a
consideration;

NOW THEREFORE, for and in consideration of the foregoing premises and of the
terms and conditions stipulated herein, the SELLERS and the BUYER have mutually
agreed as follows:

CONDITIONS

A. Lot Description. The lot purchased by the BUYER is a three hundred (300)-
square meter portion of the property covered by TCT No. identified as Lot
_______, with the following technical descriptions:

B. Consideration. The total purchase price for the subject property is TWO
MILLION ONE HUNDRED THOUSAND PESOS (Php 2,100,000.00).

Downpayment. The BUYER shall make a cash downpayment in the amount of


ONE MILLION TWO HUNDRED THOUSAND PESOS (Php 1,200,000.00) to which
the SELLERS shall issue an acknowledgment receipt.

Balance. The balance of Nine Hundred Thousand Pesos (Php 900,000.00) shall
be paid through monthly postdated checks. The SELLERS shall issue an
acknowledgment receipt for the each balance payment made by the BUYER.

C. Responsibilities of the SELLERS

1. The SELLERS shall cause the subdivision of the land covered by


__________________. The SELLERS shall process, transact, submit and receive
documents to the Registry of Deeds for Davao City (ROD) for the release of the
new owner duplicate titles for the subdivided lands that will include the owner’s
duplicate title for Lot ___________ under the name of the BUYER;

2. The SELLERS hereby undertake to process the Petition for the issuance of a new
owner’s duplicate copy in lieu of the lost title for TCT No. _______________. As
soon as the issuance for a new title is granted by the court, the same shall be
processed before the ROD so that the new owner duplicate titles of the
subdivided lands that will include the duplicate owner’s title for Lot
_____________ shall be released;

3. Once the Owner’s Duplicate Title for Lot ________________ is released, the
SELLERS shall turn over the same to the BUYER;

4. The SELLERS and the BUYER shall execute the Deed of Absolute Sale for the
subject property upon the issuance of the new title for TCT No. in lieu of the lost
one;

5. The SELLERS shall not sell, dispose, convey or offer for sale the subject property
to other persons or entities. The SELLERS declare or warrant that the said parcel
of land is free from all liens and/or encumbrances, free of occupants and tenants
and shall defend its ownership from all claims whatsoever.

D. Responsibilities of the BUYER

1. The BUYER shall pay the balance of the purchase price by issuing monthly
postdated checks for twelve (12) months, to start upon the issuance of the new
title in lieu of the lost one;

2. The BUYER guarantees that the check is sufficiently funded upon presentment to
the bank;

3. The BUYER hereby agrees to pay the Capital Gains Tax, Documentary Stamp Tax
and other incidental expenses related to the transfer of that portion of the
above-described property purchased by the BUYER;

4. The BUYER may pay a lump sum amount of the balance of the purchase price if
the new title under his name is released before the end of the twelve (12)
months. In such case, the SELLERS shall surrender all uncashed postdated
checks to the BUYER.

E. Miscellaneous Provisions

1. This DEED OF CONDITIONAL SALE shall constitute the full and complete
understanding and agreement between the parties with respect to the subject
property. This Deed supersedes and renders void any and all agreements and
undertakings, oral and/or written previously entered between the parties
covering the above-described property herein, and this Deed may not hereafter
be modified or altered except by instrument in writing duly signed by the parties
thereto.

2. This DEED OF CONDITIONAL SALE shall be binding upon the executor,


administrator, heirs and assigns of both herein contracting parties. It is further
agreed that the venue of any court action that may arise from this Deed shall be
exclusively filed before the proper court/s of Davao City.
