4. TERM
The services to be provided under this Agreement shall be for a period of ………..
months commencing with effect from ………………... and shall continue in force
upto ……….. unless a notice of termination is given by either party as per clause 6
hereunder.
5. COMPENSATION
A. The Freelancer shall be compensated for the Services with an amount of Rs.
[.]/- (Rupees [.]), and no other fee or expenses shall be paid to the Freelancer,
unless the Company has approved such fee or expenses in writing.
B. The completeness of the Services and work product shall be determined by
the Company in its sole discretion, and the Freelancer agrees to make all
revisions, additions, deletions or alterations as requested by the Company.
C. The Compensation shall be charged monthly.
D. The Freelancer shall be solely responsible for any and all taxes, social
security contributions or payments, disability insurance, unemployment taxes,
and other payroll type taxes or other legal requirements applicable to such
compensation or to the Freelancer.
6. TERMINATION
Either Party may terminate this Agreement for cause by providing the other Party
written notice if the other Party: (i) is in material breach of this Agreement and has
failed to cure such breach within five (5) days after its receipt of written notice of
such breach provided by the non-breaching Party; (ii) engages in any unlawful
business practice related to that Party's performance under the Agreement; or (iii)
files a petition for bankruptcy, becomes insolvent, acknowledges its insolvency in
any manner, makes an assignment for the benefit of its creditors, or has a receiver,
trustee or similar party appointed for its property. The Parties shall give a notice of 1
(one) month prior to termination.
7. CONFIDENTIAL INFORMATION
A. The Company owns and may develop, compile and own certain proprietary
techniques, trade secrets, and confidential information, which are very
valuable to the Company (collectively, “Confidential Information”). The
Company may disclose Company Information to Freelancer during the
Freelancer's performance of the Services.
B. Confidential Information is any information relating to the Company that is not
accessible by the general public and includes not only information disclosed
by Company, but also information developed or learned by Freelancer during
Freelancer's performance of the Services. Company Information is to be
broadly defined and includes all information, which has or could have
commercial value or other utility in the business that the Company is or may
be engaged in and the unauthorized disclosure of which could be detrimental
to the interests of Company, whether or not such information is identified by
Company.
C. Confidential Information includes, but is not limited to, details of customers
and business contacts, developments, designs, inventions, software,
techniques, know-how, data, marketing, sales or other business information,
scripts, costs and resources, tools used; and all derivatives or improvements
to any of the above.
9. REMEDIES
Notwithstanding anything contained herein, the Freelancer acknowledges that a
breach of any of the covenants contained in this Agreement could result in
irreparable injury to the Company for which there might be no adequate remedy at
law, and that, in the event of such a breach or threat thereof, the Company shall be
entitled to obtain remedies available under Applicable Law including but not limited
to injunctive relief through any court of competent jurisdiction. The injunctive
remedies are cumulative and are in addition to any other rights and remedies that
the Company may have at law or in equity.
10. NON-ASSIGNMENT
The interests of the Freelancer under this Agreement are not subject to the claims of
his creditors and may not be voluntarily or involuntarily assigned, alienated or
encumbered.
11. SUCCESSORS
This agreement shall be assigned by the Employer to any successor employer and
be binding upon the successor employer. The Employer shall ensure that the
successor employer shall continue the provisions of this agreement as if it were the
original party of the first part.
12. INDEMNIFICATION
The Freelancer shall indemnify the employer against any and all expenses, including
amounts paid upon judgments, counsel fees, environmental penalties and fines, and
amounts paid in settlement (before or after suit is commenced), incurred by the
employer in connection with his/her defense or settlement of any claim, action, suit
or proceeding in which he/she is made a party or which may be asserted against
his/her by reason of his/her employment or the performance of duties in this
Agreement. Such indemnification shall be in addition to any other rights to which
those indemnified may be entitled under any law, by-law, agreement, or otherwise.
13. MODIFICATION
14. SEVERABILITY
Each paragraph of this agreement shall be and remain separate from and
independent of and severable from all and any other paragraphs herein except
where otherwise indicated by the context of the agreement. The decision or
declaration that one or more of the paragraphs are null and void shall have no effect
on the remaining paragraphs of this agreement.
The titles to the paragraphs of this Agreement are solely for the convenience of the
parties and shall not be used to explain, modify, simplify, or aid in the interpretation
of the provisions of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of
_____, _______. Each party hereby irrevocably submits to the exclusive jurisdiction
of the courts of_______,_______, for the adjudication of any dispute hereunder or in
connection herewith.
17. COUNTERPARTS
The Agreement may be executed in two or more counterparts, any one of which
shall be deemed the original without reference to the others.
IN WITNESS WHEREOF, the Freelancer has hereunto set his hand, and the
Company has caused these presents to be executed in its name and on its behalf,
all as of the day and year first above written.
