MEMORANDUM OF UNDERSTANDING

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Understanding is entered into by and between:

The YGOAL, INC, a private firm with principal office address in Unit 207 Robelle Hotel
877, JP Rizal St., Makati, Metro Manila represented by its President, IRENEO DEMECAIS
JR, and hereinafter referred to as “FIRST PARTY”;

and

The SURIGAO DEL NORTE STATE UNIVERSITY, an educational/training institution

organized and existing under and by virtue of the laws of the Republic of the Philippines,
with principal office at Narciso St., Surigao City, herein represented by its President,
GREGORIO Z. GAMBOA, JR., and herein referred to as “SECOND PARTY”.

WITNESSETH, THAT:

WHEREAS, the First Party is a training and social enterprise organization with a mission to
develop sustainable youth organizations are conducting free of charge skills training and
certification related to ICT related jobs;

WHEREAS, the Second Party is an academic / training and knowledge practice institution
with proven track record in providing capacity development, research, consultancy and
extension services to different government and non-government entities at the local, national
and international levels;

WHEREAS, The First Party requested the Second Party to avail in their services in training
and certifying the Second Party graduating engineering and IT students to be qualified and
competent for the jobs of the future;

WHEREAS, The First Party will conduct their services to the Second Party students thru
online platform;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties herein
agree in principle, to forge a partnership on ICT capacity building and competency
development under the terms and conditions stated hereunder.

Section I
PURPOSE OF THE MOU

The purpose of this MOU is to establish a framework of cooperation between the Parties to
ensure that training and certification are properly implemented and supported by both parties.

Section II
OBJECTIVES

Under this MOU, the partnership aims to:

1. Provide and/or implement an awareness activity of skills needed for the jobs of the future
such as technical, digital, and soft skills related to ICT jobs;

2. Enhance the employment probability of the Second Party graduating students thru online
trainings and certifications, free of charge;

3. Invest logistic support for skills training and certification programs for “jobs of the future”
to ensure that ICT related professionals thrive in the future economy..

Section III
ADMINISTRATION OF THE PROGRAM

In the delivery and administration of the partnership, during the effectivity of this MOU, the
First Party and the Second Party shall undertake the following responsibilities:

1. First Party Responsibilities

1.1 Provide program plan to the Second Party for the of the skills training and certification;

1.2 Inform the Second Party all its schedules of trainings, seminars, and certification
activities;

1.3 Assign Coordinator/s who will liaise with the Second Party regarding all aspects of the
partnership;

2. Second Party Responsibilities

2.1 Provide graduating engineering and IT students to participate in the activities of the First
Party;

2.2 Assist the First Party and graduating students in the conduct of online trainings, seminars,
and certifications;

2.3 Assign Coordinator/s who shall liaise with the First Party regarding all aspects of the
partnership;

Section IV
MISCELLANEOUS PROVISIONS

1. The Second Party and the First Party shall jointly issue all Certificates of Completion or
Attendance to the course participants.

2. This MOU is not assignable to any of the parties without written permission from other
parties. Any attempt to assign any right, duty, and obligation which arise under this MOU
without such permission shall be void;

3. Both parties, at any time, by written notice to the other, may issue additional scope of
activities under the conditions to this MOU.; and
4. The MOU is made under and shall be construed according to the laws of the Republic of
the Philippines.

Section V
EFFECTIVITY AND TERMINATION

1. This MOU shall take effect upon signing of both parties and shall remain effective and in
full force for Five (5) years, unless otherwise renewed, revoked, revised or terminated for
cause by any of the parties with prior written notice to the other party;

2. In case of termination of this MOU for whatever cause or reason, the use by the First Party
of the jointly developed ICT materials, software, hardware, courseware, training
materials, etc. used under this MOU will automatically cease and ownership will be
agreed upon by both parties.

Section VIII
SEPARABILITY CLAUSE

In any case any provision hereof or any part thereof be declared void or unenforceable by
competent authorities, the remainder unaffected by such declaration shall remain valid and
binding among the parties, their successors, and assigns.

Section IX
SETTLEMENT OF DISPUTE

That all disputes, controversies or claims arising out of or relating to this contract, or about
its breach, termination or invalidity shall be settled through negotiation and/or mediation
within sixty (60) days from receipt of a notice by the other party from the injured party.

Section X
AMENDMENT

At any time while this MOU is in effect, the Parties may modify, revise or amend in writing
the existing terms and conditions or requirements of this MOU as circumstances may
warrant. Any modification, revision or amendment hereto shall become valid and binding
only when the same is in writing and signed by all Parties.

IN WITNESS WHEREOF, the parties hereto have signed this Memorandum of
