Delivery is Indicative in above quote, actual delivery date will be confirmed based on Supplier Confirmation at time of PO.
Calibration Certificate are not a standard scope of supply from manufacturer, a revised offer can be submitted with Calibration Certificate charges if required.
Instrument has 1 year warranty for manufacturing defects only. Consumables and wearing parts not covered under warranty.
Site preparation, with electrical, masonry, drainage, exhaust, and furnishing for installation not included , unless specified otherwise.
Survey & Installation can be quoted separately, unless mentioned above.

Should the Customer wish to place a partial order for technical or commercial reasons, then please contact Venktron Prior to placing the order to confirm quoted
price for quantity & items required.
Instrument sold are only for use and installation within the country they are sold to.

GENERAL TERMS & CONDITIONS:

PRICES:
Unless otherwise specified in our proposal, prices are firm for thirty (30) days. Prices on proposals may be extended beyond thirty (30) days only when
confirmed by Venktron
Service time, including travel and living expenses of a service technician is not included unless indicated.
The prices quoted are subject to withdrawals at any time until the order is accepted by Venktron.
Unless buyer's request for quotation specifies other drawing requirements, the proposal includes one (1) set of operating and instruction manual only.

CREDIT AND PAYMENT:

All bank charges to be borne by the customer, & full amount quoted & agreed within purchase order to be credited Venktron account against purchase/ service
from Venktron.
Unless otherwise specified in our proposal, payment terms are 50% with the purchase order, balance against Performa Invoice prior to delivery.o
Overdue payments are subject to a surcharge of 2% per month equivalent to 24 % per year on the outstanding balance over thirty (30) days, plus any collection
fees which may be incurred upon Venktron.
Failure to receive payment as provided herein, in addition to any other remedies which Venktron will have the right, to repossess equipment or products as to
which full payment has not been received by Venktron.
Until full & final payment is received in full the ownership of the instrument will belong to Venktron.
The buyer will not be entitled to delay or withhold payments of the price or any part thereof on account of any claims of allowances or otherwise but will pay full
amount for the goods and this shall be the condition precedent to any claims being payable.

PARTIAL DELIVERY:
Should multiple items be purchased from Venktron and if partial delivery is accepted by the customer then the proportionate payment will need to be made as
per agreed payment terms at the time of the purchase order.

STORAGE:
If the buyer declines or is unable to take delivery at the time(s) specified in the proposal or contract, Venktron. will have the equipment stored for buyer's risk,
expense and account, and the materials shall be considered "shipped" from the date of notice by Venktron, that they are ready for delivery.

DELIVERIES:
Deliveries period quoted is subject to confirmation from supplier at the time of the Official Purchase Order and receipt of advance payment (as applicable).
Delivery times are computed from the date of our acceptance of purchase order.

WARRANTIES:
Equipment sold by Venktron will cover 1 year manufacturers, warranty against any manufacturing defects only. Damages or defect is due to negligence or
misuse by buyer or elements are not covered under warranty.

Regular consumables and parts worn-out due to regular use of machine are not covered.
No equipment shall be returned to Venktron under this warranty without prior written approval of Venktron.
All shipping costs of sending & collecting of the instrument for warranty repairs is to be borne by customer.

CANCELLATION AND RETURNED EQUIPMENT:

Orders, which are cancelled, must be verified in writing by both parties and depending upon the circumstances, a reasonable and proper cancellation charge,
including factory costs and expenses incurred by Venktron in carrying forward the order to the date of agreement to terminate, will be issued.
Goods may be returned only when specifically authorized. The buyer will be charged for the reconditioning of goods returned to a saleable condition, any sales
expenses then incurred by Venktron plus a restocking charge and any outgoing and incoming transportation costs which we pay.

SITE PREPARATION FOR INSTALLATION:

It is advised that a professional site survey/inspection be request by a Venktron technician to ensure pre-installation preparations to be as per the requirements
of the machine being installed.
All Civil, electrical, mechanical, carpentry, pneumatic, plumbing, drainage environmental policy at the site prior to installation is the sole responsibility of the
customer. Venktron is not responsible for any of these fixtures or policy compliance requirements if any.

FORCE MAJEURE:
Venktron shall not be liable for any loss or damage arising out of delay in shipment or delivery, or failure to manufacture or failure of the equipment to operate,
due to causes beyond its reasonable control such as, but not limited to natural calamities, acts of buyer, acts of civil or military authority, priorities, fires, strikes,
floods, epidemics, quarantine restrictions, war, riot, delays in transportation, car shortages, and Venktron' inability to obtain necessary labor, materials, or
manufacturing facilities delays. In the event of such delay, the date of delivery shall be extended for a period equal to the time lost by reason of the delay.

INSTALLATION:
Should the installation be required then it can be quoted separately unless mentioned in the quote. Should installation be at customer site outside of the UAE,
visa charges, air ticket, local transport, first class accommodation and food during the stay of our engineer at the customers country should be borne by the
customer
