ACADEMIC UPDATE
In Chapter 9 of the Printed Copy, the topic at Page number 10 - “Shares issued at a
discount” is revised and being given hereunder. Students are advised to study this topic
from here and not from printed copy of the study material. Shares issued at a discount
According to Section 53 of the Companies Act, 2013,
(1) A company shall not issue shares at a discount, except in the case of an issue of
sweat equity shares given under Section 54 of the Companies Act, 2013.
(2) Any share issued by a company at a discounted price shall be void.
(2A) Notwithstanding anything contained in sub-sections (1) and (2), a company may
issue shares at a discount to its creditors when its debt is converted into shares in
pursuance of any statutory resolution plan or debt restructuring scheme in
accordance with any guidelines or directions or regulations specified by the
Reserve Bank of India under the Reserve Bank of India Act, 1934 or the Banking
(Regulation) Act, 1949.
(3) Where any company fails to comply with the provisions of this section, such
company and every officer who is in default shall be liable to a penalty which may
extend to an amount equal to the amount raised through the issue of shares at a
discount or five lakh rupees, whichever is less, and the company shall also be liable
to refund all monies received with interest at the rate of twelve per cent. per
annum from the date of issue of such shares to the persons to whom such shares
have been issued.
The auditor needs to check

(i) the movement in share capital during the year and wherever there is any issue,
(ii) He should verify that the Company has not issued any of its shares at a discount by
reading the minutes of meeting of its directors and shareholders authorizing issue
of share capital and the issue price.
(iii) Further, auditor should also verify that whether the company has issued shares at a
discount to its creditors when its debt is converted into shares in pursuance of any
statutory resolution plan or debt restructuring scheme in accordance with any
guidelines or directions or regulations specified by the Reserve Bank of India
under the Reserve Bank of India Act, 1934 or the Banking (Regulation) Act, 1949.

There is so much confusion among some students that in Audit paper you have to write the
bookish language. But this information is totally false. The language you are using in your paper
is first to imprison on the examiner so you must have a command over the language either
English or Hindi. You can use own language but there are some Keywords in your answer which
should not be replaced anyhow. For example, true and fair view should not be replaced by
correct opinion.
You can start with the Standards on Auditing as they cover 15-20 marks paper. They are easy
and also scoring but you should always remember the name of Standards. Some important SA’s
are SA 230, SA 505, SA 520, SA 610, SA 710.
Company Audit should be on the top priority. This chapter is easy to read and retain and also
very much scoring. It covers on an average 30 marks in your paper.
Other important topics are as follows -
 Special Audits related to Club, NGO, Partnership firms, Educational institutions, Hotels,
Cinema Halls, hospitals, sole proprietor etc.
 Vouching and Verification of Cash, Depreciation, Tangible and Intangible assets.

Part III – The Writing Tips
After you finish your reading, close down your books & try to write answer for previous
examination.
While writing answers, your objectives should be
On first writing – Accurate Answers,
On second writing – Accurate answers,
– Within time &
– Good presentation.
VERY IMPORTANT TO NOTE THAT the first writing may be after reading PM without setting
time & without sitting in examination condition.
While during second writing – it should be under examination condition.
The question may arise in your mind that why writing practice.
The answer is the writing practice suggest you
– Writing speed,
– Handwriting.
Note that the handwriting needs not to be beautiful but at least it should be readable.
Conclusion – Writing practice teaches you to have a balance between Handwriting & writing
speed.
Part IV – The Presentation

Present your paper in a unique form.
Some expert students & Famous faculties have given following tips that will help you.
1. Write answer point wise & avoid Paragraph writing answers.
2. Avoid short cut words.
3. Leave a separate line between two points.
4. Each separate sentence should start in a separate line.
5. Underline with a pencil the main body of the answer & also the conclusion.
6. Each sub – question should begin on a separate page,
7. There should be Heading to the answer & that heading of the answer should be BOLD &
UNDERLINED.
8. The vertical line on the Right hand of the page needs not to be drawn.
It may be Imaginary. So you leave some space before your line comes to an end.
Moral – The presentation has good Marks.
Note – Part IV of the article is also useful for all theory papers.
As 30 marks MCQ will be asked in the exams, out of which 10 marks case study based questions
can be asked (2 case studies x 5 marks), so regarding the MCQ preparation you can revise it
from the ICAI MCQ questions and GM MCQ Questions which will be shared in the Notes
Section. A separate case study based MCQ questions pdf will be provided to the students
separately which you should go through
