DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ASSIGNMENT is made, executed and entered into

by and between:

SHAYNE TOPP, Filipino, of legal age, single, and presently

residing at Unit 405, Aeon Towers, J.P. Laurel Avenue, Davao City,
Davao del Sur, Philippines, hereinafter referred to as ASSIGNOR.

- AND -

COURTNEY MILLER, Filipino, of legal age, single, and presently

residing at #54 Kawayan Drive, Insular Village, Lanang, Davao City,
Davao del Sur, Philippines, hereinafter referred to as ASSIGNEE.

WITNESSETH;

WHEREAS, by a CONTRACT OF LOAN dated March 4, 2021,

ASSIGNOR has a remaining unpaid balance of ONE HUNDRED
THOUSAND PESOS (Php 100,000) with ASSIGNEE to be settled on
September 11, 2022;

WHEREAS, ASSIGNOR has offered to assign all his rights, title and
interest over a personal desktop computer with an assessed value of
ONE HUNDRED AND TWENTY-FIVE THOUSAND, as evaluated by a
private appraiser, as alternative fulfillment of his aforementioned
obligation in money;

WHEREAS, ASSIGNEE consents and accepts the assignment of

the personal desktop computer by way of dacion en pago in
accordance with the terms herein set forth;

NOW THEREFORE, for and in consideration of the foregoing

premises, the ASSIGNOR hereby assigns, transfers, and conveys unto
the ASSIGNEE, all his rights, title, and interest to the aforementioned
property and the ASSIGNEE by these presents hereby accepts the
assignment by way of dacion en pago and so declares that the money
obligation embodied in the CONTRACT OF LOAN dated March 4, 2021
has been fulfilled, and the ASSIGNOR free from all obligations under
such CONTRACT OF LOAN.
IN WITNESS WHEREOF, we have hereunto set our hands this 19th day
of August 2022 at Davao City, Davao del Sur Philippines.

This DEED OF ASSIGNMENT, consisting of three (3) pages, including

on each and every page thereof by the concerned parties and their
witnesses.
