A. GENERAL
 The requirement calls for 7 units of sea truck and 1 unit sea truck under call out basis (COB) hereinafter referred to as
“BOAT” as specified in appendix 2 on CONTRACT as personnel and light weight and small cargoes transportation within
Mahakam delta area (hereinafter referred to as “BOAT”) as specified on APPENDIX 2 in this contract to be employed mainly
supporting of COMPANY’s logistics operations.
The BOAT shall be manned and equipped to safely carry out all required task as described here below. The crew must be
experienced, competent and capable of fulfilling the duties requested and be adequate in number for 24 or 12 hours
operation as required. The crew shall be familiar with Mahakam river in particular within the perimeter of OPERATIONAL
AREA.
 CONTRACTOR shall provide jetty facility and jetty operator services hereinafter referred to as “JETTY SERVICES” as
specified in appendix 2 on this CONTRACT including but not limited to provision of material, manpower and other services.
The SERVICE shall be manned and equipped to safely carryout all required services as described here below. The jetty
facilities and infrastructure must be in good safe condition and the personnel must be experienced, competent and capable
of fulfilling the duties requested and be adequate in number for possibility of 24-hour operation.

1. OPERATIONAL PERIOD
OPERATIONAL PERIOD of CONTRACT shall refer to article 2.3.3 with its self-explanatory. Whenever it is not mentioned
elsewhere on this CONTRACT the OPERATIONAL PERIOD shall be 1,096 days with possibilities of early termination

2. COMMENCEMENT DATE
The COMMENCEMENT DATE of CONTRACT shall refer to article 2.3.2 with its self-explanatory. Whenever it is not
mentioned elsewhere on this CONTRACT the earliest COMMENCEMENT DATE shall be on:
 Sub package BOAT : 1 Juni 2023
 Sub package JETTY SERVICES : 1 January 2023

3. DELIVERY – REDELIVERY
 The BOAT on delivery shall be seaworthy and in every way fit to be employed for the intended SERVICE and with full
complement of crew who meet the requirement of COMPANY which hereby detailed in APPENDIX 3.
The BOAT shall be redelivered to the CONTRACTOR in like good order and condition, ordinary wear and tear excepted
at port as hereby agreed.
The point of delivery and redelivery of the BOAT shall be Balikpapan, Handil, or any other COMPANY’s operational
area (WORKSITE as specified in article 1.2.26) within in East Kalimantan water.
 CONTRACTOR shall deliver all the required sources to carry out the jetty services including but not limited to facilities-
infrastructure, manpower, tool, equipment at the LOCATION which will further defined in the CONTRACT
Transportation from CONTRACTOR’s yard to LOCATION for the mobilization and/or demobilization of
CONTRACTOR’s manpower, tool and equipment is the responsibility of CONTRACTOR and at CONTRACTOR’s sole
cost.

4. COMPANY BASE
The COMPANY BASE will be Senipah and/or Handil, CPU, SPU, NPU and/or Balikpapan jetty as the point of crew change
activities (embarking/disembarking personnel) and load handling depending on the type, capacity and capability of the jetty.
In the event of change of location during the OPERATIONAL PERIOD, the new location shall be formally notified to
CONTRACTOR.

5. ON AND OFF HIRE STATEMENT


COMPANY with its sole discretion does pre hire inspection to reconfirm the condition of the BOAT against contractual
specification prior to delivery. CONTRACTOR shall notify COMPANY “when and where” the BOAT can be inspected.
Fuel consumption test by independent party shall be arranged by CONTRACTOR witnessed by COMPANY’s representative
prior to on hire unless otherwise it shall be agreed by both parties to be suspended due to operational needs.
ON HIRE certificate is a declaration of acceptance the service by COMPANY whereby the payment may due eligible. The
IRC is the complement document of on hire certificate. Other complement documents are; MCU validation of all BOAT’s
crew by COMPANY’s medic, key personnel assessment release note, end user acceptance upon functioning test
ON HIRE survey is performed by COMPANY or independent party on behalf of COMPANY for the remaining on board
statement at the point of delivery as contractually defined.
OFF HIRE survey will be conducted by COMPANY or independent party on behalf of COMPANY for remaining on board
statement at the point of redelivery as contractually defined.

OFF HIRE certificate is a declaration of releasing the service by COMPANY whereby the payment may not further due
eligible.

6. OPERATIONAL AREA
COMPANY has the right to operate and employee the BOAT within the COMPANY operational area and COMPANY permit
area as here above defined in article 1.3 within the capability of BOAT.
The operational area of COMPANY is within east Kalimantan water whilst the COMPANY permit area is known as
MAHAKAM block, including but not limited to the area of delta and offshore fields, e.g.: Senipah, Handil, South Mahakam,
Peciko, Bekapai, Sisi-Nubi, Tunu and Tambora. The maximum water depth is 90 meters.
However, the BOAT will day-to-day operate at Mahakam delta with water depth 0 m to 15 m and/or up to 3 Nm from shore
line.

7. REFERENCE DOCUMENT FOR MARINE OPERATIONS


All marine operations within COMPANY’s OPERATIONAL AREA shall follow the latest version of COMPANY’s General
Marine Instruction (GMI) and General Marine Specification (GMS).

8. PERMIT
 CONTRACTOR is due responsible for obtaining and maintaining all permits related to the services at their own cost, it
is including but not limited to the BOAT documents, crewing certificates, operation permits and etc.
COMPANY is hereby due responsible for providing shifting permit, in/out clearance, harbor dues, wharf fee and etc.
during the BOAT in service. In some cases, COMPANY may require CONTRACTOR to work for such permits on behalf
of COMPANY; the cost of the permits will be reimbursed by COMPANY upon agreement by both parties.
 CONTRACTOR is due responsible for obtaining and maintaining all permits related to the JETTY SERVICES at their
own cost, it is including but not limited to the operation permit, used radio frequency permit, and other relevant and
applicable permit as required by Government, law and local authorities.

9. CALL OFF BASIS (C.O.B)


The call out basis BOAT shall be available at CONTRACTOR’s yard. COMPANY shall have the access to inspect the BOAT
anytime to ensure its readiness.
COMPANY will notify CONTRACTOR as minimum 24 hours in advance for any intentions to call the COB BOAT.
1 (one) call out basis is defined as 24-hour service within 1 (one) day

B. SCOPE OF SERVICES
GENERAL DESCRIPTION OF THE WORK
 BOAT
The CONTRACTOR’s performance of work shall include the BOAT with associated equipment, material, personnel and
support the COMPANY’s work plan. CONTRACTOR shall provide the following the services as listed below or any other
legal service within the specifications and capabilities of the BOAT and her crew support as and when required by
COMPANY throughout the duration of the contract.
1. Security and watch duties
The BOAT will be mainly functioned as security transportation means within the zoning area as defined by COMPANY.
The BOAT shall be manned and equipped with hereafter personnel and equipment as specified in appendix 2 and
appendix 3.
The crew must also involve in general safety and security task including but not limited to preventing un-authorized
persons or local BOAT approaching COMPANY’s facilities, watch keep the potential emergency case such as gas leak,
oil spillage, collision and etc.
2. Personnel transportation
The BOAT will mainly be used as personnel transportation from shore base to sites, production platform, other chartered
BOATs, drilling rigs, work barges and etc. The crew shall maintain the hygiene and cleanness of the BOAT for the
comfort of security guard and/or passengers on board.
3. Light deck cargoes transport
To carry out jobs, COMPANY’s personnel will time to time require equipment, tools, provision, material and other. Those
cargoes will be transported by BOAT with the personnel to base or site to working location. The BOAT shall facilitate
light deck cargoes transportation within its capacity (tonnage, deck surface) including to fastening equipment.

4. Medical emergency evacuation


In the event of emergency situation, the BOAT will be employed to evacuate COMPANY’s personnel from work place to
intended location according to the safety and emergency scenario. During such condition, the BOAT may be loaded
over than the seating capacity; however, it may not be over than the maximum capacity of the BOAT. CONTRACTOR
shall provide data of the maximum weight that can be accommodated on the BOAT in safe condition from independent
party.
5. COMPANY and CONTRACTOR may either by mutual agreement require to operate BOAT and/ or supporting equipment
outside of normal operating parameters. In any event, liability and damages due to BOAT and /or supporting equipment
failure outside of normal conditions will be mutually agreed by both parties. In these circumstances, commercial term
and specific HSE issues will be addressed through risk assessment and management of change procedure that will be
provided in bridging document.

 JETTY SERVICES
CONTRACTOR shall provide dispatching services which the detail will be elaborated hereafter. The communication of boat
arrival and departure shall be well communicated between point of departure and point of destination. The dispatcher shall
take necessary preparation to anticipate the schedule of operation.
Operation schedule will be informed Day-1 by COMPANY’s REPRESENTATIVES to the dispatcher. COMPANY’s
representative will nominate the boat in accordance to the availability, technical suitability and operational needs. The
information of transportation schedule and list of passenger will be delivered thru email.
A standby GSM mobile phone shall be provided to ease communication between the dispatcher and COMPANY’s
representatives. Dispatcher shall not dispatch the boat only upon COMPANY’s representative acknowledgment.
The dispatcher shall not leave the jetty (for lunch break, coffee time, and other personal reasons) only upon COMPANY’s
representative acknowledgment.
COMPANY shall have the right at any time to inspect or audit the SERVICE provided by CONTRACTOR. CONTRACTOR
shall rectify or close the finding (if any) as per CONTRACT.

C. MAINTENANCE
CONTRACTOR is required to have preventive maintenance program of the BOAT and supporting equipment to be provided that
meets original manufacturer’s recommendation and shall ensure that preventive maintenance is undertaken in accordance with
that program.
CONTRACTOR shall provide spares and consumables sufficient to eliminate work stoppage or disruption to COMPANY’s
operation.
Should the nature of breakdown is such to indicate that the BOAT and/or equipment has not been maintained or sufficiently
serviced as per manufacturer recommendation, COMPANY has the right to cease the BOAT until the repair and maintenance
have been completed. COMPANY may request for re-inspection by class, independent 3rd party or internal COMPANY’s inspector
to confirm that the failures have been remedied prior resume the services.
CONTRACTOR shall provide backup BOAT to run their maintenance program as defined in Sub-Article 2.22. The name of the
backup BOAT shall be indicated in the tender document.
The acceptance of standby BOAT as replacement BOAT will be as discretion of COMPANY, refer to the CONTRACT and/or
operational condition.
The backup BOAT shall be available at CONTRACTOR’s yard. COMPANY shall have the access to inspect the backup BOAT
anytime to ensure its readiness. CONTRACTOR shall maintain the validity of the Inspection Release Certificate (IRC)..

D. FUEL
COMPANY will provide fuel during OPERATIONAL PERIOD only for the scope as stipulated in the SERVICES and
CONTRACTOR shall be responsible for any non-compliances related to fuel consumption accordance to the SERVICES as
mentioned in Appendix 1. The fuel which is provided by COMPANY is PERTAMINA high speed diesel or bio diesel oil that widely
available in market. CONTRACTOR shall ensure that the engine and other machinery (if applicable) of BOAT are compatible
with such fuel without technical issues. COMPANY shall not bear responsibility for technical issues on BOAT which is suspected
by supplied fuel.
COMPANY’s fuel utilization is only for performing the SERVICE under this CONTRACT. Fuel consumption whenever the BOAT
is unserviceable for COMPANY, such as under maintenance, dry docking, suspension, BREAKDOWN or other unserviceable
condition is become CONTRACTOR’s responsibility. COMPANY will back charge to CONTRACTOR for any consumption of
COMPANY’s fuel during such condition.

COMPANY has the right at any time during OPERATIONAL PERIOD, do a fuel inspection on board. CONTRACTOR shall be
held responsible to ensure the crew dully cooperate and provide COMPANY a true information and record. The fuel inspection
report shall be signed by both parties and due valid for fine, penalty or resettlement of fuel report of the BOAT.
In the event of suspected fuel misconduct by the crew of the BOAT, COMPANY has the right to hold a full and comprehensive
investigation including interrogating the suspected crew to shore. CONTRACTOR is due liable at their sole cost, providing
replacement crew during the investigation to maintain the BOAT is manned as stipulated by regulation.
CONTRACTOR shall be liable for the consequences of such breach. The BOAT shall be off-hire for any time lost or manned
below the requirement as a result of such breach until the case is considered closed.

 Fuel Consumption Test (FCT)


CONTRACTOR shall manage to arrange FCT by independent party to measure the actual fuel consumption of the BOAT
before COMMENCEMENT DATE, unless for operational reason, FCT may postpone until next opportunity as agreed by
both PARTIES. The appointed independent party shall be acknowledged by COMPANY. All expenses related to FCTs as
required in CONTRACT shall be at CONTRACTOR’s account. COMPANY has the right to witness the test or if considered
necessary, will conduct re-test upon COMPANY cost.
FCT is conducted at least using following guidelines:
a. The test is carried out by referring to the RPM as manufacture data of engine.
b. The condition during the test shall refer to the table 1. Speed and fuel consumption shall be achievable.
c. Should BOAT unable to achieve the requirement in table -1, CONTRACTOR shall take remedial actions for improvement
and re-arrange the FCT.
d. Conducted in both follow and against current.
e. Shall be carried out to all main fuel consumer engines and machinery, including to; main engines and additional
generator, when applicable.
f. Conducted in several RPM, from the minimum applicable until maximum RPM of the related BOAT, with 100 RPM
interval.
g. Minimum 10 minutes per tested RPM, however the result will be multiplied for hourly consumption.
h. Using independent calibrated tank(s), additional measurement device is allowed.
i. In the event of FCT has ever been conducted not later than 1 year before COMMENCEMENT DATE, the result can be
accepted as attachment to the issuance of ON HIRE CERTIFICATE. Nevertheless, CONTRACTOR shall manage to re-
arrange FCT once during CONTRACT PERIOD.

 Fuel Consumption Rate Verification (FCRV)


The Fuel Consumption Rate Verification (FCRV) is provided refer to the FCT result, evaluated based on the average
operational condition.
FCRV is issued by COMPANY and shall be acknowledged and signed by both parties.
The FCRV shall be implemented effectively as a reference for fuel consumption rate on the date of signing of the document
by PARTIES. In any case the FCRV has not yet been issued/signed during OPERATIONAL PERIOD, the fuel consumption
shall not be exceeding the condition at table-1. It is temporary condition until the FCT is finalized and FCRV is formulated.
Following arrangement shall apply for FCRV implementation:
a. Fuel rate of FCT result will be taken as FCRV reference.
b. Fuel rate from FCRV will be applicable as the operational reference for calculation and reporting of the BOAT.
c. Whenever the required average speed at table -1 cannot be achieved during FCT and remain unachievable after repair,
COMPANY have 2 options as follows;
i. Accept the BOAT with reduction rate
ii. Reject the BOAT until the required conditions in table -1 is achievable
d. In case the fuel rate in FCRV is higher than maximum limit of fuel consumption as stated in table-1, then the difference
will be deemed as fuel excess and it becomes CONTRACTOR’s responsibility to settle its discrepancy throughout the
OPERATIONAL PERIOD. The excess of fuel consumption as the case may be, shall be charged to the CONTRACTOR.
The back charge amount calculation is to use the sum of the multiplication of the exceeding fuel consumption rate with
engine’s running hour report.

 Fuel Charge
When it could not be possibly hinder, fuel charges could be applicable for the following possible cases but not limited to:
a. CONTRACTOR’s consumes COMPANY’s fuel for other than scope of services as defined in APPENDIX 1 or for
CONTRACTOR’s own purposes (e.g.: maintenance, dry docking, etc.)
b. Surplus of fuel amount between volume of fuel on Actual COMMENCEMENT DATE (DELIVERY DATE) compare to the
volume of fuel on the REDELIVERY DATE
c. Any breaches of fuel managing and control by CONTRACTOR or CONTRACTOR’s sub-CONTRACTOR during
OPERATIONAL PERIOD
d. Over consumption against the following references which will be detailed below
- Operational record of COMPANY’s fuel controller and/or dispatcher, or
- Inspection result of COMPANY’s fuel inspector, or
- Vessel tracking system, or
- Vessel’s fuel consumption report, or
- VERA database
COMPANY will back charge to CONTRACTOR for any over consumption upon clarification and confirmation to related
PARTIES.
The amount of the back-charging will be using the following references;
a. The published PERTAMINA’s fuel price on the corresponding date.
b. The quantity of fuel shall be referred to Fuel Inspection Report (FIR) by COMPANY’s inspector and/or On/Off Hire
certificate issued by COMPANY and/or the fuel rate difference between FCRV and maximum limit of fuel consumption
(table-1)
c. Fuel’s transportation cost per the prevailing contract between COMPANY and fuel provider.

E. WASTE MANAGEMENT
CONTRACTOR shall handle all CONTRACTOR generated waste in a lawful and appropriate manner while maintaining
compliance with all applicable Indonesian regulation. CONTRACTOR shall also maintain compliance to more stringent of
industrial standard adopted and applied by COMPANY.
CONTRACTOR shall ensure that each COMPANY’s work site is maintained free from CONTRACTOR generated waste.
Transportation of any hazardous waste generated by CONTRACTOR shall be compliance with law and/ or regulation of
Indonesian governmental authority having jurisdiction over the transportation of hazardous material.

F. OPERATOR OF BOAT
CONTRACTOR shall be the owner or the operator of the BOAT. In the event that CONTRACTOR is not the owner or the operator
of the BOAT, COMPANY shall have the right to terminate the CONTRACT at COMPANY convenience.
The operator of the BOAT shall act as listed below but not limited to;
a. Manage the crewing, including but not limited to; the selection or recruitment, employment status, competency, welfare,
working rotation, promotion and etc.
b. Manage the applicable document of HSE policy, BOAT emergency procedure, emergency contact list appointment of DPA,
and etc.
c. Manage the applicable document of standard operation procedure of the BOAT, planned maintenance system, and bridging
document with COMPANY.
d. As the single contact point with COMPANY for the overall scope of services.

G. REPORTING
Reporting shall be in line with appendix 4D of the contract and this scope of work.
A daily report including POB, location, fuel ROB, ongoing and next operations shall be given to the Managing entity vessel under
which the BOAT(s) operate. This report shall also include all information related to safety incidents, first aid cases, near miss,
safety drills, safety talks, tool box meetings that have been carried out on board. The daily report shall include a summary of the
daily activities and the equipment stored on deck as well as the pollution control liquids stored in bulk.
Incident and CERMAT (Cara Cerdas untuk Meningkatkan Keselamatan) reports shall be issued as required and reported on a
daily basis to the site marine authority.
Failure to provide standard reporting as mention here above may lead to commercial consequences as detailed in APPENDIX
4B.

1.1. Year of construction:
The ages of BOATs shall not be more than 20 years during CONTRACT period. The year of construction is the year when
the BOAT(s) was initially launched.
The condition of the hull, engines and equipment will be verified during the pre-hire inspection. COMPANY has the right
to disqualify the BOAT once the condition of hull, engines and equipment is not acceptable within COMPANY’s sole
discretion.

The hull and superstructures shall be of marine grade aluminum alloy or fiber reinforced plastic (FRP) and shall be of a
“DEEP V” type allowing comfort and seaworthiness. The hull shall be provided with an efficient system of side and bottom
framing in conjunction with girders, bulk heads or web frames in order to provide transverse rigidity.

3.2. Passenger embarking and disembarking facilities


The BOAT shall be designed to accommodate passenger embarking/ disembarking and entering / move out to/from cabin
from 2 accesses, i.e.: port side and starboard side. Supporting transport means, e.g.: handrail, ladders, shall be provided
to allow safe embarking/ disembarking with minimum diameter of 25 mm.
Safe access to bow shall be made available on both sides with sufficient width for stepping, hand rails shall be installed
over the roof at each side. Anti-slip paint shall be applied on the floor access from cabin to bow.
A bow bar shall be installed at bow deck as the handhold of passenger during embarking/ disembarking thru bow.

3.3. Bollards
Sufficient bollards shall be fitted on the forecastle, amidships and aft in order to allow easy and safe mooring of the
BOAT(S) alongside jetties, wharfs, barges, or BOAT(S) as might be required.

3.4. Fender
Rigid rubber fender shall be properly fixed all around the hull. Additional tire fender shall be provided in sufficient number
to prevent the harsh bumping effect to the hull

3.5. Deck protection


Anti-slip paint shall be applied on deck and passenger/ crew access

3.6. Piping and venting


All fuel line venting on deck shall be fitted with save balls and drip pans.

3.7. Water jet protection


Protection bar shall be installed to secure the water jet from unintentional crash. The protection bar shall be attached to
the hull of boat. The attaching points at the hull where the bar is bolted shall be reinforced and it shall be above the water
level.

4. CABIN AND WHEELHOUSE


All instructions, signs, notices, warnings labels shall be in Bahasa Indonesia and English
4.1. Cabin
The cabin shall be able to accommodate minimum;

The seats shall be facing forward and shall be mounted for the comfortably of the passengers. The seat shall be reclining
type. The seat’s arm rest shall be foldable.
The seating arrangement shall be made in such a way to provide comfortable clearance for the passenger while sitting.
The minimum clearance between the rows shall be minimum 12 inches.
Aisle with minimum width of 60 cm shall be arranged in such a way for comfort access of passenger in/ out the cabin.
Proper space shall be available for the storage of life vest and proper boxes shall be made available for the crew’s personal
belongings.
Adequate cabin lighting shall be available in such a way that the inside lighting in the passenger section will not interfere
into the safe navigation of the BOAT(S) at night time.
No asbestos or asbestos containing materials shall be used on board of the BOAT(S); the statement of free asbestos
shall be provided by CONTRACTOR upon awarded.
The side window glass shall be made of heavy duty acrylic or tempered / laminated glass. The window shall be water tight
and sliding type.
A bar shall be fitted to the roof (deck head) as the hand hold for passenger.
The design of entrance, passage and seat arrangement shall allow stretcher operation from outside to cabin and vice
versa

4.2. Wheelhouse
The wheelhouse shall be incorporated into the passenger cabin and providing seating for the BOAT skipper and helper.
The skipper’s seat shall be mounted for the comfortably and having a clear view toward front deck, after end and to the
points of passenger embarking/ disembarking.
The front windows shall be made by tempered or laminated glass and fitted with heavy duty wipers.
The instrumentation panel shall be fitted in front of the skipper’s seat and shall be fitted out as follows:
- Dual lenses in gauges to prevent condensation
- Display unit with warning lights for water temperature, oil levels, oil pressures, battery charges
- Alarms for water temperature and oil pressures
- Engines RPM counters
- Engine lubrication oil pressure
- Engine cooling water gauge
- Bilge (water level) alarm
- Volt meter ampere meter
- Key switch or push button for engine start
- Fuel oil level gauge
- Battery isolating switch
- Engines running hour meter – non re-settable
- An engines Emergency Shut Down (ESD) push button system shall be installed and can be operated from the
skipper seat.
Deck heads and side panels shall be lined with suitable lining material after insulation. Floorings in way of the passengers
seating area shall be laid with loose oil resistant non-skid rubber mats. Ventilation shall be provided.

4.3. Toilet (applicable for type A2)


The boat shall be equipped with individual toilet. It is preferable that the toilet located inside the cabin. Blower or ventilation
shall be provided to open air for the comfort of COMPANY’s passenger and crew.
The toilet shall at least be furnished as follow;
- Enough room space
- Water storage tank : minimum 100 liters for flushing, complete with piping arrangement
- Dispose directly to the river
- Flooring : anti slip material – non ceramics
- Pump : direct exhaust
- Hand grip bar at left and right inside the toilet room
- Flushing system available on the closet
- Seating type closet
- Sufficient lighting inside
- Door with locking system

5. NAVIGATION AND COMMUNICATION EQUIPMENT


All electric installations shall be on 12 volt.
The BOAT(s) shall be equipped as a minimum with the navigation and communication equipment as per Flag, Class, National,
International and COMPANY rules and regulations which ever are the most stringent and shall be as a minimum:
- One magnetic compass
- One GPS with chart plotter
- One horn/whistle suitable for giving sound signals conform to COLREGS 72
- One signal lamp
- One navigation light control panel integrated into the driver’s console (navigation lights as per COLREGS 72)
- One electrical control panel integrated into the driver’s console
- Steering and engine controls
- One watertight search light of minimum 200 watt
- One VHF dual channel marine radios
- Updated tide tables covering the COMPANY Operation Area waters

6. MACHINERY AND ENGINE ROOM


6.1. Engine Room
The engine compartment shall be properly isolated in such a way that the noise level on cabin compartment shall not
exceed 85 dB.
Proper heat reducing isolation shall be fitted in the engine compartment.
The engine compartment shall have an easy access with adequate lighting.
The entering way to engine room shall be designed safely for the crew in such a way will not make them stepping on the
hot surface.
All moving and rotating parts of all engines such as reduction gear box couplings – engine propulsion system couplings
etc. shall be properly protected.
Sufficient spare parts and tools shall be carried to allow small repairs while in operation. An adequate stock of spare parts
shall be available at the shore base to carry out the required maintenance and repairs. All pumps in the engine room shall
be for marine usage. All valves shall be in good operational condition.
Two bilges pumps to be fitted one electrical driven and an emergency hand pump.
Fixed CO2 installation for the engine compartment shall be provided. The activation of CO2 system shall be from
wheelhouse
All signs, instructions and labels in the engine room shall be in Bahasa and English.
The opening hatch shall be designed to meet;
a. The weight of the opening hatch must be within the capability of 1-man manual handling (max. 20 kg)
b. The supporting bars shall be designed to prevent the doors falls by the current
c. The supporting bars shall be sufficient against the weight of the doors.
Sufficient ventilation shall be provided for air circulation in engine room. The ventilation shall be equipped with fire flap
which can be activated prior to CO2 activation and release.

6.2. Main propulsion


The BOAT(S) shall be equipped with minimum two (2) diesel engines to achieve the required speed. The total engine
power shall be calculated to meet the required speed however they shall consider the maximum indicated fuel
consumption. The engines shall be water cooled and shall be started by an electric motor.
For new built engines (built after January 2008) the diesel engines shall comply with the MARPOL 73/78 annex VI
regulations with regards to emissions.

6.3. Water jet system


The BOAT(S) shall be fitted with minimum two (2) water jet propulsion systems. The water jet shall be designed and
compatible with the speed as required in CONTRACT. The water jet shall be very low vibration to the hull to provide
comfort ability to the passengers.
The inlet grid shall protect the water intake from the suction of floating debris and perform self-cleaning operation.
The system shall allow removal or recovery the debris from engine compartment without means to put the crew under the
water or outboard.

6.4. Electrical power plant and lighting


The BOAT(S) shall be as a minimum comply with the Flag, Class, National, International and COMPANY rules and
regulations with regards to the electric installations and electrical out fitting. All electric cabling, plugs, switches shall be of
an approved type in good condition. All cable extensions shall be secured in a harness.
Battery shall be provided in sufficient number to supply; a) all required services, b) starting engines, c) back-up and
standby. The back-up standby battery shall be ready anytime on board and remained fully charged.
The propulsion engines shall be fitted with alternator mounted as an attachment with build in rectifier. The voltage control
is to be carried out by a transistorized regulator. The alternator will charge the two 12 volt batteries via two independent
battery circuits complete with charging distributors.
Sufficient lights shall be available inside the accommodation and on deck; Flood lights for FWD and AFT deck and Engine
Compartment. The flood lights for fore deck shall be of an approved type and minimum 200 watt.

If needed, additional generator shall be installed properly in engine room, should it could not be hinder that the generator
set to be install on deck, a proper frame protection of the hot surface and grounding shall be provided. Fuel line from the
tank(s) to generator shall be arranged as well without creating potential trip hazard to passenger and crew.

6.5. Steering system


The steering system shall be electric / hydraulic connected to the water jet propulsion system and of a Class approved
type. The steering system shall be of a quick response and easy handling type.
All control cables used for the throttle and gear shifts shall be of stainless steel with nylon outer casing and shall be
permanently lubricated to ensure trouble free operations.

6.6. Fuel capacities


The BOAT(S) shall have sufficient fuel capacity for 8 hours continuous SERVICE. The fuel storage capacity shall be
minimum;
- Type A : 2 x 300 liters
- Type B : 2 x 500 liters
Calibration tables or engineering calculation for the fuel tanks shall be provided. The proper standard sight glass shall be
installed with proper standard scale. The position and condition of the sight glass shall be clear and easy to read.

6.7. Performance
Trials shall be done in accordance to the following procedures:
- The speed shall be measured at an open area not obstructed area in safe water depth between two points at a
distance of 1 nautical mile of each other staring at full speed – the distance shall be done in both directions.
- The trials shall be done with fuel tanks at half capacity and full passenger & cargo or dummy load.
- Nevertheless, the maximum speed of the BOAT(s) COMPANY regulations related to maximum allowable speed
shall be observed at all times.
The BOAT shall be able to maintain average 20 knots (Type A) and average 14 knots (Type B) at fully loaded condition
with or against current as minimum within 10 minutes without technical error. It is however during the OPERATIONAL
PERIOD, the crew must obedient the maximum speed policy within delta area for day and night travelling which will be
further conveyed during operation.

7. SAFETY EQUIPMENT
7.1. Live saving equipment
The BOAT(S) shall comply with Flag, Class, National, International and COMPANY rules and regulations with regards to
the live saving appliances required on board.
This shall include but not be limited to:
o Minimum two (2) life rings with safety lines, lights,
o Inflatable Life jackets must be sufficient for crew on board, with specification as follows:
- 150 Newton, asymmetrical (twin chamber or single chamber)
- ISO 12420-2 or SOLAS certified.
- Fitted with peerless whistle able to create a sound 100 dB.
- Fitted with a SOLAS approved flashing light.
- Have visual indicators to check the availability of release system.
CONTRACTOR is due responsible to ensure that Inflatable Life Jackets are in good condition and maintained as
manufacture recommendation.
o Sufficient life vest for passenger (as per seats capacity with 25% additional for spare). The life vest shall be;
- Foam type
- Minimum buoyancy 100 Newton
- IMO SOLAS approved
- Suitable collar protecting neck
- Fitted with whistle able to create a sound of 100 dB
o One first aid box/bag type C with the following minimum content refer to MHK-COMP-TKO-HSE-MED-0019 – FIRST
AID or its latest revision

7.2. Firefighting and fire prevention equipment
The BOAT(S) shall comply with Flag, Class, National, International and COMPANY rules and regulations with regards to
fire fighting and fire prevention required on board.
This shall include but not be limited to:
- Portable dry powder fire extinguishers
- Portable CO2 fire extinguishers
- Fixed CO2 installation for the engine compartment, this installation shall be as a minimum comply with SOLAS
regulations and be approved by the classification society.
- Fixed CO2 for engine shall be able to activate from aft cabin without crossing engine compartment.
- Smoke and heat detectors / alarm in the engine compartment.

7.3. Pollution control equipment


BOAT(S) shall be provided with suitable means to store waste oil, bilges water and noxious liquids and other pollutants.
These storages shall be of sufficient capacity for the size and type of the BOAT(S). Waste management plan to be in
place.

7.4. Other tools


The following tools shall be available on board, including but not limited to;
- Heavy duty flash light including battery and spare
- Oars or paddle
- Hooks

8. WORKSHOP and MESS CREW


8.1. Workshop
CONTRACTOR shall provide workshop nearby COMPANY operation which shall be reachable within maximum 10
minutes travelling by boats. The workshop shall facilitate routine maintenance and repair. It shall also have facility of
bottom hull cleaning.
The workshop shall at least be equipped as below but not limited to;
- Hand tool
- Welding machine
- Chain block up to 3T capacity, including the frame
- Critical and fast moving spare part
- Cooling room for storage
- Small office
- Fixed base VHF marine radio
- Standby mechanics

8.2. Mess crew


The CONTRACTOR shall make available at his shore base accommodation facilities for the crews who are off shift for
taking a rest. The facility shall include as a minimum, sanitary facilities (toilets, showers, washing basins), sleeping facilities
which shall comply as a minimum with the ILA (International Labor Association) regulations for what is concerned on
bedding, desks, tables etc. Catering and recreation facilities shall be available for the rest crew.
Fan shall be provided to ensure well air circulation in each room. Mosquito net shall be installed on ventilation
Refrigerator and water dispenser shall be provided in recreation room.
This camp facility shall be at the distance of not more than 10 minutes steaming from the area where the BOATs are
operating.
Camp accommodation shall refer to SI/EVP/002/2013 or its latest revision; this documents is available upon
request. An audit will be done by COMPANY’s representative in once a year.

9. TYPE B
The type B BOAT will be used to support diving operation or other operation which will require cargo on board. For those, the
BOAT shall be provided with lashing equipment. In general, the type B boat shall meet the following requirement but not limited
to;

10. PLAN MAINTENANCE SYSTEM


A planned maintenance system allows CONTRACTOR to plan, perform and document VESSEL maintenance at intervals
complying with Class and manufacturer requirements. The objective is to ensure safe and reliable VESSEL operations,
including equipment, in addition to compliance with all applicable regulations.
A planned maintenance system is mandatory according to the International Safety Management Code (ISM). An effective
planned maintenance system not only helps meet safety and environmental objectives laid out in the ISM Code, it is also an
investment in the protection of the assets and optimization on fleet management.
CONTRACTOR shall submit PMS of each VESSEL. The eligible maintenance day shall be taken as per the approved PMS.
COMPANY shall have it right to review the PMS and asking the evidences of its implementation. Failure to comply with the
PMS will lead to reduction rate imposition as specify in APPENDIX-4.

1. JETTY SERVICES
CONTRACTOR shall provide JETTY SERVICES to support personnel transportation. The jetty shall be at Samarinda Seberang
or Palaran, Samarinda East Kalimantan.
The location of jetty shall be having direct access with public road. The class of the road shall be corresponding with type of
vehicle which will be involving with the SERVICES. It shall be within the radius of 2.5 km of Simpang Pasir (end of Balikpapan-
Samarinda Toll Road), Samarinda (0°32'16.3"S 117°09'09.9"E).
The jetty shall be free of flood, it shall be accessible 24h/7d in all seasons, and having direct access with water (Mahakam
river).

o Estimated consumption is 200 pax/month.
o Water dispenser (hot and cold) including to mineral water shall be provided. Paper cups shall also be maintained available
at all times.

4. WORKING SCHEDULE
o The operation of jetty will be 24 (twenty-four) hours per day, 7 (seven) days per week. However, COMPANY will limit the
operation as possible in daylight only. The regular working schedule is as follows:
- Normal working days : 6 days/week (Monday – Saturday) including National Public Holiday
- Normal working hour : 06:00 – 18:00 include flexible rest hour (1 hour)
- Normal rest days : Sunday
o For some other reasons, spot operation may be required or operation may be prolonged beyond the normal operational
hours. COMPANY has right to ask the SERVICE beyond the regular working schedule and CONTRACTOR shall not
refuse this requisition. This requisition will be considered as overtime. In case CONTRACTOR personnel refuse to do
overtime, CONTRACTOR shall provide personnel replacement at the same number and competency to perform the
SERVICE. Overtime is only to be decided by COMPANY Representative based on COMPANY requirement

All crew shall work on a rotational system as applicable per National Regulations for seafarers PKL – Perjanjian Kerja Laut.
The CONTRACTOR shall notify the COMPANY in writing about the working schedule the crews will be working on. It will
stipulate the number of consecutive days the crew will be working followed by the number of consecutive rest days. Under no
circumstances the time on board shall not exceed one (1) month for the skipper and helper. The day off shall be as minimum
1/3 than the on duty period.
For the BOAT(S) without accommodation facilities on board, and the crew(s) working on shift system, i.e.: day shift and night
shift. CONTRACTOR shall provide accommodation and food for the crews at the CONTRACTOR’s shore base. This
accommodation and food shall be of good National standards. In addition to the meals provided at the CONTRACTOR’s base
crews shall be provided with a lunch box for the day shift crew and a food box similar to a lunch box for the night shift crew.
CONTRACTOR is advised to hire local PERSONNEL as organized by the Local Authorities (Local Lurah or Kepala Desa) in
accordance with their work skills, capabilities, qualifications and performances.
CONTRACTOR shall guarantee that the local workers he employs are fully competent in performing the required work. The
CONTRACTOR shall submit to the COMPANY a list with the number, names and salary of the local workers it employs for the
execution of this CONTRACT. COMPANY reserves the right to verify the correctness of the list with each of the
CONTRACTOR’s PERSONNEL.
CONTRACTOR shall ensure and is fully liable to ensure that the regional minimum wage regulations for the MIGAS sector as
stipulated by the Government are fully complied with throughout the OPERATIONAL PERIOD with regard to the remuneration
of the CONTRACTOR’s PERSONNEL. CONTRACTOR shall ensure that the salaries paid are in line with the duration of the
period the crews are spending on board of the BOAT.

Key PERSONNEL is:


 Skipper.
 Assistant skipper
All changes of key PERSONNEL shall be notified in writing and the CONTRACTOR shall submit the CV together with copies
of the certification to the COMPANY for approval.
Under no circumstances the maximum age of the boat crew (skipper and assistant) shall be 58-year-old. Nevertheless,
COMPANY has the right to revoke the crew anytime the medical fitness is unacceptable.

2. CONTRACTOR ORGANIZATION AND COMMUNICATION


CONTRACTOR must provide and maintain adequate and functional office required to provide the SERVICE
CONTRACTOR shall maintain a full complement of technical support and have sufficient resources of equipment, material and
personnel in the area of operation to fully support the CONTRACT
Storage, warehousing and repair facilities must be existing for all weather operation and of appropriate size in order to properly
support COMPANY operations in a safe professional manner.
CONTRACTOR shall provide dedicated shore based personnel who will be defined as a single point of contact for this
CONTRACT in the organization table. COMPANY has the right to assess those personnel (s) prior to their assignment toward
this contract. Changes to personnel assignment for this particular position must be informed to COMPANY.
CONTRACTOR must provide adequate communication links within CONTRACTOR organization to adequately manage this
CONTRACT, as required using but not limited to phone, facsimile, e-mail, or other required method of communication
Both parties will develop, during contract period, a contact communication plan. The plan will describe how information is
addressed and distributed between both parties to ensure that “critical” information is delivered to the right contact point and
nothing get delayed and or lost.

SHORE ORGANIZATION
CONTRACTOR shall ensure that his functional organisation and corresponding resources satisfy and guarantee the
performance of the SERVICES during the CONTRACT period.
The shore organization is taking importance role for the quality and continuity of the SERVICES. It is therefore the following
functions shall be made available during the CONTRACT period. CONTRACTOR shall submit its organization during kick-off
meeting prior to commencing the SERVICE. COMPANY has the right with its sole discretion to suspend the COMMENCEMENT
DATE if it is found that the shore organization does not meet below table and it is considerably insufficient to commence the
SERVICES.

3. CREW REQUIREMENT
3.1. Minimum Crew Requirements
The minimum crew required to be on board at all times shall be as per Flag, Class, and COMPANY regulations and shall
be not lesser than listed below:
o One qualified BOAT skipper.
o One experienced assistant skipper.

Minimum requirement of jetty operation services shall be as follows;


o One experienced dispatcher
o Two qualified and experienced security guard

3.2. Minimum Crew Qualifications.


The qualification and certification of the skipper shall be as a minimum as per Flag regulations
For the BOAT skipper the minimum certification required is SKPR.
a. BOAT skipper shall have at least:
o Three (3) years experience as BOAT skipper
o Basic Safety training certificate
o Holding SKK 30NM
o Basic rigging certificate
b. assistant BOAT skipper minimum certification required is SKPR
o Two (2) years experience as assistant BOAT skipper and experience in ship’s handling

CONTRACTOR shall submit to COMPANY copies of the certificates of crew plus their CV proving their experience for
approval.
The replacement crew shall have the same competency and qualification as per COMPANY’s requirements.

3.3. Minimum duties of the crew


The duties of the crew shall be to execute the scope of work as per Appendix 1 of this CONTRACT. This shall include but
not be limited to:
o Safe navigation of the BOAT(S);
o Operate all deck, engine room machinery and any other equipment / machinery on board of the BOAT;
o Mooring and un-mooring of the BOAT;
o Maintenance of the safety equipment on board;
o General maintenance and cleaning of the BOAT;
o Attend transfer of PERSONNEL;
o Connect / disconnect hoses as required;
o Any other work with the capabilities of the crew and the operational limits of the BOAT.
o Responsible for COMPANY’s properties on board the BOAT (AVTS, CCTV and etc. whichever is applicable).
It is the duty of the BOAT skipper of the BOAT(S) to ensure that the assistant skipper get experience in ship’s handling.

3.4. Responsibilities of crew
a. Responsibilities of the BOAT skipper and his helper:
o At all times the BOAT skipper will be responsible for the safety of his BOAT, her crew, the passengers and the
cargo on board.
o While navigating and when on standby duties the BOAT skipper shall use all available visual and electronic (radar
if fitted) means of look-out to ensure safe navigation.
o The BOAT skipper shall ensure that National and International rules and regulations regarding Prevention of
collisions at Sea COLREGS 72 are observed at all times.
o The BOAT skipper shall be responsible for observing the COMPANY rules and regulations related to the
maximum allowed speed within the Mahakam Delta. In case over non-respecting COMPANY rules and
regulations related to COMPANY may request CONTRACTOR to remove the BOAT skipper from its operational
area.
o The BOAT Skipper shall ensure that all certificates of his BOAT, equipment and crew are valid. If the originals
are not available, valid original copies as per COMPANY rules shall be on board;
o Passenger lists are kept up-dated.

In addition, they shall be responsible for:


o The maintenance and cleaning of the BOAT, its engines and water jets at regular basis;
o The maintenance of life saving appliances and ensure that they are in good condition and ready for use;
o The distribution of life jackets to the passenger prior embarkation;
o Embarkation /disembarkation of passengers, ensure that all passengers are seated while the BOAT is underway;
o All passengers observe the regulations regarding non-smoking and life jackets while inside the passenger area
of the BOAT;
o The loading and discharging of eventual deck cargo is carried out in a safe way;
o Eventual deck cargo is properly secured;
o Ensure that the COMPANY non-smoking policy is observed on board of the BOAT at all times;

b. CONTRACTOR shall provide dispatcher to conduct dispatching process. The dispatcher shall be approved by
COMPANY and considered as CONTRACTOR’s Key Personnel in the SERVICES. The Dispatcher shall be
responsible for the following task but not limited to;
o Act as COMPANY focal point under the direction of COMPANY’s representative
o Conduct dispatching process prior, during, and after personnel embarkation/disembarkation; such as check-in
process, create passenger manifest, conduct marine safety briefing, etc.
o Dispatch boat voyage in safe, efficient, and timely manner.
o Create daily activity report of passenger & boat movement.
o Check and record the fuel stock before embarking upon arrival of the boat.
o Review the fuel consumption of the boat.
o Monitor the travelling and position of the boat during sailing thru AVTS system, report as necessary to
COMPANY’s representative at port of destination

c. Two security guard shall be available during normal operational hour. The security shall be responsible for the
following task but not limited to;
o General task of Security.
o To guide COMPANY’s passenger to the dispatcher room
o To prevent un authorized persons to COMPANY’s rented space, e.g.: waiting room, dispatcher room, briefing
room, etc.
o To minimize the potential interaction among COMPANY’s passenger and other harbor’s user
o To secure the asset of CONTRACTOR and COMPANY
o Assist COMPANY’s passenger for the traffic and vehicle parking

3.5. Minimum crew salary
CONTRACTOR shall guarantee that the crew is paid (Take Home Pay) as minimum as follows;

4. PERSONAL PROTECTIVE EQUIPMENT


The CONTRACTOR will provide and make available to the crew all necessary PPE to allow them to carry out their duties in a
safe way. The PPE shall be of an approved standard and be renewed as required.
The standard PPE for the crew shall be referred to MHK-COMP-TKO-HSE-MTH-0005 “Personal Protective Equipment” or
latest revision
- Flame Retardant Working Clothes preferable of a clearly visible color with reflecting strips;
- Safety shoes shall meet the following;
• Comply to ISO 20354
• Class S1P
• Steel toe cap able to absorb energy 200 Joule.
• Stainless steel mid sole for nail proof
• Quick release system.
• Anti-static.
- Safety hat with kin strap; Safety helmet with visor.
- Safety glasses;
- Impact Resistant Gloves; High impact gloves & Low impact gloves.
- Ear protection;
- Rain clothes.

In addition, the CONTRACTOR will ensure that there are available on board sufficient:
- Any other PPE that might be required to protect the crew on specific jobs.

It is compulsory that PPE is worn at all times by all crew including senior staff when in the working area of the BOAT.

5. MEDICAL FITNESS
All crew on board of the BOAT shall hold valid medical checkup certificates as per COMPANY regulations. The result of
medical checkup shall be reviewed and validated by COMPANY’s doctor on duty.
COMPANY regulations require that medical fitness certificates are renewed on a yearly basis at a COMPANY recognized
medical center. It is the CONTRACTOR’s responsibility to ensure that these medical fitness certificates are available and
revalidated during the OPERATIONAL PERIOD.

6. PANDEMIC PREVENTION
CONTRACTOR must ensure compliance with COMPANY HEALTH PLAN and CONTRACTOR’s PERSONNEL awareness of
health and PANDEMIC PREVENTION issues.
PANDEMIC PREVENTION means the implementation of a set of measures intended to minimize the impact of a pandemic,
including medical preparedness, PERSONNEL information and business continuity plan.
The pandemic prevention expenses are subject to reimbursable by COMPANY, should it meet the following conditions;
a) It is required to comply with COMPANY HEALTH PLAN or COMPANY’s PANDEMIC PREVENTION program, and
b) The personnel work at WORKSITE in regular schedule, and
c) The test (s) is mandatorily required as the prerequisite prior to work as scheduled at WORKSITE, or
d) As required in written by COMPANY
Other expenses than the above purposes shall be at CONTRACTOR’s cost
The reimbursement will be made as per the documented price of the submitted original invoice or original copy invoice of the
related expenses

APPENDIX 4A

REMUNERATION

1. GENERAL
The applicable rates indicated here below, shall remain unchanged, unless one PARTY evidences in writing to the other PARTY
that such rates shall be modified due to an increase or decrease in cost of operating the BOAT or CONTRACTOR GROUP’s
property and equipment in such new permit area (including those relating to taxes assessed or levied on CONTRACTOR by
any government having jurisdiction over such new permit area), in which case the new rates shall be mutually determined in
good faith by the PARTIES.
COMPANY shall pay CONTRACTOR for all SERVICES and all obligations performed by CONTRACTOR based on SCOPE
OF SERVICES and GENERAL TERMS AND CONDITIONS the amount as agreed according to the Remuneration Table.
All payment will be made on monthly basis based on Attachment to Service Entry Sheet (SES) duly approved by COMPANY’s
Representative
All terms and conditions regarding the payment and invoicing shall be in line with provisions under General Terms and
Conditions of this CONTRACT.
REDUCED PERFORMANCE Rate is defined in Sub-Article 4.2.2.5 and Appendix 4B

2. REDUCED RATES
2.1 FORCE MAJEURE Rate is defined in Sub-Article 4.2.2.2. FORCE MAJEURE Rate is equal to fifty percent (50%) of HIRE
RATE.
2.2 SUSPENSION Rate is defined in Sub-Article 4.2.2.3. SUSPENSION Rate is equal to fifty percent (50%) of HIRE RATE.
2.3 BREAKDOWN Rate is defined in Sub-Article 4.2.2.4. BREAKDOWN Rate is equal to Zero.
2.4 REDUCED PERFORMANCE Rate is defined in Sub-Article 4.2.2.5 and Appendix 4B.

3. PENALTY
Refer to article 4.2.2.4, Should CONTRACTOR fail to provide the replacement BOAT as defined here above, COMPANY shall
have the right, at its sole option, to perform (or to have performed) the SERVICES by whatever method it deems expedient,
including the hiring of any other contractors.
COMPANY shall have the right to impose, for each day of delay to provide replacement BOAT, a penalty amounting to zero
point one percent (0.1%) of the total CONTRACT value of the related unavailable BOAT.

4. ADDITIONAL SERVICES
In any cases COMPANY require additional material or services other than specified in APPENDIX 1, COMPANY will reimburse
CONTRACTOR for such provided material and services at documented price plus 10% handling fee. For such, CONTRACTOR
shall provide as minimum 3 quotations from different vendor to be acknowledged by COMPANY.

Jetty operator service is a monthly lump sum rate for whole services as described above. The lump sum rate shall include;
