NOTICE INVITING e-TENDER
Indian Oil Corporation Limited (Marketing Division), Contract Cell, Eastern Regional Office, Kolkata invites
Limited Tender in Single Bid system from vendors.

Tenderers are advised to download Notice Inviting Tender along with other tender documents from the
etendering portal https://iocletenders.nic.in/.in While the tender shall be submitted online in soft copy on
our e-tendering portal, the Earnest Money Deposit has to be submitted online on or before due date &
time of tender submission. Tenderers must also note that before the bid is uploaded, the bid comprising of
all attached documents should be digitally signed using digital signatures.

Any addendum/Corrigendum /sale date extension in respect of above tender shall be issued on our
website: https://iocletenders.nic.in/.only and no separate notification shall be issued in the press. Bidders

4 Tender Fee Bidders are required to download the tender documents free of cost

EMD should be deposited as detailed below:
 Online EMD payment through Net Banking or NEFT/RTGS or
Bank Guarantee.
 Bank Guarantee as an instrument towards Earnest money
deposit shall be accepted only if amount of EMD is more
than Rupees One lakh.
For detail about process of payment of online EMD, bidders shall

Offline EMD payment through Demand Draft (DD), Bankers Cheque
(BC) and Swift Transfer shall not be accepted.

In case of Bank Guarantee, bidder will upload scanned copy of BG as


exemption document. Original BG shall be sent by the bidders/ bank
to Tender Issuing Authority as mentioned in the tender.
Original BG should reach to Tender Issuing Authority within 7
working days from the date of opening of technical bids. For the
purpose of receipt of BG, the time recorded in the receipt/DAK

section against receipt shall also be considered as receipt time.


Only those physical BG instruments found matching with the copy
submitted in the e-portal shall be considered as valid.
Bank Guarantee is to be executed by Nationalised / Scheduled Bank
towards EMD and should be valid for 07 (seven) months from the
date of opening of technical bid .
If needed, validity of BG should be extended by the party / Bank.
Bank Guarantee should be submitted as per enclosed proforma only
by the Tenderer. Such BG should be submitted only in a sealed
envelope of the issuing Bank and should not be in open condition.
If BG towards EMD is submitted in any manner other than aforesaid,
the Tender is liable to be rejected.
If the original BG instrument is not received by the due date and
time as specified above, the bid shall be summarily rejected.
Exemption from submission of EMD:
a. Parties registered with any of the following agencies/bodies as per
Public Procurement Policy for Micro & Small Enterprises(MSE) Order
2012 are exempted categories from payment of EMD provided that
the registration certificate issued by any one of these below
mentioned agencies must be valid as on close date of tender .
Bidders who have applied for registration or renewal of
registration with any of these agencies/bodies but have not
obtained the valid certificate as on close date of tender are not
eligible for exemption.
i. District Industries Centre(DIC)
ii. Khadi and Village Industries Commission (KVIC)
iii. Khadi and Village Industries Board
iv. Coir Board
v. National Small Industries Corporation(NSIC)
vi. Directorate of Handicraft and Handloom
vii. Any other body specified by Ministry of MSME

a. PSUs (Central & State) and JVs of IOCL. are exempted from
submission of EMD.
Startup Recognized by DIPP.
As per PP Act 2012, Startups are also eligible for exemption
from payment of EMD.

Definition of Startup shall be in line with that published vide


gazette notification No DL/33004/99 dated 11.04.018 i.e. an
entity shall be considered as a startup:
i) Upto a period of seven years from the date of incorporation /
registration, if it is incorporated as a private limited company
(as defined in the companies Act, 2013) or registered as a
partnership firm ( registered under section 59 of the
partnership act, 1932) or a liability partnership (under the
limited liability partnership (under the limited Liability

biotechnology sector, the period shall be up to ten years from
date of its incorporation/ registration.
ii) Turnover of the entity for any of the financial years since
incorporation/ registration has not exceed Rs. 25 Crore.
iii) Entity is working towards innovation, development or
improvement of products or processes or services, or if it is a
scalable business model with a high potential of employment
generation of wealth creation.

Provided that an entity formed by splitting up or reconstruction


of an existing business shall not be considered as “startup”.

It may be noted that this is a critical and expertise nature of


Service Contract, therefore purchase/price preference for MSEs
& Start-ups will not be applicable for this tender.
A copy of the EMD instrument or exemption certificate in case
of exempted categories shall be uploaded along with clear
scanned copies of required documents to substantiate the
claim towards their credentials along with the tender
documents in the appropriate link.
Tenderers not paying EMD or not uploading valid
exemption certificate or scan copy of BG on or before
tender submission date and time will be summarily
rejected.

Bidder shall properly fill up (as applicable), sign and stamp the
formats for above two declarations in their letter head and
upload the same along with the bid. Tender and Bid will be
liable for rejection, if bidder does NOT upload properly the

18.0 EVALUATION OF TENDERS :
A) The procedure for evaluation of tenders shall be as follows:
a) The party who has quoted the lowest rate (L1 rate) on landed cost basis will be considered
for award of work, with or without negotiation as per the policy of the Corporation.
b) Negotiations shall not be conducted with the bidders as a matter of routine. However,
Corporation reserves the right to conduct negotiations. Tenderers will have to attend the
Office of INDIAN OIL CORPORATION LIMITED as informed by Tender Issuing Authority for
negotiations/clarifications as required in respect of their quotation without any commitment
from INDIAN OIL CORPORATION LIMITED.
c) In case of tie between two or more bidders at L-1 position, all the L-1 bidders shall be
asked to submit discount bid in terms of percentage discount over previous quoted amount
and documents against turnover for the last 3 years in a sealed envelope.
d) The above exercise of discount bid and submission of Turnover shall currently be an offline
activity outside e-portal.
e) In case there is a tie again after discount bid, bidder with the highest turnover worked out
to three decimal points in any of the last three years shall be considered as L1 bidder. In
event of bidder submitting turnover documents for only one or two years, L1 shall be
decided on the basis of the turnovers submitted.
f) No Price Preference is applicable (except EMD exemption) for MSE Bidders as Quantity
cannot be split.
B) Rejection of Tender
The bid of the party will be rejected on the following grounds:
i. If requisite EMD or EMD exemption document is not uploaded on e-tendering portal as
mentioned in NIT.
ii. Non-withdrawal of conditions imposed in tender document & conditions imposed during
negotiations.
iii. A bidder who offers unsolicited reduction in the price offer whether before or after the
opening of the tender / bid shall be liable to have his/its/their bid(s) rejected. Bidders
may, however, at any stage offer a reduction if such reduction is solicited or if the
OWNER gives the Bidder an opportunity to offer such reduction.
iv. Tenderer submitting fabricated/ false/ forged documents for the tender.

a. Any Addendum/ Corrigendum/ Sale Date Extension in respect of the tender shall be issued

ANNEXURE 3

SPECIAL TERMS AND CONDITIONS OF CONTRACT

1.0 EARNEST MONEY DEPOSIT:


1.1. Tenderers are requested to submit earnest money deposit as per NIT. The EMD will not
carry interest.
1.2. Tenderers may note that that the EMD shall be forfeited in case of following situations in
addition to those contained in GCC:
 Canvassing of information or in case of fraud or submission of forged/ false
documents/ information by tenderers.
 Backing out after placement of work order.

2.0 COMPLETION TIME:


2.1 Entire work should be completed in a duration as per NIT, failing which price adjustment
for delay in completion shall be made as per clause no. 31.0 of the special terms and
conditions of the contract.

3.0 It should be noted that the Consultant appointed for the project/job shall not
be allowed to participate in the tender directly or indirectly. An indirect
participation shall include participation through an affiliate or as sub-
contractor, consultant or supplier. The expression affiliate for the purpose of
this clause will include any person or company or association who/which is a
member of the consultant ( If the consultant is a joint venture or consortium or
who or which directly or indirectly hold 10% or more of capital or voting
capital of consultant (if the consultant or any of its member is a company or
body corporate) or who or which is a consultant or sub-contractor of the
consultant with regard to this project.

4.0 DOCUMENTS:
These special terms and conditions shall be read in conjunction with the technical
specifications, drawings, GCC and any other document forming a part of the tender,
wherever the tender so requires.

5.0 VALIDITY OF TENDER: The tender will be valid as specified in NIT. IOC reserves the
right to place work order at anytime as per validity mentioned in NIT from date of opening
of tender. Once work order is placed the rates shall remain firm till completion of entire
work in all respects.

6.0 liability:
The successful tenderer, upon placement of work order, shall pay security deposit, an
amount equivalent to 10% of work order value ( exclusive of GST) in line with the Clause
2.1.1.0, Section- 2 of the GCC and associated clauses thereunder.

All the works carried out by the Contractor shall be covered under defect liability period
for a period of 12 (twelve) months from the date of handing over of completed work to
IOCL.

7.0 NATURE AND SCOPE OF WORK: The scope of work has been detailed under heading
“Scope of Works” in this document.

8.0 LOCATION OF SITE:


The work site is located as per NIT.

9.0 WATER SUPPLY:


The contractor shall arrange water/procure water required for the work at his own cost for
all leads and lifts. IOCL shall not be responsible for supplying water and Contractor shall
ensure timely and adequate supply of water to meet the schedule.

10.0 POWER SUPPLY:


The contractor shall make his own arrangement for power required for the work at his
cost. Acoustic DG set of suitable capacity may be installed and operated by the contractor
at his cost. IOCL shall not be responsible for power supply and contractor shall ensure
proper supply of electricity to meet the schedule.
The electrical works shall be carried out through Licensed Electrical personnel only.

11.0 CONTRACTOR’S SCOPE OF SUPPLY:


All materials including sand, aggregates, cement, reinforcement, structural steel,
consumables, testing appliances, tools and tackles necessary for completing the work shall
be procured & supplied by the Contractor at his own cost unless otherwise specified in the
schedule .It will be the responsibility of the Contractor to provide at their cost all required
workers/labor, equipment, machinery and all materials so as to complete the job as per
our drawings and specifications. No claim/ delay on this account will be entertained by the
Corporation.
IOCL reserves the rights in selection of make of materials out of the list of makes
furnished in tender to be procured by the contractors & contractor shall procure the same
only up on the approval by Site in charge/ IOCL on award of contract.

12.0 ORDER OF PRECEDENCE:


In case of irreconcilable conflict in non technical matters between provisions in separate
contract documents governing the same aspect, the following shall prevail in order of
preference:-
1. Formal contract
2. Acceptance of tender
3. Price schedule annexed to the letter of acceptance
4. Agreed variations annexed to the letter of acceptance
5. Addenda to the tender documents.
6. Special terms and conditions of contract
7. Special Instructions to tenderer
8. General conditions of contract
9. Instructions to tenderers

A variation or amendment issued after the execution of the formal contract shall take
precedence over the formal contract and all other Contract Documents. Notwithstanding the
sub divisions of the tender document into several sections and volumes, every part of each
shall be deemed to be supplementary of every other part and shall be read with and into
the contract so far as it may be practicable to do so.
13.0 MEASUREMENTS FOR WORKS/RECORD MEASUREMENTS/ BILLS:
13.1 All the payment for quantities certified in the running account/ final bill shall be as per the
details recorded in the standard measurement book/ SAP SES of the Corporation and
jointly signed by the Contractor/ site engineer of IOC.

13.2 Method of measurement shall be strictly in accordance with the technical specification for
this work.

14.0 MOBILIZATION ADVANCE:


No mobilization advance shall be given for this work.

15.0 MEASUREMENTS FOR WORKS/RECORD MEASUREMENTS/ BILLS:


15.1 All the payment for quantities certified in the running account/ final bill shall be as per the
details recorded in the standard measurement book/ SAP SES of the Corporation and
jointly signed by the Contractor/ site engineer of IOC.
15.2 Method of measurement shall be strictly in accordance with the technical specification for
this work.

16.0 SPECIAL CLAUSE:


16.1 Successful tenderer shall abide by all safety/security regulations that need to be followed
inside a petroleum depot premises & as per the instruction of IOC officials.
16.2 The contractor is required to take necessary care to protect to the existing nearby
structure while carrying out his scope of work. Any damage caused to other property
shall be rectified at his own cost.
16.3 The contractor shall cooperate with other contractors for smooth execution of project
related works. Along with the works covered under this contract other works shall be
carried simultaneously by other Contractors. The Contractor shall extend full co-operation
to the other Contractors and the works shall be carried out in such a way as not to affect
the progress of the project. Any damage caused to other works shall be rectified by the
Contractor at their entire risk and cost.

17.0 SITE CONDITION & CLEANING:


17.1 The site will be handed over to the party on “as is where is” basis.
17.2 The Contractor shall take care for cleaning the working site from time to time for easy
access to work site and also from safety point of view.
17.3 Working site should be always kept cleared up to the entire satisfaction of the Site
Engineer. Before handing over any work to owner, the contractor in addition to other
formalities to be observed as detailed in the document, shall clear the site to the entire
satisfaction of Engineer-in-Charge.

18.0 SAFETY PRECAUTIONS & HOT WORK :


18.1 Contractor shall have to take all safety precaution for carrying out hot work in the
premises after obtaining hot work permit from location in charge at his own cost as
directed by the Engineer-In-Charge. Necessary safety equipment such as safety belts,
helmets and other equipments are to be positioned by the contractor and use as per
requirement.
18.2 Safety distance as per PESO Rules and Oil Industry Safety Directorate shall be maintained
strictly during construction.
18.3 Any casualty or damage caused to property or person by any untoward incidents while
executing this contract will be at the contractor’s risk and cost.
18.4 The contractor shall also abide by hot work permits to be taken on day to day basis from
the location as per policy of the Corporation.
18.5 The successful tenderer shall be responsible for observance of all conditions as per
Appendix furnished along with GCC with regard to safety.

19.0 WORKS IN OPERATING TERMINAL, PLANT, INSTALLATION, DEPOTS


Since the works are required to be executed in the operating Depot of IOCL, under such
circumstances, the progress of work is likely to be interrupted on account of the
operations of the Depot, etc. The works may at certain times have to be stopped on the
instructions of our site Engineer/Location-In-Charge. Under such circumstances, the
contractor should co-operate with corporation to avoid hindrance to the operations of the
Depot. The working hours will be adjusted as per the corporation's representative, from
time to time. Rules and regulations of the Depot shall be strictly followed by the
contractor. The stoppage of work due to any reasons mentioned above shall not entitle
the contractor for any claim of compensation whatsoever for idling of his labor/ machinery
etc during such interruptions.

20.0 SECRECY AGREEMENT:


CONTRACTOR shall as a part of his obligation sign an agreement for secrecy of the
drawings / documents with IOC. CONTRACTOR, hereby, expressly undertake to keep all
the drawings/documents as well as other Technical information given in the CONTRACT-
DOCUMENT secret and shall not divulge or leak or otherwise cause to be known to the
competitors or others having any interest in such process in anyway the contents in
any form, shape or method.

21.0 DELETION/ MODIFICATION OF CLAUSE(S) IN GCC:


21.1 Following clauses forming part of the GCC issued along with the tender are deleted/
modified:
a. Clause 2.6.2.0 – General, section 2 of GCC is deleted.
b. Clause no. 3.0 – Section - Instruction to tenderers of GCC is deleted.
c. Clause 4.5.1.1 – The clause shall partly be modified. Duration of 30 days shall be read
as 20 days.
21.2 GCC contains provisions for arbitration and alternate dispute resolution machinery under
section-9, which stands deleted. Further, the reference to arbitration and alternative
dispute resolution machinery provision contained in any other term & condition in GCC,
which may be general or special in nature shall also stand deleted to the extent the said
contents are applicable to the arbitration provisions.
21.3 Notwithstanding any other mechanism for dispute resolution provided under the General
Conditions of Contract, with a view to a speedy resolution , the Contractor and Owner
may at any time endeavor to settle through conciliation a dispute referable for settlement
by Conciliation under and in accordance with the Indian Oil Corporation Limited
Conciliation Rules 2014 ( hereinafter referred to the “said Rules” ) as amended from time
to time. The said Rules may be downloaded from the owners website at www.iocl.com
and if not available, a copy thereof may be obtained from the owner on written request.

23.2 The table stipulates only the minimum qualification of manpower required at site for the
three functions and additional engineers / technical staff shall be positioned based on the
requirements at site at no additional financial implication to IOCL.
Note: In case the Engineer concerned is holding diploma qualification against Engineering
graduation, the requirement of site experience shall be increased by 2 years.

24.0 PENALTY CLAUSE IN CASE OF BREACH OF SAFETY:


The penalty for breach of safety during execution of works shall be levied by the
Corporation as below:
a. Violation of applicable safety, health and environment related norm, a penalty of
Rs 5000/- per occasion.
b. Violation as above resulting in;
 Any physical injury, a penalty of 0.5% of the contract value (max. of Rs 2 lacs)
per injury in addition to Rs 5000/- as mentioned above.
 Fatal accident, a penalty of 1% of the contract value (max. of Rs 10 lacs) per
fatality in addition to Rs 5000/- as mentioned above.
In case of any breach of contract (other than price reduction clause for delayed
completion) , recovery of requisite service tax amount over and above the penalty
amount shall be done from the contractors bill.

25.0 ACCEPTANCE OF WORK ORDER:


25.1 After communication of the Corporation’s acceptance of the contractor’s tender, if the
contractor fails to return the duplicate copy of the work order and agreement duly signed
in token of their acceptance within 10 days, the EMD is liable to be forfeited by the
Corporation, with or without any further reference to the contractor.
25.2 On acceptance of the quotation, the successful contractor will have to execute an
agreement with the corporation covering all aspects of the contract in standard form
(issued by IOCL), immediately before commencement of the works. The intending
tenderers should acquaint themselves with the provisions of standard agreement prior to

25.3 When the party signing the agreement is not the sole proprietor, necessary power of
attorney authorizing the person who is acting on behalf of the firm should be produced
before execution of the agreement.
25.4 If the Contractor does not start the work by the above stated period and if the
Corporation is not satisfied with the reason for not starting the work in time or if
Contractor refuses to carry out the work due to any other reason, the Corporation can
cancel that work order by giving a Registered Notice after the expiry of the specified
period as per the order and the same work shall be carried out by any other Contractor at
the entire risk and cost of original Contractor.
25.5 In the event of such cancellation, the ISD/SD for the subject work, Earnest Money Deposit
and/or Permanent Earnest money Deposit will be forfeited and the empanelment of the
contractor in all categories shall be cancelled forthwith, without any further intimation to
the contractor. In addition the Corporation also reserves the right to holiday list the
contractor in the event of such default.

26.0 SPECIFIC CONDITIONS:


26.1 The works at site will be supervised either by IOC site engineer or by Project Management
Consultant (PMC) agency appointed by IOC. It shall be the responsibility of the contractor to
ensure that the works are carried out with due inspection of works by Site Engineer /PMC
agency as per approved QAP at every stage of work. Further it shall also be the
responsibility of the successful tenderer to submit bills for payment, which are duly certified
by Site Engineer/PMC agency. Bills shall be processed for the works completed, measured
and entered in the MB duly signed by both successful tenderer and TPI. During execution of
works, it shall be noted that deviations shall be put up duly endorsed by TPI agency.

26.2 The bills are to be certified by concerned site engineers and the payment will be made by
the concerned state office as per prevailing policy of the corporation from time to time.
26.3 Many works executed may need clearance from an Acceptance Committee formed by
Corporation at any stage of the work. Contractor shall render full cooperation and comply
with all the observations, instructions of the Committee at no extra cost to IOC.

27.0 SPECIFIC CLAUSES ON TAXATION:


The following clauses are relevant for tenders for works contract under GST Law:

(Central Tax)/SGST (State Tax)/IGST (Integrated Tax)/UTGST (Union Territory Tax)/ GST
Compensation Cess Acts, also includes any duties, cess or statutory levies levied by central
or state authorities.

of price bid only on the final product and/or services (applicable to invoices raised on
IOCL) within the contractual delivery date /period (including extension approved if any)

Further, in case of delay in delivery of goods and/or services, any upward rate variation in
Taxes and any new promulgated taxes imposed after the contractual delivery date shall be
to the Seller’s / Contractor’s Account.
Similarly in case of any reduction in the rate(s) of the Taxes between last date of
submission of price bid relevant to the Contract and the date of execution of activities
under the contract, the Contractor shall pass on the benefit of such reduction to IOCL with
the view that IOCL shall pay reduced duty/Tax to Govt.
4 Wherever any escalation / de-escalation linked to raw material price (Basic price excluding
taxes) is allowed as per terms of the contract, Variation to the extent related to escalation
/ de-escalation of value of material shall be allowed without Tax unless specified
otherwise.
5 It would be the responsibility of the contractor to get the registration with the respective
Tax authorities. Any taxes being charged by the Contractors would be claimed by issuing
proper TAX Invoice indicating details /elements of all taxes charged and necessary
requirements as prescribed under the respective tax laws and also to mention his correct
and valid registration number(s) along with IOCL’s registration number as applicable for
particular supply on all invoices raised on IOCL.
Contractor to provide the GSTIN number from where the supply is proposed to be under
taken. Further the HSN Code / Service Accounting Code (SAC) as applicable for the
subject tender needs to be provided in the columns provided in the technical bid.
In case the contractor is opting for Composition scheme under the GST laws (i.e Section
10 of the CGST Act, 2017 and similar provisions under the respective State / UT law), the
contractor should confirm the same. Further the contractor to confirm the issuance of Bill
of Supply while submission of tender documents and no GST will be charged on IOCL.
In case the contractor is falling under Unregistered category, the contractor should
confirm the same.
6 The contractor would be liable to reimburse or make good of any loss/claim by IOCL
towards tax credit rejected /disallowed by any tax authorities due to non deposit of taxes
or non updation of the data in GSTIN network or non filling of returns or non compliance
of tax laws by the Contractor by issuance of suitable credit note to IOCL. In case,
contractor does not issues credit note to IOCL, IOCL would be constrained to recover the
amount including interest payable along with Statutory levy/Tax, if any, payable on such
recovery.
7 Tax element on any Debit Note / Supplementary invoice, raised by the contractor will be
reimbursed by IOCL as long as the same is within the permissible time limit as per the
respective taxation laws and also permissible under the Contract terms and conditions.
Contractors to ensure that such debit Notes are uploaded while filing the Statutory returns
as may be prescribed from time to time.
8 The contractor will be under obligation for quoting/charging correct rate of tax as
prescribed under the respective Tax Laws. Further the Contractor shall avail and pass on
benefits of all exemptions/concessions/benefits/waiver or any other benefits of similar
nature or kind available under the Tax Laws. In no case, differential Tax Claims due to
wrong classification of goods and/or services or understanding of law or rules or
regulations or any other reasons of similar nature shall be entertained by IOCL.
9 In case, IOCL’s Input Tax Credit (ITC) is rejected on account of wrong levy of tax i.e.

versa, the contractor is liable to make good the loss suffered by IOCL by issuance of
suitable credit note to IOCL. In case, contractor does not issue credit note to IOCL, IOCL
would be constrained to recover the amount including interest payable alongwith
Statutory levy, if any, payable on such recovery.
10 In case the contractor is opting for Composition scheme under the GST laws, in such
event the evaluation of his bid will be based on the Quoted Price.
In case the contractor is falling under Unregistered category, then GST liability, if any, on
IOCL will be included for the purpose of evaluation.
11 In case, IOCL is eligible to avail Input TAX Credit (ITC), the same shall be reduced from
the delivered price to arrive at the net landed cost.
12 IOCL shall reimburse GST levied as per invoice issued by the Contractor as prescribed
under section 31 of the CGST Act and respective states and Rules.
13 To enable IOCL to avail ITC, the contractor/supplier shall furnish/submit any and all
certificates, documents and declarations as are required by IOCL to avail of the ITC with
respect to GST reimbursed by IOCL on materials sold to IOCL.
14 Invoice should be raised as per Tax Rates mentioned in the BIDs and in case at the time
of raising Invoice if the invoices raised are not as per Tax rates mentioned in the bid,
payment will be limited to the rate quoted as per BID subject to increase /decrease in
Rates after last date of submission of Price Bid provided delivery is within the Contractual
period.
15 CUSTOM DUTY (These clauses will not be applicable wherever port clearances
are in the scope of IOC and IOC is to take delivery at Port) applicable for Global
Tender
15.1 Custom Duty for this clause shall mean Basic Custom Duty, Additional Duty of Customs
levied under Section 3 of the Customs Tariff Act equivalent to the IGST and Education
Cess and Secondary and Higher Secondary Cess.
15.2 The contractor shall within 7 (seven) days of dispatch /shipment of any such materials
forward to the owner, the following documents.
(i) Supplier’s /Vendor Invoice indicating item wise price of the materials for the
purpose of assessing customs and other Import duties
(ii) Bill of lading/Airway Bill
(iii) Package wise packing list
(iv) Certificate of origin and other relevant documents relating to the identification
of the materials.
(v) Other relevant documents for the assessment of customs duties and the
clearance of goods through Customs.
15.3 The Contractor shall also be fully responsible for Port and Customs clearance including
stevedoring, handling, unloading, loading and storage and for satisfying all Port and
Customs formalities for the clearance of the goods , including preparation of the BILL(s) of
Entry mentioning the applicable GSTIN of IOCL and other documents required for import
and or/clearance of the goods. The applicable GSTIN shall be advised by IOCL. The
Contractor shall also be fully responsible for any delays, penalties, interest, demurrages,
shortages and any other charges and losses, if any in this regard.
15.4 The Custom Duty payable shall be reimbursed on production of supporting documents or
paid directly to the Customs Authority, as the case may be.
15.5 IOCL shall pay the CUSTOM DUTY within 1 (one) working day or specified under Customs
law, after the day on which the CONTRACTOR furnishes the complete necessary
documents including duty requisition slip along with BILL of ENTRY to the IOCL’s

However additional cost on account of delayed payment of Custom duty due to IOCL’ s
fault shall be paid by IOCL.
15.6 IOCL will not bear liability towards payment of safeguard duty, Anti Dumping duty,
Protective Duty or Countervailing Duty on subsidized articles or any other such duties of
Customs imposed by the Government of India under Custom Tariff Act 1975 applicable on
such materials in India.
15.7 All other costs towards Port and Customs Clearance shall be the contractor’s responsibility
including appointment and payment to clearing agents and no reimbursement will be
made by IOCL except as quoted in the price bid.
15.8 The contractor shall provide IOCL with all documents necessary for IOCL to claim Input
Tax Credit (ITC) of the IGST levied under Section 3 of the Custom Tariff Act. Should the
contractor fail to provide any such document(s) resulting in a shortfall in the ITC available
to IOCL, the shortfall shall be made good by the contractor by issuance of suitable credit
note to IOCL. In case the contractor does not issue credit note to IOCL, in such case,
IOCL would be constrained to recover the amount along with interest and statutory levy, if
any, and such recovery would be without pre-judice to any other mode of recovery from
the Running Account or other bills or payments to the Contractor.
15.9 The input tax credit available to IOCL will be reduced to arrive at the net Landed cost in
the hand of IOCL for evaluating the Bids.
15.10 In case the bidder is availing any exemption under the prevailing customs law, then
necessary documentary proof for availing the said exemption is required to be submitted.
In the event of non submission of the requisite documents as per the conditions for
availing the exemption by the successful bidder, then the additional outflow on account of
various taxes and duties will be recovered from the bidder.
15.11 The Tariff Head under which the goods will fall should be clearly mentioned along with the
Custom Duty Rate at the time of submission of Bid.
16 ROAD PERMIT /WAY BILL
16.1 IOCL will issue Road Permit/Way Bill, by whatever name it is called, to the Contractor only
in those cases where materials is purchased by IOCL directly and/or IOC is statutorily
required to issue the Road permit/Way Bill, by whatever name it is called. Contractor will
be under obligation for proper utilization of road permits for the specific supply and in
case of seizure of goods/vehicle; the Contractor will be wholly responsible for release and
reimburse the litigation cost to IOCL.
16.2 IOCL shall on no account be responsible for delay or hold up due to the timely non
availability of such documents as are required to be furnished by the owner to obtain the
Road Permit/Way bill, by whatever name it is called. However, IOCL shall make best
efforts to provide sufficient number of Road Permits/way bill, by whatever name it is
called. on demand to avoid any delay or Hold up.
17 Works Contract / Composite Supply / Mixed Supply

17.1 Works contracts as defined under the GST law includes Contracts for Building,
Construction, Fabrication, Completion, Erection, Installation, Fitting out, Improvement,
Modification, Repair, Maintenance, Renovation, Alteration or Commissioning of any
immovable property wherein transfer of goods is involved in the execution of such
contracts.
Composite Supply has been defined as supply in which two or more supply of goods or
service or both or any combination are naturally bundled and supplied in conjunction with
each other in the ordinary course of Business, and then the rate as applicable for principal
supply will be applicable on the entire transaction.
Mixed supply has been defined as supplies of goods or service or both which are made in
conjunction with each other for a single price and which does not constitute a composite
supply then the rate as applicable for the highest rate will be applicable.
In view of the above various definitions under GST law, bidders are required to evaluate
the jobs to be undertaken covered under the tender and quote accordingly by taking in to
account the nature of Job read with the legal provision.
The place of supply in relation to an immovable property shall be the location at which the
immovable property is located or intended to be located.
17.2 In case, IOCL is eligible to avail Input TAX Credit (ITC), the same shall be reduced from
the delivered price to arrive at the net landed cost. IOCL shall reimburse GST levied as per
TAX invoice issued by the Contractor as prescribed under respective GST Acts and Rules.
In case the contractor is not permitted to issue Tax Invoice the same should be clearly
mentioned in the price Bid.
17.3 To enable IOCL to avail ITC, the contractor/supplier shall furnish/submit any and all
certificates, documents and declarations as are required by IOCL to avail of the ITC with
respect to VAT reimbursed by IOCL on materials sold to IOCL.
17.4 Invoice should be raised as per Tax Rates mentioned in the BIDs and in case at the time
of raising Invoice if the invoices raised are not as per Tax rates mentioned in the bid,
payment will be limited to the rate quoted as per BID subject to increase /decrease in
Rates after last date of submission of Price Bid provided delivery is within the Contractual
period.
17.5 Wherever provisions of Tax deduction at Source (TDS) are applicable under the CGST /
SGST / UTGST/IGST Act, 2017 on supplies of goods or services or both to IOCL, tax will
be deducted from the invoice raised and deposited with the authorities by IOCL. TDS
certificate as per provisions of CGST / SGST / UTGST/IGST Act, 2017 shall be issued by
IOCL.

27.1 INCOME TAX:


a. The contractor shall be exclusively responsible and liable to pay Taxes on Income
arising out of payment made out of the contract.
b. Wherever withholding tax i.e. Tax deduction at source (TDS) is applicable under the
Income tax Act, 1961 the same will be deducted from the Invoices raised and TDS
Certificate as per provision of the Income tax Act and Rules shall be issued to the
contractor.
c. PAN is mandatory. If PAN is not provided TDS would be deducted at higher rate as per
the provisions of Income Tax Act.

28.0 QUALITY CONTROL


28.1 Entire work shall be executed as per the IOCL specifications for civil ,electrical &
mechanical works. All the bought out items used in the construction shall be sourced
from the approved vendors of IOCL. However, on the specific request of the Contractor,
IOCL may approve name of any other vendor not included in the approved list.

28.2 IOCL may appoint Third Party Inspectors (TPI) for inspection of work at various stages of
construction and as per the QAP & IOCL specifications. The fee of TPI will be paid by
IOCL.

28.3 The work will be inspected by the Engineer/ Engineers from respective Divisional Office
and Bihar State Office of IOCL.

28.4 Contractor shall provide all necessary assistance to the TPI / IOCL engineers for carrying
out inspections/ tests / measurements of work without any extra cost to IOCL.

28.5 All the materials shall be got approved before use. In case defective/sub standard
materials are brought at site and rejected by TPI / IOCL site Engineer, the same shall
have to be removed immediately within 3 days from the site at their own cost. IOCL shall
not entertain any claim from the Contractor on this account. In case, Contractor fails to
remove such materials from the site, within 15 days after issue of notice in writing, IOCL
reserves the right to dispose off such materials at the entire risk and cost of the
Contractor.

28.6 The Contractor shall make arrangements for retention of samples of approved materials
till completion of work.

28.7 Contractor shall bear all expenses towards testing of materials as per QAP and IOCL
specifications. Repeat tests if required, as per the opinion of IOCL/TPI shall also be
conducted by the Contractor at no extra cost. The lab tests shall be carried out at any
Govt Engg College/Govt University/Labs with NABL accredition /Govt Labs, Govt
recognized test houses and test houses with ISO accredition. However, at its discretion,
IOCL may advise to carry out tests at a particular laboratory, which shall be binding on
the Contractor.

28.8 Contractor shall provide all the necessary equipments required for field tests to maintain
the quality of work as per QAP and IOCL specifications.

29.0 CLEARING THE SITE OF WORKS:


29.1 Contractor shall arrange to dispose of debris and any other waste product created while
carrying out the work, outside Corporation’s premises. The Contractor shall take due care
while disposing of such waste materials and ensure that any rules/ regulations laid down
by Municipal Corporation or any other statutory body are not violated. The Contractor shall
be responsible and answerable to any complaint arising out of improper disposal of waste
material. Quoted rate shall involve the cost of same and no extra payment shall be made
towards this account.
29.2 The Contractor shall clear the site of works as per the instructions of the Site Engineer.
The site of works shall be cleaned of all men, site equipment, materials, etc and shall be
delivered back to the Corporation in a clean and neat condition as required by the Site
Engineer within a period of one week after the job is completed after ensuring that all
surfaces spoiled during the works such as floors, walls, glass panels, etc are spotless

29.3 In case of failure to do so by the Contractor, the Corporation shall have the right to get
the site cleared at the risk and cost of the Contractor.

30.0 PAYMENT SCHEDULE:


30.1 The following payment terms shall apply for this tender: The Payments will be released as
per Progress of works at Project sites and will be independent for Each Project i.e for
release of Payments, both the Building Projects i.e 1) Barauni Refinery Township,
Begusarai and 2) Namkum, Dist- Ranchi, Jharkhand will be viewed separately.

The Payment to the Architectural consultant shall be made as “on account” and shall be
adjusted against the final bill. Payment shall be paid in RA bills after completion of
substantial amount of work against claim. The same will be followed as per the (%)
payment schedule mentioned below.
Engineer I/c decision is final in releasing the number of RA bills considering the
satisfactory progress and achievements from time to time.
The project construction engineers from Consultant as part of PMC services shall be
required at site only during project construction stage.
IOC reserves the right to merge or split the tender packages during any time of the
project, as felt suited best for the project & decision of IOC in this regard shall be final &
binding in this regard. Even if certain packages are split by IOC, the performance of the
CONSULTANT shall be measured based on completion of all packages within the timelines
specified above.
The Consultant shall be available for service to IOC for a period of 06 months from the
date of commissioning for assistance to IOC for overseeing minor changes in the
systems, measurements and certification of bills, winding up of the project etc.

Any tender for minor works which are consciously deferred by IOCL for subsequent
invitation or any work which is to be carried out due to recommendation of inspecting
officials / agencies will not be considered as non-completion for application of price
adjustment, even though design & engineering for these works are included in the scope
of services of the consultant.
 The stage wise payments to the EPCM CONSULTANT is indicated broadly on the services
to be completed.
 The Payments shall be made as “on account” and shall be adjusted against the final bill.
 The % payment defined below shall be on the finalized rate.

31.0 PRICE ADJUSTMENT FOR DELAY:

31.1 For any delay solely attributable to the Consultant beyond the above completion period
mentioned in column (1) for the project , Corporation shall be entitled to recover Price
adjustment for delay @ 0.5% per week on consultancy service charges (as per their
weightage given in the above table) from the consultant subject to a maximum of 10% of
Service Charges.

31.2 Price adjustment on account of delay on every activity shall be initially imposed based on
the completion period mentioned above Sl (1) in case there is a delay in completion of
activities, reasons attributed to the consultant.

31.3 Price adjustment on account of delay shall be reviewed and recalculated on final
completion amount of consultancy work after completion of entire work in line with the
above clause @ 0.5% per week subject to a maximum of 10% of final consultancy service
value ( as per their weightage given in the above table).

31.4 If the Building project is completed within 25 months the entire deducted amount (if
any) shall be refunded to the consultant without interest. If completion the project goes
beyond 25 months from the date of commencement of consultancy work, deduction shall
be finalized as per above clause (31.3) if reasons for delay is attributable to the
consultant.

31.5 The price adjustment is in nature of discount and the same is required to be
passed on by the consultant to IOCL through his invoice or through credit note.

31.6 The final completion date under the above contract for the purpose of determining defect
liability period shall be considered as the date of commissioning of Project or the date of
submission of Close Out report whichever is earlier.

31.7 Time starting date for discount calculation shall be subject to variation upon extension of
time date for final completion of the works with a view that upon any such extension there
shall be an equivalent extension in the starting date for discount calculation thereof.

31.8 It is specifically acknowledged that the provisions of the Clause on Price Adjustment for
Delay constitute purely a provision for price adjustment and/or fixation and are not be
understood or construed as a provision for liquidated damages or penalty under Section
74 of the Indian Contract Act or otherwise.

31.9 Application of price adjustment under above Clause shall be without prejudice to any other
right of the OWNER, including the right of termination and associated clauses there under.
Nothing in the Clause above shall prevent the OWNER from exercising its right of
termination of Contract hereof and associated clauses there under, and OWNER shall be
entitled, in the event of exercising its said right of termination after the last date for final
completion of the works as stipulated in the relative Progress Schedule without prejudice
to any other right or remedy available to the OWNER, to discount as aforesaid in the
contractual price of services in addition to any amount as may be due consequent to a
termination hereof and associated clauses there under.

31.10 Final bill shall be released only after successful completion of all the activities and
after the Final Acceptance by IOCL for the work in its entirety.
There shall be no restriction in value for submission of RA bills . In normal circumstances,
payment shall normally be made within 30 days from the date of receipt of bills , provided
the bills are legitimate and free from any dispute Following documents/ activities shall be
completed before submission of final bills:
- Copy of test certificates, Warranty certificates as applicable.
- Material reconciliation statements & documentation of site records as applicable.
- Any other specific documentation required by IOCL.
- Cleaning & clearing of site.

32.0 The Corporation can ask for Bank Guarantee or security in the form of cash deposit for any
material issued to Contractor for the work outside any established premises of the
Corporation. For works at any other site where Corporation has no established premises,
the Corporation may request the Contractor to take charge of equipment till handing over
and Contractor shall be responsible for security of the same.

The Contractor will not have any legal ownership on materials issued for Corporation
works. The Contractor will submit the name of his authorized representative with his
attested signature to Divisional Engineer/Location- in-charge for issue of materials.
Contractor will preserve MIN/MRN (for receipt of material from the Corporation/ Return of
balance material to the Corporation after the individual work has been completed) till the
submission of final bill for individual works. The consumption of material for work will be
settled on the basis of MIN/MRN if any materials is found short, the Corporation will
recover its cost either book value plus 10% or market rate whichever is higher.

33.0 The Corporation reserves the right to accept any tender in whole or in part and reject any
or all tenders without assigning any reasons. The Corporation reserves the right to accept
one or more tenders in part.

34.0 Any conditional / incomplete offer or failure to follow above instructions shall lead to
disqualification. Providing any details of rates offered in the technical commercial bid
section will lead to disqualification of the bidder.

35.0 VERIFICATION OF ORIGINAL DOCUMENTS:

36.0 TYPOGRAPHICAL OR CLERICAL ERRORS:


The Corporation’s clarifications regarding partially omitted particulars or typographical or
clerical errors shall be final and binding on the Contractor.

1.1 Indian Oil Corporation Ltd, Head Office, at G- 09, Ali Yavar Jung Marg, Bandra (E),
Mumbai 400 051, through its State Office at Bihar, Lok Nayak Jai Prakash Bhawan, Dak
Bunglow Chowk, Patna has decided to construct an State of the Art Indian Oil Guest
House at

1.2 The decision has been taken after forecasting the existing as well as future demands of
officials to be posted at Patna.

1.3 The Indian Oil Guest House to be developed at our lands at NBCC Tower at Bahadurpur
Patna and approx Total Built-Up area of Guest House would be as follows:-

10th floor of the NBCC tower is comprising of 5 flats. Details as below:-

awarding the consultancy contract.

1.6 Consultant to plan the details of activities and tender packages in this regard
to obtain approval from competent authority from IOCL, so that the entire
project to be completed within the stipulated period of 06 months.

Relevant site related data and information available with the Corporation is
provided below, however the same is to be reviewed by the consultant before
finalization of the proposal.

3.1 The proposed site is located at following locations. Plan of Plots are attached.

4.0 SUMMARY OF FACILITIES:

As per List of Standard Facilities for GH as per Circular Ref: DP/3/9/70, Dated 17.09.2019
(Attached Seperately)

5.0 REQUIREMENT DETAILS IN BRIEF:

The requirements and layout of the entire Floor (for Guest House) shall be
finalized on award of consultancy services and as per approval of IOC.

5.1 The architectural Consultant shall provide for flexibility in the architectural design to
enable IOCL to increase the area for facilities to be built by minimum of 25%.

5.2 The design of the buildings shall be as per National Building Code, Indian Green Building
Council and conform to Indian Standards Code of Practice for various disciplines and in
line with best Engineering practices.

5.3 The proposed life span for the building shall not be less than 100 years. Therefore, the
design and specification of the building shall take into account the maintenance and
durability aspects. The structural design of all buildings to be put up shall as per seismic
zone of the areas.

5.4 The buildings shall be designed for comfortable environment, aesthetic and psychological
appeal. The building shall reflect contemporary attitude towards environmental control
and aesthetic excellence.

5.5 The internal planning of the complex should be an open plan concept with flexibility and
modularity of spaces and services installations to enable interior design and planning to
suit IOCL requirements. Particular attention should be paid to services installations and
for IOCL enabled infrastructure.

Special attention shall be given to energy saving devices / designs with maximum natural
lighting and ventilation, renewable energy sources and eco- friendly features and cutting
edge technology with green feature. For this purpose, buildings shall be designed in line
with green building concepts as per ECBC codes. Building shall be designed with 4 star or
equivalent rating as per GRIHA/LEED/IGBC or equivalent norms.

5.6 5.6.2 Due emphasis in design of Mechanical and Electrical services shall be laid on the
following aspects:

5.7 CONSERVATION OF WATER:

 Sewage treatment plant shall be designed to provide soft water for horticultural and
other uses. The sludge produced in the plant shall be dried and used as manure in
landscaped areas.

5.8 ENVIRONMENTAL PROTECTION:

 Cautious effort shall be made to ensure positive contribution to the environment and
pollution control norms. Use of HFC refrigerant, scrubbing of combustion of flue,
recycling of waste, use of energy efficient motors, employing variable frequency
drives, optimum lighting levels in occupied areas, etc are some of the measures
which are to be considered from the concept design stage.

 The design of the building shall also conform to the standards of green building.

5.9 FIRE SAFETY:

 Highest fire safety norms in accordance with local fire bye–laws/ codes are to be
followed and state of the art microprocessor based addressable fire alarm systems
shall be provided. All the electrical main panels in the building shall have resident gas
canisters interlocked through fire alarm system, which automatically operate in case
of any emergency. Lastly, health of fire safety system shall be constantly monitored
through Building Management Systems.

5.9.1 INTEGRATION:

 Layout, Detailed Design, Details of Specification and Drawings for fully planning and
preparing the building systems in recognition of Electro Mechanical aspect for the
buildings so as to integrate into the following three categories.
 Energy efficiency
 Life safety systems & Security Systems
 Telecommunications Systems.
 Green building codes.
The purpose is to develop and design Buildings with complete integration of the above
operations and services with other Building Services.

DETAILED SCOPE OF SERVICES FOR THE CONSULTANT

(1) Scope of Works: Scope of work broadly comprises of the followings:-

The scope of works includes but not limited to the following:-

a. Visit the site and understand existing facilities/ constraints and take project brief from the
Corporation in detail with respect to the concept of the project to analyze the need in
detail.
b. Obtain brief from IOCL Bihar State Office, Patna in details about internal/external
features of the proposed Guest House at NBCC Tower at Bahadurpur Patna including
materials to be used, and facility to be provided etc. for the proposed Guest House.
c. Understanding the concept of the project from IOCL and reviewing the existing site
parameters and IOCL requirements to oversee the entire project’s budget, scope and
schedule.
d. Evaluate IOCL’s need and requirement. Evaluation of Site, analysis the impact of existing
structures / proposed development of it on existing structure of the building.
e. Preparing alternative layouts (minimum 3 alternatives) along with plan, elevation and
sections for the proposed Guest House and all other associated facilities. Final decision
regarding the layout to be adopted for construction shall be at the sole discretion of IOCL
and the same should be resubmitted to IOCL.
f. Preparation of preliminary designs, drawings for the proposed Guest House, 3D views,
sanitary installations, firefighting system, electrical system etc.
g. Explaining the general planning with schedule of internal and external materials and
finishes and dimensions. Firefighting system, intercom for services, complete in
accordance with the relevant National Building Code/ local Bye laws.
h. To give walkthrough presentation of 2D/3D views to IOCL officials using BIM/3Dmax as
required with no extra cost and obtaining approval of IOCL.
i. The layout plan shall include an area statement giving details facilities proposed.
j. The Consultant shall submit plans, elevations, sectional & perspective views of the
selected alternative in all details showing interior layout of each facility on a suitable scale
of or as specified by the Corporation. All the drawings shall be on a scale of 1:100 or as
specified by the corporation.
k. The modifications / suggestions made during such presentations shall be
incorporated in the final drawings.
l. The Consultant shall incorporate any suggestions, modifications or alterations in the
details after deliberations with the Corporation & submit revised drawings/schemes to the
Corporation for final approval without any additional cost to IOCL.

m. Defining various scope of work in detail and preparation of detailed Technical Estimates,
Bill of Quantities, Specification etc for various works within the approved budget.
n. Preparation of Detailed Project estimate based on rate analysis as per CPWD norms /
accepted guidelines with complete working details, schedule of internal and external
finishes. Supplying details of calculations of such as Quantity take off sheets, obtain back
up market quotations (minimum 03 nos) etc. The project estimates shall be done in
various sections to arrive at the total cost required for completing the project

o. Scope of work to includes but not limited to Interior Works at the proposed Guest
House Fixed and loose furniture, Furnishing, Electrical and Illumination design, Kitchen,
Pantry, Fire Fighting, Plantscapes etc
p. Submission of detail report.

BOQ/Specifications/Drawings

q. Preparation of BOQ, specifications/drawings etc. for tendering, either in phases or full as


per the tendering schedule finalized/suggested for timely completion of the job.
r. Preparation of detailed architectural drawings including elevation, plans, sectional
elevations, cross sections and longitudinal sections, floor plans, reflected ceiling plans,
terrace plans, lighting, electrical features, landscaping/site development plan, AC/HVAC
(if required), associated utilities, MEP schematics, etc.
s. Interior Design of the proposed Guest House including partitions, False Ceiling, LAN,
Intercom, Furniture etc.
t. The consultant shall forecast and prepare BOQs considering every scope of the work and
applying their practical experience in such a manner that, generation of extra items in
future is eliminated.
u. Submit soft copies drawings to IOC for the purpose of invitation of tenders.
v. Prepare and issue construction drawings for all items of works in all details in accordance
with relevant standard codes of practice and sound engineering to enable individual
contractors to complete construction.
w. The consultant shall plan, design and provide full details of all MEP services and other
services designs such as IBMS/ HVAC/ Security & Access Controls / Fire fighting and Fire
alarm etc.

2. The objective of the consultancy service is to ensure timely completion of State of the Art,
Indian Oil Guest House at NBCC Tower at Bahadurpur Patna under Bihar State Office with
due regard to sound contract management, quality, safety and environment practices in
accordance with contract provisions.

Further “The contract is the specific job/work and not for supply of manpower by the
bidder to IOCL. Any sort of description in relation to manpower specified elsewhere
in the tender document is to ensure un-interrupted acceptable quantity of service to
IOC. The manpower deployed will remain under ultimate superintendence and
control of the consultant only and consultant is under an obligation to provide the
services as specified in the scope of work in the tender document. The contractor
would be sole responsible for all statutory/legal compliance in relation to
deployment of his manpower for execution of job/work at IOC unit pursuant to this
tender”

A. PROJECT INITIATION :

Need Analysis
 Visit the site and understand existing facilities/ constraints and take project brief from
the Corporation in detail with respect to the concept of the project to analyze the
need in detail.
 Understanding the concept of the project from IOCL and reviewing the existing site
parameters and IOCL requirements to oversee the entire project’s budget, scope and
schedule.
 Evaluate IOCL’s need and requirement. Evaluation of Site, analysis the impact of
existing structures / proposed development of its immediate environments etc. and
ascertaining Local Bye-laws, Ground/design controls applicable to the site of work,
details of various approvals required from Local/Statutory Authorities.
 Submission of detail report in this regard.

Feasibility Study
 Set out basic planning principles and possible construction strategies. Examine how
the project can meet stated requirements and aspirations.
 Confirm IOCL about the Technical, Statutory and legal constrains of the project and
possible steps to be taken by the consultant to overcome the constraints for
obtaining the required clearances.
 Undertake a detailed survey of the site including soil investigation prior to the design
of the engineering works. While carrying out the survey, the consultant shall also
ensure taking details of the existing facilities and levels with respect to a suitable
bench mark.
 Submission of detail report in this regard.

Business Case:
Describe the steps to be taken for hassle free completion of the project, details of
risk analysis, stakeholder analysis, to be carried out in this regard and report to be
submitted. Estimate and compare overall cost. Set out advantages and
disadvantages, such as income generation, the benefit and gains to society and end
users against the environmental impact and its use of resources.

Facilitate Approval of proposal:


 Obtain brief from IOCL Bihar State Office, Patna in details about internal/external
features of the building including materials to be used, and facility to be provided etc.
for the proposed complexes.
 Preparation of master plan for entire Area and to exploit entire FAR in future.
 Preparing alternative layouts (minimum 3 alternatives) along with plan, elevation and
sections for the proposed Office Building and all other associated facilities/ buildings
in the premises. Final decision regarding the layout to be adopted for construction
shall be at the sole discretion of IOCL and the same should be resubmitted to IOCL.
 Preparation of preliminary designs, drawings for the proposed buildings using BIM
software (Tekla structures or equivalent)) also for preparation drawings, 3D views
with structural details, sanitary installations, firefighting system, electrical system etc.
 Consultant to provide one user licensed BIM software (Tekla or equivalent)
at IOCL office along with necessary operational training for analyzing and

 For minor drawings (2D views) i.e. storm water drainage, rain water harvesting
system, landscaping and for site related drawings, internal roads, paved areas,
culverts, compound walls, staircases, lift, etc. Auto CAD may be used at discretion of
IOCL.
 Explaining the general planning with schedule of internal and external materials and
finishes and dimensions. Plumbing/Electrical layout indicating internal and external,
pumps, engine alternator, substation, firefighting system, elevators, intercom EPBAX
and location of ducts for electric cables, telephone, AC ducts and other conduits for
services, complete in accordance with the relevant National Building Code/ local Bye
laws.
 To give walkthrough presentation of 2D/3D views to IOCL officials using BIM/3Dmax
as required with no extra cost and obtaining approval of IOCL.
 The layout plan shall include an area statement giving details of permissible FAR,
ground coverage, setbacks etc., and actual built up area generated. The site plan
shall show services such as water supply, sewer lines, road lighting, underground
tank etc (True to scale).
 The Consultant shall submit plans, elevations, sectional & perspective views of the
selected alternative in all details showing interior layout of each facility on a suitable
scale of or as specified by the Corporation. All the drawings shall be on a scale of
1:100 or as specified by the corporation.
 The modifications / suggestions made during such presentations shall be
incorporated in the final drawings.
 The Consultant shall be required to make comprehensive presentations before
officials of the Corporation at various stages to explain the concepts and detailing
in order to facilitate approvals of the schemes.
 The Consultant shall incorporate any suggestions, modifications or alterations in
the details after deliberations with the Corporation & submit revised
drawings/schemes to the Corporation for final approval without any additional cost
to IOCL.

Statutory Approvals:
Analyzing the details of statutory and legal clearance required and timely obtaining the
same for smooth completion and handing over of the project without any hassle to the
corporation.

 Preparation of all drawings/documents/studies for submission to Statutory Authorities


in order to obtain
i) NOC from Municipal Corporations.
ii) NOC from Chief Fire Officer(initial)
iii) NOC from AAI
iv) Occupancy certificate from Municipal Corporations

Apart from the above mentioned approvals, consultant is also responsible for
obtaining any other missed out approvals for smooth completion of the project. In
case no other approvals are required except the listed above, consultant to submit a
declaration that no other approvals are required.

Statutory approvals for Lift, Power connection. Electrical Inspector approval, DG


installation, HVAC (if any) and final NOC from Chief fire officer (CFO), Storm water
(final), sewerage (final), Water supply (final) will be in respective contractors scope.

Consultant to assist for giving design/ technical clarifications, in case necessary to


facilitate approvals.

 Preparation and Submission of plans/drawings to local civic bodies for obtaining


approval of the Local/Statutory authorities according to the applicable acts, laws,
regulations etc. and make any changes desired by such authorities at no extra cost.
The approved documents in original shall be submitted to IOCL for its reference and
record.

 Any documents required for submission to statutory authorities and not available with
IOCL also need to be managed by the Consultants with due follows up with statutory
authorities or to be obtained through RTI or some other suitable menace.

 For the purpose of obtaining all statutory approvals, it shall be the responsibility of
the Consultant to engage structural engineers/ Architects/ Specialists who are
registered/ recognized by the local statutory/ approving authorities.

B. PROJECT PLANNING:

Define Scope
 Defining various scope of work in detail and preparation of detailed estimates for
various works within the approved budget.
 Scope of work to include Civil works, i.e. framed structure, foundation, water supply
system, sanitary & plumbing system, firefighting system, Electrical system, Lift,
security system, landscaping, drainage, roads, site development, green building
features etc. and any other as per requirement.
 Submission of detail report.

Cost Plan
Preparation of Detailed Project estimate based on rate analysis as per CPWD norms
/ accepted guidelines with complete working details, schedule of internal and
external finishes, all services as per project details, building specifications including
specification for all trades and services and bill of quantities including those of
various services all based on schedule of rates conforming to best specifications and
procedures to describe the whole project adequately. Supplying details of calculations
of such as Quantity take off sheets, obtain back up market quotations (minimum 03
nos) etc. The project estimates shall be done in various sections to arrive at the total
cost required for putting up the Project from Start to Finish until commissioning.
Drawing sets forming part of project estimate preparation shall be furnished for
verification by IOCL.

Design

 Prior to foundation and structural design, the Architectural Consultant shall carry out
an independent detailed Soil Investigation based on the requirements of approved
architectural drawings. The Soil Investigation shall be carried out in accordance with
provisions of relevant BIS Codes and also arrange for testing the underground water
for fitness for construction and portability. The foundation system shall be finalized in
consultation with IOCL.

 The building shall be designed to withstand static/dynamic loading (wind/seismic)


and the design shall be strictly in accordance with the latest Indian Standard Code of
Practices/ National Building Code. The structural analysis and design shall be done by
using latest version of software packages such as STAADPRO or equivalent. The
provisions in various BIS Codes shall override the packages output.

 The architectural consultant shall supply all design calculations/computer input and
output giving specific reference to BIS/NBC, along with soft copies. The structural
drawing showing the reinforcement details / bar bending schedule shall be prepared
as per latest edition of SP: 34 (S&T). All overriding conditions prescribed by IS:
13920 or any other BIS code shall be taken into account while preparing the
structural drawings.

 Structural Design and its third party vetting of the proposed buildings. The third party
for design verification shall be by IIT, Patna or any other IIT/NIT.

 The structural designs for foundation and buildings of all facilities to be constructed
in the Complex shall be to exploit the maximum FAR available.
 Consultant also to design the firefighting, water supply, sanitary, plumbing, electrical,
Lift, overhead and underground water tanks, STP and landscaping system etc.
BOQ/Specifications/Drawings/Tender documents
 Preparation of BOQ, specifications, tender documents/drawings etc. for tendering,
either in phases or full as per the tendering schedule finalized/suggested for timely
completion of the job. BIM software is to be used for preparation of all BOQ in line
with the developed model of the building.

 Preparation of detailed architectural drawings including elevation, plans, sectional


elevations, cross sections and longitudinal sections, floor plans, reflected ceiling
plans, terrace plans, lighting, electrical features, landscaping/site development plan,
AC/HVAC (if required), associated utilities, MEP schematics, etc.
 Finalize all internal and external finishes, elevations (from all sides for each of the
buildings) and obtain approval of IOCL.
 Interior Design of the office building including partitions, False Ceiling, LAN,
Intercom, Office Furniture etc.
 Models: After finalization of the working drawings, the Architectural Consultant shall
be required to prepare a scale model to a convenient scale, showing the complete
details of the buildings. In addition, the Architectural Consultant is also required to
prepare a model to a convenient scale showing the site along with its proposed
landscape etc. locating the proposed buildings in the complex.
 The consultant shall prepare detailed bill of quantities covering all items of work to
be carried out under various tender packages to be decided jointly between IOCL and
Consultant for taking up construction of Project.
 The consultant shall forecast and prepare BOQs considering every scope of the work
and applying their practical experience in such a manner that, generation of extra
items in future is eliminated.
 The entire project shall be constructed under specific tender packages which shall be
prepared and submitted by the Consultant for approval by IOC. Upon approval,
consultant shall prepare and submit PERT Chart for construction of facilities under
each of the tender packages including timelines.

 PERT Chart for each tender package and for entire Project shall also be submitted.
The PERT charts shall preferably on MS Project. Milestones to be achieved for entire
project construction shall also be prepared and submitted. The project shall be
monitored on MS Project/ similar software and weekly report shall be submitted to
IOCL.
 Under each tender package, the Consultant shall be required to
 Develop detailed technical specifications for the items involved
 Calculate quantities for items and submit quantity take off sheets.
 Submit and obtain approval of IOC for list of approved makes (minimum 03 nos)
for various items to be incorporated in tender documents. Decision of IOCL in this
regard shall be final.
 Prepare rates for each of the items to be included based on rate analysis.
 The rate analysis shall be based on market rates and hence at least 03 (three)
market quotations for all major items need to be obtained and furnished for back
up.
 Prepare the preamble to schedule of rates detailing all works deemed to be
included in the rate analysis of each item.

 Submit detailed schedule of works including quantities and rates forming part of
technical estimates for inviting tenders. The technical estimates shall be backed up
by quantity take off sheets and rates duly prepared based on rate analysis.

 Prepare drawings for all items of work and show all construction details & elements
necessary for executing the individual items of work.

 Submit soft copies of tenders and drawings to IOC for the purpose of invitation of
tenders. The Consultant shall also be required to submit 3 set of tender document
with drawings duly signed with stamp for approval of IOC.

 Number of tenders to be invited for the project will depend on break-down of the
jobs and overall programming, mostly through Public Tenders.

 In case, limited tenders for specialized works are called only from reputed
contractors, the Consultant shall recommend to the Corporation a panel of at least
eight bidders for each tender in consideration. The consultant shall recommend the
name of the parties who had carried out similar jobs for various tender documents.
The recommended name of the parties shall be based on the scrutiny of the
credentials of the parties with respect to their capability of carrying out similar work
and scrutiny of their organizational & financial strengths & other parameters. In the
event of calling Limited Tenders, the Corporation will select contractors after taking
consultant's recommendations into consideration, but will have ultimate right to such
selection.

 Prepare and issue construction drawings for all items of works in all details in
accordance with relevant standard codes of practice and sound engineering to enable
individual contractors to complete construction. It is also brought to the attention of
Consultant that all construction drawings are required to be released along with the
package wise tender documents and hence should be prepared in advance. However,
some construction drawings may also require to be prepared by the Consultant on
continuous basis during execution of works.

 The consultant shall plan, design and provide full details of all MEP services and other
services designs such as IBMS/ HVAC/ Security & Access Controls / Fire fighting and
Fire alarm etc as per Project Details detailed in the document, in case the above are
applicable for this work.

 Water supply scheme shall cover water connections, underground / semi


underground storage tank, pumping arrangement and pipeline connections.

 The scope shall also include planning, designing and preparation of detailed working
drawings for site development including landscaping, surface drainages etc. /
Internal roads / Car / Scooter Parking / Communication System / Lifts / Overhead
Water tank/ Water treatment plants/ Security etc.

Tendering
 Preparation of all tender documents and allied works.
 Attend to the office of IOC for pre bid meetings to be held for each of the tenders to
be invited by IOC and accord clarifications to the tenderers, prepare and submit
minutes of pre bid meetings etc. The Consultant shall, however, not enter into
discussions with the tenderers on any matter concerning the rates/ prices to be
quoted by the tenderers.
 All other services required from time to time up to placement of work orders by IOC
under various tender packages.
C. IMPLEMENTATION

(PROJECT MANAGEMENT CONSULTANCY)

Positioning of manpower for supervision of work:


 The consultant shall depute one graduate (Preferably Licensed Civil Engineer
(BE/B Tech) with minimum 10 years of experience in high rising building
construction (minimum 10th and above storied) as Project Manager. The Project
Manager should have required knowledge level in all fields of construction
including safety. The engineer should have minimum 60% marks in their
graduation level.
 Another 2 graduate (Preferably Licensed) engineers (BE/B Tech), with
minimum 5 years building construction experience (multistoried) to be posted
under the project I/c to look after the day to day supervision work. Amongst the
two graduate engineers one must be an Electrical degree engineer, other must
be graduate civil engineers. The engineers should have minimum 60% marks in
their graduation level.
 Bio-data of the engineers needs to be approved by IOCL before they are posted
at site. IOCL may also take personal interview of the above engineers before
posted at site.
 The project I/c should inspire a shared vision, also a good communicator with
integrity, enthusiasm, empathy, competence, cool under pressure, team building
& problem solving skills. Should able to manage stress and ambiguity.
 The consultant should exclusively have their site office equipped with PC, project
management software (MS Projects), CAD etc., printer, photo copier for smooth
discharge of site official activities.
 The project I/c and the site engineers need to be computer savvy and should
have knowledge to operate CAD, MS Projects and MS office.

 Effort to be made to continue the same team till completion of the project unless
any changes are suggested by IOCL or any of the engineers leaves the job.

Working schedule of Engineers:


 As the work is to be carried out on a fast track basis, the Architectural
consultant may be required to engage the services of the above mentioned
technical personnel in more than one shift (1,1.25,1.5 & 2 shift). One shift
consists of 08 Hr working.
 In such case timing of site engineers is to be altered to ensure extended hour
site supervision. The proposed manpower combination is to be followed in line
with special terms and condition of the contract.
 During such period planning should be done to ensure availability of minimum 01
engineer in every shift including the Project Manager. No extra payment is to be
made for additional working hours.
 In case any additional man power is required or any site engineer is detained by
IOCL after their 08 hour working to meet some exigency work, additional
payment shall be made in line with special terms and condition of the contract.
The man month calculation is to be made in line with special terms and condition
of the contract.
 The site engineers are responsible for supervise the work throughout the month
during all working hours including Sundays/Holidays as decided from time to
time by IOCL. Unless work is undertaken by IOCL during Sundays/Holidays no
payment deduction is to be made.
In case, there is no activity at site due to suspension of work due to any reason,
or due to delay in obtaining subsequent clearance from statutory authorities etc,
supervision period shall be extended by the consultant without any cost to
IOCL.
 If IOCL finds that the personnel of the Architectural consultant are either not
available or not discharging their responsibilities satisfactorily, IOCL shall have
the authority to deduct payment, seek substitution of such personnel and the
consultant shall make immediate arrangements for substituting the personnel.
 The decision of IOCL with regard to the competence/effective services of the
personnel appointed by the Architectural consultant shall be final.

Detail supervision of work


 The date of start of supervision activity will be taken from the date of placement
of site engineer at site.
 Prepare contract administration, review contracts and project objectives.
Preparation of Project planning on MS Project along with sequence of
construction.
 Oversee the execution of the building contracts. Monitor construction progress
and compliance with plans.
 The Consultant will submit detailed PERT Chart and other comprehensive
reports, listing consultant's own activities and also works to be carried out by
other Contractors/ Agencies for the final completion of project. Such
Reports/PERT/ Bar Charts, shall be duly updated on a weekly basis along with
recommendations to crash completion periods indicating related costs, if any.
 To keep strict control on the quantities of work executed and while giving
decision, the Consultant shall always keep the cost factor paramount in mind,
commensurate with the desired quality of work. For all decisions involving

additional expenditure or deviations from contract the matter is to be placed


before the Corporation and their approval obtained before giving decisions
 To ensure that the quantities included in the tenders finalized will not vary
beyond 10% (plus/minus ten percent) of the quantities as indicated in the
detailed BOQ. For any variation in quantities beyond 10% in individual items of
work, detailed justifications will be required to be furnished by the Consultant for
acceptance by the Corporation.
 Prepare and issue working drawings (Good for construction) with all details for
proper execution of the work. This shall include preparation of fabrication / shop
drawings for select items as well as scrutiny / approval of shop drawings
submitted by vendors for various services.
 Inspect contractors’ activity and execution of work. Undertake
detail/random/surprise checking of materials and quality of workmanship.
 Undertake final clarification of design details prior to implementation. Any
process changes required by IOCL and issue relevant instruction to contractor.
Revision of drawing details and specifications as required by construction process
 Check and approve requests for payments issued by contractors.
 Constant supervision of works on daily basic, as per tender packages and
ensuring maintenance of records and adherence to QAP. QAP shall be prepared/
proposed by consultant and got approved from IOCL. Role of Consultant’s Site
Engineer will be to give marking for layout of building and various equipment,
check dimensions of various structures of building, to check quality of work as
per approved drawings & QAP, check all quality control records, inspection of
material brought to site for execution, certify measurement of work in
Measurement Book and Bills, maintaining all records as per IOC requirements,
attend site meetings with contractor,
 Rendering necessary technical assistance to the contractors / their engineers
about required skill sets for carrying out works of special nature during project
construction.
 Assessment of site risk and handling internal/external disputes in coordination
with local authority.
 Compliance of central contract labour formalities under provision of contract
labour (regulation & abolition)Act 1970
 In the event of differences relating to the interpretations of drawings
/designs/specifications/ any other part of the Consultancy between the
consultant and the contractors, the interpretation and the decision of the
engineer –in-charge of IOCL shall be final and binding.
 Assisting in arbitration and litigation cases that may arise out of the contracts
entered into in respect of any of the works.
 Exercising cost control & economy measures to ensure that the approved
Estimates are not exceeded.
 The Architectural consultant shall obtain the approval of IOCL for any of the
material deviation in the design or specification that may be required and felt
necessary during execution due to technical or administrative reasons.
 Preparation of the final deviation statement as required by IOCL, Ensuring and
checking that the “as-built drawings” submitted by the contractors on completion
of work, Monitoring of progress of work and sending weekly reports to IOC
Engineers, Taking and recording of measurements as per IOC’s procedures,
Enforcing safety codes and practices of IOC during construction, to give site
decisions for execution of work to contractors in writing to contractors in writing.

 The Project In Charge of Consultant shall be required to make at least one site
visit in a fortnight and submit report to IOCL to review the quality of work and to
ensure that the actual construction is being carried out as per schedule.
Additional site visits of Project In Charge if required also shall be done at no
extra cost.
 Check that all works have been carried out in accordance to contract. Provide
assistance, if required, in negotiating with contractors, suppliers or
manufacturers, if any.

Details of site review & reporting

 The Project In- Charge along with Site engineers shall be present for all site
meetings to be held with contractors and other agencies for monitoring and
review of the Project.
 Attend meetings arranged by the IOCL with relevant parties involved in
construction and completion of the work.
 Regular review meetings shall be held in the office of the Corporation at Mumbai
Head Office/Site Office between the consultant and the Corporation, minimum
on monthly basis or as and when required by the corporation.
 The meeting shall cover all aspects of the work scope for completing the project
within the approved time-frame. Consultant shall be required to attend these
meetings for speedy implementation of the decisions & follow up required.
 Consultant shall record minutes of such meeting and maintain them as records
for future references after obtaining the Corporations approval to the same
within a week.

 IOC shall not make any additional payments towards the visits by the consultant
that are required to the office of IOC at Mumbai for any review meeting.

 After award of work consultant’s Project I/c to arrange fortnightly meetings at


site office along with contractor’s representatives to achieve desired level of
coordination for project implementation & completion in time.

 A monthly progress report shall be submitted to the Corporation in the last week
of every month, starting from the award of consultancy work, giving the status
of each activity in all details including status of individual activities within their
organization such as planning, design, detailed engineering and package wise
tender preparation. Work progress ect.

Ensuring Safety and Security:

 The Consultant shall be required to carry out regular safety meetings & safety
audits (monthly)at site with a view to ensure adoption of safe construction
practice by the contractor & take up with them for each case of unsafe
construction practice.
 Manage all Project Related Health & Safety & Environmental issues in
compliance with IOC guidelines and country laws.
 Perform all actions required by IOC Environmental, Health & safety guide lines.
 To ensure proper security system at site and sensitize the contractors in this
regard.

D. PROJECT CLOSER :
 To provide assistance in commissioning and handing over of the project.
 Technical assistance shall be given by Consultant to IOCL answering any audit /
Vigilance/CTE which may arise with regard to any aspect of the work.
 Technical assistance shall be given to the Corporation in arbitration and litigation that
may arise with regard to the contracts entered into between the Corporation and the
contractors.
 It shall be responsibility of the consultant in getting the project services connected
to the local authorities mains for electricity, water and sewerage, telephone, etc. as
the case may be. However, these items shall be included as part of various tender
packages that would be planned for project construction.
 The Consultant shall submit all drawings, designs, specifications etc. which have
been prepared by them for any item of work for approval of the Corporation and in
sufficient time to permit modification being made in the drawings etc. Submitted for
approval of the Corporation without affecting the overall time schedule.

 All drawings, designs & specification submitted for approval shall be approved or
commented upon, in writing, by the Corporation within a reasonable time from the
date of receipt. If the Consultant requires early approval of any drawing, design or
specification in order to avoid delay in the completion of the works, he shall advise
the Corporation in writing to such effect when submitting the drawing, design &
specifications.

 The Consultant shall make any change in the design which is necessary to make the
design conform, to the provisions and intent of the agreement and give safe and
trouble free installation. Approval given by the Corporation to any drawing, design or
specification is only for the general arrangement and shall not relieve the Consultant
of any obligations indicated in this agreement.
 The Consultant shall be responsible for all discrepancies, errors or omissions in the
drawings, design & specifications and other particulars supplied by him, whether
such particulars and drawings have been approved by the Corporation or not.
Consultant shall carry out at his own expense any change in drawing, designs or
specifications necessitated by reason of any discrepancy, error or omission in the
drawings and particulars supplied by him.

 All such drawings, designs, specifications or particulars after approval by the


Corporation shall be released to contractor through the Corporation after being
certified by Consultant to be "Released for Construction".

 Ensure smooth closing of contracts.

 The consultant shall submit required number of sets of completion drawings and
other details to local authorities and obtain completion certificates.

 Separate Structural Stability Certificate for each of the buildings shall be furnished by
the consultant at the end of all works.

 The Architectural consultant shall prepare and submit a maintenance and


Housekeeping schedule, for the building by IOCL.

 The Architectural consultant shall be responsible for preparing and submitting “AS
BUILT DRAWINGS” for the building and all services for reference and records of
the IOCL both in hard cloth mounted drawings and digital mode.
 Preparation and submission of key learning for future projects.

i. The requirement of Site Engineers (Civil//Electrical) shall be communicated by IOCL to


the Consultant based on the nature & quantum of works being undertaken at site. Upon
receipt of communication from IOCL, the Consultant has to depute the required Engineer
within 30 working days. Similarly in the event of completion of a certain portion of the
work, IOCL shall communicate for withdrawing the Site Engineer with a notice period of
30 days. In this case mammoth is to be increased/decreased on prorated basis.

ii. Project I/c & Site Engineers shall be entitled to 10 Days of CL, 5 days of SL and 15 days
of PL/EL. Absence from site/ office for more than above period will lead to deduction on
pro-rata basis for excessive absence period over the finalized rate for Site Supervision

services on MAN MONTH basis. For the above purpose of computing unauthorized
absence from site, following shall be applicable :
 SL application for more than 2 days at a time shall require medical certificate.
 5 CLs shall be credited to Project I/c & Site Engineers at the beginning of year.
Balance 5 CLs shall be credited at end of 6 months.
 7 days of PL/EL shall be credited to Project I/c & Site Engineers engineer / the
beginning of year. Balance 8 EL/PL shall be credited at end of 6 months.
 No carry forward shall be permissible.
 Combination of the three types of leaves shall not be permissible.
 CL and EL/PL for period of more than 2 days shall be taken with prior approval
from IOCL Site in Charge.
 Steps to be taken that at no time more than 01 engineer is on leave.
iii. In case consultant is not able to provide required number of manpower (man month-01
project manager+02 site engineers) as per commitment, the man month shall be
deducted as per the above with an additional penalty of Rs 50000 /- per month for
project manager & Rs 30000/- per month for every site engineer.
In case manpower is reduced by IOCL no penalty shall be imposed or no compensation
shall be given to the consultant.

ii. Approval of Site Engineers: All the above personnel, who are posted as site engineers,
shall be employees, who are on the rolls of the consultant firm & manpower under
Contract with the Consultant Organization shall not be permissible. Bio-data of all the
above personnel shall be submitted to IOC with the bid (Pool of Bio-data may also be
submitted). Prior approval shall be obtained before designating for the job. It is expected
that the personnel once posted will stay on till completion of the project. However, in
case of unavoidable circumstances, the person can be substituted with prior approval of
IOCL.
iii. Designated Project Manager: The consultant shall designate a senior level Manager of
their firm as the Project Manager, within 7 days of receipt of LOA, who will co-ordinate
with IOCL, for all matters relating to the project. The Project Manager shall attend all
review meetings at IOCL’s Mumbai office as well as site whenever called for.
1.1.1 Insurance:
The CONSULTANT shall be at all times during construction stage indemnify and keep
indemnified the OWNER and its officers, servants and agents from and against all third
party claims whatsoever (including but not limited to property loss and damage, personal
accident, injury or death of or to property or person of -any sub-consultant and/or the
servants or agents of the CONSULTANT or any other CONSULTANT(s) and any sub-
consultant and/or of the Owner), and the CONSULTANT shall at his own cost and
initiative at all times up to the successful conclusion of the defect liability period specified
above hereof take out. and maintain insurance policies in respect of all insurable liabilities
under this clause, including, but not limited to third party insurance and liabilities under
the Motor Vehicles Act, 1988; Workmen’s

Compensation Act, 1923; Fatal Accidents Act, 1855; Personal Injuries (Compensation)
Insurance Act, 1963, Emergency Risk Insurance Act, and/or other Industrial Legislation
from time to time in force in India with insurance company(ies) approved by the OWNER,
and such policy(ies) shall be of not lesser limit than the limits hereunder specified with
reference in the matters hereunder specified, namely:

(a) Workmen’s Compensation Insurance - to the limit to which compensation may be


payable under the laws of the Republic of India; but not less than the limits specified
below.

(b) Third Party Insurance- body injury and property damage to the limit specified below:

The limits aforesaid shall be as follows:


(i) If the total consultancy contract value exceeds Rs.1(one) crore, the policy shall be
for not less than Rs.10,00,000/- for each fatal accident and Rs 5,00,000/- for each
injury. The sum assured shall not be less than Rs.30, 00,000/- for all accidents.

(ii) If the total contract value does not exceed Rs.1 (one) crore, the policy shall be for
not less than Rs.5,00,000/- for each fatal accident and Rs. 2,50,000/- for each
injury. The sum assured shall not be less than Rs.15,00,000/- for all accidents.

Provided that the limits specified above shall operate only as a specification of
minimum limits for insurance purpose, but shall not anywise limit the consultant’s
liability in terms of this clause to the limit(s) specified.

Should the CONSULTANT fail to take out and/or keep afoot insurance as provided
for in the foregoing sub-clauses, the OWNER shall be entitled (but without
obligation to do so) to take out and/or keep afoot such insurance at the cost and
expense of the CONSULTANT and without prejudice to any other right or remedy
of the OWNER in this behalf to deduct the sum(s) incurred therefore from the
dues of the CONSULTANT.

1.2 Corporation’s right: The Corporation reserves the right to increase/ decrease the
tendered quantity of any or every item and delete any item at any stage of work at the
accepted rates. Consultant’s claim for compensation or damages on account of these
shall not be entertained. If the Project is abandoned by IOCL after pursuing only a part of
any phase for reasons not attributable to the Consultant, the drop dead fees on Lump
sum rate items shall be payable on the basis of pro-rata percentage of the milestone
payment based on the status of its progress on the date of abandoning the Project. The
decision of IOCL in this regard shall be final & binding on the Consultant.
1.3 Revisions: The Corporation reserves the right to revise the Scope of Consultancy
services at any stage of work. Such deviations shall be adjusted at the rates already
contained in the work order or rates that are derivable from the items contained in the
work order or at the mutually agreed terms, if the rates are not available in the work
order.
1.4 Progress report: The Consultant shall submit monthly progress report on the progress /
status of work during Design & Engineering phase and during construction phase.
Suitable formats for progress reports shall be designed by the consultants and got
approved from IOCL before commencement of each phase of job.
1.5 Submission of bills: Consultant shall submit their bills to Corporation as per payment
terms and conditions only.
1.6 Cancellation of Order: If the performance of the successful Consultant is found to be
unsatisfactory, the Corporation reserves the right to cancel in part or whole of the
contract and get the remaining portion of the work executed through alternative means
at the entire risk and cost of the Consultant on whom the order was first placed. In such
cases, the Consultant should make good all losses that the corporation may suffer due to
this.

1.7 Statutory rules and regulations: The Consultant will abide by all the rules,
regulations, byelaws and statutes etc. imposed by the government/ statutory authorities
and other local authorities from time to time & during the execution period of this job.
1.8 Omissions/ deletions: Any omission/ deletion noticed in the terms without the prior
approval of the corporation shall result in rejection of the Consultant’s claim for payment
of these items.
1.9 Professional Liability: If at any time before completion of the work it shall appear to
the Corporation that any work has been executed contrary to expectations from the
Consultant as per the offer document resulting in deficiencies in any facility/ structure as
a whole or part thereof or any other situation causing loss in terms of money or other
factors to the Corporation, it shall be lawful for the Corporation to intimate this fact in
writing to the Consultant and thereupon the Consultant shall be bound forthwith to
rectify, redesign, recalculate the work so specified in whole or in part as specified by the
Corporation in strict accordance with the contract conditions at their own charge and cost
to the entire satisfaction of Project In-charge. In the event of the Consultant failing to do
so within a period of seven days or as specified by the Corporation in the aforesaid
written intimation, the Corporation reserves the right to take further action as per
conditions of contract hereof and other Clauses of the offer document. The Consultant
acknowledges that Owner shall have the right to get the deficient Services to be
performed by any other consultant, advisor and contractor and the Consultant shall be
liable for the additional expenses for the performance by such third party in accordance
with the provisions of this Clause.

2.0 Cooperation With Other Contractors:


The Consultant shall cooperate with all contractors for smooth execution of project
related works.
3.0 Sub Contracting:
3.1 After the placement of the order the successful tenderer shall not be allowed to sublet or
assign any part of the work order without Corporation’s prior written consent.
3.2 In case subletting agencies are engaged by the successful Tenderer with prior permission
from IOCL on award of works, it will be mandatory on part of the main contractor to
furnish a NO DUE UNDERTAKING from the sub-contractor (on their letter heads) to
IOCL before final payments are cleared by the Corporation.
Remarks:
It should be noted that the Consultant appointed for the project/job shall not be allowed to
participate in the tender directly or indirectly. An indirect participation shall include participation
through an affiliate or as sub-contractor, consultant or supplier. The expression affiliate for the
purpose of this clause will include any person or company or association who/which is a member
of the consultant ( If the consultant is a joint venture or consortium or who or which directly or
indirectly hold 10% or more of capital or voting capital of consultant (if the consultant or any of
its member is a company or body corporate) or who or which is a consultant or sub-contractor of
the consultant with regard to this project.

ANNEXURE-6
DEFINITIONS
The following words and expressions shall have the meaning hereby assigned to them except
where the context otherwise requires:
1. “IOC/IOCL” shall mean Indian Oil Corporation Ltd, Marketing Head Office with its office at
G-9, Ali Yavar Jung Marg, Bandra (E), Mumbai - 400051.
2. “OWNER” shall mean IOC/IOCL at all places in this document.
3. "APPROVAL" shall mean the written consent, either manuscript, typewritten or printed
statement, under signature or seal, as the case may be, of IOCL or their authorized
representative on documents, drawings or other particulars in relation to this Agreement.
4. "CONTRACT" shall mean all documents of the tender, clarifications, negotiations conducted
including all exhibits hereto and all documents herein specified and amendments which the
parties may hereinafter agree in writing to be made.
5. "Agreement" means this Project Management Consultancy Agreement for Phase I
(as defined in the Bidding Document) together with its attachments and any amendments
or modifications hereto provided that such amendments and modifications have been
executed in accordance with the procedures specified thereof in this Agreement.
6. “ENGINEERING IN CHARGE” shall mean the officer of IOCL (by designation) who shall
sign the contract.
7. "PROJECT" shall mean Design, Development & Construction of Captive POL/LPG Jetty for
IOCL at Kamarajar Port Ltd, Ennore, Chennai, Tamil Nadu.
8. “CONSULTANT” shall mean the individual, firm or company, whether incorporated or not,
appointed by IOC for the project and shall include the legal/ personal representative of
such individual or the persons composing such firm or company, or the successors of such
firm or company and the permitted assignees of such individual, firm or company.
9. “PROJECT IN CHARGE” shall mean the designated person appointed by the Consultant as
overall In Charge for the entire Project from commencement to completion including being
a single point of contact on all matters concerning this contract.
10. "Project Contractors" mean the counterparties to Owner under the Project Agreements.
11. “SCHEDULE OF ACCOMMODATION” shall mean the usable plinth areas of buildings
excluding services and area of basements.
12. "WORK/ SERVICES" shall mean the responsibilities to be discharged by the Consultant for
fulfilling the obligations under this contract.
13. "COMMENCEMENT DATE OF CONTRACT" shall mean the 10th day from date of issue of
Letter of Acceptance or commencement order whichever is later as issued by IOCL.
14. "DRAWINGS" shall mean and include Engineering drawings, sketches showing plans,
sections, detailing, 3D model (wherever required) and elevations related to the project
together with modification and/or revision thereto.
15. "Equipment and Materials" means any and all machinery, equipment, materials and other
items, including spare parts, incorporated or intended to be incorporated (whether later
incorporated in the facilities, surplus or otherwise) in the Facilities or to be used in the
operation and maintenance thereof.
16. "Activity Schedule" means the timetable and program provided in Exhibit B for various
activities under this Agreement.

17. "COMPLETION PERIOD" shall mean the period from the 'Commencement Date of Contract'
to the date of “Mechanical Completion” including readiness of all equipment, systems, sub-
systems for commissioning.
18. "SPECIFICATIONS" shall mean and include schedules, detailed descriptions, statement of
technical data, performance characteristics, standards as applicable and specified in the
contract.
19. "TEST" shall mean such process or processes to be carried out by the Consultant as are
prescribed in the contract in order to ascertain quality, workmanship, performance and
efficiency of equipment or part thereof.
20. "MECHANICAL COMPLETION" shall mean completion of all services for achieving readiness
of buildings including all the necessary statutory approvals including obtaining occupancy
certificates.
21. "TRIAL RUNS AND COMMISSIONING" shall mean complete erection, testing,
commissioning and securing of guarantees for defect free operation of various facilities
built in the Project and comprising of the services defined under Scope of the tender.
22. "PROJECT COMPLETION" shall mean the readiness of the plant upon completion of test
runs of all equipment and facilities at the rated capacity including availability of statutory
approvals including occupancy certificate.
23. "MONTH" shall mean English calendar month comprising of 30 days.
24. "Man-day" means a unit of measurement corresponding to the presence and availability for
performing Services of one (1) man for a work period of eight (8) hours during a period of
twenty four (24) successive hours.
25. "Man-day Rate" means the rate quoted in Indian Rupees for one Manday, specified in the
tender documents.
26. "Regular Day" means the following days of the week: (i) Monday, Tuesday, Wednesday,
Thursday Friday., Saturday for performing Services at Site; and (ii) Monday, Tuesday,
Wednesday, Thursday, Friday for performing Services at any place other than Site.
27. "Site" means the area at Kamarajar Port Limited, Ennore, Chennai, Tamil Nadu designated
by Owner, where the Facilities are to be constructed and erected and such other areas as
may be notified by the Owner.
28. "Scheduled Bank" means a bank included in the Second Schedule of the Reserve Bank of
India Act, 1934.
29. "Technical Specifications" mean, collectively, the technical specifications and design
criteria included in the work to be performed pursuant to the Project Agreements, and any
engineering design specifications and such other technical specifications and design criteria
as may be developed for the Facilities or as may be furnished to Consultant by Owner.
30. "STANDARDS": The goods and equipment, utilized for the works and the works shall
conform to the standards mentioned in the Technical Specifications or such other
standards which ensure an equal or higher quality and when no applicable standard is
mentioned, to the authoritative standard appropriate to the goods/equipment utilized in
the works in India and such standard shall be the latest issued by the concerned
institution.
31. "WRITING" includes matter either in whole or in part, in manuscript, typewritten,
lithographed, cyclostyled, photographed or printed under or over signature or seal as the
case may be.

32. "CONTRACTOR" shall mean any third party whose services are obtained for construction of
structure/units/facilities covered under Consultant's scope of work.
33. "VENDOR" shall mean any third party supplying any of the equipment/material for setting
up units/facilities covered under Consultant's scope of work.
34. "Affiliate" means, in relation to any person, a person that controls, is controlled by, or is
under common control with such person. As used in this definition the term "control"
means (a) the ownership, directly or indirectly, of a majority of the voting securities of
such person, or (b) the power to direct the management or policies of such person,
whether by operation of law, by contract, or otherwise.
35. "Arbitration Act" means the Indian Arbitration and Conciliation Act, 1996 and any
amendment thereof, if any.
36. "Law" means any act, rule, law, legislation, statute, regulation, ordinance, decree,
notification, policy, by-law, administrative guideline, ruling, instruction, directive, code,
requirement, consent, license, approval, permit, judgment, court order, treaty or any
interpretation thereof by any competent authority as amended and applicable from time to
time.
37. “`”, "Rupee" and "Rs" and “INR” means the lawful currency of the Republic of India.
INTERPRETATION
In the interpretation of Bidding Document & this Agreement, unless the context otherwise
requires:
(a) the singular of any defined term includes the plural and vice versa, and any word or
expression defined in the singular has the corresponding meaning used in the plural and
vice versa;
(b) a reference to any gender includes the other gender;
(c) unless otherwise stated, a reference to an Article, Clause, clause, sub -clause,
paragraph, subparagraph, Annex, Exhibit, Attachment, Schedule or recital is a
reference to an Article, Clause, clause, sub-clause, paragraph, subparagraph, Annex,
Exhibit, Attachment, Schedule or recital of this Agreement;
(d) a reference to any agreement is a reference to that agreement and all annexes,
attachments, exhibits, schedules, appendices and the like incorporated therein, as the
same may be amended, modified, supplemented, waived, varied, added to,
substituted, replaced, renewed or extended, from time to time, in accordance with the
terms thereof;
(e) a reference to statutes shall be construed as including all statutory provisions
consolidating, amending, modifying, supplementing or replacing the statute referred to;
(f) the terms 'include' and 'including' shall be deemed to be followed by the words
"without limitation", whether or not so followed;
(g) any reference to a person shall include such person's successors and assigns;
(h) Headings in this Agreement are for convenience only and shall not affect the interpretation
hereof.
(i) a reference to a "writing" or "written' includes printing, typing, lithography and other
means of reproducing words in a visible form;
(j) any date or period set forth in this Agreement shall be such date or period as such date or
period may be extended pursuant to the terms of this Agreement;

(k) a reference to "month" shall mean a calendar month, and a reference to ''day" shall mean
a calendar day, unless otherwise specified.
The heading of the Clauses shall not affect the interpretation of construction thereof.
ii. Retired Company Directors:
i. No Director of the IOC/ is allowed to tender for a period of 2 (two) years after his
retirement from the employment of the IOC, without the previous permission of the
Indian Oil Corporation Limited. The Contract if awarded is liable to be cancelled if the
consultant is found at any time to be such a person and has not obtained the permission
of the IOC before submission of the tender. Any tender by a person aforesaid shall carry
a disclosure thereof on the tender, and shall be accompanied by a copy of the document
by which the requisite consent is given. Such disqualifications shall apply to every partner
of a partnership firm.
ii. The consultant is required to state whether he is a relative of any Director of the IOC, or
whether the consultant is a firm, whether a Director of the IOC or relative of such
Director is a partner in the firm, or whether the consultant is a Company, whether a
Director of the IOC or relative of such Director is a substantial member holding more than
10% (ten percent) of the paid up capital in the Company, or a Director of the Company.
iii. Arbitration Clause:
i. The reference to arbitration and alternative dispute resolution machinery provision
contained elsewhere in the tender document which may be general or special in nature
shall stand deleted to the extent that the said contents are applicable to the arbitration
provisions.
ii. At all places OWNER shall mean Indian Oil Corporation Limited, Marketing
Division, Head Office, with its office at G-9 Ali Yavar Jung Marg, Bandra (E),
Mumbai - 400051. The court of jurisdiction for all matters/ any disputes under the
tender shall be at MUMBAI.
iii. Limitation of Liability under the contract shall be governed by Clause 8.12 of GCC with the
following modifications:
i. Consultant’s sole and exclusive liability shall be limited to an aggregate of 20% (Twenty
Percent) of the contract value which shall however exclude the liabilities against the
following :
ii. Price reduction for delay as per Clause 2 of Special Terms & conditions (STC).
iii. Penalty Clause in case of breach of safety as per Clause 24 of STC.
iv. Liabilities arising out of fraud, willful misconduct or reckless negligence.
iv. Conciliation Rules: Not withstanding any other dispute resolution provided under the GCC,
with a view to a speedy resolution, the Contractor & Owner may at any time endeavor to
settle through Conciliation a dispute referable for settlement by Conciliation under & in
accordance with the Indian Oil Corporation Limited Conciliation Rules, 2014 (hereinafter
called as “said Rules”) as amended from time to time. The said rules may be downloaded
from the Owner’s website www.iocl.com & if not available a copy thereof may be
obtained from the Owner on written request.
v. Any dispute or difference arising under or in connection with the contract shall be
referred to a Sole Arbitrator as per provisions of the Indian Arbitration & Conciliation Act
1996 as amended from time to time.

purpose of rendering services to the Corporation under the subject Contract

5. I/We shall be bound to pay a penalty of Rs. 5000/- for every incident of non-

CONTRACTORS to indemnify and keep indemnified the Corporation as stated hereinafter:

1. The Contractors hereby undertake to furnish a certificate with regard to the number of
labourers employed by them in Corporation / in other organization throughout the
country to the Location In Charge of the Corporation where the work is undertaken by
the Contractors.

2. The Contractors hereby confirm and state that they are duly registered under Contract
Labour (Regulation and Abolition) Act 1970 as amended from time to time and that they
undertake to furnish a certified copy of the requisite Licence obtained by the Contractors
from the competent authority to the Corporation’s representative.

3. The Contractors hereby undertake to keep proper record of attendance of his labourers
and will give opportunity to the officers of the Corporation to supervise the same and
confer upon the Corporation’s representative the right to countersign the said register if
so required by the Corporation. The Contractor shall provide a copy of the pay sheets to
the Location In Charge of the Corporation nominated by the Corporation for supervision
of the payment of wages made to the labourers by the contractors and also confer the
right on the Corporation for supervision of the payment of wages made to the labourers
by the Contractors and also confer the right on the Corporation’s representative to
supervise the payment of wages to the labourers on the spot whenever required by the
Corporation.

4. The Contractors state they are fully aware of the provisions of the ESIC Act, and the rules

ESIC liabilities arising in future, they shall keep the Corporation duly indemnified against
all losses, damages, charges, expenses, penalties, suits or proceedings which the
Corporation may incur, suffer or to be put to on that account.

6. The Contractor hereby agree, confirm and declare that they have fully complied and will
comply with the provisions of various labour laws, particularly those referred to herein
above and that no violation of the provisions of various amenities and facilities to the
workers under different laws has been done by them and in the events of any past or
future violation of the various labour laws the contractors shall indemnify and keep the
Corporation duly indemnified against all losses, damages, costs, expenses, penalties, suits
or proceedings which the Corporation may incur, suffer or be put to.

7. The Contractor hereby agree that the aforesaid indemnity undertaking are in addition to
and not in substitution of the terms and conditions contained in the Empanelment
documents and the Agreement executed by the Contractors with the Corporation.

8. The Contractor hereby confirm, agree and record that these terms of undertaking and
indemnity shall be irrevocable and unconditional and shall be binding on their heirs,
executors, administrators and legal representative and shall ensure for the Corporation’s
benefit and for the benefit of its successors and assigns.

supervise the work of our employees so as to ensure that the services rendered under this

absolutely necessary for fulfilling our obligations under the contact.
h) Not do or suffer to be done in or about the premises of the Corporation anything
whatsoever which in the opinion of the Corporation may be or become a nuisance or
annoyance or danger or which may adversely affect the property, reputation or interest of
the Corporation.
i) Not do so suffer to be done in or about the premises of the Corporation any thing whereby
any policy of insurance taken out by the Corporation against loss or damage by fire or
otherwise may become void or voidable.

and expenses and all other liabilities of whatsoever nature which the Corporation may now
or hereinafter be liable to pay, incur or sustain by virtue of or as a result of the
performance or non-performance or observance or non-observance by us of the terms and
conditions of the contact. Without prejudice to the Corporation's other rights, the
Corporation will be entitled to deduct from any compensation or other dues to us the
amount payable by the Corporation as a consequence of any such claims, demands, costs,
responsible for death, injury or accidents to out employees which may arise out of or in the
course of their duties on or about the Corporation's property is made liable to pay any
damages or compensation in respect of such employees, we here by agree to pay to
Corporation such damages or compensation upon demand. The Corporation shall also not
be responsible or liable for any theft, loss, damages or destruction of any property that
belongs to us our employees lying in the Corporation's premises from any cause
whatsoever.
3. It is hereby declared that we are, for the purpose of this contract independent contractors
and all persons employed or engaged by us in connection with our obligations under the
Contract shall be our employees and not of the Corporation.
4. On the expiration of the contract or any earlier termination thereof, we shall forthwith
remove our employees who are on the Corporation's premises or an part thereof failing
which, our employees, agents, servants etc. shall be deemed to be trespassers and on
their failure to leave the Corporation's premises, the Corporation shall be entitled to
remove all persons concerned (if necessary use of force) from the Corporation’s premises
and also to prevent them (if necessary by use of force) from entering upon the
Corporation's premises.
5. We hereby undertake and declare that, in the event the workmen / employees /
person engaged by us ("the Contractors' employees") to carry out the purpose hereof,
attempt to claim employment with the Corporation or attempt to be declared as employees
of the Corporation or attempt to become so placed, then in all such cases, we shall assist
the Corporation in defending all such attempts of the Contractor's employees AND we shall
bear and pay solely and absolutely all costs, charges and expenses including legal charges
incurred or which may be incurred in defending all such attempt and in any appeal or
appeals filed by the Corporation therein or relating thereto AND we hereby indemnify
forever the Corporation against all such costs, charges and expense including legal charges
and against all and any loss, expenses or damages whether recurring or not, financial or
otherwise, caused to or incurred by the Corporation; as a result of such attempt by the
Contractors' employees.
6. It is hereby agreed that the Corporation shall be entitled to set off any debt or sum
payable by us either directly or as a result of vicarious of vicarious liability to the
Corporation against any monies payable or due from the Corporation to us against any
monies lying or remaining with the Corporation and belonging to us or any of our partners

Tenderer and accordingly discharge this guarantee. Unless a demand or claim under this

law relating to sureties would, but for this provisions have affect of so relieving us.

6. This guarantee will not be discharged due to change in the constitution of the Bank or

Child Labour (Prohibition and Regulation) Act, 1986 and other applicable labour laws, in case the
work is awarded to us.

d) It is understood that if I/We, either before award or during execution of Contract, commit a
transgression through a violation of Article b /c above or in any other form, such as to put my/our
reliability or credibility in question, the Owner is entitled to disqualify us from the Tender process
or terminate the Contract, if already executed or exclude me / us from future contract award
processes. The imposition and duration of the exclusion will be determined by the severity of
transgression and determined by the Owner. Such exclusion may be for a period of 1 year to 3
years as per the procedure prescribed in the guidelines for holiday listing of the Owner.

e) I/We accept and undertake to respect and uphold the Owner's absolute right to resort to and
impose such exclusion.

ARTICLE – 1
CONTRACT DOCUMENTS

ARTICLE – 3
COMPENSATION

3.1 Subject to and upon the terms and conditions contained in the Contract documents the
OWNER shall pay CONTRACTOR compensation as specified in the Contract documents

upon the satisfactory completion of the work and/or otherwise as may be specified in the
Contract documents.

ARTICLE – 4
JURISDICTION

4.1 Notwithstanding any other court or courts having jurisdiction to decide the question(s)
forming the subject matter of the reference if the same had been the subject matter of a
suit, any and all actions and proceedings arising out of or relative to the contract
(including any arbitration in terms thereof) shall lie only in the court of competent civil
jurisdiction in this behalf at ___________________ (where this Contract has been signed
on behalf of the OWNER) and only the said Court(s) shall have jurisdiction to entertain
and try any such action(s) and/or proceeding(s) to the exclusion of all other Courts.

ARTICLE – 5
ENTIRE CONTRACT

5.1 The Contract documents mentioned in Article – 1 hereof embody the entire Contract
Between the parties hereto, and the parties declare that in entering into this Contract
they do not rely upon any previous representation, whether express or implied and
whether written or oral, or any inducement, understanding or agreements of any kind not
included within the Contract documents and all prior negotiations, representations,
contracts and/or agreements and understandings relative to the work are hereby
cancelled.

ARTICLE – 6
NOTICE

6.1 Subject to any provisions in the Contract documents to the contrary, any notice, order or
communication sought to be served by the CONTRACTOR on the OWNER with reference
to the Contract shall be deemed to have been sufficiently served upon the OWNER
(notwithstanding any enabling provisions under any law to the contrary) only if delivered
by hand or by Registered Acknowledgment Due Post to the Engineer-in-Charge as
defined in the General Conditions of Contract.

6.2 Without prejudice to any other mode of service provided for in the Contract Documents
or otherwise available to the OWNER, any notice, order or other communication sought
to be served by the OWNER on the CONTRACTOR with reference to the Contract, shall be
deemed to have been sufficiently served if delivered by hand or through Registered Post
Acknowledgement Due to the principal office of the CONTRACTOR at ……….. or to the
CONTRACTOR’s representatives as referred to in the General Conditions of Contract
forming part of the Contract Documents.

ARTICLE – 7
WAIVER

7.1 No failure or delay by the OWNER in enforcing any right or remedy of the OWNER in
terms of the Contract or any obligation or liability of the CONTRACTOR in terms thereof
shall be deemed to be a waiver of such right, remedy, obligation or liability as the case
may be, by the OWNER and notwithstanding such failure or delay, the OWNER shall be

ARTICLE – 8
NON-ASSIGNABILITY

4.1. The Contract and benefits and obligations thereof shall be strictly personal to the
CONTRACTOR and shall not on any account be assignable or transferable by the
CONTRACTOR.
