TEAM AGREEMENT

This Agreement, executed on 23rd JUNE 2022, is entered into by and

between IND BULLS a company incorporated under the Companies Act,
2013 (hereinafter referred to as “IND BULLS”).

WHEREAS
A. This Agreement sets out the initial relationship between org & player as
well as the respective rights and responsibilities of both.
B. This Agreement is not intended to be legally binding but is intended to
document the expectations of both. Nothing in this Agreement will be
construed as creating any legal relationship between org & player.
C. Org & player respectively are expected to act in good faith in
accordance with the Agreement.

I. TERMS
This Contract runs for a period of 1 months beginning on 01/07/2022 and
terminating on 31/07/2022 unless contract violation is to occur in which case
the contract will terminate as per contract specifications.

II. IND BULLS OBLIGATIONS

IND BULLS will have the following obligations:

1. IND BULLS agrees to provide support, agreed upon between the

Player and Us for Tournament Registration and events Registrations.

2. IND BULLS agrees to also support PLAYER in any manner possible

upon request. If such request is CONSIDERED necessary and
economically feasible by IND BULLS.
 3. IND BULLS agrees to provide Hard core lobbies, Pro scrims, T1
scrims.

III. PLAYERS OBLIGATIONS

PLAYER will have the following obligations:

1. PLAYER agrees to play for Us as an independent player.

2. PLAYERS shall not enter into another contractual relationship with any
other team or organization in the field during the term of this Contract
without asking permission from Us seven (7) days in advance.

3. PLAYERS agree to play matches to the best of their ability when

selected to participate in team and individual practice, and to maintain a
healthy lifestyle.

4. PLAYERS must wear official IND BULLS tags at all times during
events, competitions And during streaming.

5. PLAYER agrees to make themselves available to Sponsors for

promotional work as requested, unless previous notice is given of
accepted unavailability by PLAYERS three(3) days in advance.

6. PLAYERS understand that they represent IND BULLS and shall not act
with bad manners including, but not limited to, cheating, violence,
abuse, racism, and unsportsmanlike conduct.

7. PLAYER agrees to not knowingly or willingly violate or let any

member of his/her team violate rules, overtime rules or any other
competitive leagues rules. If found doing so PLAYER may have their
 sponsor/player relationship with IND BULLS Permanently terminated
can be held accountable for all fees invested into Player.

III. PAYMENT TERMS

1. PLAYER shall receive his percentage of revenue derived from small
tournaments and large events after IND BULLS receives seventy
percent (70%) from tournaments and large events that they sponsored,
after deducting 18% GST.

2. The PLAYER will also get one hundred percent (100%) of revenue
derived from their respective personal streams.

3. Players will be given a 3k salary per month.

4. If the player performs well, the salary of the player increases to the
second month and the contract will be extended.

5. Incentives also will be credited, depending on overall performance.

The Payment in terms of this agreement is as follows:

a. Payment will be made to the staff member through any form of digital
payment i.e., NEFT, RTGS, E-Wallets, Google Pay, Phonepe, etc.
b. Payment will be made the first-second week of the next month.

All payments to be made under the provisions of the Agreement shall be made
in Indian Rupees and shall be subject to the deduction of Income Tax under
the Indian Income Tax Act, 1961 and any other taxation laws and amendments
as applicable.

IV. TERMINATION
Contract must be renewed within 1 months after expiration unless either
PLAYER or IND BULLS gives at least three (3) day notice officially
terminating their sponsor/client relations due to personal reasons and/or
violation of any Sections.

V. FORCE MAJEURE
If either player or IB is unable to perform any of its obligations by reason of
fire or other casualty, strike, act or order of public authority, an act of God, or
other cause beyond the control of such party, then such shall be excused from
such performance during the pendency of such cause.

VI. REPRESENTATIONS AND WARRANTIES

PLAYERS represent and warrant to each other that each is free to enter into
this Agreement and that this engagement does not violate the terms of any
agreement between any third party.

VII. EXCLUSIVITY
This Agreement implies exclusivity on the PLAYER. The Player is not
allowed to engage with any other company or organization during this
agreement time period with us.

VIII. CONFIDENTIALITY
Both shall hold in confidence and shall not disclose to any third party any
confidential information of a written or oral nature relating to this Agreement.
Neither Party shall at any time release any statement or press release in press
or media (including without limitation television, radio, websites, chat
rooms/forums, YouTube any social networking sites such as twitter, facebook,
newspapers, and magazines whether in electronic or paper form or otherwise)
in relation to this agreement.

IX. AMENDMENT
All the terms and conditions can be changed or modified by IND BULLS by
giving notice to the player through email only.
X. GOVERNING LAW
This agreement and all issues arising out of the same shall be construed in
accordance with the laws of India. Jurisdiction: Jaipur, Rajasthan.

XI. FORFEITURE OF RIGHT

Players by signing this agreement also waives its right to sue IND BULLS for
any dispute arising out of this agreement. All disputes will be settled through
Arbitration.

XII. SEVERANCE OF TERMS

If any provision in this Agreement becomes invalid or illegal or adjudged
unenforceable, the provision shall be deemed to have been served from this
Agreement and the remaining provisions of this Agreement shall not so far as
possible be affected by the severance.

XIII. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Player & IND
BULLS with respect to the subject matter hereof and supersedes prior
negotiation, representation, or agreement either written or oral.
