GENERAL CONDITIONS OF SALE
PRICES: prices are subject to change; this means that prices in force at time of shipping the radiators shall stand except for orders that have already been confir-
med. Material errors in printing, wording, calculations etc. shall not constitute a commitment in terms of the order.
PAYMENT: only payments made to our head office against regular receipt are considered as paid in full. All other payments remain at the Customer’s risk and expen-
se. The Company has the right to issue sight drafts with relative expenses should the customer fail to pay the invoice within ten days of the payment term indicated
therein, the order constituting acceptance thereof.
Upon expiry of said payment term, interest on arrears shall be charged at the going rate in force. The issue of a draft or acceptance of bills or cheques payable to
other branches simply constitutes a facility granted to the Customer and shall not be invoked as a waiver to the peremptory clause set out in art. 2. The company
reserves the right to suspend or cancel supplies that are ready to be shipped or any other order that has been accepted, if payments are not made within the agreed
terms. Any disputes do not entitle the customer to defer payments.
DELIVERY TERMS AND CONDITIONS, DELAYS OR IMPEDIMENTS: all terms of delivery indicated are simply indicative and not binding, as subject to unforeseeable cir-
cumstances and in general any other cause beyond the company’s control, thus releasing the Company from complying with the terms of delivery indicated, whereby
the Customer is not entitled to cancel the order or seek compensation for any damages.
TRANSPORT AND RISKS: all radiators are sold ex-works from our Production Plant in Rogno. Materials are always transported at the risk of the recipient, even when
delivered ex-destination, on the understanding that all shipments are carried out on the customer’s behalf and according to the instructions of the same; therefore,
it is up to the Customer to file claims regarding delays, misunderstandings, breakages, thefts and shortages to the Railway Administrations, Shipping Companies or
other Carriers upon receipt of the goods. Therefore, no claims are accepted or bank transfers granted concerning the aforementioned causes. In particular, the
Company is not liable for any radiators shipped in bulk. No claims concerning radiator defects shall be accepted unless submitted according to the terms and condi-
tions of the Italian Civil Code.
PACKAGING: cardboard boxes are used for packaging both complete loads and smaller quantities. Packaging is not returnable.
LIABILITY: our liability does not cover, under any circumstances, the consequences of the use of our products or lack of delivery of the same, and refers solely to the
replacement of those items returned ex-works to our Production Plant in Rogno (Bergamo) on the condition we acknowledge them to be faulty. Our liability does in
no way extend to any type of direct or indirect damage. We do not accept any radiators returned without prior agreement.
MEASUREMENTS, WEIGHTS AND MODEL: Global is not responsible for the measurements and weights of the product and all details as regards the same are simply
indicative and not binding. Illustrations in catalogues and brochures aim simply to give an idea of individual articles and do not bind the company in any way to pro-
vide a faithful reproduction of the same.
CLAIMS: all invoices are deemed to be accepted if no claims are filed within eight days of receiving the radiators. Claims shall be made by registered letter within
eight days of receipt of the radiators in order to be taken into consideration.
RETENTION OF TITLE: the radiators delivered remain the property of Global until all bills or cheques have been collected in full.
LEGAL DOMICILE: the Court of Bergamo is granted sole jurisdiction regarding any disputes that may arise between Global and the Customer. In any case the Customer
shall not invoke binding statements or guarantees made by our employees or representatives that are not set out in these terms and conditions or other documents writ-
ten or signed by our Company.
