Re: Acceptance of Application for Pre-employment Training Programme

First and foremost, we thank you for your interest in applying for the position of Telemarketing Executive.

Before an employment contract is formalized between you and UTS Marketing Solutions Sdn Bhd (“the
Company”), you will be required to attend and successfully complete a Six (6) days Training Programme (“pre-
employment Training Programme”), the terms and condition of which are as follows: -

1. Commencement Date
09-03-2023

2. Duration of Training
Six (6) working days from the commencement date. The training duration period may be reduced or
extended subject to the company discretion.

3. Venue of Training:
Any of UTS or client’s premises.

4. Training Hours:
9.00 am to 6.00 pm, including a 1-hour lunch break.

5. Assessment for Suitability for Employment


At the conclusion of the pre-employment Training Programme, you will be assessed for your suitability of
employment. In the event you successfully complete the pre-employment Training Programme by
attaining the requisite score, the Company shall formally offer you employment in writing subject to the
terms and conditions as stated in the letter attached hereto.

If for any reason you are unsuccessful in completing the pre-employment Training Programme, you will
not be offered employment by the Company. Further to this, please be informed that you will be required
to complete and fully attend the Six (6) days pre-employment Training Programme, failing which you will
be deemed to have unsuccessfully completed the said programme.

6. Travelling Allowance
During this pre-employment Training Programme, you will be paid a Travelling Allowance, for the
purposes of defraying any travelling expenses, at a daily rate of RM50.00. It is payable in one lump sum
upon you have successfully completed this pre-employment Training Programme. You shall receive

Travelling Allowance on 15 of the following month if your commencement of employment fall in current
month.

However, should you fail to attend the full pre-employment Training Programme set by the Company for
any reason and/or you withdraw the offer of the employment, you will forfeit completely the said Travelling
Allowance in full.

7. Confidentiality
You undertake that you will not under any circumstances divulge or make public in any way confidential
information, which shall include transactions, statistics, marketing plans or any other such confidential
information imparted to or gained by you in the course of the pre-employment Training Programme.

For the avoidance of doubt, the employment contract attached herewith shall only be effective from a date which
will be determined by the Company, upon your successful completion of the pre-employment Training
Programme.

Dear Mohamad Zakwan Bin Mohamed Zairi ,

RE: CONDITIONAL OFFER OF EMPLOYMENT

We are pleased to offer you employment as Telemarketing Executive (Job Grade NEB-2) with UTS Marketing
Solutions Sdn Bhd (“the Company”) subject to the following terms and conditions of employment: -
1. Salary
RM 1,800 per month. (Please note that confidentiality of your salary should be maintained at all times).

2. Duration of Contract
One (1) year contract with effect from a date which shall be determined by the Company.

3. Pre-Employment Training Programme


This fixed-term employment contract is conditional upon your successful completion of the Pre-Employment
Training Programme and shall only be effective from a date which shall be determined by the Company.

4. No Show
In event the Executive decides to withdraw from the offer after acceptance, the Executive would be obliged to
pay the Company compensation equivalent to two (2) month’s salary.

5. Place of Work
Any of UTS or Client’s premises.

6. Working Hours and Days


The Company’s official working hours are from 9.00 am – 6.00 pm, from Monday to Friday with one (1) hour
lunch break. Breaks (including lunch break) shall be staggered according to the business requirement of the
Company but in accordance to the Employment Act 1955. Upon any changes of the Company’s
working/operation hours, your working hours will be rescheduled accordingly.

Two (2) Saturdays of the month will be compulsory working days and it will be notified by the Company in
advance.

7. Probationary Period
The first four (4) months of your employment shall constitute a probation period during which, amongst others,
your performance will be assessed. However, the company reserves the right to extend the probation period
as and when it deems necessary.

8. Confirmation
Upon successful completion of the probation period, you will be notified in writing of your confirmation of
employment.

For the avoidance of doubt, please note that you are only deemed to be confirmed in your employment as
and when you are notified in writing by the Company.

9. License Requirement
You are required to undergo and pass the necessary licences within six (6) months, failing which the
Company reserves the right to terminate your employment with immediate effect.

10. Terms and Termination Notice


Your employment contract is conditional upon and subject to the continuation of the business agreement
between the Company and its Client. In the event that the Client decides to terminate the business
agreement, the Company may serve you one (1) month’s notice of termination of your contract or pay one (1)
month’s salary in lieu of notice.

During your employment, either party may terminate the employment contract by giving one (1) months’
notice in writing or paying one (1) month’s salary in lieu of notice.

However, in respect of termination of employment on the grounds of misconduct or poor performance, no


notice of termination or salary in lieu of notice is required to be given.

Annual leave may not be utilized to offset part of or the whole notice period unless expressly agreed to by the
Company.
11. Non-Compete and Non-Solicitation
For a period of twelve (12) months after cessation of your employment with the Company for whatever
reason, you shall not be directly or indirectly engaged or interested in (whether as employee, principal, agent,
consultant or otherwise), or conduct any trade or business which is wholly or partly in competition with any
business carried on by the Company at the date of cessation of your employment.

For a period of twelve (12) months after cessation of your employment with the Company for whatever
reason, you shall not be directly or indirectly approach any customer, affiliate, or business partner of the
Employer for purposes of seeking employment or business arrangements in competition with the Employer’s
line of business, or entice, solicit, or contact any individual in employment at the Company for any reason.

You shall not, at any time during the currency of this employment contract, or after the cessation of this
employment contract, invite, induce, solicit, persuade or entice other existing and/or remaining employees of
the Company to join the employment of any other company or employer.

In the event it is discovered by the Company that you have committed any one of the above acts during the
currency of this employment contract, you shall deemed to have committed a serious misconduct and shall be
liable to severe disciplinary sanctions. The Company fully reserves its right to claim against you in the event it
is discovered that you had committed any one of the above acts after the cessation of this employment
contract.

12. Force Majeure Events


In the event that the Company is hindered or prevented from conducting or operating its business, whether
partially or wholly, as a result of an epidemic, natural disaster, outbreak of war, quarantine or an act of God
beyond the control of the Company, you hereby consent and agree that the Company reserves the right to
take measures which include but are not limited to, imposing salary reductions, deferred salary payment,
unpaid leave, enforced annual leave, and/or any other cost-cutting measures as it deems fit, for the
duration(s) which the Company is so hindered or prevented from conducting or operating its business.

For the purposes of any salary reduction as envisaged above, the rate of reduction shall be in accordance
with the provisions of the Employee Handbook which may be amended, varied, added and/or deleted by the
Company at any time.

13. Annual Leave


For every twelve (12) months of continuous service you are entitled to twelve (12) working days of annual
leave, subject to the rules and regulations of the Company.

No leave accumulation to the following contract is allowed, and any leave not taken will be forfeited. All leave
is subjected to prior approval in writing.

14. Sick Leave


You are entitled to fourteen (14) days of outpatient sick leave and sixty (60) days of hospitalization leave in
the aggregate per calendar year, subject to the rules and regulations of the Company.

15. Medical Benefits


The employee is eligible for clinical medical consultation and treatment (excluding any maternal/gynecological
or specialist consultation fees, hospitalization expenses, dental treatment, optical charges and artificial
appliances for beautification) of a maximum of RM 50.00 (Ringgit Malaysia Fifty only) per claim subject to a
maximum of FOURTEEN (14) visits for every twelve (12) months of continuous service. Original medical
receipts must accompany all medical claims prior to approval by Manager. All claims must be submitted within
seven (7) days or will not be entertained.

Medical treatment will be provided through the Company’s appointed doctors/clinic and is restricted to
Malaysian Medical Practitioners and Hospitals.

Upon confirmation in your employment, you will be covered by the Company’s Personal Accident Policy.

16. Medical and Physical Status of Appointees


Although you are not required to be medically examined, you are required to declare your fitness for
employment and further required to disclose any illness, medical or physical disability which you have
suffered or which you are suffering from which would affect your fitness for employment. Should it be found
after employment that you have misrepresented or not disclosed, inter-alia, material facts regarding any
illness, medical or physical disability, it shall be deemed to be sufficient reason for the Company to terminate
your service without notice and the Company shall not be liable to any claims for benefit thereafter.

17. Contribution to Employees Provident Fund (EPF)


The Company will make the necessary contributions to EPF based on your salary according to the prevailing
statutory rates and the necessary deductions shall be made to your salary for the purposes of EPF.

18. SOCSO Contribution


The Company shall make the necessary statutory contributions under the Social Security Act 1969
(Amended).

19. Employment Insurance System Contribution


The Company shall make the necessary statutory contributions under Employment Insurance System Act
2017 (Section 18 Schedule 2).

20. Income Tax


Where applicable, a deduction for the purposes of your income tax, based on the “Scheduler Tax Deduction”
issued by the Government’s Inland Revenue Department shall be made to your monthly salary and remitted
to the Inland Revenue Department by the Company.

21. Transfer
The Company may, at its discretion, be entitled to: -
a) Transfer you from one place of work to another, including any existing or future branches of the Company,
either on a temporary or permanent basis.
b) Transfer you to any of the Company’s existing or future associated companies.
c) Transfer you to any department within the Company.
d) Second you to any establishment; and
e) Transfer you from one position to another, without any loss of service or seniority or reduction in
remuneration and benefits.

22. Restraint
As conditions of your employment, you shall: -
a) Devote your whole time, attention, energy and skills solely to the business of the Company.
b) Faithfully discharge your duties and protect the interest of the Company at all times.

You shall not: -


a) Accept employment of any kind nor enter into any contract for your services with any third party nor
engage in any form of business at any time; or
b) Have any interest in any business or similar nature to or competitive with that carries on by the Company.

23. Other Terms and Conditions


The terms and conditions of your employment, including those set out in the Employee Handbook, are subject
to change as and when it is deemed necessary by the Company and any changes to the same shall be
applicable forthwith to you.

24. Retirement Age


The minimum requirement age shall be upon the employee attaining the age sixty (60) years, if any person
who is engaged under a fixed term contract for a term exceeding twenty-four (24) months.

25. Qualification Document(s)


You are required to submit to the Company certified true copy(ies) of your original academic and professional
qualification document(s) for our record and future reference.

The copy of the document(s) should be submitted immediately and in any case not later than the end of your
probationary period.

26. Confidentiality
You shall not, unless authorized or required by your duties, reveal to any persons, firm, corporation or
organization of whatsoever nature any trade secrets, secret or confidential operations, processes, business
methods, dealings or any information concerning the organization, business, finances, transactions or affairs
of the Company, its subsidiary or associated Company or any of the Company’s subsidiary or associated
Company’s customers or clients which you hereby acknowledge that you will or may have access to or may
come to your knowledge or become acquainted with during your employment under this Agreement and shall
keep with complete secrecy all confidential or other information entrusted to you and you shall not use or
attempt to use any such information in any manner which may injure or cause loss whether directly or
indirectly to the Company its subsidiary or associated Company or the Company’s subsidiary or associated
Company’s business. This restriction shall continue to apply after the completion or termination of this
Agreement without limit in point of time.

27. Company Assets


All assets of the Company should be safeguarded and used for Company’s business purposes only, and in
compliance with all applicable Company policies. This includes protection of the Company’s physical assets
such as office facilities, furniture, equipment and supplies, information systems and other technology assets,
intellectual property rights and confidential information.

28. Deduction of Deposit


A total amount of RM 50.00 (Ringgit Malaysia Fifty only) will be withheld from your first month’s salary as
deposit for locker key and access card. These monies will be returned to you upon your resignation and the
above-mentioned company properties must be returned in good condition. Should any of the property be
damaged or lost, the amount so withheld shall be forfeited.

If you accept the above offer of employment based on the above terms and conditions, kindly sign the duplicate of
this letter and return the same to the [Human Resource Department] within seven (7) days from the date of this
letter.

Do change your password at least once every ninety days.
Do change your password immediately if you think it has been discovered. Do Not
use passwords which may easily be guessed.
Do Not let anybody else know your password.
Do Not use other person user ID and password.
Do Not use programmable function keys to store your password. Do Not
write down your password.

Leaving Your Desk Unattended


Do lock your screen by pressing CTRL + ALT + DEL and click Lock Computer every time you leave your
workstation for a break.
Do operate a “clear desk” policy.
Do Shutdown your PC before leaving the office.
Do Not leave the system so that someone else could come and use it, or leave it switched on when leaving the
workplace.

If, after you have dispatched the Confidential Information to me, and I shall use the Confidential Information in

I, expressly agree to be bound by the foregoing for any or all Confidential Information supplied or to be supplied
by you or your clients during the term of the contract between UTS Marketing Solutions Sdn Bhd and its clients.
My undertakings and obligations hereunder shall survive the termination of such contract until such information
shall become public knowledge through no fault of my own.

This agreement is supplemental to and shall be read in conjunction with the provisions of my contract with you
which shall continue in full force and effect. Save and except that, to the extent that there are any inconsistencies
between this agreement and the contract between UTS Marketing Solutions Sdn Bhd and its clients, this
agreement will prevail.
