PROFESSIONAL FEE AGREEMENT

BETWEEN

YOSHIMASA MOTODA

AND

FORA YOUR WORKSPACE CAFE

THIS AGREEMENT is made and entered into effective November 18, 2022,
between Carlo Villapando & Mary Kathlyn Villapando of FORA YOUR WORKSPACE
CAFE and Yoshimasa Motoda

The Consultant desired to provide Food Services to Client and Client desires
to obtain such services from FORA YOUR WORKSPACE CAFE.

THEREFORE, in consideration of the mutual promises set forth below, the


parties agree as follows:

1.1 The consultant will be responsible for set up of kitchen according to requirement
of kitchen/dining equipment, kitchen/dining tools and staff training etc.
1.2 He will help to select and suggest for hiring staff, training and supervision of the
staff in food & drinks production department.
1.3 He will plan menus, developed recipes, provide training to relevant staff.
1.4 He shall share menu (recipe) preparation and ingredients in details in all and not
liable to any specific format.
1.5 He will plan the work of all kitchen & dining staff, their respective duty hours and
their regular training to assure that food preparation is economically and
technically correct.
1.6 He will approve the requisition of products and other necessary food supplies.
1.7 He will certify that high standard of sanitation and cleanliness are maintained
throughout the kitchen & dining.
1.8 He will establish controls to minimize food & drinks as well as supply waste.
1.9 He will safeguard all food & drinks preparation consultant and accident
prevention principles.
1.10 He will develop recipes as well as techniques for food & drinks preparation
which help to assure consistent high quality to minimize food costs; exercise
portion control over all items served.
Payment

The company will pay installment of P480,000 for basic equipment of kitchen
& bar and P220,000 (Non-refundable) to Fora Your Workspace Cafe for consulting,
recipes development, menu creation, one week supply of basic menu, additional one
week training during preparation, staff training in kitchen by our Chefs, Jimmy De
Guzman & Nikko Raymundo and staff training in Bar/Dining Area by our Licensed
Barista Carlo Villapando and Store Supervisor/Barista, Nicole Belen.

Non rivalry

During the Consultant’s consultancy with the Company, the Consultant shall
not, individually or jointly with others, directly or indirectly, whether for the
Consultant’s own account or for that of any other person or entity, engage in or own
or hold any ownership interest in any person or entity engaged in the Company
business.

Nondisclosure; Nonsolicitation; Nonpiracy

Except in the performance of Consultant’s duties hereunder, at no time


during the Term of Consultant, or at any time thereafter, shall Consultant,
individually or jointly with others, for the benefit of Consultant or any third party,
publish disclose, use or authorize anyone else to publish, disclose or use any secret
or confidential material or information relating to any aspect of the business
operations of

Company, including without limitation will not share or publish any recipe or any
secret or confidential information relating to the consultant business, customers,
trade or industrial practices, trade secrets, technology, recipes or know-how with
any individual or any Company.

Parties

This agreement shall be binding upon, and shall insure to the benefit of the
parties hereto and their legal representatives and proper successors or assigns, as
the case may be.
Amendments

No change, modification or termination of any of the terms, provisions, or


conditions of this Agreement shall be effective unless made in writing and signed
initialed by all signatories to this Agreement.

IN WITNESS WHEREOF, the undersigned have executed this Agreement as of


the date first written above.
