SECTION A – INSTRUCTION TO BIDDER
RFP-000000028881
1. Acknowledgement of the RFQ

Bidder shall reply immediately via SMART by GEP System to confirm your participation. If you are not able to
participate, please also reply and indicate your reason for not participating.
2. Request for Quotation

Kindly note that submission of the Bid must be in accordance with the requirements as stated in the SMART by GEP
System RFQ:
• Guideline Section
• Questionnaire Section
• Price Sheet Section
• Contract Terms Section
• Attachment Section
Bidder to refer to SMART by GEP Supplier User Guide in SMART by GEP RFQ in Guideline Section as reference
for you RFQ submission.
3. Closing date
The proposal shall be submitted via GEP SMART prior to expiry of stipulated Response Timeline. The proposal
is deemed successfully submitted when the RFx status changes to “Response Submitted”. Hence, Bidder shall
ensure the proposal submission is successfully transmitted prior to Response Timeline ends. GEP SMART RFx
“Submit” button will be automatically disabled once Response Timeline ends.
4. Contractual Provision
• BIDDER shall observe all COMPANY rules and regulations when working within COMPANY’s compound.
• BIDDER’s proposal shall be in the form of non-escalating fixed unit rates for services in Ringgit Malaysia (hereafter
referred to as “CONTRACT PRICE”) based on the Scope of Works as specified in Exhibit I – Scope of Work and
Exhibit II – Specifications of this ITB Document.
• The proposal shall be firm and valid for a period of ninety (90) days.
• BIDDER’s scope of WORKS and specification are as specified in in Exhibit I – Scope of Work and Exhibit II –
Specifications of this ITB Document.

Insurance : Applicable
Without limiting the successful BIDDER's liability under any provision of the CONTRACT, the successful BIDDER
shall procure and maintain at its own cost and expense during performance of the WORKS, the following insurance
applicable to its operations with respect to and for the duration of this contract:
a) Workmen's Compensation Insurance and/or Employer's Liability Insurance and/or any other
insurance with statutory limits as required by the laws of Malaysia to provide for payment to its
employees employed on or in connection with the WORKS covered by this CONTRACT and/or their
dependents ;
b) Comprehensive General Liability or Third-Party Liability or Public Liability Insurance covering

all operations hereunder against bodily injury, death, loss of property or property damage to third
parties with minimum limits on the value as set out in Item 8 of the SCHEDULE TO THE CONTRACT
or equivalent value in other currency for any one occurrence. Such insurance shall include contractual
liability coverage [Not Applicable]
c) Any other insurance which may be relevant and/or which may be required by law which the
CONTRACTOR is subject to.
The successful BIDDER shall require all of its Sub-Contractor(s) to acquire and maintain as appropriate such
insurance coverage as is required of the successful BIDDER herein which is not covered by the successful BIDDER's
insurance.
5. Submission of Proposal
As a precautionary measure to avoid potential supply disruption due to COVID-19, BIDDERS are required to provide
country of origin of the GOODS and MANPOWER in the bid proposals.

Should BIDDER encounter issues with SMART by GEP system, please contact/email PETRONAS Contact Centre
at 03-2331 3330/ 1- 800-88-0011/ supplier.servicedesk@petronas.com.my and highlight the issues in SMART by
GEP Discussion Forum prior to closing date. Notification received after closing date may be subjected to
disqualification from the tender.
Bidder shall submit proposal which comprises of Technical Response and Commercial Response via GEP SMART
as follows:
I. Technical Response (UNPRICED) which shall comprise of the following: -
• BIDDER shall submit the completed and signed forms as per Attachment 1A, 2A, 3A, 4, unpriced proposal
& technical documents
• Bidder shall complete the technical unpriced response in Questionnaires section and submit any
necessary attachment, if required. Bidder must ensure that there is NO COMMERCIAL INFORMATION
in the section or attachment.
• Bidder shall be subjected to disqualification for any commercial information in the Technical
response submission.
• Submission of quotation for Technical Proposal must be in PDF file format, else it may lead to
disqualification from the evaluation. The PDF quotation must include RFQ Number, Closing Date and Your
Reference Number.
II. Commercial Response (PRICED) which shall comprise of the following: -
• Bidder shall submit attachment 1B, 2B, 3B & priced proposal.
• Bidder shall complete the commercial response in Price sheet section and submit any necessary
attachment, if required under Attachment Section to support commercial response. The Attachment shall
be classified as “Commercial”.
• In the event of discrepancies between Commercial Response in Price sheet section and Commercial
Attachments, Commercial Response in Price sheet section shall prevail.
• Commercial Proposal (priced) (with delivery lead time in calendar days and/or price of offered, option
items) in PDF file format must be attached in the Attachment Section and to be tagged as Commercial
Attachment. The PDF quotation must include RFQ Number, Closing Date and Your Reference Number.
III. Attachments Section
• Bidder must ensure the correct attachment content with right classification i.e. “Technical” or
“Commercial” is uploaded, if required.
• Bidder shall be subjected to disqualification for any commercial information in Attachment which
classified as "Technical".

6. Price Quotation:
Service
I. The CONTRACT PRICE shall be exclusive of: -
• any taxes payable under the CONTRACT
• any expenses to be incurred by the Bidder as a result of the CONTRACT in complying with the
Malaysian Tax Legislations, including the payment of all taxes assessed, against the Bidder.
II. Any taxes for the performance of the Contract are the responsibility of Bidder at Bidder’s own cost and
COMPANY shall accordingly withhold an equivalent amount of taxes based on the CONTRACT
PRICE as may be required pursuant to the Income Tax Act 1967.
III. The price quoted for the services must be in accordance to the EXHIBIT III – CONTRACT PRICE
segregated based on the following: -
• Services performed inside Malaysia
• Services performed outside Malaysia
• Reimbursements/ disbursements inside Malaysia
• Reimbursements/ disbursements outside Malaysia
• Hotel accommodation charges during travels in Malaysia (if any/ required).
IV. If installation services and training etc are to be provided free of charge, Bidder is required to state
clearly in the EXHIBIT III – CONTRACT PRICE.
Material
I. The CONTRACT PRICE shall exclude any TAXES payable under this CONTRACT. Similarly, any
expenses to be incurred by the Bidder as a result of complying with any applicable Malaysian tax law
as required under the CONTRACT including the payment of all TAX assessed on the Bidder shall also
be excluded from the CONTRACT PRICE (as any TAXES for the performance of this CONTRACT is
the cost of the Bidder and COMPANY will withhold accordingly on the CONTRACT PRICE).
II. For avoidance of doubt, “TAX” or “TAXES” as mentioned above include but shall not be limited to all
income, profit, withholding tax, franchise, excess profits, royalty, other taxes, personal property taxes,
employment taxes and contributions, imposed or that maybe imposed by law, regulations or trade
union contracts, which are enforced by or on behalf the IRB or of any taxing authorities and includes
penalties, interest and/or fines in respect thereof based on the Income Tax Act 1967 or any Malaysian
tax legislation applicable during the duration of this Contract, excluding Customs Charges, Service
Tax and stamp duty.
III. The CONTRACT PRICE shall include CUSTOMS CHARGES payable under this CONTRACT, if no
exemption is given by the authority.

IV. For avoidance of doubt, “CUSTOMS CHARGES” as mentioned above include but shall not be limited
to any import duty, surtax, Sales Tax and any other statutory imposts levied, which are imposed by or
on behalf of the Customs Authority or any other relevant authorities but does not include any export
duty, penalties, interest and fines levied by the Customs Authority or any other relevant authorities.
V. The price quoted in COMMERCIAL PROPOSAL must also be segregated based on the following:
a. GOODS purchased locally and its applicable CUSTOMS CHARGES.
b. Imported GOODS and its applicable CUSTOMS CHARGES.
7. Taxes - Services
I. Bidder's attention is also drawn to ARTICLE 8 of the Terms and Condition of CONTRACT and EXHIBIT
III – CONTRACT PRICE regarding TAXES. Bidder is therefore advised to consult its tax consultant on
the applicable TAXES and CUSTOMS CHARGES that may be imposed or levied on Bidder in
connection with the performance of the Contract.
II. The Bidder and his personnel rendering the services under this CONTRACT are independent parties
and are not authorized to act as the agent or representative of the COMPANY. The Bidder and
COMPANY agree that no employment relationship shall exist between the COMPANY or any of its
affiliates and Bidders’ personnel by virtue of the Bidder or Bidder’s personnel providing the services
under this CONTRACT. By virtue of the above representation:
• Bidder shall be responsible for ensuring that all wages, fees, contributions, social security,
charges and taxes required to be paid by Bidder's personnel are paid as required by the
relevant applicable law;
• Bidder shall ensure that all appropriate deductions are made from the wages of suppliers’
personnel in respect of taxes, employee social security and other contributions including
where required workmen compensation insurance contributions; and
• Neither Bidder nor Bidders’ personnel shall be deemed either expressly or implicitly
employees of COMPANY.
8. Taxes and Customs Charges – Materials
I. Bidder’s attention is also drawn to ARTICLE 8 of the CONTRACT FORM and EXHIBIT III –
CONTRACT PRICE regarding CUSTOMS CHARGES. Bidder is therefore advised to consult its tax

consultant on the applicable taxes, levies and CUSTOMS CHARGES that may be imposed or levied
on Bidder in connection with the performance of the CONTRACT.
9. Sales Tax and Service Tax
I. Bidder’s attention is also drawn to ARTICLE 8 of the CONTRACT FORM regarding Sales Tax and
Service Tax.
II. In reference to ARTICLE 8 of the CONTRACT FORM and pursuant to the Service Tax Act 2018, the
Bidder is entitled to charge Service Tax for any taxable services rendered, provided that Bidder shall
provide the COMPANY a copy of valid Service Tax registration approval letter issued by the Royal
Malaysian Customs Department (“Customs Authority”) confirming that the Bidder is registered under
the Service Tax Act 2018 as a registered person providing taxable services. The Bidder shall also
provide the COMPANY with the applicable Service Type Code for each of the taxable services
provided to the COMPANY.
III. In reference to ARTICLE 8 of the CONTRACT FORM and pursuant to the Sales Tax Act 2018, the
Bidder is entitled to charge Sales Tax for any taxable goods manufactured and supplied in Malaysia,
provided that Bidder shall provide the COMPANY a copy of valid Sales Tax registration approval letter
issued by the Royal Malaysian Customs Department (“Customs Authority”) confirming that the Bidder
is registered under the Sales Tax Act 2018 as a registered person providing taxable goods. The Bidder
shall also provide the COMPANY with the applicable Customs Tariff Code for each of the taxable
goods provided to the COMPANY.
IV. In the event where the Bidder has been approved by Customs Authority as a registered person under
the Sales Tax Act 2018 or Service Tax Act 2018, the price quoted by Bidder shall be exclusive of
Sales Tax and Service Tax.
V. For avoidance of doubt, “Sales Tax” as mentioned above refers to the tax as defined in the Sales Tax
Act 2018 and any legislation pertaining to the same including regulations, orders and any amendments
relating thereto.
VI. For avoidance of doubt, “Service Tax” as mentioned above refers to the tax as defined in the Service
Tax Act 2018 and any legislation pertaining to the same including regulations, orders and any
amendments relating thereto.
10. Personal Data Protection
I. To the extent that the Bidder provides any Personal Data to PETRONAS for the purpose of participation in
this Tender, the Bidder:
• acknowledges and consents to PETRONAS's use and processing of the Personal Data.
• represents and warrants that the Bidder has obtained all necessary consents to disclose the

Personal Data to PETRONAS, and for PETRONAS's use and processing of the said Personal
Data.
II. The Parties expressly and explicitly agree to process such Personal Data in accordance with the
requirements of the Applicable Law (including the PDPA).

ATTACHMENT 5 – COMMERCIAL PROPOSAL TEMPLATE

The CONTRACTOR is responsible for its own tax compliance and payment of any TAXES, Service Tax,
CUSTOMS CHARGES, levies and charges that are imposed on him pursuant to the tax legislations
enforced in Malaysia. This includes any employment taxes for its employees or its Sub-Contractor’s
employees.
Notwithstanding the above and as required by any applicable Malaysian tax law, COMPANY shall have the
rights to withhold TAXES on income, excess profits, royalty and other TAXES from payments due to
CONTRACTOR under this CONTRACT to the extent that such withholding may be required by the Inland
Revenue Board of Malaysia or any relevant authorities and payment by COMPANY to the Inland Revenue
Board of the amount of money so withheld will relieve COMPANY from any further obligation to
CONTRACTOR with respect to the amount so withheld.
Where CONTRACTOR is of the opinion that withholding tax is not applicable, it is the sole responsibility of
CONTRACTOR to secure the written direction from the Inland Revenue Board enabling COMPANY to
make said payments without any deduction of tax.
CONTRACTOR shall be liable for and pay all import licenses, CUSTOMS CHARGES, surtax and/ or other
statutory imposts levied (hereinafter referred to as "CUSTOMS CHARGES") on equipment imported into
Malaysia or purchased locally in Malaysia. CONTRACTOR is required to segregate the prices into the
following categories:-
a. GOODS purchased locally and its applicable CUSTOMS CHARGES.

b. GOODS imported into Malaysia and its applicable CUSTOMS CHARGES.
NOTE:
1) Bidder to submit detailed quotation and price breakdown as per format commercial table provided.
2) This is a call-out contract where the quantities mentioned in this contract are for indicative and
estimation purposes only.

Note 1:“TAX” or “TAXES” as mentioned above include but shall not be limited to all income, profit,
withholding tax, franchise, excess profits, royalty, other taxes, personal property taxes, employment taxes
and contributions, imposed or that maybe imposed by law, regulations or trade union contracts, which are
enforced by or on behalf the IRB or of any taxing authorities and includes penalties, interest and/or fines in
respect thereof based on the Income Tax Act 1967 or any Malaysian tax legislation applicable during the
duration of this Contract, excluding Customs Charges, Service Tax and stamp duty.
Note 2: “Service Tax” as mentioned above refers to the tax as defined in the Service Tax Act 2018 and any
legislation pertaining to the same including regulations, orders and any amendments relating thereto.
Note 3: “CUSTOMS CHARGES” as mentioned above include but shall not be limited to any import duty,
surtax, Sales Tax and any other statutory imposts levied, which are imposed by or on behalf of the Customs
Authority or any other relevant authorities but does not include any export duty, penalties, interest and fines
levied by the Customs Authority or any other relevant authorities.
Note 4: CONTRACTORS are reminded that the prices quoted shall be exclusive of any TAXES and they
are responsible for and shall pay at their own expense when due and payable all TAXES assessed against
it in connection with the CONTRACT. The TAXES levied on the CONTRACTOR shall be for the account of
CONTRACTOR and shall not be reimbursed by COMPANY.
