PUBLISHING AND RECORDING AGREEMENT

This Publishing and Recording Agreement (this “Agreement”), dated as of 05 de Abril de

2019_ (the “Effective Date”), is by and between UP & AT’EM RECORDS (“Label”), and “ JAVIER
DENEVI - JD ” Argentinian Citizen (“Artist”). Label and Artist are sometimes referred to herein
individually as, a “Party” and collectively as, the “Parties.”

WHEREAS, Label wishes to purchase title and ownership in and to the Masters (as defined
below) from Artist pursuant to the terms and conditions set forth herein; and

WHEREAS, Artist writes and performs under the name “ JD ” and wishes to sell all title
and ownership in and to the Masters pursuant to the terms and conditions set forth herein in
exchange for Label’s obligations herein;

NOW THEREFORE, in consideration of the premises and mutual promises set forth herein, and
for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged,
the Parties hereto hereby agree as follows:

Licensee: Up & At'em Records

Territory: Worldwide
Applicable: For all known and future music formats
Rights: Exclusive
Terms: 1 0 years
Royalties: 50% on 100% of approved online distribution net share.
Third Parties: 50% to Up & at’em Records and 50% to Producer
Options: Up & at’em records reserves the right for an option of one follow-up track
of Producer
Accounting: each 01.06 and 01.01 of a year
Payments to Producer within 60 days of here above mentioned dates depending on
Company’s accounting receipt of respective distributor.
Remix: The royalities for the remix get the remixer.

MUSICAL CONTRIBUTION
(a) Artist has written and composed musical works (as defined by the Copyright Act and referred to
herein as the “Compositions”) and produced and recorded commercially satisfactory sound recordings
(as defined by the Copyright Act) of the Compositions (referred to herein as the “Recordings“), together
comprising:

(a) For the purposes of this Agreement, the term “Masters” shall mean both the Compositions and the
Recordings, jointly and individually. The term Masters shall also include any related artwork, drawings,
copy, photographs, liner notes, or other graphical, textual or other graphical works delivered by Artist to
Label hereunder.

(b) The Artist agrees that each of those Masters will be commercially satisfactory according to the
reasonable opinion of the Label. At the request of the Label, the Artist will re-register any selection until
a commercially satisfactory Master has been obtained. For the purposes of this Agreement, the Artist
will be deemed to have completed the production of a Master's Degree when the Label is found on the
actual receipt of said Master, will be sent to "Up & At'em Studio", who will complete, Edit, mix and
match completely. no cost to the artist

Then will be ready for Label’s duplication and distribution therefrom, together with all consents,
approvals, licenses and permissions.

MATERIALS

(a) Artist agrees to deliver to Label the Masters on a Compact Disc Recording (CDR) or upload to the
Label’s web server, OR ANY SERVER AVAILABLE. Or if Label makes such web server available to
Artist, high quality digital files in WAV or AIFF (16bit or 24bit) format. Artist shall also supply to Label, in
writing, the correct title of the recorded work; the names of the author, composer, master right owner
and publisher thereof with any additional copyright information known to Artist; and any other credit
requirement if any.

(b) Upon request of Label, Artist agrees to supply samples of any promotional materials that may
reasonably require, including biographies, photographs of the artist and any other promotional material
that may be used in conjunction with the release

All terms and conditions of this agreement are subject to Argentine law.IN WITNESS WHEREOF,
